New CEO:
Tumbleweed Names Craig Brennan President and CEO; Software Industry Veteran Will Focus on Customers, Revenue Growth and Shareholder Value

Tuesday , July 05, 2005 16:03 ET

REDWOOD CITY, Calif., Jul 05, 2005 (BUSINESS WIRE) --Tumbleweed(R) Communications Corp. (Nasdaq:TMWD), a leading provider of email security, file transfer security, and identity validation software and appliances, today announced that its Board of Directors has unanimously named Craig D. Brennan as president and chief executive officer, effective immediately. Brennan has also been elected to serve as Chairman of the Board of Directors. Brennan succeeds Jeffrey C. Smith, who steps down as president, CEO and Chairman. Smith will remain on the board and serve as a special advisor to the new CEO.

"I'm very pleased that Craig Brennan has agreed to join Tumbleweed as its new CEO," said Deborah D. Rieman, a Tumbleweed Board Member. "We believe our market is entering a high-growth phase, so in our search we were looking for a leader with demonstrated success in building competitive, growth-oriented business organizations. Craig is that leader."

Brennan brings two decades of experience in the enterprise software arena to his new position. Most recently, Brennan served as president and CEO of Brio Software Inc., a $100+ million publicly traded enterprise software company. While at Brio, Brennan led a company-wide transformation. He returned the company to profitable growth, resulting in the best overall operating performance for the company. Prior to Brio, Brennan held leadership positions at Oracle Corporation, where he served as senior vice president of the Customer Relationship Management Group, and Deloitte Consulting, where he built and led the Siebel-CRM practice. Brennan earned an MBA from Northwestern University's Kellogg School of Management, and a BA from the University of Michigan.
"Tumbleweed is the gold standard in the messaging security industry, consistently delivering powerful products for trusted business communication," said Brennan. "I am excited to be joining a company so rich in technology and industry leading products, and I look forward to working with this outstanding team to accelerate Tumbleweed's growth and long-term profitability."
In January this year, Smith, who co-founded Tumbleweed and has served as CEO since 1993, announced that he would step down as the company's president and chief executive when a successor was appointed. He will continue to serve on the Board of Directors, and will act as an advisor to the incoming CEO.
Christopher H. Greendale, a Tumbleweed Board Member, said, "The Board wants to thank Jeff Smith for his commitment, leadership and innovation as Tumbleweed's CEO for the past twelve years. His early vision of email as the strategic B2B platform for conducting business transactions was dead-on, and the resulting solutions provided by Tumbleweed have helped shape how organizations do business over the Internet."
"I'm thrilled to have someone of Craig's experience and ability to lead the company to the next phase," said Smith. "Since announcing my decision to step down as CEO, I've been committed to ensuring that we find a new CEO who has just the right combination of experience, acumen and leadership. With Craig's appointment, I'm confident that Tumbleweed is in very capable hands."

In his last job @ BRIO he reorganized BRIO and this company was sold to Hyperion Software.

06-Jul-05 09:44 ET In Play Tumbleweed Communications: We are aggressive buyers at this price, tgt $6.75 - Kaufman (TMWD) 2.67 +0.07 : Kaufman notes that TMWD's board unanimously named Craig D. Brennan as president, chairman, and CEO, saying he has a strong sales and marketing background and recently served as CEO of Brio Software, a $100+ mln publicly traded co where he was able to reduce operational expenditures by nearly half, and simultaneously grow rev to return the co to profitable growth, despite having to compete against much larger corporations such as SAP, Oracle (ORCL), and Cognos (COGN). Firm believes Craig Brennan was attracted to Tumbleweed because of the growth capability of the fragmented market that the co is in. Firm says they are aggressive buyers of the stock at this price, reits Buy with $6.75 tgt.

Tumbleweed entered into more than 500 customer contracts, including 150 with repeat customers, exclusive of maintenance renewals. Tumbleweed now has more than 1,200 enterprise and government customers.

Tumbleweed broadened its distribution and market reach by adding new channel partners and doubled the level of business received from resellers quarter over quarter.

     Third Quarter Financial Outlook

Tumbleweed Licenses Commtouch's Virus Protection Technology
Friday , August 05, 2005 02:55 ET

Aug 05, 2005 (CORPORATE CONFERENCE CALL ABSTRACTS via COMTEX) --Tumbleweed Communications Corp. today said it has licensed Commtouch's RPD anti-spam and virus protection technology.

Tumbleweed said it has integrated RPD (recurrent pattern detection) features into Tumbleweed MailGate Email Firewall and MailGate AntiSpam. The addition of the technology further extends MailGate performance by adding real-time detection capabilities, blocking spam outbreaks within minutes of their release into the Internet, the company said.

Tumbleweed also said it has licensed elements of CommTouch's patent.

"Recurrent Pattern Detection adds outbreak detection as an additional layer of defense against spam, phishing, spyware, virus and worm attacks sent out in email blasts. It is a strong complement to our comprehensive email security offering," said John Thielens, CTO of Tumbleweed Communications.

"Outbreak Detection, combined with Tumbleweed's other threat protection technology, ensures complete protection from increasingly nefarious email attacks," Thielens said.

Watching the tumbleweed roll
One stock at the top of my watch list is Tumbleweed Communications (TMWD). Tumbleweed provides enterprise software that secures email and other communications. I first looked at Tumbleweed several years ago after a nice run shorting its competitor Zixit (ZIXI). I never took a position, but now TMWD is getting interesting on the long side.

Tumbleweed has now put together two cash flow positive quarters in a row, and after four years of reporting GAAP losses, seems to be on a trajectory towards GAAP profitability. TMWD just upgraded its corporate suite, bringing in Craig Brennan as president and CEO. Brennan previously was CEO of Brio, Inc., a business intelligence software company that was acquired by Hyperion. It provides security software to many top banks, healthcare institutions and, as of last month, the U.S. Marine Corps. In a recent interview, Brennan explained Tumbleweed's position within the industry:

When I look at the landscape, there are 50+ competitors in this space, 30 of whom are under $25M. This tells me that the industry is still fairly immature and fragmented. The space is growing rapidly, and I expect we'll see the same consolidation we've seen in ERP, CRM and BI: fewer players with more comprehensive, complete solutions. The focus will inevitably move from point products to solution suites, and right now there are no clear dominant leaders. Tumbleweed has an advantage right there -- the company's products were developed to interoperate and provide complete functionality for our customers. We've had a complete, single-vendor approach for some time, have been battle-tested in some of the most demanding companies in the world, and we're well-positioned to lead the market as consolidation occurs.

TMWD trades at an enterprise value to revenue ratio of 3.55. That is a lot more than I usually like to see in a stock, but my research shows that is not atypical for software stocks. Zixit trades at 5.72x sales, Symantec at 8.35x sales, Microsoft at 6.05x sales, and Oracle at 5.64x sales. I don't mean to suggest that TMWD is in the same league as the latter three; just that its valuation is by no means rich for a software stock.

Two concerns. First, there is a bit of insider selling, but nothing too extreme. Second, the stock is somewhat extended technically and is nearing resistance from the last runup in late October 2004.

DISCLOSURE: No position. Not a recommendation to buy or sell any security -- for educational/informational use only.

TMWD: Henley & Co Starts @ Speculative Buy; Sets Tgt @ $8; Analyst Notes
Tuesday , August 28, 2007 08:44ET

Issuer: Tumbleweed Communications Corporation (NasdaqNM: TMWD)

Analyst Firm:  Henley & Company, LLC

Ratings Action: INITIATE

Current Rating: Speculative Buy

Target Price Action: INITIATE
Target Price: $8.00

Analyst Comments: The firm believes TMWD is terribly undervalued at the current time, and a Sum of the Parts of $8.00 is a better reflection of its valuation. With the core business of TMWD's business growing 38% YoY, email security, with solid customer additions (bringing the total customer base to more than 2,700 enterprises and governments) they would currently be aggressive buyers of the stock. Even without counting $280 million plus of NOLs, the firm believes the stock in 12 months is worth their sum of the parts estimate of $8. They feel very confident that the investments Tumbleweed is making in its business in 2007 should turn into substantial 20%+ revenue growth in 2008 and 5% operating margins in 2008 with approximately $75 million in revenues.
