Any thoughts on this? I'm new to this game; still learning. Where can I learn some good strategy?
Thanks!
Title: FCCN.OB… My bet as the next big penny mover
Post by: Ramsburg on July 06, 2005, 12:44:49 PM
FCCN just come up on my high volume alert today... It's not only huge volume, but also top record volume, after some light increasing volume in the past few weeks.

This penny is a low float stock, with only 5.3M shares outstanding and a market cap of  270k... this stock is trading 10M shares today, twice the float changing hands...

What's the reason behind this move ?
Don't know, but I have to buy first and make questions later...

I welcome any input on this one !

Best regards,

Nice find, close will be interesting as it has a couple intraday spikes a few sessions ago to 0.019 and then immediately retraced. more volume this time though so lets hope it holds into the close, because then it may continue the run.

First of all: GREAT PICK !!! applaud +++
I love pennies like this one, with a low float, and a small market cap........ they made me dream... dream with the bags !

If you guys have time, just take close attention to the SEC fillings here, and read the Quarterly Report:
http://biz.yahoo.com/e/050518/fccn.ob10qsb.html

This company is for real, and they are really improving their fundamentals, revenues going up, expenses going down... Their 280k market cap is just a screaming BUY to me.

In @ 0.014 and will buy more above $0.02

Greetings to all team workers !!!! Lets make some for the pocket

Slowed down badly in the afternoon.  If it doesn't pick up (in volume) tomorrow morning I'll be selling and taking my slight loss rather than waiting for a bigger one.  Today's jump in volume is reason to wonder what happened, not saying it's going to crash but I'd like to know more about the volume jump before I stay in.

Question for the level II experts...there are 2 bids from JIMK at .20 that have been there for almost 30 minutes with no movement in the price. I was filled prior to this on one order and placed an additional order prior to this...seems like a blockade or something....could someone please explain ??  :o

alright now...whats up with this stock...seems to have stalled in volume since the moment I purchased...

wonder what caused the huge vol. increase yesterday...hope my theory on another message board about vol. surges being part of MM's manipulation is not true for this case, and there is, some sort good news in the works!

technically, we gotta break 0.019 to surge higher...much higher IMO. I hope I didnot jump aboard too quickly.  ???

anyways, to those who r in, I talked with mgmt. yesterday evening and they said the investor newsletter will be out today....watch out for a PR on that.

Hi Slomo007,

Don't fall in love for the stock ;)
I too, like this stock a lot, but I'm not averaging down... I rather average up, if the stocks start trending north.

This trade has not begun the best way, I'm not lossing a lot of money, but it's -33% on this position  ;)

Anyway, I'm keeping it, the floor level is just a bit lower, and I must understand why was that Huge volume the other day...

I agree...I've held off....but I'm close.  I'm waiting for the volume to pick up again before I pull the trigger on another small buy round (I'm not putting much in to it total).

The volume seems to have absolutely died in the past couple of hours.   ???

It's bad that you've missed yesterday prices, but I believe this is just the start of the big move, so thats plenty of upside, but do your own DD !

Market cap it's only 450k, and this company is getting just better and better inside a very hot sector.
Take a look at July Newsletter:
http://www.franchisecapitalcorp.com/content/July_05.pdf

and also the lattest SEC fillings:
http://biz.yahoo.com/e/050518/fccn.ob10qsb.html

No way a company like this one could have a 450k market cap !!!

And take a look at the charts !!!
strange volume ? strange move ?
Not strange to me !  >:D

For me it's almost a blind buy at this levels, but again, do your own DD !

For what I see, the market really likes to test all the FCCN.OB holders ;) That's shaking the tree ;), Instead of shaking, I rather buy a few more just to test my nerves  >:D

I'm holding this penny with no stress ;) Just the same way I was when it was @ $0.009 a few days ago ;)

Sold earlier today.

Not very high on this company.

Best of Luck !

Think most of the volume today was a result of Elite G's Recommendation.
These do not usually chart like the big boards.

most stock plays depend on your time frame.  This was my first project pick and it moved awesome...i think 44% at its peak.  I didn't sell it there but I still came out with over 20%.  I decided not to come back in because that would be against my time frame.

pennies move crazy...so u gotta be a little nutz  >:D

Congrats EliteG ;)

Well, speaking for myself, I must hold this stock, and you are right about that on the time frames of investments, and you did just a great job, taking 20% on a very fast trade.

But my plan on this one goes a bit further, I was losing 33%, then winning 66%... I don't take a risk of 33% to take a profit of 66% on a position trade like this one ;)
I was expecting something BIG, and I should only take something BIG (a few bags), nothing less, otherwise I pay my price, which would be a significant loss on this position ;)

best regards !

Holdraker was president/owner of Franklin & Associates from 1989-2004, a full-service concept development company. He helped develop for La Salsa, Fresh Mexican Grill, their franchise program, the manufacture of proprietary products, and the establishment of purchasing and distribution procedures. Heisler continued by saying: "The number of Kokopelli franchises scheduled to open across the country in the next three years nearly seems countless and will require a strong leader to ensure that each and every Kokopelli launched is a success from the first sale. I feel strongly that Frank's leadership will not only deliver, but succeed."

Looks like a good day shaping up, bidding higher in pre, if it can take out $0.0209 (last vol high) then little volume related resistance up to $0.03 to $0.04 areas.

FCCN is only developing THE move... I think the last quick rides, were only a small sign...

In my opinion, this penny should be at much higher prices... I don't believe the 300k market cap its reflecting the real value of this companny... That way, I've been accumulating a bit more on my position.

best regards !

It depends on your time-frame and your trading plan...

I'm holding this stock for the mid-term... My target is far ahead this price... I've not sold on the last speculative ride, and I wont sell it now... I'm looking for $0.10 plus on the mid-term, and it's where I plan to sell.

best regards, and enjoy the «ride» ;)

I agree Ramsburg, also at the $0.10 area there is a lovely 1 day red candle up to $0.21. FCCN just touched the 9ema on 5 min chart and rebounded this has got legs.

ramsburg...when you say mid-term, what time frame are you talking about?

I put in a limit order at 0.021 and wouldn;t fill (when the ASK itself was like 0.0205), I tried several times but no fill, and it kept moving up...

hoping for a consolidation because I wanna get into this one...expecting higher prices but wouldnt be happy if I was not in the party too.... :(

any thoughts on what might be a good entry...I remmeber this thing went to 0.022 2 weeks back and plummeted back to 0.011 after that, any chance that'll happen again?

appreciate the comments!

Post by: Ramsburg on July 20, 2005, 12:06:45 PM

The way I see things right now on FCCN.OB:

- Today is a speculative day, with high volume, and strong price action with new relative highs.
- A candle like today, may suggest continuation and follow up by tomorrow and the next trading days (G-Pattern ?)
- This stock has nice fundamental recovery story, and it's very low priced, with a market cap of 400k....

Then there are 2 type of traders in the move:
- Speculative riders: Guys that are just waiting to sell a bit higher (this guys will try to sell near 0.03)
- Holders that believe on the big potential (like myself)...

I believe we'll watch some new deeps on this stock, like we've watched before, but for me, that's just noise on the chart, I can see clearly that the trend has changed, and we are going north ;)

Hi vic,

I talked about this stock when it was @ $0.015, then it fall down to $0.009, then up to .023, then down again to $0.011 ....

I don't believe it would go down again below $0.015, the stock is moving right now with very strong volume... We may watch a heavy ride anytime, but then It will for sure gonaa have another deep... I can't predict when, neither to what prices...

All I can say, is that I'm VERY bullish on this stock, and I already have a bigger position on this one, more then I usually have on penny stocks.

You have to do your own DD, and decide for yourself, because this is really high risk here ;)

best regards !

Hi guys,

The move is getting well, big volume again, another relative high breakout, and a lot of momentum. No reason to sell yet, even for short term purposes.

The next upside reference (short term), is the $0.060 level, which was the support level during February. I'm not selling here, I'll not sell @ $0.06.
I'm making 200% on this trade, what I'm thinking is just to sell 1/3 of the position, and ride the «free» shares (2/3 of the position)... But I'm not sure if I should do that yet...

Off-Topic:
Yesterday my computer «exploded»... and I've just bought a new computer, so I'm installing all the programs, and trying to make backups from the old hard drives... Unfortunately, one of my old drives is damage, and I think I'm going to loss part of my stocks database :-(
Just to justify why I'm not posting any new charts updates, and why I'm not posting new comments around 3SOF :(

Thanks for all the applauds  ;) I'm glad that a lot of people is enjoying this trade ;)

best regards !

today may have been the start of a new g2 or we will see continuation of g3b(after breakout) tomorrow.  I think the health of the g2 can be ascertained by the depth and distance to g3a(breakout)  ;) the g2 that led to this g3 is a beautiful rounded bottom(how we love those round bottoms, lol)

Interesting day for sure, from a 1 day candle perspective it can be characterized as a high wave (lots of indecision basically) and 'can' signal reversal especially at tops. But that is just 1 candle, and would need confirmation from Friday action to confirm. I am still holding.

Hard to say.  I see it back to 2-3 cents next 3 weeks barring any substantial news.

In fact, I sold a block when it hit 4.3 cents for a quick trade.

Like them long term especially with the ex Pizza Hut executive involved.
Elite and the others can probably give a weeks forcast.

But the trading pulls back on all of them.  Moved alot recently.

But longer term, I believe the same as Ramsburg.  It should continue to be a winner.

Guess I did not help much.  Personally will wait on a pull back.

Long term weekly chart says to me that FCCN is only just now entering breakout. I'm not saying this is going to $5 or anything like that. I am contemplating accumulating more on any pull back that does not violate signs of continuation. I think a spikey look at $0.12 area could be in play as early as next week if it can hold above the breakout down trend weekly.

I am with you Aussie.  I have been following this stock closely.  We have the intraday traders taking profits, but it has not made much of a dent in this steady up move.  If this continues in the same direction, I plan to sell some other positions and add more on dips.  Key tests seem to be around 0.045, 0.05 and 0.06.   Seems a lot of penny stock boards are playing this stock right now.   They have exit points at those levels.

But a great trader once said to me, "Don't let the noise bother you when you have a winner, let it run".

Another breakout... nice volume, heavy price action:
- No reason to sell so far

Another stock that makes me remember FCCN on the begining of the move is MSEP.OB... I've posted a few day ago, but it seems that it didn't caught much attentions.
I'll post some charts later.

Now, just for the sake of learning.

When HISC hit 3 large White Candles, it touched 14 cents and now settles in around 10 cents.  People screamed take profits because 3 large candles are all you can ask for usually in a row.

How do you interpret the difference in the candles at the same point with the 3 ?
Many people were selling based on the 3 alone.

I do not know and would appreciate the insight.  But when I went back on charts that had 2 large white candles, most of the time profits were taken for a nice retracement before moving up.

Thank you,

FCCN is obviously a strong chart play.
The momentum and interest is shown on multiple message board discussion boards.

Called and spoke with a couple of people on it today.

The company did not do anything new and was laughing about the move up.

They are strong long term, but this is all developmental right now.
A few franchises will be opened but it takes awhile to ramp up and even longer for profit.

Without revenues to back it all up, this should retrace back to .02-.03 after the Daytraders get out.

What news could possibly come out to sustain the move up ?

Now near term, play it.  It may double.  But know the company has no idea why it is moving at this point.  They probably should issue some PR's to keep it going.

Just wondering what you all see beyond a quick trade at this point ?
Someone will be holding a large bag very soon, IMO.

So far, it's breaking through resistance levels very nicely.

It did meet it's 200 ma at .06 today so I would think that one of two things could happen tomorrow - either profit taking at that resistance level or a break above it which should carry it up to the .10 - .12 level where some minor resistance levels seem to be.  I'm still pretty new to this type of TA so please correct me if you think I am off base with my analysis.

It finished very strong today hitting it's high at the close but if the company is laughing about it's run, it means they don't think it should be that high.  I know that doesn't necessarily mean it won't or can't go higher but that sends up a red flag for me.

I'm going to be watching it very closely tomorrow...

Fill, which message boards do you monitor and what do you watch for to know that daytraders are active in the mix?

I see it on Yahoo and Raging Bull.

But posted on boards other than their own.

You are correct in that it can hit 12 cents.

My objective is to relay the information I have and not to prevent anyone from an opportunity.  The chart is very bullish.

But one of those 40% haircut days are coming soon, IMO.
Nothing goes straight up.  Like them long term but not entering here.

Hope it goes to 12 and you all get a double from here.

They should release news to try and keep the price up.
This will help with investors who now will take a look.

This is Stocks On Fire,  And FCCN sure is On Fire.
And is alot better of a company than other Pennies.

Just believe in the 3 giant white candle pull back observation until it proves otherwise.

Nice Pick.

fill the gap, aren't you posting on Raging Bull's FCCN board with the ID "5bag_penny"...just curious, noticed a couple of posts just now and the language and tone sounded very similar to your last few posts on this board.

I do understand that you never bought into this stock...(neither did I...never got the darn fill after endless tries at pushing up my bid  :( )

anyway, forgive me for pointing this out...but it seems to me like you have a clever way of bashing this stock (probably coz u r not in it), the reason I'm tempted to say that is because I've talked with mgmt. several times over the last few weeks about several things...one thing I see is, the price is at the current levels, not because the company flunked bacly in some fundamental way, but was told by mgmt. that a group of shareholders holding a rather large chunk started selling their holdings back in Feb. 2005 and later (when this was around 15-20 cents I guess), cauing the pps to take a nosedive...never really recovered until now it seems...The CEO also said that they now have 2 remaining holders, unlike 5 in the past (of which 3 sold their holdings)...of which, they seemed to have reached an agreement with one holder to keep their shares, and the other...I dunno, but seems the large volumes days this past few weeks indicates that he might have sold and left the table, IMO.

When you say the mgmt. "laughed" at the stock price movement...I doubt they would do that considering they believed the pps to be very undervalued when I spoke to them this past week...they have shareholder value as their no. 1 priority as per their past PR's in which the stated so. I mean...the OS is around 35 mil, per the mgmt. I spoke to, and if you multiply that with the pps, you get around 2.1 million....pretty undervalued considering these guys have 5 restaurants already open, and several slated to open this year all over the country.

I'm still interested in getting into this stock as I notice it has broken key resistanc elevels (0.045, 0.05 and has now touched 0.06 and held, pretty strongly IMO).

I also notice you were posting a gazillion times on HISC, (of course, nothing wrong with tat, you bought the stock, and its only natural you would want to spread the word...and HISC is a great stock of course and I applaud you for the pick...but after several white candles on HISC, you were still bullish on it short and long term...unlike here, where you go to RB board, and this board too, saying...beware of the 3 white candles!'...that strikes to me as double standards...again, forgive me if I'm wrong and if ur intentions are honest, but I'm just expressing my thoughts).

good luck in all your trades nonetheless...and remember that I've spoken to this mgmt. several times over the last few weeks and I believe, this move up is basically nothing but a move back to where this stocks is naturally supposed to have been (if not for those indiscrimiante dumping by some holders several months back, inspite of soeme agreements they had with mgmt....)

Hey Vic,

You could not be more incorrect with your post.

Welcome anyone to call them.

And I was a shareholder.  After my calls, I sold and decided to wait for another time to consider an entry.  This is all documented on the thread.

My posts are relayed from the call.  When a company does not know why they are moving up and nothing is planned and there is no revenue, it is called hype.

Do what you want but make sure your information is correct here.

Will be fine when they get ramped up.  It is a long way off with the locations.
And they get $ 60,000 a year royalty for each location plus the franchise expenses.

Show me how the numbers work to trade at the level of 12 cents that people talk about.

Just pointing out my conversation.  Same as I did with HISC and others.  And they all happened.

So do not question me with multiple aliases and incorrect posts until it plays out that way.

And, I am extremely bullish in HISC, so what is your point ?

Do not try to discredit me from spam on other boards.

And why don't you try to contribute to the board with a pick ?
Place your comments on the line prior to an event happening.

I read back on your posts.  All Monday morning Quarterbacking.

Sounds like you are trying to pump FCCN like all of the boards are.

Just beware of the large move with nothing to back it up.  All of the major expansion is not even Planned yet !  Just a few in Ohio and Arizona.

This industry takes time.  And the public has to catch on.

Question me if it sustains the 12 cents people are claiming.

I have no vested interest in whether or not you buy, sell or hold.  Cannot short it.

Do not make this a Yahoo Board.  My information is exactly what it is.  A relay for people to review.  It is 1 opinion for people to research by also calling, reading and getting it from the source.  So buy it on the hype.  Really does not matter either way.

Sorry for not posting with the crowd each time.  And people told me HISC was a terrible buy at .01-.02 cents.

I will gladly admit when wrong.  But highly doubt it here.  And they also said the company will probably try to capitalize on the momentum be it PR, etc while at this level.

This board is about discussion, not false claims against a poster with a track record. Go to Yahoo to bash.

Hey Vic,

They also commented on:

If not day traders, how can so much of the float be traded recently ?
hmmmm

If not flipping, it does not work.  Do the math.  And " investors " for the long haul have the shares to hold.

It is traders.  Nothing wrong with it.  FCCN with probably go up 50% tomorrow.
But cannot sustain when they leave.

Vic,

And taking down my rating each hour on the hour is weak.

That sure helps in establishing a cordial community.

People should have to say why they take down a rating so people can at least know why.  And the same person should not be able to do it each hour as Vic is doing.

You obviously lost money and are angry.  Not my fault.  You make up your mind, Vic.

This is a different kind of board.  Let's keep it the same way it was built.  Solid discussion.

i'm gonna stop arguing on this issue with you, with this post. Guys !

Lets all stay calm !

We don't want to turn this into a new Yahoo...

Ratings are private, and I can't disclose any information about it, neither is my purpose to stay here saying who's applauding or smiting who...
Although, and as an exception, I can confirm that vic gave only 1 smite to fill_the_gap, and all the other smites came from different people, and by making this I'm already going far ahead of what I thought about this...

I must remember all members, that the Ratings exists, in order to be a democratic system of reward on this community.
Every time you read a real good post, you should applaud, this way you are giving confidence to the poster, and thanking him. Now, about smiting, you should only smite if it's a real bad post, and by this, I don't mean a post that you don't agree if you know what I mean.

Now, let's all stop talking about ratings, and keep the subject on the stocks and strategies, ok ?

Best regards to all !

PS: I'll be forced to delete any further posts on this subject under this FCCN topic.

Integrity of course is an important thing and we must police ourselves to keep this board great.

But if you simply suspect something, it is my belief that the correct way to handle it is to conduct it privately(personal message) @ first.  I believe you will find out that we have some really great people here.

I also need to add as a side note that no one here is paid, and no one here is always right, and mannn am I having a hard time keeping up with all the questions.  We need to try to run together(3sof gang >:D) but remember that in the end we are all alone(responsibility).

Emotions hot up when a stock starts to run ::) Anyways I posted this was on the cusp of weekly chart breakout and today it broke my trend line. Now I am gonna disclose my position here, I sold just under 50% of my holding at $0.057 just because I saw it as resistance zone (just under 200 ma on the daily) and I wanted to lock some away. Momo is still strong, it clsoed at HOD. Regarding my remaining 50% I am gonna be looking to sell in the $0.06 to $0.20 zone (huge zone I know but the chart shows a couple of big 1 day red candles run up to $0.21in May last year, extreme momo continuation could send a spike that way.
Weekly breakout chart (weekly breakouts usually very strong indicator for continuation):

Nice bit of news, bidding up $0.064:
Franchise Capital Corporation Announces Agreement for 12 Kokopelli Franchises in S.E. Michigan Market
Business Wire - July 26, 2005 08:30

PHOENIX, Jul 26, 2005 (BUSINESS WIRE) -- Franchise Capital Corporation (OTCBB:FCCN) today announced that Kokopelli Sonoran Grill has entered into a franchise development agreement with a Michigan based developer/operator to open a total of 12 Kokopelli Sonoran Grills in Michigan. As per the agreement there will be 10 restaurants open in the Greater Detroit market as well as one each in East Lansing and Ann Arbor, near the Universities. The greater Detroit locations will include restaurants in Plymouth, Livonia, Royal Oak, Novi, Sterling Heights, Rochester and others. The first locations have been chosen and the developer plans to open 2 to 3 Kokopelli Sonoran Grills per year.

Franchise Capital Corporation Chief Executive Officer, Ed Heisler, commented, "As a former Michigander it is very exciting for me to see Kokopelli enter the Michigan market. This latest sale of 12 franchises in Michigan reflects Kokopelli's goal to reach all the corners of the country. I would like to remind shareholders that each Kokopelli franchise sold is expected to generate up to $60,000 or more per year for the franchise company on an on-going basis from royalties, in addition to the cash sum from the purchase itself. To date, Kokopelli has sold 49 franchises from coast to coast. This number will only continue to grow with more announcements of franchise sales to come in the coming weeks."

Kokopelli's was founded in Phoenix, Arizona in 1997 and differentiates itself from other fast-casual chains by serving authentic hand-blended Sonoran spices, beans slow cooked everyday, never refried, and tortillas steamed to order. All food is served to its customers "platter" style on hard plates with flatware. Additionally, Kokopelli serves menu items found in full service Mexican restaurants such as Grilled Salmon with Mango Salsa, Steak Verde with Tomatilla Salsa, Pollo Colorado with Smoked Cheese and Peppers, beer, wine and frozen-margaritas.

Kokopelli's offers made-to-order big-burritos, tacos, fajitas, and other Sonoran favorites, using only the freshest ingredients, using no preservatives, additives or conditioners, on a dine-in and take-out service in high volume retail centers and other high traffic commercial locations throughout the United States.

The fundamentals are sound with FCCN....
1. Growing number of franchises and thus revenue.
2. Has controlling/majority interest in 4 franchise properties: Kokop[elli, My cousin Vinny's, Kirby Foo, Com Stock Jake.

In addition has 100% ownership of Fathom Business Systems, a Point Of Sale Software company that supplies POS systems to its franchises plus outside restaurants. Note, Software has 80% incremental profit margins!
3. Clean Balance sheet!
4. Low float. 35M shares fully diluted. Current O/S 30M
5. Capital not needed for growth as Franchisees put up the capital.
6. Strong management and finally

7. Good healthy Food!

I've sold part of my position yesterday near the $0.06 resistance, and I'm keeping the rest whatever happens on the next days. (I'll probably buy-back some of the position during this deep).

From a TA perspective I see it.

Fundamentally, it does not make sense here.

Announcements and the future is promising.  But they will not bring in revenue for a long time.

Review the balance sheet.  Then consider the industry.  And they are asking $ 60,000 fee per location and operating fees.

But this is SOF, and FCCN has been on Fire.

Nice pick, Frederick.
Title: Re: FCCN.OB… My bet as the next big penny mover

read this portion of the recent PR:

Franchise Capital Corporation Chief Executive Officer, Ed Heisler, commented, "As a former Michigander it is very exciting for me to see Kokopelli enter the Michigan market. This latest sale of 12 franchises in Michigan reflects Kokopelli's goal to reach all the corners of the country. To date, Kokopelli has sold 49 franchises from coast to coast. This number will only continue to grow with more announcements of franchise sales to come in the coming weeks."

Future revenues = $60K X 49 = $2.94 million

That is from royalties alone, add to that "the cash sum from the purchase itself". I dunno how much, but it is money nevertheless.

I understand the royalties will not kick in until the franchise itself is open...but atleast you get an idea of where the valuation is coming from, right?

Now here's more: Total O/S as per last 10Q filing (confirmed by conversation with Brad Miller, CEO) is 35 mil. shares.

Current market cap = OS X pps = 35 mil. X $0.073 = $2.55 million

Add to that the fact that float = 18 mil. approx. and a significant portion of it is in hands og buy and hold longs (based on recent vol. action), and the way the MM has been increasign the "spread" between BID and ASK....(somebody seems to be desperate for shares, IMO).

anyway, all of the above just to give you an idea. GLTY.  :)

Sticking to my plan, although I will not be selling at $0.06. My zone will be $0.10 to $0.60. An even bigger zone than before, am I MAD, nope here is my reasoning. The attached chart shows the period Oct 3rd to Oct 13th 2004. Price fell from $0.69 high to $0.11 low, 6 trading days and the volume was tiny.

There is No volume based resistance in the way of FCCN.

VIC666-

Here is some additional info. to support your post.  This was found on the franchise web site.

The fees to purchase the franchise itself are as follows:

$25k per store.  This fee is paid UP FRONT upon the signing of the franchise agreement.  (The Michigan deal alone is worth $300k)  There are a total of 65 new locations identified on the web site (this includes the 12 in Michigan) so that is $1.625 million right there in franchise sales, and growing.  Maybe some of the $25k is going toward brokers commissions that are representing FCCN to sell the franchise nationally.  It appears that they are signing some large development contracts so these multi unit sales will be key for rapid growth.

If an owner wishes to develop a market to open additional stores then there is an additional $10k fee per market plus the original $25k per store.

6% royalty, based upon gross sales.  I think the $60,000 per store royalty projection is a bit high.  That would represent $1,000,000 in gross store sales on avg. per store in the chain.  That is a lot of volume for a store like this.  I think it is more reasonable to expect about $750,000 - $800,000 gross sales per store or about $45,000 in royalties per store per year.  I've been actively seeking a food franchise and have done some homework on this sort of investment. I just visited their competitor, Moe's Southwest Grill and it was very good food for the money.  If Kokopelli serves similar quality it should be a hit.  This franchise is a bit behind Moe's in terms of expansion so they need to play some catch up.

You are correct in that it will take some time to open these stores.  Assume that the owners are not going to open all the stores  simultaneously.  In fact, they are probably committed to some sort of schedule that allows them to ramp up to opening the number of stores contrated for over a period of 2-3 years.  Besides, it could take 6-12 months just to locate and negotiate for a space for a store, then the buildout of about 3 months.  So the big revenue stream is at least 24 months out from here.

Businesses like these can be very lucrative for a successful franchisor since they can develop their empire with less overhead than if they were to grow organically.  Think about it, they have purchased an existing successful restaraunt concept, Kokopelli Sonoran Grill, and have enhanced it for marketing purposes.  All this can be done with very few FCCN corporate employees and from a very small office.

Hope this helps for your current valuation.

excellent DD...i'm looking forward to the next several weeks and months on FCCN.

as Aussie trader also pinted out (something that I missed  in my observation), we have the chance to go up all the way to $0.69 ....it's hard to believe this fell from $0.69 to $0.11 in 6 trading days.

GLTA!

Hi ;)

MM = Market Maker

Their job is to provide liquidity to the market in case it's necessary...

Thanks, Ramsburg!  So, if the MMs are out of stocks, obviously to control liquidity they need to gain control of some stock again.  How do they get the price down?  If it's a supply and demand issue, wouldn't they have to bid the prices up to find sellers? Or in their effort to bring prices down, they are getting the weaker holders to fold and sell stock?

How do the MMs determine when more liquidity is needed and why would they need to control that instead of letting the market handle it?

I think smoke is starting to come out my ears....

look at the retraces in the last one week:

1.) 0.049 to 0.030 (38% retrace)

2.) 0.070 to 0.042 (40% retrace)

3.) 0.080 to 0.052 (35% retrace)

IMO, I don't see this going below 0.05. of course, the MM's will induce lots of sellers between 0.05 and 0.06, but this thing will head right back up to 10 cents very soon.

just my thoughts.

I live in Arizona, and decided to check out Kokopeli's today.  I didn't expect much, since I'm not a fan of fast food, but what a pleasant surprise.  This is an attractive, immaculate restaurant.  They even had a small misted covered eating area outside.  The staff was very friendly and explained that all the food was fresh.  They don't use frozen ingredients.  The selection is vast, and very authentic.  Not your neighborhood Taco Bell.  If this franchise doesn't take off, I would be very, very surprised.  I recommend it to one and all.  I own the stock, and will hold.

To tell you the truth basonista, I don't do this kind of thinking about the MM behaviour, I just concentrate on the price movement itself...

But I guess the MM just stop providing demand, or by other words decrease it's bidding offers to lower levels, and the stock may have tendency to slide a bit... on such a big move like this one, this can incite some profit taking by nervous hands... and the MM just follow the same behaviour again... Like in every other area, there should be good MM's and bad MM's... the MM should always «test» the real demand/supply and act according to it, not forcing any price move, but just making the necessary adjustments to their positions.

I don't believe that's the case right now on FCCN... Jesus ;)... this stock just gave 10 bags in less then a month... ;) Like vic666 just said, this correction till now is just like the others...

Best regards !

SCOTTSDALE, Ariz., Aug 03, 2005 (BUSINESS WIRE) -- Franchise Capital Corporation (OTCBB:FCCN) today announced that Kokopelli Franchise Company has entered into a franchise development agreement with an Oregon-based developer/operator to open a total of five Kokopelli Sonoran Grills in the Greater Portland Market. Hi Gurukul !

I see .073 as the first resistance level, followed by .080 which is the high of the move.
It's a bit difficult to predict the short term future of FCCN, but the last correction periods were mostly 2 days only, today's session was made with increasing volume and let me remind you that during this period we never left the inside zone of 29/Jul/05's candle... So I see the chart in general wanting to go up ;)

Although, taking your entry price as an input, you should probably follow some kind of trading plan like David is using on his position (3 Pennies on fire). As you can imagine, my entry price (0.013/0.015 and already with profit taking, riding on free shares) makes me use a kind of strategy that can't be used on your entry price.

I may be wrong, but I'm looking to (MUCH) higher prices on the mid-term before exiting this position.

(sorry for my terrible english  :P)

best regards !

Franchise Capital Corporation Increases its Investment in Kokopelli Franchise Company to 90%
Tuesday August 30, 8:30 am ET

SCOTTSDALE, Ariz.--(BUSINESS WIRE)--Aug. 30, 2005--Franchise Capital Corporation (OTCBB:FCCN - News) is very pleased to announce they have increased their holdings in Kokopelli Franchise Company, LLC (Kokopelli) by 40%. Franchise Capital Corporation now holds a total of 90% of Kokopelli.

In April of this year the Board of Directors voted to increase its holdings in Kokopelli through an offer of $250,000 to the other 50% holder of Kokopelli. Contingent upon the closing Franchise Capital sold 10% of their holdings to a franchisee in Phoenix for $50,000 which in turn was used as the down payment. As per the sales agreement the remaining $200,000 will be paid quarterly over three years.

Edward C. Heisler, Franchise Capital Corporation President and CEO stated, "Over the past few months we have worked very hard to complete this goal. Increasing our holdings in Kokopelli is a huge accomplishment for Franchise Capital and its shareholders. Kokopelli is already the most valuable company in our portfolio. It's awesome that we have increased those holdings to 90%. At the current rate of franchise sales I feel confident our portfolio will only continue to grow in value."

Now 90 % owners * 73 units sold and 6% revenue 1.5 % Advertising, etc. Franchise Fee forever.  And the investors finance all expenses. Cash cow.

Should immediately place the valuation much higher than 40%.

Cash cow.   :o

That's what it takes, something unique.  Considering how well they are selling the Kokopelli's franchise, I would expect them to try to get Jake's out to the same extent.  It's still way to early to know how popular either restaurant will be though.  Time will tell although they obviously feel good about the Kokopelli franchise buying up to 90%.

Title: FCCN – Right Time Buy Again?
Post by: Ramsburg on September 16, 2005, 01:37:46 PM

First time I've talked about FCCN was in July, I've bought it @ $0.015.
My reasons to buy that stock were:
- Nice fundamental story with good speculative potential
- Low Float / Low Market Cap
- Breakout with volume creating a nice technical setup

After that, FCCN had a very volatile behaviour on the way up, with big deeps in the middle, FCCN reached $0.080 1 month later, starting a big drop since then.
I've sold part of my position near $0.060, and sold my last shares @ $0.035, to lock my biggest gain this year.

Fundamentals didn't changed much, and FCCN is trading in the low 0.20's... why ?
I believe just because the move to $0.080 was too quick, and a lot of short term speculators entered the stock, so this peaceful trading vehicle where nothing happened before suddenly was full of new traders and nervous holders.

FCCN dropped more than 70%, volume decreased a lot, showing that activity is almost vanished from the stock. Technically, the $0.020 looks like a steady support level, and FCC seems to be building a base over here. I'm not expecting FCCN to get back to the starting ground ($0.010/$0.015).

Unless I'm missing something here, I'd say that FCCN is now a golden mid-term opportunity, and the low $0.020's a good accumulation zone.
I've started to buy my old position back, already got 1/4 @ $0.023

Frederick,

Interesting that you should mention FCCN.

I have been on the phone with Frank, Ed, Gary (new IR person) and the LLC that purchased the rights to Ohio.

They have apparently sold the rights to 73 locations.  Investors must commit to 5 at a time.  My concern was quality in expanding nationwide.  In other words, if one store deviates from the others and hurts the entire franchise.  Seems they have a tight watch on the locations.  They now have 2 in Arizona.  The debate now is the name.  To be Kokopelli (Sonoran or Mexican-Grille).  The Ohio LLC wants Mexican.  As of now in AZ, one is Mexican and the other Sonoran Grille.  Other than that, the Ohio President of the LLC said that he already went to training in Arizona.  He said it was very professional and the food quality exceptional.  Ohio will open before the end of the year.

I have been accumulating all week.  Gary and management said to expect a positive filing the 28th of this month.  They also said to expect some other positive developments in accordance with the filing.  This came after I asked specifically about the insiders buying at this time.  They feel the price is at a low, but you never know.  I am accumulating here due to the fact that it has held this level.  And we know how it can run on the low float.

The most recent news about FCCN 90% ownership increases all of the valuation levels.  I feel great about buying here in anticipation of the filing and potential PR following the filing.  They said to expect some positive developments with the filing.  Worth paying to see.

;D

The most recent news about FCCN 90% ownership increases all of the valuation levels.  I feel great about buying here in anticipation of the filing and potential PR following the filing.  They said to expect some positive developments with the filing.  Worth paying to see.

;D

fill_the_gap,

can i quote this and put on other boards?  might give more exposure to fccn.

I must applaud you for all this DD you are making.

I'm looking forward to 28th September... But mainly I'm here for the long run.

FCCN was heading to much lower levels if it wasn't for Rambsburg's post today.  If you notice the volume had dried up.  I would be very cautious about getting back into FCCN.

Here are some of the reasons I sold FCCN:

1) I was very dissapointed by the news that came out on Friday August 19th.  FCCN sold its interest in Fit-n-Healthy Market Cafe to CEAT and apparently they both have the same CEO or at one point they did. It was sold for $50,000.

The CEO of CEAT was quoted saying: "I feel Creative Eateries has just acquired an innovative concept in the health food industry," stated Frank Holdraker, president and CEO of Creative Eateries Corp. He continued by saying, "Our goal is to have the first Fit-n-Healthy Market Cafe open in the second quarter of 2006 and over 20 units sold within the year following. Each unit is estimated to generate $850,000 in annual revenue."

So why would FCCN sell a concept that is estimated to generate $850,000 in annual revenue for EACH UNIT to CEAT for $50,000? This is the main reason that I sold. It seems like something very corrupt might have happened here.

2) If they sold Fit-n-Healthy Market Cafe to CEAT then they can easily turn around and sell Kokopelli's to CEAT for $50,000 too.  As a matter of fact, there is nothing really that can keep them from moving all of their assets to CEAT.  >:D

3) The authorized shares is 5 billion  :o and they will probably be using all of it.

4) I was told FCCN is a Business Development Company but never got an explanation as to what it means.  When I questioned Andrew in IR about the float, he said they are allowed to raise 5 million dollars a quarter by selling shares without announcing it because they are a Business Development Company. Therefore, they can use up the 5 billion shares authorized easily. Outstanding shares 2-11-05 was 5.34 million...outstanding shares 4-07-05 was 18.927 million....and now according to the CEO it is 60 million and heading to 100 million.  As one poster on another website said "hmmm...no shortage of shares here and someone's making some $$$$...OS up 1100% in last 6 months....makes me wonder.... "   Andrew in IR thought it might be a lot more than 100 million shares just based on the volume alone.  The CEO told me that it is being shorted and because of the naked shorts out there is no way of really knowing the exact amount of shares in the float.

If they have raised 5 million dollars a quarter  :o then where did all the money go?

5) Ed Heisler (the CEO) owns only 253,709 shares. Why do you want to own more?  ::)
http://finance.yahoo.com/q/it?s=FCCN.OB

That said, I would trade very cautiously.  There are a lot of people on raging bull who own FCCN and are looking for an opportunity to get out. One poster says, "I haven't seen one post thanking Ramsburg for the Cramer like bounce. Thanks from me Ramsburg, we needed that to hold us over."  And you know why he is thanking Ramsburg because it was heading to zero.  IMO.

Hi Shootingstar,

To be honest with you, I believe you are being too pessimistic about FCCN, and making a lot of premature assumptions and calculations. I don't think it's a scam.
Where did you get the information of authorised shares being 5 billion? And outstanding being 60M right now ?

About ragingbull.com, I don't follow that website like most big message boards like yahoo, etc. Concerning the pennies, most of the boards are just a big fight between pumpers and bashers.
I talk about a lot of pennies everyday, and most of the times I see no upside effect on them after I post any bullish comment, that's not my goal when I talk about pennies... so if people are blaming the big up-move on me, I can't agree with that, I'm not a pumper.
If you take a look to Level2 before I just posted the message, there were a lot of buyers @ 20, if stock just jumped so fast, its only because people don't want to sell at these levels, volume has been very low, which is bullish in my opinion.

Of course its always a risk to buy a small cap / float OTCBB like FCCN, but that's other story.

Regards,

Rambsburg,

The authorized shares is 5 billion.  I am sure you can confirm this by calling IR, the company or by looking at the SEC fillings.  I got this information from investor relations and the CEO when I called but feel free to do your own dd.  The outstanding shares is over 60 million right now and again you can confirm this by calling the company.

Here are the questions and answers I got from the CEO at the time.  I faxed and emailed the questions but I did not get a response so I sold my shares.   I guess the CEO is busy reading the raging bull because only after I posted a message on Raging Bull that I had sold my shares did he respond to my email.

My email: My Questions and answers from the CEO:

Dear Mr. Edward Heisler,

I have some questions about FCCN.

1) Since we last spoke I found out on the FCCN message board at Raging Bull that there are 5 CD's and 3 of the 5 have been retired. Can you please explain to me exactly what these CD's are, and when are the remaining 2 going to expire?

answer: "CD's" are convertible debentures. Three have been converted through the issuance of shares. The four one was released with "Fit-n-Healthy." The company is now only left with one.

2) On the message board I read that the new float is now 60 million and yet when I spoke to you I thought you said it is around 100 million. Is it 60 million or is it a 100 million? I think 100 million shares on the market is too much.

answer: The float is currently around 57 million. The outstanding is currently around 60 million. It is my goal to keep the outstanding under a 100 million.

3) The last time we spoke I asked you if management owned shares in the company and you said no but I have some. Can you please clarify on this. I am a little surprised that management doesn't own any shares. It tells me that management doesn't have enough confidence to invest their money in a company they have started and running.

answer: Management does own shares. I believe your question was if management has been buying shares, which is no. Although, it does not mean we won't.

4) The last time we spoke you said FCCN is a 50% owner of kokopelli's and you said FCCN gets 50% of the $60,000 franchise fee and later when I questioned you more I found out that that is not the case. So I feel I am still in the dark as far as to how much is the actual money you end up keeping from selling a franchise? How does your firm make money?

answer: Let me be clear. Franchise Capital Corporation is a Business Development Company (BDC) under the securities laws of 1940. We do not sell a product or service. We invest in separate portfolio companies. Our value is based on the value of the portfolio company. As an example, Franchise Capital is 50% invested in Kokopelli Franchise Company, LLC. When a Kokopelli's restaurant is sold there is an initial franchise fee on $25,000. The franchise fee is split between American Restaurant Development Company and Kokopelli Franchise Company. After the store is open it is estimated that it will generate around $60,000 per year in franchise royalty fees for Kokopelli Franchise Company, LLC. The more revenues Kokopelli Franchise Company, LLC receives, the more value for Franchise Capital.

5) The last time we spoke you referred me to the FCCN chart and you said people are holding on to their stocks and they are not selling based on the volume. Well, I added up the volume for both the up days and the down days and it is quiet clear that just as many shares have been sold. Maybe the shares that have been sold are the shares your firm has sold via the CD's and now the remaining share holders or bag holders are people like me. When did you start selling these CD's on the market?

answer: I find it hard to believe that the volume has been equal on the up days as compared to the down days since July 6th. Although, it is possible. Regarding FCCN selling CD's, we can not sell our own stock. Debenture conversions started at the beginning of the year when the company became a BDC.

6) There are errors on your website, both you and Mr. Frank Holdraker were listed as the CEO has this been fixed?

answer: I did not know. I will look into it.

7) Why was Mr. Frank Holdraker listed as the CEO of Franchise Capital Corp. on FCCN's website?

answer: I did not know. I will look into it.

8) How many employees do you have and what is their salary and how are they being compensated?

answer: It will be listed in the upcoming 10K

9) What is your salary and how are you being compensated?
answer: It will be listed in the upcoming 10K

10) How many actual restaurants have opened up to date? And what are the plans for the remainder of the year? Since we are talking only another 4 1/2 months you must have that info.

answer: Kokopelli has two open in the Phoenix with possibly another to open in Toledo before the end of the year. Comstock Jake's will open its first location in November.

11) What is FCCN's relationship with CEAT?

answer: We share office space and some personal. Other then that, it is a separate company.

12) What is FCCN's relationship with Mr. Holdraker?

answer: He is president of several of the portfolio companies that FCCN is invested into

Fill the gap, it is too difficult to read your answers in red so I won't. I would try blue next time. There will be another sell off and it is probably on going because of the 5th CD that is due to expire.   Again, it is a BDC so they are allowed to raise $5 million dollars a quarter.

Fill-the-gap, do you still own this stock at the higher levels?

I have no position in this stock, I sold at a loss a long time ago.  I was just trying to help people by letting them know what I discovered at the time.  I personally would never invest in this company again.  And as Mr. Randolph would stay the story is all in the chart.

Good luck to all holding.

On more thing.  As you can tell by my questions to management, I was mislead by the management of this company not once but several times and I felt the company was not very professional because when you call they don't answer the phone during business hours.  The last time I called to get answers a woman answered the phone but when I called back to confirm if she recieved the fax she did not answer the phone.  I called at least twice and left a message.  When I asked IR what a BDC means I was told to look it up and only after continually asking questions about the float did I find out that they are allowed to raise $5 million dollars a year because it is a BDC without annoucing it to shareholders.  When I asked IR at the time if I could leave a message for management.  He said, management has told him they are not interested in taking call from investors. And I believe him because there were a lot of people at the time trying to reach management with no avail.  Apparantly, now they are answering the phone but it is too late.  I also don't like the fact that the CEO is busy reading the raging bull and asked people for their user names.  How can a CEO be running a company when he is busy reading the Raging Bull.  I don't even have the time to read the Raging Bull.

As they say, fool me once shame on you! Fool me twice shame on me.   I got fooled once but I will never get fooled again by this management no matter what answers or how good they make things sound.  His answer to question 10 leads me to believe that their will be ne earnings for the next quarter.  ZERO!  ::) As Mr. Randolph once said, "do you know of a CEO that says bad things about his company?".  ;)

I've been watching FCCN since the last runup where I bought and sold. It has been in a range from .02 to .032 for sometime with light volume. In fact, one could have bought at the low .02's and sold at the high .02's a number of times. Every time it hits the lows, buyers step in and it goes up. I had just checked it yesterday and saw it was at .022/.023 and was thinking of buying...then I saw the post here and before I could put in a buy it was up to .026....I am in though...this stock can move fast on little volume. And thanks for the DD FTG...I live in Ohio...looking forward to trying their food out.  ;D

Thanks for your imput also, SS...I see all stocks as risky these days...it's the world we live in. Pumpers and dumpers everywhere. To date, this is the only place I feel I can get an honest opinion. RB, from what I've seen, is full of P/D's and misinformation...you can get early leads there, but you must be careful and always read between the lines, so to speak. I believe there are people there willing to do/say anything to make a stock go the way they want it to go....$ in their  :o trump honesty/integrety/morals/values....is it any wonder I am skeptical of every stock everywhere....you just have to make an uneducated guess, and always be ready to RFTD if your guess is going south.  ;D

runforthedoor,

I agree with you that there are alot of people with agendas on the raging bull but I have to be honest with you and tell you that the Raging Bull FCCN thread is where I first found out about the CD's and that the float was 5 billion.  Later, I called the company to confirm.  One additional information that I found out on my own was that they are allowed to raise 5 million dollars a quarter because it is a Business Development Company.

Anyway, I wish someone on 3stocksonfire had mentioned the authorized shares were 5 billion and that they are allowed to raise 5 million dollars a quarter and that the OS had been climning steadily each quarter.

I am suprised that some posters on this board who claimed they had spoken to the CEO earlier on never questioned him about something as basic as the authorized shares.  Had I known that I would have never invested in FCCN when it was first recommended on this board.  Although, I have learned a lot from 3stocksonfire now I do my own dd prior to buying any stock that is recommended because I lost a lot of money on FCCN and I am not too happy about it.

shootingstar, you've posted this message 10 times on RB. Now you're started spamming 3penniesonfire with the same exact message. You sold, ok, move on.
You bought on july 26th at the high and didn't average down, you lost alot of money when you sold on aug 22nd.
If you think 100 million shares is alot, then you may want to buy an OTC company right after an RS.
Let me tell you something, regardless of technical indicators pointing to a strong upside next week, just on expectations alone, this company is worth many times it's current valuation. Now consider 73 sales that will grow into 150 by the end of the year. If FCCN were to trade on a major board, it's PPS would be around $5 to $10. But even on OTC, believe me that by years end and if sales come through as expected, even with 100 million shares, FCCN will be trading at least at 20 cents. Why? With expected yearly revenues from restaurant sales of 9 million (60K times 150) and expanding franchise sales in 2006, we're looking at a 2 times sales valuation and 1/3 future sales valuation (considering the 900 restaurants projection). And this is only kokopelli. Even with the current announced 73 sales, we're looking at a forward revenue of 4.5 million. Current market valuation: 550K (or 1.5 million with 60 million shares).  So just in current valuation alone, and if trading at the conservative 2 times sales and considering 60 million shares, we should be trading at 15 cents, and that's where we're heading. You do the PPS valuation math.

In Blue for ShootingStar...

Some pennies (HISC) have nothing verified , .PK and unaudited numbers.  It hit 15 cents.  So taking chances on FCCN with a real product, confirmed sales and facilities that the public can visit automatically makes it worth more than 3 cents.

Shooting Star,

I truly respect your due diligence with FCCN.  Remember folks, we are trading pennies.  If everything made perfect sense then they would not be pennies.

And a Business Development Company valuation is based on the value of the companies under the umbrella.  Frank told me that they are currently doing a new valuation and it is coming back much higher in their opinion.  This may also be released at some point.  But just the move from 50%-90% immediately increases the value.

Below, I will reply to your statements.  Keep in mind, these are my opinions based on personal due diligence.  Even called the owner with the rights to Ohio.  Call him if you need to hear about the training, food, cost...etc.  His only issue is Sonoran vs. Mexican in the name.  Well spoken and intelligent person.  216-338-5995 KSG of Ohio LLC.

FCCN was heading to much lower levels if it wasn't for Rambsburg's post today.  If you notice the volume had dried up.  I would be very cautious about getting back into FCCN.

-  The price was rising on more than double normal volume prior to Ramsburg posting.  Ramsburg and David are straight shooters.  They do not buy, pump and dump.  The beauty of this site is that it offers intelligent dialogue without the chaos of most message boards.  You are saying that Ramsburg loaded more than the normal percentage on FCCN ?  Or are you saying that all people reading the board happened to be checking the FCCN Message Board here and then without any thought all fired in buys ?

This was not e-mailed to the members, just a thought on one of many stocks listed on the site by Frederick.  Even the e-mailed stocks usually do not spike immediately.  Not all members instantly make a decision from one post.  So the time deal of his post and the stock appreciating today have limited correlation.  Now, Frederick is very well respected, so some may very well have purchased.  But usually there is a time delay for people to get a chance to read the posts each evening.  I actually expect the buying to come next week instead of today.  Word seems to be just getting out.

Remember, you also have investors like me.  We all saw the rise to 8 cents and kicked ourselves.  I decided to do some dd with phone calls to all involved.  Then I realized that the filing should be strong.  The price held above 2 and accumulation began.  Many are waiting anticipation of the filing.  Management will tell you to expect some positive developments with the filing and potential PR in regards to it.  Who knows what to expect.  Except that those who purchased the 73 sold had to pay some of the Franchise Fee.  And FCCN does not incur ANY costs.  The investor pays all buildout and expenses in development.  FCCN supervises the operation to maintain quality and a uniform brand name nationwide.I took it a step further and inquired as a potential Franchisee.  Had detailed conversations about plans, cost...etc.  The packet was very professional.  They even followed up.

Here are some of the reasons I sold FCCN:1) I was very dissapointed by the news that came out on Friday August 19th.  FCCN sold its interest in Fit-n-Healthy Market Cafe to CEAT and apparently they both have the same CEO or at one point they did. It was sold for $50,000.

-  This was a question that needed to be addressed.  Here is a reply from management to hightidesurfer on another board.

Prompt Response From Ed Within 24 Hours.

I did receive a prompt response from Ed regarding certain issues. Since everybody is playing by the rules now and no insider information is given I don't mind to disclose: Here is the question /answers to an email I sent last night to Mr. Edward Heisler.

....

1)I haven't spoken with anyone who knew fccn even had Healthy Cafe in their portfolio....

-Answer: "When I came on board in April and started reviewing the company records I discovered that late 2004 the company, then BGR Corporation, had received $50,000 from an investor for the concept of Fit-n-Healthy Market Cafe. After further review it was revealed that the company had not formally set up Fit-n-Healthy Franchise Company, LLC. I then moved forward to set up the LLC which was approved in late May after the March 31st 10-Q was posted."

2. How can it be a win-win for CEAT and FCCN, afterall if it is projected to generate $850k per annum, why sell it for $50k? (Esp. as we are reportedly looking for new concepts). I was told by Gary a main reason for the sell was to focus on what we have.

Answer: " Gary is correct in what he told you. The Board and I feel the company does not need another concept that needs to be built from the ground up. It is very costly and we have enough on our plate with other concepts. If we held onto Fit-n-Healthy it would be at least two years, with our current schedule, before full development thus making our ROI at least three years out. Why continue to pay interest on a note when the ROI is so far out? The money can be spent on companies already developed with franchising started. These are the new investments we are looking for."

I am wondering what else may be "pulled out of the hat.?" No offense but there doesn't appear to be very good communication now within the company.ie. Delayed 8-ks etc. It is my understanding that the sec rules state an 8-k has to be reported within 4 business days from any event which may positively or negatively affect the stock value. We all know it took a long time for the 8-k on Healthy Cafe.

Answer: The Fit-n-Healthy agreement was executed on 08-15-05. The 8-K was filed on 08-18-05. The following is a link to our filings.

http://knobias.10kwizard.com/files.php
What do you all think? I don't want to put a bias spin on it here.

2) If they sold Fit-n-Healthy Market Cafe to CEAT then they can easily turn around and sell Kokopelli's to CEAT for $50,000 too.  As a matter of fact, there is nothing really that can keep them from moving all of their assets to CEAT.

- What would be the purpose for doing so ?  Could happen, sure.  But then why have FCCN in the first place ?  And this blows the theory of them selling the authorized shares to market.

3) The authorized shares is 5 billion and they will probably be using all of it.

I will call Monday to discuss this with them and post it here.
They are not actively selling to market with the 5 billion, if that is the number.
Many companies have billions authorized.  All we can go on is the current and a pattern of increase with the filing.  As of now the CEO says, 60 million Outstanding and 57 million float.  Does not seem like they are dumping to market at this time.  Filing will tell.

Outstanding shares 2-11-05 was 5.34 million...outstanding shares 4-07-05 was 18.927 million....and now according to the CEO it is heading to 100 million.

If they have raised 5 million dollars a quarter then where did all the money go?

- Will have to investigate this one.  Not sure of the answer.  We will see on the filing.  What would you prefer them to be ?  They are in the business of selling Franchises.  With multiple companies under the umbrella, the natural title is BDC.  They do not need to raise capital !  Understanding the equation for opening a location will confirm this.  The Franchisee pays all expenses. And the Franchise fees and then the 6% trail pays FCCN overhead.  Sure, if they began raising capital, then we can be concerned.  We can evaluate on the filing.  But assuming they are dumping shares to raise up to 5 million is a pure stab in the dark.  The total shares has barely risen.

5) Ed Heisler (the CEO) owns only 253,709 shares. Why do you want to own more?
http://finance.yahoo.com/q/it?s=FCCN.OB

-  The company seems to hint at positive news coming around the filing.  I directly asked the same question.  Of course, they cannot come right out and say.  I speculate some insider buying will be announced.

IMO.

-  The selling pressure has subsided.  It has been a long time.  I placed limits below .022 for 9 days and they were not taken.  Only .022 and above.  Why would people all of a sudden dump now ?  Investors are waiting for the filing.  It is a buy the rumor situation.

Folks, making money in pennies is often based on speculation.  You dig and formulate an educated guess based on the information.  Sure, hindsite is always 20-20.  In my opinion, the signs are bullish.

-  Support has held over time
-  Filing coming with anticipated positive PR.
-  Now have 90% (up from 50%)  This will be big as they get going.  Changes the current valuation immediately.  Remember, they will get initial Franchise Fee, then 6 % Revenue and 1 % advertising,,,etc.  Do a valuation on 73 units.  And 2 are open in Arizona, so this is not all speculative.
-  The management and a Franchisee were willing to give me time to ask the tough questions.
-  I am comfortable holding FCCN until they prove otherwise.  Remember, this is BB, so they will lay it all on the table.  If it were a Pinksheet, then we could be concerned.

I am willing to give it a shot.  The float is much lower than many BB stocks.

Just one opinion.  Call them and do the dd.  We all have traded companies with alot less information available.  There will always be 2 sides of the fence.  But I am here to make money. ' Paralysis by Over Analysis' is not warranted yet, imo.  They have 2 open.  Patience, at least until the filing September 28th.  Risk reward does not get much better.

Do not take this as a recommendation to buy.  I will continue to buy into October 28th.  Management has not given me a reason to doubt that the filing will be positive.  The volume is also not indicative of a P&D scheme.  Most pennies are concepts, FCCN has locations that you can visit.

Tell me what will trigger a selloff at this time ?  They are ramping up and plan to open 1-2 per month.  You see how the TA shapes up in a matter of minutes.  Look where the chart has been recently.  Now compute with 90% stake instead of 50%.  It should automatically take us up on this valuation alone.  Explosive, imo.

Do what works with your comfort level.    ;)

In Blue for ShootingStar...

** And please do not post the same comments each day.  This site is a place for cordial discussion.  Also limits credibility.  Your anger shines through.

Jeff,

First, I am not posting the same comments each day.  This is the first time I have posted on this FCCN thread and I only posted my comment once.  I have posted it a couple of times on raging bull over the past couple of weeks for newbies and a lot of people have thanked me for posting that information because they found it very helpful.  I wish someone had posted those facts for me when I was looking to invest in FCCN.  That said, I am surprised to hear you say that I keep posting the same message when in fact you keep posting duplicate messages on several FCCN threads on 3stocksonfire.

Second, I am not angry so please don't put words in my mouth but obviously you are angry and have an agenda.  I have no position in this stock and I am just trying to share what I discovered to help people do their dd.

Third, my creditibility is not being limited here because everything I have said is the truth and can be verified but your credibility is at stake when you are so threathened by the facts that I got directly from IR, the CEO and the PR articles that I read.

Fourth, thanks for posting it in blue but I did not read it because you turned me off so I have lost respect and credibility in you.

That said, I don't appreciate your hostile attacks and I will no longer be responding to you. I think you need to take your own advice and act in a cordial manner when discussing stocks on this site..

I would strongly advise people to read my posts on FCCN but most importantly to do your own dd.  I am certainly not telling anyone here to buy or sell but just to be cautious.

Good luck everyone.  :)

Boys, Boys, Boys.

You have all put great efforts and careful attention to this post.  But the truth is none of us will know what the real story is with FCCN.   It will tell us in the chart in the weeks to come.  Penny stocks are extremely volitale, that's why they are so cheap.  They are very risky, but once in a while you can make a ton on a good pick.

Personally I usually don't care to much about all these detailed analysis.  I just go with the chart and volume/price action.  I have made a nice chunk of change on FCCN, and still hold some shares.

Lets not turn this into a pissing match.   Lets appreciate both sides of the argument, and keep it clean.

Shooting Star,

No offense was intended.    ;)
I happily edited the part that bothered you.  Please read the post.  It is all about FCCN.

I was referring to mrford's comments below about your multiple postings.  It was misinterpreted.  The point is 3stocksonfire is a different kind of board than Raging Bull, etc.
Each side is presented and people make educated decisions.

It was a blanket statement for the board.  Already said that I respect your information on FCCN.
You can be a strong asset to SOF with your analytical ability.
It would be nice to see you do the same with other companies too.
We all like when someone digs to share information with the community.

We should all work together to post accurate information.

You have spent a lot of time in researching the company and we all appreciate it.

Please let us know why you spend so much time on it each day if you would never buy FCCN ?  Always nice to know a motive.

I spent an hour on the reply to your post.
And even changed it to Blue just for you.   ;D
Take the time to read it to ensure accuracy.

Let's all work together and continue to make this an outstanding community.

3stocksonfire is the only community that posts remain about the company.  When they turn to the poster, we all need to take a step back.  We all are here to make money and have fun.  The site has provided well thought out threads for investors to make a decision.

Bottom line is nobody is saying it is going to $ 1.00 Monday.

But if 1.6 million shares moves the price 30%, then I am not worried about the number of shares outstanding.  Not a bad return for a day.

My opinion is that FCCN is a buy.  It is being overanalyzed at this time.
It moves on any buying.  And it has held the same range for weeks.

The selling has taken place, imo.  And barring any serious surprises, FCCN should move into the filing.

My research paints a bullish company on the 90% ownership alone.

Please do not make this a battle of posters.  The filing will tell the truth.  They are .OB and will lay it all on the table.

Again, just one opinion in many.

Thank you for the heads up with your DD.  It is something to consider.

-Jeff-

now is my reputation that is in check. I don't want to turn 3SOF into another RB, but I have to defend myself. First I'm accused of a pumper, second that shootingstar is not repeating the same exact post (word by word). Here is the proof.

http://ragingbull.lycos.com/mboard/memalias.cgi?board=FCCN&member=shootingstar200

Now is my DD on the O/S that will be reported on the 10K

From April 1st till June 30th 30,752,400 shares traded hands. As of March 31st fccn had 18.93 million shares. From the traded shares, at least 1/2 were actual trades between investors. So of you add 15 million to 19 million gives you an outstanding of 34 million. This is what will be on the 10K. From July 1st till Friday 286 million shares traded hands. 9 of those days traded at least 10 million shares accounting for 151 million. Yes they sold debentures shares those days, so did shorts and investors and MM's. They sold tops 20 million, plus another 10 million or so the other trading days of the quarter. This puts the total around the 60 million that has been advertised.

Jeff,

First, it is interesting that you edited your first message because it was so bad you didn't want people to see your true colors and yet you didn't edit the original message from red to blue and instead reposted it in blue.

Second, you are WRONG about me spending so much time on FCCN.  I am not spending anytime which is why I am not interested in reading what you have to say because I already know the truth about FCCN and I know that you are just trying to pump this stuck because you got in at higher levels and you want to get out.

Third, unlike you I didn't spent an hour writing my posts.  I just have been coying and pasting the same message when I have time and after hours which takes me not even a minute.

Fourth, I find a lot of things you say on this board and other boards are contradictory so I don't believe in anything you say and I feel you always seem to have an agenda.  Even with Bravo.  This is what you said about FCCN not so long ago on Ragin Bull:

Better do your homework here folks.

Great long term opportunity. Near term, 3 giant white candles.

FCCN will not have revenue to support a move like this.

Being pumped by traders. Just like GZFX and others were.

Traders will sell all at once and you will hold the bag.

Just know that nothing new justified the move.

Rather you buy it than bash me. Not a short. Like the company long term. But no revenues ! And none in the future. They are way out. Call them if you do not believe it.

Pigs Get Slaughtered.
"

Fifth, I was thoughtful enough to post everything I found out about FCCN on this board.  I was going to post them a long time ago but I was worried that you would go to war with me like you did with vic666 but I decided to do it anyways because I don't want to see people get hurt.

Sixth, why don't you take your own advice and get some answers to questions.  For instance, you are always posting a lot of questions for Mr. Randolph about Bravo but why don't you take the time instead to get the answers from the company like I did with FCCN. That said, unlike others here I am not impressed by your questions.  Doing the actuall work and getting the answers is what is important.  It is easy to just ask questions.

That said, I don't have the time to argue with you anymore Jeff so get a life!  I will no longer be posting on this FCCN thread so you can pump all you want.  ::)  >:D

Shooting Star,

My FCCN concerns were at 8 cents when people said it would go to 20 cents.

Now with 90% ownership in Kokopelli's, .03 is a nice entry, imo.

And it is a penny, so one never knows for sure.  Will hold until the management gives me reason to re evaluate.

;)

From RB FCCN board & added some points.  Confirmation of the same calls I had.

Talked with Gary. Here are the points:

- Current OS 62 million
- 10K OS substantial less
- 10K very positive
- Great news to be released after the 10K (my understanding is that they want to keep the train rolling) Probably about Insiders Buying and more news
- Debentures are a thing of the past
- No dilution to take place at these levels
- a percentage of the 25K fee stays with FCCN
- 1 to 2 restaurants to be open per month (2 already opened)
- 73 Kokopelli's sold
- Stock is ridiculously undervalued with recent 90% ownership

Subject: Re: Must read to for all FCCN Management...Investor concern
CC: "Xxxx Xxxx" <[email protected]>

I have addressed Xxxx's statements in order:

1. Regarding the sale of Fit-n-Healthy, the Board and I feel the company does not need another concept that needs to be built from the ground up.  It is very costly and we have enough on our plate with the other concepts.  If we held on to Fit-n-Healthy it would be at least two years, with our current schedule, before full development thus making our ROI at least three years out.  Why continue to pay interest on a note when the ROI is so far out?  The money can be better spent on companies already developed with franchising started.  This will providing a quicker ROI.

2. We sold Fit-n-Healthy for more than market value.  When the time comes to sell Kokopelli I'm sure it will be for more than market value and a lot more than $50k.

3.  Why is the company authorized for 5 billion shares?  This is a question I have also asked since coming on board.  I plan to make a motion at the next board meeting, at the end of the month, to reduce this number.

4. Obviously Xxxx is a little confused in her statement here.  What Andrew was trying to explain to her is that FCCN can raise up to 5 million per year, not quarter, through the sale of securities as per the Reg. E Offering Circular FCCN filed with the SEC.  Shareholders can read the Offering Circular and FCCN's other filings on Edgar and learn more about a BDC and the Securities Act of 1940 at SEC.gov.  Just because we have the ability to raise up to 5 million per year does not suggest we will.  Currently we are less than 10% for the year and have no need to sell more.

5.  I currently hold over 700,000 shares which has been filed on Form 3.  Also all officer and director holdings will be listed in the 10-K

Regarding your question of no insider buying, as an officer and/or director you need to be very careful when you buy and sell your own company's securities.  If you buy, or sell, too close to a major development you may be in violation of securities laws.  There have been a lot of developments lately and in my opinion more to come.

Sincerely,

Ed

SWKJ reduced its authorized shares from 5B to 500M also, and the price didn't skyrocket like one would hope (PR was on Aug 17th).  It's a great thing if you're in the stock for the long-run, but if you're just looking to sell on the news, I doubt you'll make more than 10% or so.  I could be wrong, however.

Julia & Shaker,
Thank you for the kind posts.

Two schools of thought here.

-  It will rise into the filing and sell off on any news.

-  Or remain in the same range and move up with Press following the filing.

Of course, this is all speculation.  However, the recent chart history may be on our side.
Volume will need to increase.  Ramsburg, any thoughts?

And he said to expect press at that time or a matter of days after the filing.
Sounds positive, but we will see very soon.

Knowing the trading patterns of the company along with some fundamentals has worked well with FCCN.  Nice to see the entire board work together to make money.  Let's continue to make this happen.

It will be interesting to see the Press release in the next few days.  The company hinted towards a positive release that will assist the price appreciation.

New investors to FCCN,

There is a fifth Convertible Debenture that is due to expire anytime this quarter which means as early as today or is on going, so right now might not be a good time to invest in FCCN.  Once this CD is converted and the shares are dumped on the market the pps will probably tank and that is probably a better time for does interested to get back in.

Again, this is just my opinion so do your own dd.

Good luck.

Franchise Capital Corp. Reduces its Authorized Shares
Wednesday September 28, 10:30 am ET

SCOTTSDALE, Ariz.--(BUSINESS WIRE)--Sept. 28, 2005--Franchise Capital Corp. (OTCBB: FCCN - News) announced today that in a meeting held on the afternoon of Sept. 27 the board of directors voted to reduce the company's authorized shares from five billion down to 200 million. I just got off the phone with Gary Reid.  The question posed to Gary was whether todays positive news what was he was referring to that was to come after the filing.

Gary said todays news was an added bonus voted on in yesterdays board meeting.

He said that more news is coming any day that in his opinion is " Much more exciting than this."    :o

I will hold for the news.  FCCN will show up on filters now.  No reason not to trust Gary and FCCN as of now.

And NO Reverse Split has been discussed.  They had no reason for the 5 billion.  This alleviates the shootingstar concerns.  Very nice move for shareholders.

Will it reach .05 soon..like today?

My shares were accidentally sold today at .035...my computer went down...long irriating story...another mishap...so want to get back in if it looks good.

The rebound is happening as planed, $0.045 is the first resistance level from a technical point of view. To be honest, I think it will not stop this move.

People, don't be fooled. Reducing the authorized shares from $5 Billion to 200 million does not change the facts about this company. First of all when I had originally suggested that to the CEO he didn't want to reduce it and now that I have been posting about it he decides to reduce it.  But don't be fooled this is just a way for them to try to get the pps up again so that they can start dumping shares on you, just like they did last time. Don't forget there is a fifth convertible CD that is due.

Second, now that the float has increased to 100 million, it will not go up that high again.

Last, remember they are incorporated in the state of Nevada so they can issue extra shares at any time without informing the public.  So reducing the authorized shares to 200 million means nothing when they can increase it at any time.  This is just another attempt at sending out multiple news releases to pump up the pps.  It is just a pump and dump.  FCCN has nothing going for it and the CEO admits in fill-the-gaps answers above that they plan on selling kokopellis just like they sold fit-n-healthy.  And I bet it will be sold to CEAT, (the former CEO of FCCN).

That said, it is just a matter of time before it starts tanking again and then you will become the new bag holders.  You might just get lucky and get out but it is pretty risky IMO.

I would strongly suggest that you go back and read my old posts and doing dd before investing in this company.

SS said..."this is just a way for them to try to get the pps up again".

I agree, and I think they will be successful...I don't buy COP, GOOG, X, or any stock long term...and I'm not falling in love with penny stocks either....from what I've been able to gather over the years, all stocks go up and down....I try to get in on the ups and stay away from the downs.  ;D

Well, then again, I might fall in love with SWN or CHK through the winter with gas prices soaring, but it'll be a short fling.  ;D

Folks,

Follow the charts, trends, volume and fundamentals, they do not lie.

Feeling great about FCCN near term.

Some people only look for the negative.  Take it for what it is.  A bullish company and chart.
The fundamental side has already been addressed.  Reducing the shares is a bonus to the news coming.   ;D

runforthedoor,

My feeling is that it won't go higher.  I might be wrong and it might go up a little but the risk / reward ratio at this point is too high.   I still don't think it will go up as high as last time because the float has increased considerable.  Also if you notice the current volume is much lower then it was last time.  There are other pennies that have a lot better fundamentals and are not just pump and dumps.

Also note, the most recent reduction in authorized shares from $5 Billion to 200 million will not be reflected on the 10Q because it happened this quarter so the 10Q is still going to show 5 Billion.

Also I thought the CEO had told me the 10Q was due on September 28th.

Though I was only lurking here in july, I did get in when FCCN made a 500% runup in about one weeks time....I missed the bottom and top of that run, but made a nice profit anyway. This could very well happen again if the rest of the news is good...when it moves, IT MOVES.  ;D And thanks again FTG for great info. ;)

With that said... I see over half of Shootingstar's total posts here are made on this thread and always in disfavor of FCCN...I have also seen a Shootingstar at RB message board doing the same and evidently for some time and continuously. SS, you seem to have a vendetta against FCCN for some reason...your dislike is well documented. I don't mind someone stating their reasons for not liking a stock...in fact, I appreciate it...but I like this board because it isn't like the others, where the back and forth crap is out of control. So please refrain from turning this into an RB board. Thank you :)

SS...speaking of the volume...I've watched this stock alot since the last run...after the run died, volume was under 1 million quite often and it was in a range from .02/.032 for quite awhile....volume has been picking up the last week without doubt...the last big runup in july included days of 15-20 million and some days from under 5 to just over 5 million. This is just the start if it is a runup...volume is rising and so is PPS, up from that range I listed above to as high as .045 today....we'll see in the coming days, but right now, I feel pretty good about it's potential to go HIGHER.  ;D

Runforthedoor,

I am just stating the facts about FCCN and what I have discovered.  You have posted as many times as I have on this thread.  Everything I said was true and was verified.  I haven't repeated myself on this board.  Each post is different with new facts and there is no back and forth going on here.  People have the right to know both sides of the argument. I have no vendetta against FCCN.  I am just trying to help people from making the same mistake I did.

So Runforthedoor please take your own advice and refrain from turning this into an RB board where no one wants to hear anything negative about a stock they own because it would not be in their benefit.  Thank you.  ;)

ShootingStar,

We are respecting leaving your name out of the posts.  Please respect the community.

Your past posts may have been somewhat correct.  But they need to be updated as the company already addressed the concerns as posted before in this thread.  I agree with runforthedoor, what is your motive?  I spent an hour replying to the same post you blast around FCCN boards and you did not even read it.   Please refrain from turning an amazing SOF board into a debate.  We are all here to present updated facts and to discuss ideas on making money.  We listened to your concerns and they were addressed politely.  Please respect the community.   ;)

The outstanding shares has not increased dramatically.
And FCCN is not selling shares to market.  Low float even if the shares increased.
But the new today will further help the price moving forward with new investors coming in.

The float is very very low compared to most Bulletin Board companies.
It moves exponentially as evidenced by the most recent run.
But this time factor in more sales, Comstock Jake's and 90% ownership in Kokopelli's.

FCCN has no expenses other than overhead.
The Franchisee pays for everything.
I have a packet right here on my desk.
Very professional.  And they followed up with me to answer any questions.

With 73 units * Franchise Fee and then the 6 % revenue per location,
FCCN is a cash cow.

The Franchise Fees will rise as they open more.

With a Business Development Company, the valuation is based on the franchises under the umbrella.  Let's not forget that FCCN now has 90% of Kokopelli's.  But Comstock Jake's is beginning to open and more companies sit under the FCCN umbrella.

With 2 units already operational and training for Franchisees already taking place, FCCN stock may start to spring forward.  1-2 opening per month and selling 5 per time.  Nice time to become an investor.   ::)

FCCN News:

September 28 - Franchise Capital Corp. Reduces its Authorized Shares

Franchise Capital Corp. (FCCN) announced today that in a meeting held on the afternoon of Sept. 27 the board of directors voted to reduce the company's authorized shares from five billion down to 200 million. The move was made in response to the large number of shareholders who voiced concerns regarding the high number of authorized. The board also voted on many other issues including several to be announced in the coming days.

"Shareholder value is a primary focus for all of us at Franchise Capital and lowering the authorized is a clear indication in our commitment to our shareholders," stated Edward C. Heisler, Franchise Capital Corp. president and CEO. "The board also made several other important decisions which I believe will impact the company very positively. I look forward to announcing these in the coming days, including our 10-K, which I anticipate to be filed later today."

BTW, I agree with all you have said about this stock and am in it long. I am very interested in a Kokopelli Faranchise.

For the record, let me state once again, I fully appreciate when someone states why they would not buy a stock...in fact, if you will kindly jaunt your memory, or check an earlier post, I do believe you will find that I thanked you for your info and opinion...in fact, I distinctly remember APPLAUDING you...and you making no mention of it at all.  ;D Anyway, I, and I would guess most everyone else here, fully understands your position on FCCN...you have been quite clear more than once. So thanks again, and please find a stock that is going higher tommorrow for us to buy and post it please.  :)

Just added .041.  Agree with Ramsburg in that 4.5 will be taken out very soon.
Taking an educated guess on some powerful news.   :o

Some 10-20 million share volume days may be coming.
And this time, the price is not coming back down.
Locations are selling.  Opening more and Franchise cash is in.   ;)
The 6% revenue trail will also help.

I'm not sure what people were expecting but this is good news.  It basically says that they are pretty much debt free and bringing in more and more money all the time.  Maybe people wanted more specific numbers.  They will come.

I like how Jeff calls FCCN a cash cow.  It's true.  Little capital investment for them and excellent income on the franchises.  It will become more evident with time.  People will get their hard facts if they are patient.

Either way, this is a quality long term hold IMO.

Well, the PR was not what was expected and quickly became a dud...it does have promises, promises  ;D and if they quickly come true it should be fine. The filing confusion is not good but seems to be par in pennyland from what I've seen so far. The PR's normally about match the worth of one share of the stock.  ;D It did shoot up for a brief moment, and then a rush of mostly small lots went through to drive it down...when I see a bunch of small lots like that I think someone is trying to drive or hold the stock up or down...who knows which it was, but the end result was nil...the dud PR didn't really attract much volume and the price is just below where it was when the PR was released. Better be some meat and potatoes on the way soon or it will drop back into it's range.  ;D

Executive Overview

The Company was formed as a Nevada corporation on July 6, 2001 under the name Cortex Systems, Inc. We were originally a development stage company that intended to establish memory clinics in several different locations in North America. We were unable to successfully execute this business plan. As a result, in July of 2003, we changed the Company's name to BGR Corporation, replaced or reconstituted the management and board of directors and changed our business focus. The Company's focus was on acquiring new innovative fast-casual restaurant concepts, develop them into a profitable working design, and franchise them across the United States. On January 20, 2003, we entered into an agreement with American Restaurant Development Corporation, or ARDC, to grow restaurant concepts into a fully viable franchise system and to expand each restaurant concepts nationwide. On December 23, 2004, the Company converted to a Business Development Company under the Investment Company Act of 1940 and changed of the Company to Franchise Capital Corporation.

On November 4, 2003, we acquired Fathom Business Systems, or Fathom. Fathom is a company specializing in restaurant point of sales equipment. Fathom generates additional revenue by providing its customers with the supplies and service needed for the equipment.

On February 2, 2004, we executed an agreement with AZTECA Wrap Foods, LLC, or AZTECA. AZTECA is the owner and operator of KoKopelli's Mexican Grill.
KoKopelli's is a fast casual Mexican restaurant specializing in made-to-order Mexican-style food. Per the agreement, we own 50% of the joint venture entity, while the other 50% is owned by AZTECA. Additionally, we are

required to provide the funding to initiate the franchising of KoKopelli's through ARDC. AZTECA will provide exclusive rights to the "KoKopelli" name, trade marks, trade dress, operating system and recipes.

In April 2004, we entered into a shareholders agreement with Alexis Group, LLC, or ALEXIS. ALEXIS is the owner and operator of Pauli's Home of the SteakBurger.
Per the agreement, we own 50% of the joint venture entity, while the other 50% is owned by ALEXIS. Additionally, we are required to provide the funding to initiate the franchising of Pauli's through ARDC. ALEXIS will provide exclusive rights to the "Pauli's" name, trade marks, trade dress, operating system and recipes.

In April 2004, we executed a shareholders agreement with Brian Ruggiero, the owner and operator of Cousin Vinnie's Italian Diner. The Cousin Vinnie's concept was brought to FRANCHISE CAPITAL Corporation by American Restaurant Development Corporation ("ARDC"). Per the agreement, we own 50% of the joint venture entity, while the other 50% is owned by Ruggiero. Additionally, we are required to provide the funding to initiate the franchising of Cousin Vinnie's through ARDC. Ruggiero will provide exclusive rights to the "Cousin Vinnie's" name, trade marks, trade dress, operating system and recipes. On September 26, 2005 Ruggiero signed over his 50% interest in Cousin Vinnie's Franchise Company, LLC.

In April 2004, the purchase agreement for us to acquire Deville, Inc. was mutually cancelled. The agreement called for us to pay $700,000 in stock and cash for the exclusive rights to the Lucky Lou's fast casual restaurant concept.
Stock that had been issued per the agreement has been returned to the Company's treasury.

On April 15, 2004, our Board of Directors approved a stock dividend for all shareholders of record as of May 15, 2004. Under he terms of the dividend distribution, for every three shares held by a shareholder they will receive one additional share. No fractional shares are to be issued.

On December 17, 2004 the Company changed its name to Franchise Capital Corporation. The Board of Directors felt this name more closely defined its true operations, of investing in small, start up companies.

Effective December 23rd, 2004, the Company converted to a Business Development Company under the Investment Company Act of 1940. Upon completion of this conversion, they became an internally managed, diversified, closed-end investment company. Prior to the conversion they were a diversified holding company. Since the conversion to a Business Development Company occurred at the end of the quarter, the financials in this quarterly report reflect the Company operating as a diversified holding company for the 3 months ended December 31, 2004.

On May 16th the Company gained an additional 50% control of Kokopelli Franchise Company, LLC for a total of 100% by the way of a "Buy-Sell" offer within the operating agreement the Company had with AZTECA Wrap Foods, LLC. The purchase price for the 50% was $250,000.

In June of 2005 the Company created Fit-n-Healthy Franchise Company, LLC. Fit & Healthy Market Cafי is a concept that will serve great tasting, nutritious meal that fits into a healthy lifestyle. Each Fit-n-Healthy Market Cafי combines a quick-serve restaurant with a convenience-style retail store that carries the best health-oriented consumable products available for purchase. Fit-n-Healthy has since been sold to Creative Eateries Corporation for $50,000.

Plan of Operation

On December 23, 2004 the Company's Board of Directors elected to be regulated as a business investment company under the Investment Company Act of 1940. As a business development company ("BDC"), the Company is required to maintain at least 70% of its assets invested in "eligible portfolio companies", which are loosely defined as any domestic company which is not publicly traded or that has assets less than $4 million.

As of December 29, 2004, management has recognized that there is a deficiency in liquidity. Such deficiency has been noted in the notes to the financial statements and the audit opinion. To remedy this situation, the Board of Directors authorized management to file Form 1-E with the Commission notifying of its intent to sell up to $5 million of the Company's common stock under a Regulation E exemption.

As of June 30, 2005 Franchise Capital Corporation held six portfolio companies.
In August of 2005 the Company sold Fit-n-Healthy Franchise Company, LLC and presently has five portfolio investment, Fathom Business Systems, Inc., Comstock Jakes' Franchise Co., LLC, Cousin Vinnie's Franchise Co., LLC, Kirby Foo's Franchise Co., LLC and Kokopelli Franchise Co., LLC.

Currently, there are no commitments for material expenditures. It should be noted that the Company's auditors Epstein, Weber & Conover, P.L.C. have expressed in their audit opinion letter that there is substantial doubt about the Company's ability to continue as a going concern.

Liquidity and Capital Resources

The Company's financial statements present an impairment in terms of liquidity. As of June 30, 2005 the Company had $1,076,177 in current assets and the Company's total assets exceeded total liabilities by approximately $397,309.
The Company has accumulated $6,203,174 of net operating losses through June 30, 2005, which may used to reduce taxes in future years through 2022. The use of these losses to reduce future income taxes will depend on the generation of sufficient taxable income prior to the expiration of the net operating loss carry-forwards. The potential tax benefit of the net operating loss carry-forwards have been offset by a valuation allowance of the same amount. The Company has not yet established revenues to cover its operating costs.
Management believes that the Company will soon be able to generate revenues sufficient to cover its operating costs through the acquisition of operating subsidiaries. In the event the Company is unable to do so, and if suitable financing is unavailable, there is substantial doubt about the Company's ability to continue as a going concern.

Results of Operation

For the year ended June 30, 2005 the Company had a net loss of $721,517 compared to a net loss of $5,114,311 for year ended June 30, 2004.

Recent Developments -- Portfolio Companies

Kokopelli Franchise Company, LLC, a portfolio company specializing in the franchising of fast, casual sonoran style food, opened its first franchised restaurant in April. We anticipate receiving management fee income from the management of this location. Also, on August 29, 2005 Franchise Capital Corporation signed a purchase agreement with Azteca Wrap Foods, LLC. The property acquired was an additional fifty percent (50%) interest in Kokopelli Franchise Company, LLC

Fathom Business Systems is a licensed dealer of Point of Sale (POS) systems which was originally purchased in late 2003.

Franchise Capital Corporation President & CEO Edward C. Heisler stated, "This is a very wise decision the Company has made. Fathom has not been profitable and continues to be an expense to the Company. Removing Fathom from our portfolio companies will help us to improve the Company's bottom line."

With news coming next week, I like the developments thus far.

Get rid of the debt.  FCCN is a cash cow moving forward.
1-2 locations opening per month at the sole expense of the Franchisee.

Build a base and let's move forward.   ;D

Adding here for the string of news next week.

Very pleased about the developments.  And taking the shares from 5 Billion to 200 million was a solid news for investors that was certainly unexpected.  More to come.   ;)

Why is this good news??? FFCN will be left with 200K cash and Stock/Shares in the Third PArty which could be a private or a public entity! Not to forget the outstanding debt of $200k or so. I am lost as to why next week will be a great week!!!!

I'm out to save a small profit...didn't like the PPS/low volume reaction to the filing...my enthusiasm about short term rise is waning...but I'm just looking short term...and still watching for possible reentry.  ;D

You need to realize that a BDC valuation is based on the subsidiary value.
KoKopelli's is ready to begin opening along with Comstock Jake's.  73 locations of KoKopelli's sold.  The balance sheet will improve exponentially.  Show me a penny with locations that are open and 73 are sold.  FCCN does not have to pay for the locations to open.  All just my opinion.  Gary and Ed keep saying the news next week will be great.  Willing to give them the benefit.  What caused the ride to 7 cents last time ?

They now have 40% more ownership, more are sold, fewer Outstanding shares and selling more locations.

Fill the Gap.... here is a sentence from their latest 10K;
"
Subsequent to June 30, 2005, the Company entered into an agreement with a third party where it intends to sell all of its remaining portfolio companies for $200,000 cash and stock in the third party.
"
My understanding of the above is that they are selling everything including Kokopellis!!

if they sell of their portfolio companies and most probably will acquire a stake in the acquirer's company, then what will be the value of CCN which will have 200K cash and about 200K debt? The value of the third party is unknown at this time!

They are not selling KoKopelli's without increasing value after taking a 90% stake in them a few weeks ago.  And the company would not reduce shares and issue press saying positive announcements are coming in a matter of days.  Besides, I have spoken with management several times.  They have no reason to lie about anything.

The company does not have many shares.  So why would they pump it up ?  Call them and you will feel better.  Tuesday may be the day according to Gary and Ed.  And Ed hinted in the e-mails about not being able to buy shares before positive news.  And if the company were sold, then it would be favorable to shareholders.  If not, management would be in serious trouble.  These people are alot smarter than they are being given credit for.

Trade the plan.  The news has not arrived yet.
And the news about reducing shares from 5 Billion to 200 million was a bonus to the plan.

You know where the chart has been.

I am not pumping the stock, so do what makes you feel comfortable.  The buyers willl arrive if the news is positive regardless of a message board.   ;)

Since someone else said they talked to Gary this morning, I decided to do so, as well. Gary was very positive that the outcome of all this would be very positive to the shareholders of FCCN. I indicated my feelings that I thought the buyer was FCCN, but would not ask him. He did not state otherwise, but assured me that everyone was excited about what's happening and that it would be positive. He indicated an eventual goal of being a holding company on a bigger exchange. He mentioned this Friday, as well. I asked him if the plan to move to a bigger exchange included a reverse split. He said as far as he knew that was not a part of the plan. He did not think that would happen. I asked about CEAT and their apparent lack of assets worthy of their present market cap. To paraphrase, he basically said that CEAT had some things going on that would reflect more value. I got the impression that with the block of shares we receive that we will immediately see a mathematical increase of several times what we are now in terms of value.

The prediction on how this will play out:

Ed is confused as to why people have been selling.  He sees it as cleaning up the company books and setting the stage for value.  Obviously, the uncertainty created panic selling.  But we are back where it was prior to 100% gain in a matter of weeks.

The deal is 98% finished according to Ed.  The details with CEAT are being worked out.  And since some of the same people are involved, FCCN will get a nice bump in valuation.  But the market short term is not reacting well.  I am scratching my head too.

-  FCCN sells all assets to CEAT for a high valuation including 200k and stock
-  CEAT gets financing for the deal
-  FCCN remains a BDC and in essence has a part of KoKopelli's, etc.
-  FCCN structures the deal to eliminate the possibility of dilution
-  FCCN eliminates all debt on the books and still has a piece of KoKopelli's, etc.
-  FCCN does not have all eggs in one basket
-  Then within a matter of weeks (year end), FCCN will purchase smaller lots of established franchises
-  This is how the future value of FCCN will appreciate with the debt elimination and portfolio of companies

This is my interpretation of how management explained the events to unfold.
FCCN sees it as operating a mutual fund (in essence).  They see it as having the cake and eating it too.  No debt with franchises but remain in control of the interest through stock.

The question is will the public see the overall picture or more days like today ?

Ramsburg?

Management views the recent news as creating more value in the pps.  But it is what the public perceives that counts in the end.

They see it as retaining KoKopelli's, Comstock Jake's, etc. in the portfolio and now having cash to go purchase existing franchises.  The sale will come at a premium to valuation.

The balance sheet is cleaned up.

Guess each investor needs to evaluate the deal when it hits the wire.

I cannot sell at this level.

News is out:

Franchise Capital Corp. Increases Its Portfolio Value to over $2 Million in Asset Value
Business Wire - October 05, 2005 11:09

SCOTTSDALE, Ariz., Oct 05, 2005 (BUSINESS WIRE) -- Franchise Capital Corp. (OTCBB: FCCN) announced today that on Tuesday, Oct. 4, the company completed a purchase agreement with Creative Eateries Corp. (Creative). Creative purchased from Franchise Capital its interest in Kokopelli Sonoran Grill, Comstock Jakes, Cousin Vinnie's Italian Diner and Kirby Foo's Asian Grill.

As per the agreement, Creative will deliver $2,161,493 to Franchise Capital for their interest in the said companies, which will be paid in $200,000 cash and 3,583,667 shares of Creative's common stock. The shares carry terms that will protect them from reverse splits and dilution. The $200,000 in cash will be delivered within 90 days after closing. Once $200,000 in cash is received, the FCC will deliver their membership in Kokopelli Franchise Co., LLC to complete the sale. The purchase price for each of the concepts varied due to their different stages of development with Kokopelli at the highest price of $1,301,193.

Creative's price per share last closed at $1.60 per share, and has been trading in the range of $1.05 to $1.75 in price per share. In addition, Creative has disclosed to Franchise Capital they have the funds and resources available to completely develop each of the concepts.

The sale of these concepts will allow Franchise Capital to use their resources to diversify the company's portfolio. Prior to the sale, all of Franchise Capital's resources were used to continually support and develop the four concepts. And, although they are four different concepts, each is sharing the same management team.

Franchise Capital believes it is important for its portfolio companies to be completely diversified. Franchise Capital believes this will give the company, and shareholders, a better security in their investments. As many shareholders would agree, "it is not good to have all your eggs in one basket." In addition to the instant boost in Franchise Capital's portfolio value, true diversification of portfolio companies was a key factor in the decision making process.

Franchise Capital will still have a vested interest in Kokopelli Sonoran Grill, Comstock Jakes, Cousin Vinnie's Italian Diner and Kirby Foo's Asian Grill. In addition to the four concepts, Franchise Capital will also now have a vested interest in Creative's other four concepts, Don Allio's, Fit-n-Healthy, Q's Barbecue and Pasta Pranzo. Whenever any of these concepts have a news event, it will also be a news event for Franchise Capital as well.

"This deal just makes sense," stated Edward C. Heisler, Franchise Capital Corp. president and CEO. He continued by saying, "This is a major step in running this company like a true BDC. We now have the freedom to invest in other franchise companies and I believe diversification will increase our portfolio value even more rapidly. Like many companies on the OTC, we have our eyes set on a higher exchange. Although I do not expect it to happen overnight, whatever we can do to continually increase our portfolio value is a step further in accomplishing that goal."

As per the agreement, Creative will deliver $2,161,493 to Franchise Capital for their interest in the said companies, which will be paid in $200,000 cash and 3,583,667 shares of Creative's common stock.

The Registrant had 68,562,852 shares of common stock, $0.0001 par value, outstanding as of September 23, 2005.

http://yahoo.brand.edgar-online.com/doctrans/finSys_main.asp?formfilename=0001262463-05-000111&nad=
CEAT last traded at $1.6
http://finance.yahoo.com/q?s=CEAT.OB

which totals $5,733,876 + $200,000 cash = $5,933,876

which works out to $.086 increase per share in assets.

Last 10Q stated each share had $.012 per share in assets.

So, $.086+$.012= $.098 per share

The company feels that this deal will create more share value.
We now have a stake in 4 more concepts.  But I originally bought because of KoKopelli's,

The decisions will take some time.  Ed said today that he expects to invest the money in some existing concepts in the following weeks.

I am not happy how this played out.  But the lesson is that I should have followed the rule of selling half on the double.  Actually, bought more and have taken a substantial hit.

The value (on paper) is much better now.  But the market wants to know where the cash will be invested.

Well, I'm no businessman, just a humble scientist, but the deal makes no sense to me or the market...yet.  Therefore, I have to think that this is not the last word in this.  This is a shell game between FCCN and CEAT, just swapping assets and cash, that's all I see anyway.  If I take management at their word, then FCCN will broaden into other franchises but then, what was stopping them before this deal?  There was no guidance in the PR on this other than this allows FCCN to be more diversified.  They needed cash so they sold most of their franchise interest at a profit?  Methinks there is more news to come.  The market wants future value, not assets.  I'm just confused as to why do this, there has to be a reason that does not appear obvious at the moment.  It doesn't seem that anybody really gained much profit from this deal.

This thing tanked before I had the chance to bail so I'm stuck...

The information gathered leading up to the past few weeks was promising.

The part that truly bothers me is that I purchased FCCN for KoKopelli's.  When FCCN issued press about taking 90% ownership and followed by stating the plan was to open nationally and then sell after 4-7 years, I added to my position.  Selling the assets with no major plan in place is a mistake with a publicly traded company.

I lost a great deal of money and apologize for any who also thought the pps would rise.  This was not the expected news.  Perhaps, FCCN will recover with more future value.   >:(

I got out a long time ago.  It's beyond me why FCCN head honchos thought selling off their restaurants would be a good idea.  ??? People bought into the stock because of the promise of the businesses they were developing, not to see them get liquidated.  Now they have a little stock and a little cash and are looking for other promising business ventures to turn around and sell off.  Sure, FCCN has some monetary value now but how do you predict future growth?  Isn't that part of what it's all about?

Catrader and Basonista,
I would hate to give any opinion on this stock. I invested under the false impression that they were going to hold the portfolio companies for 4 to 7 years.
Even though they have stock in CEAT , it isn't near the worth that it was when they held the companies.  I am down 80,000.00.
I don't know how many caught this, but in an S-8 dated 7/27/05, Ed Heisler recieved 5000.00 a month and 300,000 shares of CEAT for consulting work. This was done under the heading "Securities offered to employees pursuant to employee benefit plans"
Now he turns around and sell FCC's portfolio for 200,000 in cash and 3,583,667 in shares.
I have sent them a fair warning email today letting them know that I am about to send a complaint and a truckload of documentation to the US district Attorneys office and the SEC in light of the sale of their portfolio.
I have done hours of research and quite frankly the whole deal doesn't make sense.
I am not accusing them of anything, I will let the SEC and DAs office decide that.
If others feel the same as I do, I would suggest doing the same.

Starting to make a move. Had issues earlier with CEAT.OB. Now resolved. Owns the Kokopelli's franchise chain. With Chipotle in the news can Kokopelli's be far behind. Enjoy the ride.

I think FCCN/CEAT and its associates are all part of a shell scam.  I got burned last year on this one...just be careful.  There is either something very wrong with FCCN (like total incompetance) or they are crooks.  There are safer plays IMHO.

I guess this thing is going to release 4 more of the Restaurants and that needs to be done by April until when CEAT will finance all the money for it. I see a lot of scope to have more news in coming weeks.

try not cluttering up the boards as a starter, even though it seems to be what you are good at.
Unbeknownst to me why you wouldn't want to post in the FCCN thread that already has a nice following. WOW it's even a ramsburg thread, you really are brain dead.

It is not as easy as I make it look.  But, that applaud you just received from Dew you dilly gents, was actually earned by me.  You see it is the scorn i recieve that earned you an applaud.  It just so happens that you showed up at the right place at the right time.  What you don't know is that for every smite i receive.  I win!  That's right, the further i am beaten down the stronger i become.

But, to give away my secret to a stranger, so readily, would truly be done in haste.  I prefer you send me payment, in advance, and then i'll tell you, how it works.  Otherwise, you'll always wonder how did Liquid Stick do that?

One more item of noteworthiness is this is a really big game of kiss that ass.  The more ass you kiss the more applauds you'll receive.   The more you recieve the better you're percieved.  The better you're percieved the more ass kissers you'll recieve.  Just remember the more ass kissers one carries the more you pay for services rendered.  But, we lions need our sheep.  Go for broke!  Smite me now!!!!!

But, the more i'm smited the more of a secret I become.  Sometimes it's just better that way.
