As always, just 6.66% of capital.
This company owns the majority of Net2Auction (NAUC.OB), a stock that has risen everyday since its IPO and that our team bought yesterday (http://www.3stocksonfire.org/trading/index.php?topic=165.0). The story is the same, they put stuff that we don't want for sale on eBay. If you want to know more check the company's website:
www.ameriresourcetechnologies.com/ (http://www.ameriresourcetechnologies.com/)
The chart says nothing (it happens a lot of the times with penny stocks), but yesterday volume was explosive and the stock rose 64% !!!

AMRE.OB
Good call, I bought at 0.018, hey it's not a pink sheet. :)
... only in the US ;D
This community is already making good money ;) Bye, bye futures, welcome stocks on fire !
But the credit has to be given to saffeysite and sunsurz, great pickers of this website !
Do I get an extra star??
Nauc is up to $2.60. They say 3 out of 4 stocks are failures, but if you have that one to make up for the rest up the pack. That's how you win. And we are off to the races on this one. The longshot has come in.
Yep nice one thanks, already sold at 0.029 60% in 45 mins wanted to lock it in, also banging at the 200sma. Will watch the action at the 200 sma
Niiiiiice!!!!
Congratulations to you guys... David, aussietrader and saffeysite1!!!
Great picking and great trading.... ;D
(and BIG MONEY) ;)
Keep up...
Didn't buy back in unfortunately as away doing other stuff, On Fire for sure
If I still had it I would be selling now at the 200ema 0.05, but hey I sell too early ;D
Good call!!!
I just became a member.
Already I love 3stockson fire.com ;D
... always be there, as you know. I didn't sell the stock at $0.019 and I'm not going to sell it now that it is at $0.051. As someone has said, «I might lose my position».
Of course I know this is a speculative venture and I sure ain't going to turn it into an investment.
With 33 million shares traded now and an enormous long white marubozu I believe the stock will be higher monday, specially after people spend the weekend looking for hot stocks and stories. I'm not a fundamentalist, as you know I'm a technician, but I wonder about the arbitrage between the market cap for AMRE and NAUC.
I'll just have to investigate a bit more ... but letting the profits run until the stocks does something.
Thanks for registering setravis, I welcome you !
AMRE....own from .025 this am, will hold through weekend. Nice site.
Vanbookie
Great picking here. how long have they been hot?
In new here but got in amre at .02. do they come out with picks every day?

Hi Bell,
Yes, our team usually give 3 stocks picks per day, sometimes more, sometimes less. We are managing a 15 stock Portfolio, and each position represent 6.66% of the total equity.
Welcome to our site ! ;)
Which of NAUC or AMRE is the better play ?
I'm trying to understand better the relation between this two HOT stocks to measure my exposure on both stocks. Anyone has some links or information about it ?
thanks ;) and again: CONGRATS !
Since I gave David the tip about Amre.ob, I would have expected him to recognize this in some of his posts...This will be the last one he gets from me unless I see a clarification...perhaps he considers all of us as part of the "team" and individuals will never see any praise.

Hi Sunsurz1,
Has you can see above, David has given the credits of this picks (AMRE and NAUC) to you and saffeysite.
See the direct link to this post on this same topic:
http://www.3stocksonfire.org/trading/index.php?topic=178.msg600#msg600
But anyway, I understand you, and we are going to make a permanent sticky post, where we'll keep track of all great picks from our users, with links to it.
As you know, a «great pick» is just «great» after we see that the stock has made an up move, and David should only give credits, after that happens, or else he could be giving responsability to the picker and a downmove could happen. So on the first post, he doesn't mention the picker (if any), but only if it comes to be really a good pick (like this great pick from you ;))
Please Sunsurz1, don't stop making picks here... I'm sure everyone here would miss that a lot !!! ;)
This is a brand new website, and its concept is still on development, so give us a few days, so we can have a section where we make track of all great picks, and pickers. We wont forget about that, and we want members to have the credits, because we think that it's going to be the magic behind this website: Our users.
best regards from our team !
Thanks...I did not see his post giving credit to Saffeysite and myself. I apoligise for the tone of mine...When I think I have a good pick I will continue to post.
Best regards...Jim
great pick guys ! thats the way I like it ;D
Yep closed above 200ema on huge vol, this could run to a new 52 week high, around 0.19 i think in a hurry iif the vol remains. This action is a speculators dream. TAke a look at the weekly chart the 200 ema there is $3.45!!! Perhaps some reverse split in it's history, will look into it over weekend.
Bonne chance all.
David, your resarch looks correct to me, but I'm not an expert on that kind of data.
For what I undrestand from your post, AMRE looks more atractive then NAUC, right ?
Yes Kinsley.
The concept of the two companies is still great but now demand will be split between NAUC and AMRE. AMRE seems to be very undervalued against its subsidiary NAUC.
I own the two of them but probably tomorrow I'll sell NAUC and hold AMRE.
Thanks David, this website is awesome!!!! I'm new here, but already a truly addicted!
Keep up!
Check out these stocks, they are on my watch and have performed very well over the last two years that i have been tracking them.I have been in and out and back in the most of them..real money... here they are...ENWV,TWI,ALDA,SBAC,CRXL,KERX,MXT,BEAV,COI,OWENQ,IDWK,UNWR,TKER,MSSN,WGAT,DIO,JSDA,ALTI,AVCA,ANIK,ATI,TLCV,VTIV,AKAM,SMSI,PMTI,FHRX.
Some of thes look good for a new buy ...What do you think about this list?
???
Bid is already 0.06 in pre, gonna be some fireworks for sure
AMRE (AmeriResource Technologies) owns 21,500,000 shares of NAUC (Net2Auction Inc) and 31,500,000 shares of RBSY (Robo Server Systems).
21,500,000*2,77 (last quote of NAUC) + 31,500,000*1,05 (last quote on RBSY) = $59,555,000 + $33,075,000 = $92,630,000
Ok, AMRE's participation in the capital of NAUC and RBSY is currently valued by the market at $92,630,000.
But, the market cap on AMRE is just $2,085,600 !!!!
So, if my calculus are correct, AMRE should quote at $2.44 and is 44 times undervalued.
Probably there will be some arbitrage between the various stocks, with NAUC and RBSY coming down and AMRE going a lot higher (just like it did on Thursday (+64%) and Friday (+293%)).
I'm not a fundamental trader or financial analyst so if you please confirm this data and calculus it would be great. Thank you !
I am now earning about 700% profit in AMRE, and I'm not selling yet.

Hi,
We've bought it @ 0.016... it's up by 1200% since our entry point...
The market is here everyday, try not to be impulsive setravis, 3stocksonfire.org will be here everyday too... ;)
I'm not saying it's not going to continue this up move, but you should expect more risk, and certainly much less potential up from here.
best regards,
Ramsburg is right, this is not the last coca-cola on the desert, this stock is doing great, but there are more to come.
Thanks Ramsburg......I wasn't saying i was going to jump in today..
I will check it out tomorrow morning and see what is what.
Thank's again ;D
Thanks to you too kinsley ;D
You guys think this stock will continue a 200% move up tmr ???
I think nobody knows that for sure. But this stock is moving ;)
And 200% is very a very relative figure, it really depends on your entry price, but from todays close to another 200% rise, I dont think its impossible, but imagine the % that represent for those who bought it below $0.05 or better: $0.01 :o
I have many problems with my internet connection (the website is also experiencing technical problems, we apologize) so I'll use this post to announce that I'm selling some stocks at or near the open:
AMRE
NAUC
CNU
... CNU @$2.45.
Two mammoth winners and the biggest loss until now.
AMRE was our first 10 bagger but it was losing momentum. Yesterday it should have gone up more than 300%.
NAUC - I love the story but a gap up after 13 consecutive enormous white candles must be sold.
CNU - Giving trouble for enough time now. I was wrong and the only way for a man to be right is by stop being wrong.
I still want to thank all our members who are helping us to support our dear 3StocksOnFire.org.
Have a nice and safe day trading the markets :)
To compose the archive of the closed trades I need to put here the link to the post announcing the sale of AMRE.OB at today's open: Selling stocks (http://www.3stocksonfire.org/trading/index.php?topic=204.0)
You guys played this 10 bagger perfectly, a great lesson in letting winners run. Congrats to the 3Stocks team and also the original finder of NAUC and then the original finder of the link to AMRE, great play.
Hopefully more action like that is around the corner.

Again my congratulations to all people envolved on this for-the-record trade ;)
I applaud you all guys !
... I never want to ear about AMRE.OB again. Unless it shows up in my filters with renewed power, but it will have to compete with the other 11000 stocks in my database. This stock gave me a 1200% profit in 3 days but I don't love her for that ... for me stocks are like oranges, I get the juice out of them and then throw them in the garbage.
This stock presents a good lesson for investors: if you're an investor, don't try to speculate. I know people who didn't grab some stock on the way up (the difficult - but right - task) and started buying when the stock came down a bit (the easy - but wrong - thing to do).
... the market value of its subsidiaries.
AMRE.OB current market cap is 360,127,294 shares outstanding * $0.051 stock price = $18,366,492.
The number of shares outstanding isn't accurate on the Yahoo or marketwatch websites, you have to check the SEC statements (http://www.sec.gov/Archives/edgar/data/876490/000120355005000006/0001203550-05-000006.txt) to get the valid information.
AMRE.OB owns 51% of NAUC.PK (Net2Auction Inc) and 47% RBSY.PK (Roboserver Inc).
The market cap of NAUC is 49,154,500*$2,14 = $105,190,630, so the 51% owned by AMRE.OB are worth, at market prices, 51%*105,190,630 = $53,647,221.
The market cap of RBSY is 55,000,000*$0,47 = $26,950,000, so the 49% owned by AMRE.OB are worth, by market prices, 47%*$29,250,000 = $12,666,500.
The market value of AMRE's participations in these two companies is $66,313,721. But the market cap of AMRE.OB is just $18,366,492 as we've seen. So the stock is undervalued 3.61 times, that's why I came up with the 260% appreciation potential in AMRE's stock price.
Anyway, probably we should take into account the liabilities of AMRE, that is, without these two subsidiaries the company would be worth less than zero. Is this credible? No, I think that even without the participations in NAUC and RBSY, AMRE would still be worth something on the market, like so many companies out there that sell nothing, are just a project or idea, and still they're worth millions.
Technically speaking, the stock had a huge 2 day run up of 1316% (I got more than 1200% of that rise, the best trade ever on 3 Stocks on Fire :-*) and then came down a lot, about 87% at one time. Then it started building a base, NAUC did that too, and now it seems, from the technical formation and volume increase, it is set to make another speculative run.
The sector of NAUC and RBSY is very modern and innovative, they are good ideas and if they're able to succeed this stocks will indeed rise thousands of percentage points.
I see that NAUC already has 28 drop off locations (they then try to sell our unwanted goods on EBAY and collect a fee for the service - when I first bought the stock, 2 months ago, they had just 14 stores, so I see strong growth as promised by the company) and it is planning to get to 50 drop off locations by the end of 2005.
I thought NAUC's share price had dropped much more, but the stock is making a comeback and it is trading over $2 now.
Let me leave both charts, AMRE.OB and NAUC.PK.
As said, I still don't know if I'm going to buy AMRE.OB at the open, if I see a big gap up I'll pass for now ...
NAUC.PK was up a lot yesterday, with strong volume. AMRE.OB owns 51% of NAUC.PK (and NAUC has more market value than AMRE) so it's just a matter of time for AMRE to reflect NAUC's price appreciation on its own stock price.
I see an accumulation formation on AMRE's chart. It is almost a sure thing the stock will breakout of this range. The technical target of that breakout is $0.130, so we have about a 140% profit potential on this stock from yesterday's close.
The risk is the stock closes below $0.034, that would mean it is all over, but I don't believe that will happen in the foreseeable future.
So, the plan on AMRE.OB is:
1) Sell at target of $0.130 (profit potential of 154%)
2) Sell with a loss if close < $0.034 (risk of 33%)
I will leave the two charts, from NAUC.PK and AMRE.OB:
G'morning David, Had NAUC last time couple of days before 3SF had it and bought amre after you guys did so I missed the huge gain but still made out like a bandit. Trying AMRE again. ;D
Great Reasoning why it should rise again.. I'm in
What does everyone think about AMRE hold or sell?
Holding
Adding
Holding
dont know, b/c have small position. I usually start half or 1/3 position if I am not sure about it. Seems like I have to watch tape on this one.
It's hard to explain why AMRE.OB doesn't rise immediately to reflect NAUC's rise. It doesn't make any sense, but the market is always right. I guess this is just misinformation, like it happened in May. NAUC was rising for 10 days or so and nothing happened on AMRE.OB. Suddenly the stock shots up 1300% in 2 days :o
It's difficult to get more of a sure thing than this AMRE.OB play ... just needs some publicity. Perhaps we'll arrange that >:D
Obviously I'll continue holding AMRE.OB.
Watching closely today. I haven't pulled the trigger, but todays action makes me nervous.
What do you guys think? Buy or Wait? ???
doubled my half position, but cant suggest for you. Though if it closes below .045 then I will sell tomorrow.
It may run.
But do not forget about the CEO.
His history of pumping, dumping and then a new shell.
Plenty of this posted the last time it shot up.
Find the articles on him and the company in the original thread.
Think they have less than 14 thousand in assets and a history of litigation.
The insiders sold on the rise too. Run out of a Las Vegas Suite.
I checked them out. They are not a player in this arena.
But they can spike with momentum traders. Just know what you are buying and do not complain if the SEC suspends trading.

You ascertained this info from the StockLemon.com report? http://www.stocklemon.com/report_view.asp?ReportID=25
The Ironic thing is that StockLemon are the biggest scammers of all.. They are nothing more than professional Short Sellers looking for OTC companies to manipulate for their own profit..
Stocklemon profits by shortselling these companies and then they deliberately trash good companies for the purpose of generating short-term, short-selling trading profits.
To read more about StockLemon and how they operate see this article http://www.wallstreetdigest.com/specialstock/specialstocklogin.html
Tell me which part(s) are Not true. Willing to listen. But wouldn't the company have a slander case if not true ?
I will stay away for now.

Stocklemon Reports on Net2Auction
Bahamian Brokerage Firms, Direct Mailers, and Stock Promoters ... Need We Say More?
Out of a 380 square feet office located at 3440 E. Russell Rd Las Vegas, Nevada, Delmar Janovec runs 3 different public companies. One of these companies is the newly formed Net2Auction (NAUC). Net2Auction is a spin off from AmeriResource Technologies (AMRE .14 cents) which since 1989 has been in every business from construction, motorcycle rentals, kiosks, real estate, and gambling. There is one theme to all of the businesses operated by Amerisource over the past 10 years.
None have produced significant revenue or delivered one penny of profit to shareholders.
http://www.ameriresourcetechnologies.com/history.html
Management of Net2Auction has a dubious history of civil lawsuits and run ins with the Internal Revenue Service, but that we will save for a later day. For now, let's look at the joke of a public company with the symbols NAUC.
Capital Structure of Net2Auction
Shares Outstanding- 50 million +
Market Capitalization $200 million +
Cash- $32,379
Loans from investors and affiliates - $129,953
(sounds more like a friend down on his luck rather than a public co.)
How is Net2Auciton's business?
According to the most recent 10Q filed, this is how their last quarter looked.
Gross revenues of $2,585 last quarter
Cost or Revenues- 2,298
Gross Margin- $287
https://www.otcstockinfo.com/repository/656819/656819_FR11.pdf
That means that if the company had 0 expenses, they would have made $287 for the quarter (unfortunately it takes money to operate a business and the company lost $67k for the quarter) Stocklemon believes that if the CEO were to panhandle on the streets of New York for 3 months, he could make more money than $287.
The company actually sold only 193 items on eBay in the last seven months.
http://search.ebay.com/ws/search/MemberSearchResult?frompage=fmrshowpage&userid=net2auction&sspagename=h%3Ah%3Afitem%3AUS&from=R7&nojspr=y&pfid=0
Nothing more than a local small time garage sale.
All Part of a "Shady" Stock Promotion
Much of the buying of Net2auction has been triggered by a flagrantly illegal direct mail piece that was sent under the title "The Bullish Report". This direct mail piece was riddled with inaccuracies, misstatements and an unsubstianted price target. Worst, the piece was anonymous. Even though it is disclosed that a third party paid 300,000 shares to have this mail piece distributed, it does not disclose who that 3rd party is, a clear violation of securities laws. As far as Stocklemon is aware "The Bullish Report" has no operating history and was created for the sole purpose of promoting NAUC.
Stocklemon has forwarded a copy of this report to the proper authorities.
Mystery Stock in an Offshore Brokerage Firm
The 15c211 disclosure document filed by Net2auction, states that Munich Captial Group is the holder of 5 million shares of NAUC.
https://www.otcstockinfo.com/repository/656819/656819_FR11.pdf
Who is Munich Captial Group????? The only thing we know about them is a contact person named Edison Sumner. Mr. Sumner is an assistant at Montaque Securities International, a Bahamian brokerage firm.
http://www.msitrade.com/about_management.htm
Would Mr. Janovec ever be involved in something as underhanded as dealings with stock promoters and offshore brokerage firms?
Sure he would. A quick run through Lexis Nexis on Delmar Janovec shows that he used to have multiple business doings with Allen Z Wolfson. He even offered a share exchange with Amerisource and one of Wolfson's companies -- Nexia Holdings.
Allen Wolfson is currently in Federal Prison for many years on stock manipulation charges.
http://www.sec.gov/litigation/litreleases/lr17756.htm
One of Mr. Wolfson's specialties was dealings with "offshore boiler rooms".
http://www.stltoday.com/stltoday/business/special/stockfraud.nsf/0/1BF7DD86368CC91C86256EB1005D56DA?OpenDocument
Did he have a chance to teach any of these tricks to Mr. Janovec?
How much is Net2Auction Really Worth?
Stocklemon would argue that NAUC is worth 0. But, we will let the company's actions determine its own valuation.
In a Reg D 504 offering completed on 12/08/04, the company sold 5,000,000 shares of unrestricted stock at $.01 per share.
Just last week, on May 20, 2005, the company sold 1,000,000 shares of stock for $100,000 or .10 cents a share to Starinvest Group. (we think they overpaid)
http://biz.yahoo.com/iw/050520/087216.html
Conclusion
It is the opinion of Stocklemon that Net2Auction will soon be faced with the reality of Federal Regulators. You cannot deposit stock in a Bahamian Brokerage Firm then send out a mass mailer and call it a business. Net2auction has not proven that it has a viable business and does not have the resources or the management to compete in the space. It is our opinion that this is a classic pump and dump and will soon trade at pennies per share. Cautious Investing To All.
I THINK YOUR RIGHT ON DAVID. AMRE IS BASING AND ALL WEAK HANDS ARE BEING CLEANED OUT. I WILL BE BUYING @ THE OPEN. THANKYOU FOR THE ANALYSIS.
Great posts on this thread, I'll answer them later.
I'll continue to hold AMRE.OB, the stock is coming down to support but I expect a shot higher anytime, a shot that breaks the descending trendline on the chart.
Nauc just keeps going up.. Now climbed above $3.00 a share
This doesen't make sense.. Nuac goes up every day and the company with a 51% stake in it goes in the opposite direction. Has to be a matter of time before the market catches on and it may be a violent realization to the upside.
When David first recommended Amre Nauc was trading at $2.14 now at $3.00 the revisions of Market cap and rising 260% could be revised higher?.. Just taking the market time for some inexplicable reason
I guess today is the day to make this analysis wide open to the public. One has to wait for an up day for a pump to have some credibility (of course, this is no pump and dump, I'll just make sure others see what we're seeing).
I don't have to wish you luck TRUNK, AMRE is a sure thing.
Interesting.. Yes, anybody in their right mind who would read your analysis and the numbers supporting it would buy this stock as the risk vs. reward seems astonishing here.. The story is great, so it will be interesting to see the means by which your analysis can be delivered to the masses.
where can I read the analysis on amre??
On this board, in fact on this thread ;D

Hi phabrux ;)
Thanks for the charts and the input (applaud)...
Like in every other chart patterns, we can use spikes and highs, or use the body of the candles... Which means that you are right (and me too) ;)...
The overall pattern is going on... with low volume on the middle, and now a big move... Let's ask the G Master (EliteG) what he thinks ?
Fred,
I didn't know of this other alternative rule.
It makes it more confusing.....
I was so happy to deal with just 1 simple rule which is:
leave the stock going nord until it reach its apex (which is like 100% gains, is it?) or fail and go back down below the G-spot mark!
In other word, I was assuming the target was very simpe to define: 0,059 + 0,059= 0,118$
and the stop too!
This rule was too simple to be true! Lol!
Bye the way, AMRE does actualy very well!(0,059 )
Hey guys I was looking into the location of AMRE's g-spot :D and I have been using the highest close or open..whichever is higher, so 0.059 looks right. Sometimes the high (0.064 in AMRE case) is gapped over and you never get entry.
Its hard for me to call this a classic g-pattern because of the volume rise that occurred in May. You see the g-pattern seems more solid when it stands out on its own but AMRE is def showing strength.
Goodluck guys.
8)
Thanks EliteG!
and
Happy trading!
Nice run today, but I am concerned for Monday. If you look at the chart, it appears to have made this same type run 3 or 4 times since the initial runup. Each time, it lasted a day or so, and then came back down. Any reason to believe it finally has legs ? Looks like there's potential for a real nice run, once it breaks out again.

Lips Lips and More Lips,
I don't know about 1300% again. But 400% should be a given.. How in the world did the market not realize the discrepency in the value of AMRE's holdings vs. Market Cap sooner?
We be Fench Kissing in the USA on MOnday.. I'm in on the Open
We got a guy to drive by one of the new Net2Auction dropoff locations in Irvine, California (This is one of the 6 new locations in Orange County)
15333 Culver Drive
Suite 340

Here are his pics..

I called about 5 of the dropoff stores including this location myself this weekend just to verify they existed and to dig a little
They've gotten 44 stores like this up and running in less than 6 months so all seems legitimate, I don't see why every shipping store in the country won't eventually add the eBay dropoff service as it derives no extra overhead cost to the shipping center owners.
Here are the current 44 locations, promised to be 75 by years end

Trunk, if that's an Orbitdrop site, its also a different company. ;) http://biz.yahoo.com/bw/050720/205338.html?.v=1
Nauc is out there too. ;D
NAUC just keeps on rising everyday, as the company expands it's drop off locations for selling things we don't want on EBAY.
AMRE.OB, the owner of 51% of NAUC (but a much smaller company by market cap, which doesn't make any sense), shot up 41% on Friday. Perhaps the market is seeing now what we've seen some days ago, the discrepancy between the market value of AMRE.OB and the market value of it's subsidiaries.
If AMRE.OB manages to close above $0.061 (the resistance level) it will be off to the races and this stock has proved it can move really, really fast.
For a start AMRE.OB should be now quoted at least:
NAUC: 49,154,500*3,23 = $158,769,035*51% = $80,972,208
RBSY: 55,000,000*0,45= $24,750,000*47% = $11,632,500
$80,972,208 + $11,632,500 = $92,604,708/360,127,294 (AMRE.OB shares outstanding) = $0.257 (that is, 343% above current valuation).
More, for every 1% that NAUC stock rises, which adds the company $1,587,690 in market value, AMRE.OB value should rise $1,587,690*0.51 = $809,722 or, $0.0022 on the share price, or 3.8% at current prices.
We'll, enough said, I will continue to hold AMRE.OB, I hope it breaks the resistance level at $0.061 today.

Trunk, sound like we will have a great day with NAUC. :) I had AMRE, both NAUC & OBDP back in May and made money with NAUC & AMRE but lost on OBDP. Just on AMRE this time. It should move also with the great news you linked. ::)
It's taking some work for this to move higher today, even with good volume. Will stay with it, though, as the fundamentals are good and should drive this higher, as noted in prior posts.
Nice action today on AMRE!
AMRE is the top OTC stock to watch for the next session on the homepage of
http://www.americanbulls.com/
It has a 5 star history with them so it should attract a lot of people's money that pay attention to that site,
basically if you had bought and sold AMRE.OB as their technichal indicators asked your $100 investment would now be worth 37,003 in just 2 years.. not to shabby! Look for some buying blitzes going on tommorrow..
AMRE.OB did break the descending trendline, giving it a bullish technical signal. Not a very convincing one, but it's there.
And NAUC.PK keeps on rising, it's amazing ... AMRE.OB, the owner of 51% of NAUC must rise in tandem, this thing can't go on for much longer.
I'll continue to hold AMRE.OB, expecting a long white marubozu anyday now.
??? David, Maybe AMRE is being held back/waiting until NAUC breaks the $4.70 high set back on 5/25.
Hahaha! ;D I'll have to remember that one!
NAUC took a hard dive today. I didn't see news, so I am thinking profit taking and panic selling.
Damn Stocklemon.com got us again.. I Found the report quick
http://www.stocklemon.com/report_view.asp?ReportID=37
Thanks for posting, Trunk. I'm out.
Anybody want to guess who paid for the direct mailers in the stocklemon report, and how they got their money? Can anybody refute total items listed currently and total items sold as reported in the stocklemon piece? The strangest part is even if Nauc is only worth $1, AMRE would still appear to be way undervalued, since it owns 51% of the stock. As it is, people have had a little time to digest it, and $3 is holding for nauc. Go figure. I guess you take the total revenue currently x the projected # of stores to open x the growth of said current and future stores + franchise fees and come up with $3. Anybody have a crystal ball handy? Mine is a little cloudy at the moment.
This is the same outfit that I posted a report here when David bought again.
Scroll down to read the report from months ago.
If you read it then and bought, why panic sell when the same people release another one ??
And why is AMRE in business if it correct ?
Panicking is never a good thing.
Hi Everyone,
Thanks for all your posts.
I sent an email to the company (Net2auction.com) giving them the link to stocklemon.
I hope they do something. I called but got a machine.
May be every one sends them emails or calls them they might do something, if they don't already know.
Otherwise ???
--Lalitha
I also emailed the headquarters to see if they would provide a list of the Ebay usernames for the seperate stores, if they are willing. Will post the results.

Panicking is never a good thing.
Because even if the news isn't correct, there's a very good chance the market will react very negatively to the news. I'm not investing in it because I believe in the company, I'm investing in it because I want to make money.
I realize the news is almost definitely false, but I also realize that many investors are now going to be scared of the stock.
I understand the fear factor.
But this news has been there for months ?
Wonder why AMRE does not either:
A, Come out with something to dismiss the article as false
B, Suspend trading for an investigation
C, Why doesn't NAUC say something about the AMRE relationship ?
Amazing that NAUC rose over $ 3 without AMRE this time around.
Read before deciding: Who knows...But the fact that the first posting came months ago is suspicious. They could be making it on shorting and creating fear.
Stock Lemonade
Introduction to Stocklemon.com
This page is devoted to the exposure of Stocklemon.com and its tactics and the Company's response to the short sellers and stock manipulators associated with Stocklemon.com.
We find the self-serving statements made in Stocklemon.com's distorted reports to be damaging to our real long-term investors who have a right to make their investment decisions based on accurate disclosure, such as that found in the Company's SEC filings and through their own due-diligence.
Who is Stocklemon.com?
Stocklemon.com has a history of taking unsupported accusations, misleading statements, outdated information and unrelated facts and posting them on their website in an effort to cover its principals' short positions in the company's on which it "reports." It is not a coincidence that the Stocklemon.com campaign began immediately on the heels of the Company's stock achieving an all-time high of $4.52 per share.
As previously pointed out by the Company, the principals of Stocklemon.com may have short-selling positions in the companies they claim to have issued an unbiased report about. Unlike real journalists who work for respected papers, such as the Wall Street Digest and The Wall Street Journal, who do not have a vested interest in the outcome of the stock price of the companies on which they report, Stocklemon.com's sole purpose seems to be to profit by driving down the prices of stock in which they have short positions.
The disclaimer on the Stocklemon.com site speaks loudly:
"Disclaimer: Stocklemon.com does not guarantee in any way that it is providing all of the information that may be available. We recommend that you do your own due diligence before buying or selling any security. At any times the principals of Stocklemon.com might hold a position in any of the securities profiled on the site. Stocklemon.com will not report when a position is initiated or covered. Each investor must make that decision based on his/her judgment of the market." [Emphasis added]
When the author of the recent Stocklemon.com "report" on the Company was interviewed by Ed Taylor, a reporter for the Tribune, he admitted to taking positions in the stocks on which he reports. Read the article for yourself here:
Firm sues author of scathing report
A Short-Selling Primer
We thought a brief explanation of short selling would be helpful to those who are not familiar with the concept. Stocklemon.com and its operators engage in transactions that benefit from the fall of stock prices. Stocklemon.com conducts these transactions in company stock immediately prior or subsequent to its issuance of a negative report on the company in question – a report that often is replete with unsupported and defamatory accusations. Stocklemon.com issues these reports knowing that they are likely to drive down the stock price of the company. Here is how short selling works:
Introduction to short selling
The Stocklemon.com Scheme
The Stocklemon.com disclaimer plainly admits that it does not provide all of the information that may be available. This type of selective reporting and selective disclosure is the key element of Stocklemon.com's scheme. Complete and accurate disclosure would be antithetical to the purpose of Stocklemon.com. Presenting a report of complete information in a manner that is current, accurate and fair would not achieve the goal to which Stocklemon.com has pledged itself – the distortion of truth with the intent to exact downward pressure upon stock prices in which it holds short positions. It is quite simple. It is also illegal!
To further its scheme, Stocklemon.com and its promoters then use various stock chatboards to talk up a Stocklemon.com report. Interestingly, if you research the posters on these sites, you will find the same posters on other sites related to other companies that Stocklemon.com has issued reports upon. Is it a coincidence that the same people just happen to always have positions in "problem" companies that Stocklemon.com suddenly discovers? It is more likely that these posters are plants and/or active collaborators with the principals of Stocklemon.com in the short selling of these companies' stock for their personal gain. You, as the reasonable investor, will have to decide for yourself.
YP.Net- The Truth
The reports issued by Stocklemon.com are designed to detract from true fundamentals of this Company.
YP.Net Reports Approximately 144% Increase in Revenue, 227% Increase in Operating Income and 114% Increase in Net Income
We ask our long-term investors, who believe in the soundness of our business model and the strength of our fundamentals: "Why should you believe misinformation that is admittedly designed to allow the person providing that information to profit at your expense?" It is because of our ardent belief that it is inherently unfair and unreasonable to allow our stockholders and the investing public to be assailed with such fabrication and manipulation that we promptly filed suit against Stocklemon.com and its promoters to prevent further damage to innocent investors and the long-term value of our stock.
Transparency vs. Concealment
Unlike YP.Net, Inc., which is required to produce public disclosure about its business, business practices, officers, directors and results of operation, Stocklemon.com does not provide any disclosure.
Who is the principal(s) of Stocklemon.com?
What is their phone number? Where are they located?
How do they make money?
We know it is not from their website. The only way Stocklemon.com makes money is through manipulation...of the investing public and stockholders like you.
Our Challenge
We challenge Stocklemon.com to produce the foregoing information, to end its covert tactics and to stop using the I Internet as a citadel of deceit and attack. Disclose who you are and disclose the positions you have had in each company upon which you report. Finally, disclose the ill-gotten profits you have reaped on these transactions.
We Are Not Alone
In the interim, we think the public will find the following news articles interesting. They speak volumes about the practices of Stocklemon.com.

Second "Report" by Stocklemon
YP.Net's Answers inRED
January 12, 2004
Stocklemon Responds to Allegations Made by YP.NET Inc.
On January 8, 2004, Stocklemon released a report on YP.Net. YP.Net has gone through much effort to defend itself. Stocklemon would now like to go on record as saying the company is not as bad as reported in the first article.
Stocklemon.com did have some oversights in its first report and would like to take this opportunity to clarify statements made.
In the first report Stocklemon claimed that Angelo Tullo had 2 personal bankruptcies.
Correction- Mr. Tullo does not have two personal bankruptcies.
As the company told you last time, Mr. Tullo does not have any personal bankruptcies. Because, Stocklemon.com now finds that it cannot support this position, it now throws out another allegation instead.
Actually, Tullo has not filed Federal Income Tax Returns Since 1995. Please reference in the below link item 21 page 9. Bankruptcy Case.
Once again, Stocklemon.com is faced with yet another untruth. Mr. Tullo has filed all of his personal tax returns and paid any tax due, as well as those of Sunbelt Financial, Inc. through the 2002 tax year. Interestingly, Stocklemon.com cites a link to a bankruptcy court case minute entry that only exists on its site. It is not part of the bankruptcy court record.
Stocklemon Reported that Greg Crane is the president of YP.Net
Correction- Mr. Crane is Executive Vice-President and Board Member, which is important for Sarbanes Oxley regulations.
Once again Stocklemon has been required to correct its previous "disclosure" due to an inaccuracy.
In the FTC suit against YP.Net, dated 2001, we see the name on the defendant list of Michael Bloomquist. According to court documents, Mr. Bloomquist was a director of Telco Billing, a wholly owned subsidiary of YP.Net. The same court document tells us:
The FTC suit against YP.Net occurred in June of 2000. The date referenced above is the date of the Final Commission Order, which specifically included the provision that no wrongdoing was found against the Company or any of the individuals. The Company made minor changes to its solicitation since that date and complies with and exceeds all of the agreements reached with the FTC.
Mr. Bloomquist has not been an officer, director or employee of YP.Net or its subsidiary Telco Billing, Inc. since the date that the public company YP.Net (then called RIGL) acquired Telco Billing, Inc. on June 19, 1999.
"Mr. Bloomquist has formulated, directed, controlled, or participated in the acts and practices of TBI d/b/a Yellow-Page.Net and PMI, including the acts and practices set forth in the complaint."
This statement was included as part of the original FTC complaint, dated June 26, 2000. The FTC complaint was based on information that occurred under prior management's watch. This was an allegation that was not proven in court nor was any case or evidence presented to support it. The ultimate conclusion in this case was that there were no findings of wrongdoing found against the Company or any individuals associated with the Company.
Michael Bloomquist is currently in Prison for Tax Fraud
As noted above, Mr. Bloomquist is not associated with the Company.
Angelo Tullo gets paid through his company Sunbelt Financial. On the conference call Tullo referred to the people at Sunbelt as "his team". Even though Tullo holds all his stock is Sunbelt he claims that ownership lies in the hands of Hickory Management, which is the successor of the majority position to Gladstone Enterprises (same mail box etc box as well).
Mr. Tullo does not hold all his YP.Net stock in Sunbelt. In fact he currently holds 450,000 shares personally. As president of Sunbelt, the 3.825 million shares that Sunbelt owns are shown in Mr. Tullo's beneficial ownership column on the regulatory filings of the Company due to Mr. Tullo's dispositive power over those shares. In addition Hickory Management is the owner of Sunbelt and is not affiliated with Gladstone Enterprises.
According to YPNT SEC filings, Gladstone Enterprises was controlled by Douglas Carpa.
Therefore, per our answer above, whether or not Gladstone is affiliated with this particular Douglas Carpa is of no concern to the Company.
History of Angelo Tullo
Tullo has a history of using his new companies to pay the court settlements of his old companies. Stocklemon believes that he is using the funds of YP.Net to pay off the debts left by the settlements of A BF, as we do not believe he was exonerated. Please read the document below that appears to be a judgment from the court.
There is no such document available from the court. Again here is an example of Stocklemon.com trying to use innuendo, as this document appears nowhere else except on its site.
Prior To the ABF Bankruptcy, according to court documents, Tullo controlled and operated a company called HVAC. HVAC was accused of and sued for obtaining funds through a phony accounts receivables scheme." Tullo agreed to pay the settlements costs of $1.078 million. The payments on this settlement were made by Tullo's new company, American Business Funding. (page 4) Bankrupcy Case.
Again, Stocklemon points to a document that does not exist except on Stocklemon.com's site and is not a judgment of any court. There is no finding by any court of any wrongdoing on the part of Angelo Tullo. Rather, Mr. Tullo has been dismissed from all cases related to American Business Funding Corp. ("ABF") by New Horizon Capital ("NHC"), the successor in interest to ABF. However, NHC obtained judgments against the other members of ABF management. See joint press release.
Tullo and Antigua
In the same court document we read that Tullo and Montelone caused attorney Bill Gibney to form, Alteza Limited, and Antigua Company, which had an Antigua Bank Account. (page 5 article 10) Bankrupcy Case
Mr. Tullo had never been to Antigua prior to October 2003 when he and several fellow members of the Board of Directors traveled to Antigua to negotiate the termination of the revolving line of credit with Morris & Miller, Ltd. and Mathew and Markson, Ltd. In addition, Alteza Limited is not an Antigua company but rather is domiciled in the Grand Cayman. Again, Stocklemon.com refers to the same document cited above that does not appear anywhere but on their site.
Where are the Independent Directors?
In the press release dated January 5, 2003, YP.Net claims that Angelo Tullo has been exonerated
This was a joint press release with New Horizon Capital, LLC., the successor in interest to American Business Funding, Inc., whose Managing Member co-wrote and attested to its accuracy.
What was most interesting about that press release was the exalting quote of YP.net independent board member Daniel Coury. Is Coury really independent? In the below link you will see how Tullo sold Coury his house for $10 in the midst of the ABF Bankruptcy proceedings. Is this ANOTHER violation? Tullo House
Mr. Coury purchased the house that Mr. Tullo inherited from his father for full market value. Mr. Coury put down $20,000 in cash and obtained a new loan from Washington Mutual Savings Bank for the purchase of the house. It is customary, when title companies prepare a transfer deed to use the language "For ten dollars and other valuable consideration" when referring to the purchase price. In the same place that Stocklemon.com found the deed referenced above, they would have found the $180,000 deed of trust (mortgage) for the Washington Mutual Loan. This is another example of Stocklemon.com not giving you all the information when it was readily available.
On January 8, 2003, YP.net held a conference call. Yet, the never put out a press release that advertised this conference call. Management of YPNT must learn that lying to your friends is bad but lying to your investors is ILLEGAL.
In response to investors' inquiries relating to Stocklemon.com's misinformation campaign, the Company believed that it was prudent to hold a single conference call to address all of the inquiries at one time rather. This was not an earnings conference call and we did not reveal material non-public information during the call. Accordingly, we were not required to issue a press release informing the public of the call on advice of outside SEC counsel.
Stocklemon has never been involved in any SEC proceedings.
Stocklemon.com has a complaint filed against it with the Securities and Exchange Commission, file number S7-23-03. This complaint alleges the same kind of activity that Stocklemon.com is pursuing in its smear campaign against YP.Net. We have been informed by counsel that this complaint is still outstanding and we are looking into its status.
During the conference call the company states that the William Cooper that is the signer for the M&M corps., is not the same Cooper that is wanted by the US Government for fraud and money laundering. He actually used the words, "absolutely not"
As Mr. Tullo explained on the conference call, current management has not interacted with anyone named William C. Cooper, William M. Cooper or William Cooper in connection with YP.Net. Management is not aware of any current connection between this party and the M&M corporations.
According to the US Senate Subcommittee on " Correspondent Banking, a Gateway to Money Laundering" The Antigua Management and Trust Company is run by William Cooper and his wife. Stocklemon assumes that is Ilse Cooper.
This is a perfect example of Stocklemon.com asserting assumptions as fact. In any event, it is immaterial to the Company since current management has no involvement with a William Cooper. With the cessation of the revolving Loan Agreement, Morris & Miller, Ltd. and Mathew and Markson, Ltd. will be treated like all other shareholders.
Most importantly, it is the opinion of Stocklemon that Tullo sounds like a total buffoon. It is obvious he is trying to hide the identity of M&M and while doing it makes himself sound like a third grader who has been caught in a lie. We believe that this conference call will one day become a piece of evidence used against YP.net.
The author of Stocklemon.com is of course entitled to his opinions, so long as he doesn't damage innocent investors. The outside auditors, the NASD and the SEC have availed themselves of the information regarding the M&M's and have been satisfied with the information provided to them.
When Stocklemon reported that William Cooper was the beneficiary of the "M&M" accounts it was because he or his wife is the signer on the accounts.
Again, assumptions unsupported by facts.
It is not illegal for the largest shareholder of a company to have a criminal background. Yet, it would be illegal if any of those M&M companies belonged to Greg Crane, who is an officer and director. There have been many transactions with this offshore corp, including loan agreements up to $20 million collateralized by stock.
Greg Crane does not own either M&M company. The Company, its auditors, forensic auditor, the SEC, the FTC, the Company's Board and the NASD have reviewed the situation and have found no evidence to support Stocklemon.com's claims.
Accoring (sic) to Sarbanes-Oxley Section 402, "it is unlawful for any issuer to directly or indirectly though any subsidiary to extend or maintain credit, to arrange for the extension of credit, or to renew the extension of credit in the form of a personal loan to or for their directors or executive officers."
Stocklemon.com has even misquoted Sarbanes-Oxley to you. The above quote is, but of course, only part of the information. Sarbanes-Oxley does not force a company to cancel existing lines of credit or loan agreements that were in force at the time it became effective. It only prohibits the creation of new lines of credit or extensions of existing lines of credit.
Stocklemon believes that both M&M companies belong to Crane and therefore all of the actions to date are ILLEGAL and Crane has been illegally taking money out of the company and breaking the law. Here are two of the reasons why Stocklemon has come to this conclusion.
In 1999 FLW LLC. Signed over a piece of property with a value of $1.2 million to Morris and Miller. Greg Crane was the agent on the transaction
Crane_Trust
Again, Stocklemon seeks to misinform. As disclosed in our SEC filings, Greg Crane has served as a liaison to the M&Ms for sometime. In that capacity, it would not be unusual to see his name associated in transactions with the M&Ms that are unrelated to the Company.
A search on the ownership FLW LLC. shows none other than the Crane Family Trust.
This property was not signed over to the M&M's. This transaction is not the sale or transfer of a property by the Crane family to the M&M's. This was a mortgage loan transaction whereby the property was used as collateral and when interest rates dropped it was replaced with conventional bank financing. This agreement predates the acquisition of Telco Billing by the Company. At the time of the transaction, the M&M's were not even shareholders of YP.Net. This is another example of Stocklemon.com's misinformation.
When Greg Crane tried to get control of the Sex.biz trademark, he did so through Matthew and Markson (alleged offshore and unknown entity)
Perfect example of a transaction unrelated to the Company or the Company's interests where Mr. Crane acted as a liaison for Matthew and Markson. This transaction we are told was done to promote abstinence before marriage. See link: www.moral-sex.com.
EPSTEIN, WEBER & CONOVER, P.L.C.
The auditors of YP.NET should read Sarbanes Oxley
Stocklemon is calling for the immediate resignation of the auditors. If Stocklemon was able to uncover these inconsistencies in 3 days, than why couldn't Mark Weber discover these within 3 years.
As the company has pointed out throughout its response to Stocklemon.com, the facts do not point to any inconsistencies. The Company has more than adequate controls and goes beyond the written requirements of Sarbanes Oxley by, for example, hiring the services of an independent forensic examiner who makes unannounced visits (not less than once per quarter and more frequently at his discretion) and reports to the independent Board Members and outside auditors.
Challenge- If within the next 15 days, a truly independent, national auditing firm is retained to do re-audits Yp.net for the year 2003, and no material restatements to the just filed 10-K are required, Stocklemon will pay the cost of the audit
When the time is appropriate, the Company will interview to obtain a larger auditing firm. For a Company that is currently listed on the OTCBB, the Board believes a firm of the size and reputation of Epstein Weber & Conover fills the needs and budget of the Company.
We do hope that Stocklemon.com will stand true to its offer when we do hire a larger national auditing firm. The savings will come in handy!
Part 3 Report to be on the Business of YP.Net
Stocklemon has reason to doubt the numbers and revenues being presented by YP.Net and their auditors due to their lack of disclosure on other issues. We believe that the character of the company alone is enough to cast doubt on any revenue figures they put forth. In part 3, Stocklemon will review the financial state of the company as well as look into the business practices of YPNT. Their questionable business practices have most recently been discussed in the Dallas Morning News on 12/24/03.
As disclosed in our SEC filings, Currently, our direct mail marketing program includes a direct mail solicitation, which is made up of several pages describing in detail our products, services, pricing, instructions on how to sign up for the service as well as how the potential advertiser will be billed. Included in this solicitation is a promotional sign-up incentive, generally in the form of a $3.50 activation check ("Sign Up Check"), made payable in the name of their business. If a potential advertiser is interested in, and wishes to order our service, all the advertiser needs to do in order to sign-up for our service is deposit the incentive Sign Up Check in the advertiser's bank account. Because a check made out to the name of a business can only be deposited in that businesses account, the advertiser's bank then acts as a third-party verifier, confirming that the solicited advertiser is in fact the advertiser ordering the service. This deposited check then acts as a written Letter of Authorization ("LOA") (authenticated by the advertiser's bank), which we obtain from each and every advertiser prior to activating any service or billing.
Once the Advertiser deposits the Sign Up Check, a series of events begins. Our staff then places a telephone call to the Advertiser to confirm the sale, update the business information to be listed, provide our toll free number and obtain additional information to build the Mini-Webpage™ for the Advertiser. During this call, our staff again asks if the Advertiser has any additional questions regarding our service and repeats our toll-free number for any future questions.
In addition to the written Letter of Authorization and telephone call, we also send each and every new Advertiser a written "Order Confirmation Card" within 30 days, thanking them for choosing to do business with us, informing them of our 120-day no risk money back policy, verifying the advertising information to be displayed, confirming their order and the monthly fee which they have agreed to. I also emailed the headquarters to see if they would provide a list of the Ebay usernames for the seperate stores, if they are willing. Will post the results.
I hate to be the bearer of bad news, but Net2Auction is the only eBay userID selling on eBay.. I called about 5 of the locations over this past weekend and all of their stores are simply dropoff locations.. The stores do not list the items themselves rather they accept the items from customers and send them off to Net2auction Headquarters in San Diego and Pauline lists them all under the Net2Auction UserId.. So yes the one Net2Auction UserID is listing all of the franchises items they are taking in.. to make things worse with 44 dropoff locations and a market cap of 125 million that makes each dropp of location worth 3 million, pretty bad considering each dropoff location is only sending an avg of 2 items to be listed per week.. Thats messed up? Anyways I ignored all of my own research and just hoped buyers would go along with the flow and not dig too deep and it was working until stock lemon ruined the promising run.
Anyways I still got out with a decent profit, as soon as I saw Net2Auction drop wildly the first thing that came to my head was stocklemon.. I checked Yahoo for news then went right to StockLemon and my suspicion was correct.. Didn't even read 1 word of the article, saw the headline and todays date and dropped all 35,000 shares at .060
Very Interested to know what time the StockLemon article was actually posted to their website though.. Can a Pink Sheet Stock be shorted?.. StockLemon's business sounds too damn easy to rake in the big bucks.. They even do a crappy job of tearing holes into companies and still have a tremendous effect.
It's strange marketwatch show NAUC was up 38% in afterhour trading .. ? Is it a mistake ?? ($3.87)
4 & half millions exchanged yesterday. I still have 250000 shares which would be one 18th of that volume. Does anybody think I'm the largest shareholder of AMRE? I don't think I am. I'm holding ::)
not sure if to sell or hold on amre. any suggestions; im off to work in 20 min. so I need to use a limit order.
Yuyjust, Ameritrade shows last at 3.865 so Marketwatch is correct.
LoL Trunk, that was probably me that bought your 35k shares at .06!
Hoping for a rebound from yesterday
Considering all information I got I'll continue to hold AMRE.OB through today's session.
.046/.047. Wondering where the bottom will be, and perhaps a reentry point.

well in our case at the price we got in, would be like 50%. well, let's hope we get some buyers.
Holding so far but it hurt!
I forgot one of David's rules, to never let a profit turn into a loss. I let a $200 gain turn into a $570 loss :(. I've got to remember this rule ;)
ended @ 0.043, I will hold

Sold the other day on the way down and bought in again yesterday at .045. Let's see what happens! ::)

It's strange... when NAUC drops, so does AMRE, but when NAUC goes up, AMRE doesn't match it. I guess that's the stock market.
AMRE.OB is an asset play. The assets the company has, NAUC and RBSY, are worth a lot more than the company itself. Asset plays usually take some time to be recognized, but they are safe bets.
There's no way I'll sell AMRE.OB around current prices, I really don't care what that Stocklemon says, the market always know better and he's the one who determines value in the stock market, not an analyst.
I'll stick to the initial plan.
AMRE.OB filed a late filing notification, here's the company's justification:
«The Company's new independent auditor has not yet completed the final accounting review required for the Form 10-QSB.»
Not a problem.
The stock was up 10% intraday yesterday, but then it fizzled at the end of the session. It was a no history day for AMRE.OB. The upcoming quarterly earnings report will be a good opportunity for investors to see the market value of AMRE's subsidiaries and adjust the stock price.
I'll continue to hold this penny stock.
This sucker looks under valued.
Nothing new on AMRE.OB, I'm waiting for the quarterly report to show what's their holdings and what's their market value. Then investors will do the math and AMRE.OB will shoot higher.
That's my expectation. I'll continue to hold the stock.
When will the quarterly report be released? Aug. 23?

I don't know irod, couldn't find that information anywhere :-[
Today it wasn't, so nothing new on AMRE.OB, I'll continue holding the stock.
8K filed, they completed the buyout out some company for $80k, not entirely sure what for.

Change in Assets, Financial Obligation Matter
Item 2.01 Completion of Acquisition or Disposition of Assets.
On April 15, 2005, AmeriResource Technologies, Inc., a Delaware corporation (the "Company ") acquired twenty-three million (23,000,000) shares (the "Shares"), or approximately 97% of the outstanding voting common stock, of Voipcom, USA, Inc., a Delaware corporation ("Voipcom"). Although Voipcom currently has no operations, its capital structure and broad base of shareholders position it as an entity that the Company may use to become a home to a yet to be acquired entity.
The acquisition was made pursuant to a certain Share Purchase Agreement, dated April 15, 2005 (the "Agreement"), between the Company and BBG, Inc. The purchase price for the Shares was eighty thousand dollars ($80,000.00), with the purchase being treated as an investment in subsidiaries. The Company has not decided what course of action it will undertake with Voipcom, however, the Company is considering reselling the Shares or placing assets into Voipcom and thereafter attempting to have Voipcom's common stock become publicly traded.
Item 2.03 Creation of a Direct Financial Obligation or an Obligation
under an Off-Balance Sheet Arrangement of a Registrant
On April 12, 2005, the Company executed a promissory note (the "Note") to CIDA Asset Management for $80,000. The Note was executed to obtain funds to finance the purchase price for the Shares in relation to the Agreement (as described in Item 2.01 above). The Note accrues interest at the rate of prime plus three percent, and all unpaid principal and interest shall be payable on or before November 12, 2005. The Note can be converted into restricted stock of the Company at a share price equal to 50% of the bid, based upon a five day trading average at any time prior to November 12, 2005, and upon the mutual consent of the parties.
Sold my AMRE and bought more
HISC.
If AMRE did not rise when NAUC went over $ 3.00, something is wrong, IMO.
Beyond the Lemon Report.
There are plenty of these springing up.
I see commercials for E-Bay drop off all the time and never these companies.
Surprised you are holding so long, David. What happened to Time Value of Money ?
From David's post:

I'm waiting for the quarterly report to show what's their holdings and what's their market value. Then investors will do the math and AMRE.OB will shoot higher.
We got some news on AMRE.OB, an acquisition of a very small company for $80,000 as eduardvs posted.
irod said it all, I'm waiting for the second quarter earnings report on AMRE.OB and see what the investor reaction will be. In the meantime, I'll hold the penny stock.
Dave,
from reading yours comments, I could clearly see two different plans there:
1)you are considering to keep and hold this stock at any price because the press release will cause the stock to sky rocket to the upside where sky is the limit!.
2)you are happily waiting for the news but ultimately the market knows better and the support level 0.34, shows the maximun pain level you are willing to take for this baby.
Which one is yours?
I would find hard to guess which one is yours?
Worse, sometimes between few plans, sometimes I don't chose any!
Ultimately, doing so, is leaving the market choosing for me!
From watching your trading technique with those different strategy, I find it a great source of inspiration! Lol
Keep up the great work!
Both :)
I'm willing to wait for the press release or earnings report, but I won't tolerate a break of the $0.34 level, regardless of everything on the fundamental side.
Thanks for your post !
Quarterly report is out: http://biz.yahoo.com/e/050822/amre.ob10qsb.html
Thanks for the link irod, I would like to highlight the following from AMRE.OB quarterly report filed with the SEC:
«On August 12, 2005, there were 59,789,592 outstanding shares of the
issuer's common stock, par value $0.0001.»
So, the market cap of AMRE.OB is 59,789,592*$0.041= $2.45M
Now, let's consider this:
«The Company's operations for the quarter ending June 30, 2005 were
primarily affected through its subsidiaries, Net2Auction, Inc. ("Net2Auction"),
and Net2Auction Corporation, RoboServer Systems Corp. ("RoboServer"), and
Self-Serve Technologies, Inc. As of June 30, 2005, the Company owned 45.5% of
Net2Auction, which owns 100% of Net2Auction Corporation. Net2Auction is publicly
traded on the NQB Pink Sheets under the symbol of NAUC. As of June 30, 2005, the
Company owned approximately 44.5% of RoboServer, while RoboServer wholly owns
Self-Serve Technologies, Inc. RoboServer is publicly traded on the NQB Pink
Sheets under the symbol RBSY.»
NAUC.PK is worth, by market prices, 49,154,500*$2.24= $110.1M, so 45.5% of this is worth $50.10M.
RBSY.PK is worth, by market prices, 55,000,000*$0.26 = $14.3M, so 44.5% of this is worth $6.36M.
Considering this AMRE.OB participations in its subsidiaries is valued, by the market, at $50.10M+$6.36M = $56.46M and AMRE.OB is worth just $2.45M.
So, to reflect the market value of its subsidiaries, AMRE.OB stock should rise $56.46M/$2.45M = 23 fold.
Not 260% as I was considering, but 23 fold according to the number of shares outstanding and the percentage of participation on its subsidiaries constant on this updated report :o
So, why doesn't the stock rise immediately?
I don't know, there are two possibilities:
1) This analysis is totally wrong, the information given by the company is false.
2) We have a great inefficiency on the market, and the holding company is not valued accordingly to the market value of its subsidiaries.
Let us highlight a bit more from the 10-Q report:
«Principles of consolidation
The consolidated financial statements include the combined accounts of
AmeriResource Technologies, Inc., West Texas Real Estate & Resources', Inc.,
RoboServer Systems, Inc., Self-Serve Technologies, Inc. Net2Auction, Inc.,
Net2Auction Corporation, VOIPCOM USA, Inc., and Tomahawk Construction Company.
All material intercompany transactions and accounts have been eliminated in
consolidation.»
«NET2AUCTION, INC.
Net2Auction has become one of the largest operators of online auction
drop-off locations by developing relationships through partnership agreements
with independently owned and/or franchised pack and ship centers. In order to
assist in growing the operations and increasing revenues, management made the
decision to utilize a proprietary software program that provides an all
encompassing system which ties in eBay, PayPal, Net2Auction, and the customer.
Net2Auction's relationship with EBay allows Net2Auction to reach millions of
potential buyers for our customers' unwanted goods.
Management believes Net2Auction's operations and revenues will continue
to grow whereby increasing revenues each month through the end of 2005 and into
2006, which will bring meaningful revenues for the Company. Currently,
Net2Auction operates forty (40) drop-off locations in San Diego and Orange
County, California. Net2Auction's goal is to have seventy-five (75) drop-off
locations in place by the end of 2005. Net2Auction moved its headquarters in May
2005 to 10979 San Diego Mission Rd., San Diego, CA 92108. To learn more go to
www.net2auction.com.
ROBOSERVER SYSTEMS CORP.
RoboServer continues to explore market opportunities in the restaurant
business and has uncovered several potential markets outside of the traditional
fast food arena. Although the flagship point of sale software remains
potentially a significant module to the main product line of self-service
kiosks, emphasis has migrated from the flagship POS system to new applications
and product models of kiosks. Through market research, management believes the
POS market is near saturation and RoboServer will use all available resources on
the kiosk products. The shift in emphasis to kiosk based ordering systems, while
delaying revenue generation, has uncovered an underserved market.
RoboServer is spending considerable efforts to educate corporate
offices about its Kiosk based customer system. RoboServer has signed its first
pilot site for this new technology and anticipates the deployment of its first
finished product in late summer of 2005. RoboServer believes that within the
next two to three years, 20% to 30% of the fast food restaurants in the United
States will deploy some type of this technology to their retail outlets to
provide customer service plus accrue the benefits in labor cost savings.
Management believes RoboServer's operations and revenues will begin to generate
meaningful revenue prior to December 31, 2005. To learn more go to
www.roboservercorp.com.
WEST TEXAS REAL ESTATE AND RESOURCES, INC.
West Texas did not have any business operations in the second quarter
of 2005.
VOIPCOM USA, INC.
Voipcom USA, Inc. did not have any business operations in the second
quarter of 2005.»
Considering all this, I can't think of another thing to do than to continue holding AMRE.OB and hope the market sees and corrects this incredible inefficiency.
(I'm sorry not to attach a chart as I usually do, I have a problem with my Metastock database)
It touched .039 today and it ended down at 0.04. Something's definitely wrong with this one. I wish we knew what it was. :(
Yes irod, I wish we knew. I would like to confirm the market cap of NAUC.PK and RBSY.PK, since I've calculated it using the number of outstanding shares multiplied by the current market price.
This is the correct way of doing it, but I wonder if there's some special rule or something regarding the Pink Sheets.
Where do we get a source for reliable information about the market cap of Pink Sheets stocks? Anynone knows? It is impossible to evaluate a company without knowing the market cap ...
Anyway, on the report issued yesterday by AMRE.OB we see the company is active and generating revenues, although they're still small. That's a progress over the last few years.
I'll continue to hold the stock for the foreseeable future, I don't think it will ever close below $0.034 and the upside potential is huge.
Nothing new on AMRE.OB, I'll continue to hold this penny stock. NAUC.PK was up 2% yesterday.
Form 10-QSB failed to inspire buyers into AMRE.OB, but it confirmed my fundamental assessions on the stock.
It's really hard to see it fall like this, but there's nothing we can do, certainly I won't buy the company ;D
Being down 25% on AMRE.OB what I got left is my initial trading plan, which is to hold the stock as long as it closes above $0.34 or sell with a big profit. That's what I'm going to do.
I guess it's not a big problem to lose 30 or 40% in some penny trades, regarding that one can make 100 or 200% in some of them too.
This is why diversification is so important. More than diversification, the money management rule of not putting more than 10% of the capital in one single penny stock. To be full invested on the 3 Pennies on Fire Portfolio we need to have 10 penny stocks.
I'm in for the ride. >:D
$0.034 is an obvious support level for AMRE.OB. The stock shouldn't be trading here, given it's assets, but there's nothing we can do, the company lacks visibility. Perhaps it is just building a solid and prolonged base before it takes off, I don't know, I'll continue holding the stock for as long as it closes above it's medium term support level of $0.034.
Those are very serious allegations, stout. Could you please provide us to the links where you got this information?
AMRE.OB rose a bit yesterday, holding the support zone. I'll continue with my plan.
I'm getting more and more ready to sell AMRE.OB at a big percentage loss (capital isn't mush, but more than 30% is always a big loss >:(). Anyway, I'll take a valuable lesson out of this, that I will share with you later.
Well, ate least competitors recognize AMRE.OB, read this:
«Snap N' Sold Corp., http://www.snapnsold.com, is engaged in the eBay (NASDAQ:EBAY), drop store industry with competitors, Las Vegas based Net2Auction Inc. (Pink Sheets:NAUC), subsidiary of AmeriResource Technologies, Inc. (OTCBB:AMRE.OB), Dallas based Orbit Drop, Inc. (Pink Sheets:OBDP) and Auction Mills Incorporated (Pink Sheets:AUML) as well as other auction facilitators like the EZ2Companies.com, (OTCBB:EZTO).»
Funny how the stock is listening to you and not dropping below the .034 support level yet. Hopefully it will bounce and you and I won't have to take that big loss.
I'm still in from .06 (couldn't cancel my buy before it dropped).
If this isn't the bottom, I don't know what is.
Quote from: eduardvs on September 01, 2005, 09:44:28 PM
If this isn't the bottom, I don't know what is.
When I read that, a sense of dread appears in my mind...
Knock on wood.
It's almost unbelievable, but AMRE.OB is reacting to the $0.34 support. I've said time and again that the fundamental value of this company, based solely on the market value of its subsidiaries, is much higher than the current share price implies. However, the stock was coming down and down.
Now we had just a bounce, let's see what happens in the next few days.
Hm, continue to hold or not. Seems to have dipped below the .034 support line.
Not sure if it will continue to be there as we get closer to the close or not.
705k volume currently
High of .037 today, Low of .033 which is the current price.
This thing sank hard after I was watching it during the last post. Got out @ .03 :(
I guess everyone did see the financial release Saturday (they tried being sneaky about it).
We'll see if it bounces now that I'm out! Wouldn't surprise me if it did.
I also sold at $0.30 eduardvs, for a 41% loss. Though I had only $1,000 invested this was a big loss.
The lesson I take from this is not to come back to stocks where one has made a crime, a crime being making 1200% profit in just 3 days >:D
I don't want to talk about or hear anything about AMRE.OB for years now. Goodbye my love :-*
I really wish all of you luck next time. But in my situation I got in and out and I made a killing. But i have to thank some members here for the valuable info they provide.
DAVID,HAPPY AND PROSPEROUS NEW YEAR! ANY IDEA WHAT'S UP WITH "AMRE"
THANKYOU
I have some comments on AMRE
Located here on The Penny Stock Picking Board, if you are interested.
http://www.3stocksonfire.org/trading/index.php?topic=1146.msg40348#msg40348
Took this off my watch list, (RBSY) which AMRE owns,
and look what happens. AMRE also owns NAUC.
Go back to page 1 of this thread and David gives you that info.
It came to mind since AMRE has been making a little move lately I should
check up on RBSY....well :o
The calculations
(similar to page 1)
AMRE: 360,127,294 * 0.0169 = 6,086,151,26
51 % of NAUC gives: 0.51*49,154,000 * 0.42 = 10,528,786,8
49 % of RBSY gives: 0.49*55,000,000 * 1.36 = 36,652,000
together: 47,180,786,8
So we can change the title into:
AMRE.OB should rise 775.21% to reflect the value of its subsidiaries
If: calculations are right (i think so, but correct me if i'm wrong)
If: share structure of the companies is the same as in august (is it?)
Is it a BUY? technically?
ooops forgot something:
AMRE.OB now @ 0.0169
to
AMRE.OB @ 0.13101 $ to equal the subsidiaries as of today
final note for today:
there is an email spreading
"Bullish Alerts" with RBSY as their top stock pick
Probably the 'normal' Pump and Dump?
but maybe worth a risk with the AMRE?
Been amazing today as stockster put it up and the momo players took it 350% so far
http://tinyurl.com/lrvfb
They put out a note as seems the SEC made them be a bit more clear so they stated that they bought 12 million shares in the last week for an average of $0.0045 - so far they are up nicely
a new age when a pump and dump is explained and it still works
