well did a search and did not come up on this board yet. another of the security stocks, started today at 0.46 ended the day at 0.87. after hours news moved it in ah to 1.64. so this morning it was a penny stock but it seems it no longer is. see legs in this?
i saw it last night (day before big rise).
look at the sporadic volume.
would u have bought it?
i didn't. arggg.
A picture says more than ....
WOW!
I hope you bought it early, catrader ;)
unfortunately, i think too much. so i thought it is already up like 60%, can it go more? i thought and thought. in retrospect, should have checked out yahoo boards where some posters thought stock might go over $1(saw this after hours). after hours news and even pops more. makes you mad, but i guess there are opportunities like these every day. just have to act on 'em and get over your fears. this would have been one worth chasing i guess. we can second guess ourselves but just get over it. guess if i see opportunity better share it here to get others opinions. happy trading.
Here's what the new was, that got this one going:
MDI shares rise 60% in heavy after-hours trading (MDII) By Scott Banerjee
SAN FRANCISCO (MarketWatch) -- Shares of electronic security products company MDI Inc. (MDII) jumped more than 60% to $1.40 Monday evening after the company said that its subsidiary, MDI Security Systems, has entered into a product and sales promotion agreement with PSA Security Network. PSA will offer MDI products to its membership base of 285 electronic security dealers and integrators. Shares of San Antonio, Tex.-based MDI rose more than 97% to during Monday's regular session.
Well, it made the run on the news, going to over $1.75, and now has pulled back to $1.00. Perhaps some more PR will get this moving again.
Sit around 61.8% fib retracement. with a little kick in PR this thing could go up again. JMHO

Awesome pick here :o
Just putting up the chart, MDII showed up on my filters today, but since it was up so much on AH I'll pass this gap up ... as catrader said, opportunities like this show up, well, not every day, but certainly every week.
Good luck ! (applaud)

MDI, Inc. CEO J. Collier Sparks Delivers 2005 State of the Company Address
Friday September 2, 7:25 pm ET
SAN ANTONIO--(BUSINESS WIRE)--Sept. 2, 2005--J. Collier Sparks, CEO and President of MDI, Inc. (NASDAQ:MDII - News), today released the following State of the Company address reporting the Company's current position, major achievements and future direction.
On behalf of MDI, Inc., I would like to extend my sincere
gratitude for your continued support of the Company.
It has been a year since my last public address to our
shareholders, partners, vendors and members of our distribution
channel. Since that presentation, there have been many changes within
MDI. I feel it is the right time for me to provide an update of our
Company's activities over the last year and what lies ahead. I provide
this update with the understanding that there are many significant
challenges that we have yet to overcome.
Our Vision
Our overriding vision for the Company is to become a leading
provider of integrated security management solutions and comprehensive
video security products. To fully realize this, we are focused on
building an organization that delivers high-value innovative solutions
for our customers, provides enrichment to our employees and creates
positive returns for our shareholders.
Profitability -- Our Overriding Goal
During the first half of this year, the Company implemented
various reforms. These reforms were executed with one goal in mind --
to position the Company for profitability. To do so, several strategic
changes were made in our corporate structure and employee base. By
continuing to properly adjust the size of our work force through
reassignments and "smart-sizing" the organization, the Company has
established a smaller and more efficient team of core employees. The
hard-working and innovative spirits of this team will no doubt
contribute towards our achievements as we move forward into the second
half of 2005 and beyond. I would like to take this opportunity to
thank them for their dedicated efforts.
State-of-the Art Products
In addition to our current product offering, SAFEnet, iTRUST,
VIEWpoint and nTEGRITY, we will unveil at the ASIS Show in Orlando
later this month our new Integrated Intelligent Video Solution. I
would like to invite all of you to join us at booth #4043 for a
demonstration on the power of this capability, as it is where much of
our research and development efforts have been focused.
At the ASIS show, we will demonstrate how our intelligent video
solution performs intelligent analysis that fully automates video
monitoring. The system automatically identifies objects, tracks
objects, analyzes motion, extracts video intelligence and issues real
time alerts via the SAFEnet platform.
The system also analyzes and mines video data and outputs results
as real-time events, storing them in a database for future review.
Modules include intrusion detection, unaccompanied baggage detection,
asset protection, object detection and tracking, exit-entry direction
monitoring, motion analysis and behavior analysis. I am sure that you
will not be disappointed with its capabilities.
New Business Initiatives
UPGRADES TO OUR INSTALLED CUSTOMER BASE -- Because we were not
pleased with our mid-year financial performance, we have made some
major changes in July and August, primarily within our newly formed
Federal Systems Division. With Jim St. Pierre as President of this
division, the team has managed to solidify upgrades from a number of
legacy client locations. This is a significant accomplishment because
these were customers that had a decision to make...either to keep our
systems installed or replace them with the system of a competitor. We
worked hard to correct any problems that existed with our installed
systems and the result was that we were able to upgrade several of our
current systems.
NEW BUSINESS -- Our team has managed to increase the Company's
business with implementations of our SAFEnet and VIEWpoint integrated
video security solution at a new United States Air Force facility on
the West Coast. This project has resulted in approximately $450,000 in
revenue. As implementations like this one prove successful, we will
use the knowledge gained with each project to increase our penetration
into the commercial and the middle market with similar solutions.
Recent Accomplishments
In August, the Company successfully raised approximately $4
million through the sale of common stock to a group of private
investors. This gives the Company cash it needs to further its
business plan. In addition to this, we recently received notice from
Nasdaq in August that we were back in full compliance with the Nasdaq
SmallCap Market Place Rules. With these two issues resolved, we can
devote all our time and efforts on developing the business.
In order to succeed, our business must be developed through our
Security Dealers and Security Solution Partners. As we do not sell
directly to end users, our dealers are the primary point of focus in
our latest marketing efforts. We have signed 44 new dealers in the
first half of 2005. This is equal to the total number of dealers
signed in all of 2004.
In July, we announced that we had signed a business agreement with
the PSA Security Network, the largest buying cooperative of its kind
in the world. This network includes over 250 dealers nationwide. We
are dedicated to the PSA network and will invest the necessary
resources and manpower to make this relationship a success.
A Word About Our Stock
We care about our shareholders and the ability for them to realize
a fair return on their investment over time. But, we do not, and will
not, operate the Company, or issue "news releases," or otherwise
promote ourselves in a way designed to artificially cause movement in
the price of our stock.
2005 Summary
I will now summarize some of our activities and accomplishments
over the first half of 2005.
(i) Upon completing our review of our mid-year results, it became
apparent that we did not require the level of staffing that we had for
the first half of the year. As a result, we have been able to reduce
our headcount by 25%. As our business increases, we will ramp-up to
meet demand.
(ii) We successfully launched a new line of video security
products, which we sell under the VIEWpoint brand. This new product
line was developed based on the needs and requirements of our Security
Dealers and their customers.
(iii) We successfully launched a new mid-level integrated access
control product, which is based on the SAFEnet software platform. This
application, which we branded as iTRUST, is more affordable and easier
to use than our enterprise-level SAFEnet system because it is designed
to handle the access control and monitoring functions for
organizations who need an entry-level system.
(iv) Our SAFEnet Open System Integration platform was awarded
integrated physical security product of the year by Network Defense
Product News (a Government Security News Publication) at the ISC West
conference in Las Vegas.
(v) At the same conference, we introduced our nTEGRITY line of
access control readers and biometrics. This line gives our Security
Dealers an affordable package for iTRUST customers while allowing them
to purchase everything they need from one single source, minimizing
order complications and delays.
(vi) We introduced the Company's first formal software maintenance
packages, complete with tiered pricing levels, focused on streamlining
technical support while increasing revenue.
(vii) SAFEnet became the first (and only) security product in the
industry to receive NIST certification on its proprietary Advanced
Encryption Algorithm.
(viii) MDI received UL 1076 and UL 294 certification on SAFEnet in
advance of the new UL Listing requirements.
(ix) The Company's iTRUST small business solution was awarded
Security Technology of the Year for 2005 by Secure Convergence
Magazine.
(x) MDI's SAFEnet and VIEWpoint products were chosen to secure
Singapore's National Day Parade.
(xi) MDI signed an agreement with the PSA Security Network to
offer its iTRUST, VIEWpoint and nTEGRITY products to over 250 PSA
Member Dealers.
2005 Challenges
Despite our accomplishments in 2005, there are many challenges in
front of us that we will have to meet head on. These challenges
include:
(i) REVENUE. Our primary focus is to create new sources of revenue
and to generate new business from our existing customer base. Sounds
basic, doesn't it? Well, it is. The Federal Systems group will manage
our legacy business. Our Enterprise Sales group will manage our
commercial business. Our Small Business group will manage our
middle-market business. We will invest our resources by hiring a new
team of territory sales representatives as part of the Small Business
group. These representatives will target all PSA Dealers and other
middle-market security dealers with our iTRUST, VIEWpoint and nTEGRITY
product brands. The sales cycle for the middle-market products is
weeks, not months. Accordingly, this business should lead to a more
predictable revenue stream as in the Enterprise Business.
(ii) MARKETING. We are focusing our marketing efforts on
developing new sales and distribution channels. We will continue to
grow our international business by developing established distribution
partners who have the capability and customer relationships in key
countries. Combined programs that include our marketing, outside sales
and inside sales departments working together to deliver valuable
product information to our dealers will assist in gaining dealer
mind-share, which should eventually transfer into market share.
(iii) CASH. Even though we have just raised approximately $4
million, which is to be used for general operating purposes, we are
continually mindful that we need to invest our cash wisely and to keep
a watchful eye out for unnecessary expenses.
(iv) PEOPLE. To keep and attract the needed people to run our
Company will be a challenge. Today, we are blessed with a core group
that has endured some tough times over the last year or so, but who
remain committed to seeing our Company succeed. As their President, I
am grateful for their hard work and dedication. I also am mindful that
the cost of replacing people is expensive and time consuming. I
believe that employees are the key to a Company's success and that
they should share in its success.
Looking to the Future
Now that we have overcome our short-term cash challenge, and with
our increased focus on sales, I believe that we will be successful in
obtaining significant orders for our products. However, reaching
profitability will not be easy. Let me be specific. Our latest 10-QSB
for the quarter ended June 30, 2005, shows revenue for the quarter of
$1.8 million. It also shows operating expenses for that period of $2.7
million. Assuming our costs and margins remain constant, we will
continue to use more cash than we will generate from operations, until
we increase revenues. Therefore, our future efforts will be focused on
generating revenue. Based on the above assumptions, we will need an
additional $900,000 in revenue each month to become profitable.
To this end, our Federal Systems, Enterprise Sales and Small
Business Sales groups will be the core components in our strategy. We
will invest in our Sales team and give them the products and tools
necessary to deliver the right message, to the right prospects, with
the right frequency.
In closing, it is my firm belief that the worst times are behind
us and the future looks very bright. I will continue to communicate
with you, our shareholders and partners, as we progress down this
journey together.
Thank you for your continued support.

MDI Security Systems Launches VerifEye IVS(TM) Intelligent Video Security Software
Wednesday December 21, 1:31 pm ET
VerifEye Delivers Real-Time Situational Awareness, Layered Intelligence, Post Event Analysis and Increased Surveillance Efficiencies through Automation
SAN ANTONIO--(BUSINESS WIRE)--Dec. 21, 2005--MDI Security Systems, a subsidiary of MDI, Inc. (NASDAQ:MDII - News), today announced the availability of their VerifEye IVS automated video data analysis and intelligent object recognition software. VerifEye is available for immediate delivery as a stand-alone software application, as part of the MDI VIEWpoint network video management solution or as an integration module into the MDI SAFEnet Open Systems Integration Platform. It provides automated real-time object tracking and identification, smart motion analysis, video intelligence extraction (from analog or digital streams of live or stored video) and customizable alert reporting when exceptions occur.
VerifEye detects, identifies, recognizes, classifies and tracks objects as they appear into a camera's field of view. It then immediately generates alarms or triggers alerts based on customized events established by the user. Alert information includes, but is not limited to, event type, priority, object type, object ID, color, size, position, speed, location, time, direction and distinct behavior. Flexible output and alerting capabilities include:
Output relay I/O and contact closures
XML and IP messaging
LAN or USB outputs
Email, Pager, PDA or Phone alerts
Output to databases, files or XML formats
External systems integration using IP, XML and ODBC standards
Customizable reporting structure
"The unmatched layered-intelligence capabilities of VerifEye increase the productivity and efficiency of today's video surveillance systems by converting conventional reactive processes into automated, proactive intervention," stated Collier Sparks, President and Chief Executive Officer of MDI, Inc. "Whether implemented on its own, or integrated as a solutions module into the SAFEnet® OSI Platform, VerifEye delivers an immediate return on investment to our client base. It reduces the need for additional security personnel, increases operational efficiencies in retail and business environments (trend spotting) and eliminates false alarms caused by irrelevant events," he added.
VerifEye was designed to make use of the data produced by the camera as it happens and therefore works with a variety of analog, digital and network cameras, including the entire VIEWpoint 20/20 line from MDI. It can accept raw uncompressed video or MPG1, MPG4, MJPG, H263 and AVI formats. The system can be deployed at either the front-edge of the security network with the camera and DVR, or at the backend behind the network or Internet.
The standard VerifEye IVS package offers the following features and capabilities:
People and Vehicle Tracking
Motion and Behavior Analysis
Facial Detection
Perimeter Monitoring
Intrusion Detection & Secure Area Monitoring
Unattended or Abandoned Object Detection
Asset Protection & Object Removal
Anti-Tailgating and Anti-Piggybacking
Object Counting & Statistical Reporting
Entry & Exit Directional Monitoring
Object Detection, Classification and Pattern Recognition
Automated Self-Learning
GPS and Port GIS Mapping
Multiple Camera Tracking
Dynamic Report Generation
Utilization of Infrared and Thermal Cameras
Video Stabilization
Automated 24/7 Video Monitoring with Real-Time Alerts
High-Tech Filters that Exclude Natural Background and Irrelevant Objects
Advanced intelligent add-on options for VerifEye IVS include:
MotionEye - A powerfully superior video motion detector. It is an excellent enhancement option to all Digital Video Recorders, security systems and sensors. MotionEye far outweighs the basic built-in features found in cameras and DVRs.
TrackerEye - A sophisticated technology that automatically tracks objects with Pan/Tilt/Zoom (PTZ) cameras and eliminates the manual control process by automatically following and tracking objects. In complex situations, TrackerEye makes intelligent decisions based on threat levels and distances; tracking targets until completely out of the camera's field of view.
IntrusionEye - A state-of-the-art video based solution to anti-tailgating, anti-piggybacking and anti-passback. IntrusionEye directly addresses the long-standing problem of "access bypass" faced by the security industry. It ensures compliance with access control procedures via video verification and can easily be added on to most systems, including MDI's award-winning SAFEnet and iTRUST integrated solutions.

MDI, Inc. Granted U.S. Patent for Storing Video Data
Monday December 26, 8:32 pm ET
Newly Patented Technology is a Fundamental Change in Storage of Video Data
SAN ANTONIO--(BUSINESS WIRE)--Dec. 26, 2005--MDI, Inc. (NASDAQ:MDII - News) announced today that it has been granted a new patent for video data storage by the United States Patent and Trademark Office.
MDI has been granted U.S. patent number 6,892,246 entitled "Computer System and Method for Storing Video Data" effectively serving to strengthen the Company's intellectual property portfolio and supporting its strategy of increasing shareholder value through the licensing of patented technology.
Summary of Invention
According to J. Collier Sparks, CEO and President of MDI, Inc., "The patent covers a major development for a method of storing video data in computer memory. Based on this innovative technology, the Company now has a method for storing video data in a mass storage device where once the mass storage device has reached its capacity, the oldest video data is degraded by removing random pixels from the video frame."
Background
Mr. Sparks went on to say that, "This invention solves the problem that software developers and users have had for years in developing processes to store data in the least amount of space required in a mass storage device. While there are numerous compression techniques available, the storage of data using these compression techniques ultimately result in the filling of the available storage space. MDI's invention solves this problem by identifying the oldest video data, removing it from mass storage, degrading the video data and thereby leaving space in the mass storage device to store the most recently received video data."
Company Strategy to Develop the Invention
"MDI now commands revolutionary technology that allows a dramatic increase in the online time of digital storage devices to the longest possible in the industry. Current proprietary hardware and software under development by the Company will allow its customers to control the level of video data compression tailored to their needs based on image resolution instead of hardware capacity," said Sparks.
"In conjunction with our recently announced acquisition of Advanced Security Link, Inc. of Costa Mesa, California, we plan to release a digital storage system in the second quarter of 2006 that is fully integrated with our proprietary SAFEnet® system," said Sparks.
Company Strategy to License Technology
Richard A. Larsen, Senior Vice President and General Counsel of the Company, commented that, "The company believes in the value of creating intellectual property as well as developing the necessary strategies to protect those assets. To that end, we invite all interested parties to contact us should they be interested in practicing any of the claims disclosed in the patent. We are certainly receptive to discussing an immediate license of the patent and the technology disclosed in and protected by it."

MDI, Inc. Completes Acquisition of Advanced Security Link
Friday January 6, 8:30 am ET
Combined Company to Deliver Cutting Edge and Comprehensive Video Data Capture, Transport, Storage and Maintenance into a Single, Reliable and Scalable Platform
SAN ANTONIO--(BUSINESS WIRE)--Jan. 6, 2006--MDI, Inc. (NASDAQ:MDII - News) today announced the completion of its acquisition of Advanced Security Link ("ASL") of Costa Mesa, California.
The combination of MDI and ASL creates one of the world's most innovative remote video transmission and data storage companies bringing together some of the industry's strongest remote video surveillance and digital video recording (DVR) technology. The move accelerates MDI's strategic initiative to advance its line of video products and its SAFEnet® system and provides the company the opportunity to combine its newest patented technology into its security and video data platforms.
ASL Technology
Tim Rohrbach, Vice President - Technology for MDI, explained the benefits to MDI of acquiring the ASL technology. "Over the last year, we have redesigned our video platform to accommodate the upgraded SAFEnet® system to be compatible with industry standard data recording systems and data transport protocols. The Company has used the technology disclosed in its United States Patent No. 6,580,951, entitled 'Communications Distribution Apparatus and Method,' awarded June 17, 2003, to increase the efficiency and reliability of the SAFEnet® network. In the process, the video data capture capabilities of the Company have greatly expanded from even one year ago to be both scalable and affordable. The energy of the Company has been closely focused on video data capture and transmission, but not yet toward large scale data storage and maintenance. By acquiring ASL, we immediately obtained a system that stores, manages and distributes video data across local or enterprise scale networks. Because the ASL DVR utilizes modular plug-ins, our customers will now be able to (i) record transaction data and video simultaneously, (ii) add time and attendance to their DVR, and (iii) scale their system by adding cameras without replacing video capture hardware. This can be done through one simple-to-use interface that connects sites, enterprise wide. In our press release of December 26, we announced the award to MDI of United States Patent No. 6,892,246, entitled 'Computer System and Method for Storing Video Data,' awarded May 10, 2005, which gives the Company control over technology that greatly expands the data storage capacity of a DVR system. Combined with the state of the art DVR systems now made by ASL, the Company will be at the leading edge of video data storage as well as video data capture and transmission," said Mr. Rohrbach.
Financial Impact
"ASL, with an annual revenue run rate of approximately $1.5 million, brings to MDI a technology that is highly complementary to ours. It provides for a long-term source of business opportunity leads and a new revenue stream. Because of this acquisition, which is accretive to MDI's earnings per share, MDI should experience an increase in revenue and improved financial performance for 2006," said J. Collier Sparks, CEO and President of MDI.
"We believe both companies will benefit greatly from our combination with MDI," said Mitchell Phan, President of ASL. "Our employees have a strong entrepreneurial spirit and a history over the last 15 years of adapting to new market opportunities. I am confident that ASL's employees will enjoy being a part of the MDI team, as will I."
This week, the Company will begin executing the planned integration of the two companies' operations, networks and customer care organizations to ensure a smooth and immediate value for customers, partners and investors.
Under the terms of the agreement, MDI acquired all of the business assets, customer and distribution base and intellectual property of ASL for a purchase price of 2,000,000 shares of MDI common stock.
About Advanced Security Link

MDI Receives Initial Order to Provide Unified Systems for Transportation Worker Identity, Cargo Tracking & Security Network Project in the Dominican Republic
Monday April 16, 11:14 am ET
Dominican Trade Program Will be Customized to Detect Illicit Practices and Illegal Trafficking Between Free Commerce Zones and Port Checkpoints
SAN ANTONIO--(BUSINESS WIRE)--MDI, Inc. (NASDAQ:MDII - News), the leading provider of Unified Technology(TM) solutions for the security industry, today announced that it has been awarded an initial purchase order to provide its security technology and systems to track cargo and transportation worker activity between selected free trade zones and a major port within the Dominican Republic. MDI was chosen by the Red Nacional De Transporte Terreste (RNTT) and the Dominican security integration firm ID Corp., SA to participate in this project. Once this initial order has been successfully deployed, MDI expects to receive significant additional orders to provide its security technology and professional services to all of the ports and free trade zones in the Dominican Republic.
The RNTT, or National Transportation Network, is the official Dominican trade organization and it will be overseeing the transportation and cargo security projects for ports and free commerce zones within the Dominican Republic. Properties within the RNTT project scope today handle over 85% of the nation's cargo and include 13 of the largest Free Trade Zones within the country. There are currently over 100 free trade zones in the Dominican Republic and each comprises up to 45 tenant-manufacturing organizations, which include many global blue chip manufacturing companies. The national free trade zones include over 350,000 employees and 7,000 certified vehicles.
The RNTT program will also extend to commercial organizations within the country that manufacture, process or ship products. When complete, each organization and global commercial partner within the RNTT is designed to become part of the national MDI platform, which will control multiple forms of data including photographs, fingerprints and critical ID information. The system will link partner companies and empower them to track shipment status, make necessary adjustments and perform a variety of other access, video & security related functions in real time.
ID Corp., SA is spearheading the identity & security component of RNTT, which was designed and supported in part by the Dominican Government, the US Embassy, the US Coast Guard, the World Commerce Organization and the World BASC Organization as a secure commerce project focused on cargo and chauffeur authentication and tracking. It was created to establish a trusted and automated transportation information network in support of RD-CAFTA (Republica Dominicana - Central American Free Trade Agreement), whose goal is to deliver more established infrastructures, shorter distribution routes and lower transportation costs to the United States than current trade zone locations across the world.
"MDI was the natural selection for this complex, far-reaching and very important national security project," stated Raul Flamini, President of ID Corp, SA. "No other company in the security industry has the scalability and customized capabilities required to tackle a mega-project of this size and scope. The time and cost for system modifications by other manufacturers would have made this project impossible to complete in the timeframe required. For nearly two years, MDI worked with us through each step of the sales and engineering demonstration process. Their open architecture technology has made this project a reality for us and their ability to provide custom solutions for enterprise-level projects is un-matched in the industry," he concluded.
There is great political oversight on this program from the USA, Mexico and other Latin American governments seeking similar solutions to existing trade barriers. The US Ambassador to the Dominican Republic has been one of the RNTT program's biggest endorsers, on behalf of the potential of the program to streamline trade, decrease container screening requirements and add efficiencies to total transit time and costs. It is the ambassador's goal to provide the most geographically desirable manufacturing supply chain for the United States.
"In regards to data collection and management reporting, the potential long-term scale of this program is unprecedented and could rival the largest deployments ever undertaken by any access control manufacturer in history," stated J. Collier Sparks, CEO and President of MDI, Inc. "ID Corp is a very technical and accomplished integration firm. Raul and his team are an amazing group of technicians with the capabilities to take this high-profile system wherever RNTT officials would like it to go. We look forward to working with them through both MDI Security Systems and Global Systems Solutions to make this project an international success story," he added.

MDI and Stratis Authority's Role in Protecting our Nation's Schools Featured on ABC News Affiliate Station KSAT-12
Thursday April 19, 12:10 pm ET
Learn Safe(TM) Program Highlighted
SAN ANTONIO--(BUSINESS WIRE)--MDI, Inc. (NASDAQ:MDII - News), the leading provider of Unified Technology(TM) solutions for the security industry was highlighted yesterday in a special feature from KSAT-12 television news. The televised story focused on MDI's unique ability to deliver a state-of-the-art system to provide safety and protection for our nation's school campuses. The report centered on the comprehensive solution that MDI delivers to schools through its participation in Learn Safe(TM), a program initiated and managed by Stratis Authority. Stratis Authority and MDI have teamed together to address the needs that our schools have in providing a comprehensive solution to their security needs.
As explained in the news feature, what sets the MDI system apart from others is its ability to control dangerous situations as soon as they happen by isolating a threat, thereby keeping that threat from the rest of a building or campus. The MDI system also tracks the movement of threats enabling you to know where a threat is and where the threat has been as well as which students are in proximity to the threatened location. All threats can be brought to an operator's attention because of the ability of a user to program the MDI system to their own particular needs. This is of paramount importance in today's volatile environment on our school campuses.
The bottom line is that the MDI system provides peace of mind for our schools; peace of mind for the student, peace of mind for the staff and peace of mind for the parents.

MDI, Inc., CEO and President J. Collier Sparks Releases State of the Company Address
Tuesday , November 13, 2007 08:00ET
SAN ANTONIO, Nov 13, 2007 (BUSINESS WIRE) -- J. Collier Sparks, CEO and President of MDI, Inc., (NASDAQ:MDII) today released a state of the company address to all MDI Shareholders and Stakeholders. The address reads as follows:
Let me begin by stating that I am very bullish on the future of MDI. It is my opinion that the company has never been in a better position to execute. For the past four months, we have been structuring the company and its sales initiatives in preparation for what we feel will be a very successful 2008. Unlike past years, which were driven by change, reorganization, rebuilding and reengineering, this year, we have positioned the company to a point where every department is now able to focus on successfully generating revenue. By making the decision earlier this year to diversify our corporate infrastructure, we have been able to generate strong revenue results and build our corporate assets in a very short period of time.
As a result of this diversification, MDI's 2007 Fourth Quarter revenue number is expected to exceed $50 million, which is nearly double the 2007 revenue projection figure announced in a release during March of this year. At a minimum, we expect to deliver similar revenue volume for each quarter throughout 2008.
We have been working very hard this year to make our corporate diversification plan a reality. With the purchase of FAS Construction and the new MDI building, we feel that success is now achievable. As a holding company, MDI's focus on diversifying its business units, with the ability to link them back together based on individual deal structure is truly exciting. In the past, as a pure play security company, MDI was unable to reach out and map the course of the deal. Now, as a unified group of companies focused on end-to-end solutions in diversified but complimentary markets, we can begin work on building strong revenue numbers and future shareholder value in markets that compliment our capabilities such as:
-- Information Technology
-- Wireless Security and Convergence
-- New Building Construction Management
-- Contracting
-- Building Renovation
-- Real Estate Investment
-- Design and Construction of "Secure Buildings"
-- Comprehensive Security Consulting
-- Professional and Field Engineering Services
It is our plan to continue to acquire complimentary business offerings throughout next year. We will utilize our company's stock wisely and invest it as currency in strategic transactions to build shareholder value for the long term. As we continue forward, I feel that we have the right people, operational processes and technology in place to make a positive difference. In my previous letter to shareholders dated July 24, 2007, I addressed seven matters that I felt would be of interest to our shareholders. Today, I feel that it is appropriate to provide an update on those matters and introduce several new topics for discussion.
1. FAS Construction Management, Inc. - As we announced on October 22, 2007, we purchased FAS Construction Management, Inc. in exchange for 5,000,000 shares of MDI, Inc. Allow me to tell you what a triumph this deal was for MDI. Besides diversifying its holdings and increasing the scalability of its service capability, based on the application of revenue recognition guidance in EITF 99-19, the company will now add in excess of $50 million to its revenue in the fourth quarter 2007. Based on current assumptions, we expect that revenue in each quarter of 2008 will be of the same magnitude, or greater, than for Q4 2007.
FAS brings a predictable base of revenue from which we believe there are many opportunities for growth. Historically, the primary focus of FAS has been to provide construction risk management services on behalf of lending institutions. Under the continued management of Bill Wurzbach, President of FAS, I believe our business in the construction market can be diversified and increased. We intend to pursue a dedicated sales focus towards this growth during 2008.
The acquisition of FAS has allowed MDI to diversify its revenue sources and provides synergistic corporate opportunities at the same time. We expect to bring new construction projects into FAS, which will include assignments as general contractor and construction management at risk. FAS involvement enhances the breadth of services provided through LearnSafe to school district clients. The FAS Construction team will continue supporting LearnSafe(TM) by spearheading school district risk audit and site assessment teams. FAS will also continue providing comprehensive program management services to MDI as it moves forward, focusing on the concept and creation of LearnSafe Certified(TM) Safe and Secure School Buildings(TM) in the future.
To take full advantage of this new diversification and to allow senior management to focus on the continued growth of MDI, we are organizing the company into four operational business units which include MDI Security Systems, FAS Construction, LearnSafe and the Professional Services Group (PSG). MDI, Inc. is the holding company and will provide shared support services to the underlying business units. I will continue to lead the executive team as President and CEO. Mike Sweet, COO, CFO, and Senior Vice President will continue to provide operational guidance for all divisions as well as financial oversight for the company. Richard Larsen, General Counsel, Secretary and Senior Vice President will continue in that role as Chief Legal Officer with MDI, Inc. Michael Garcia, Senior Vice President of Sales and Marketing, will provide leadership for those two critical functions to all four corporate divisions and maintain interim responsibility for the LearnSafe(TM) division.
Tim Rohrbach, CTO, CIO and Vice President, will continue to manage technology, product engineering and infrastructure for all divisions but will now assume overall P&L responsibility for the MDI Security Systems business. Fred Konnerth, Vice President of Operations, will have P&L responsibility for the Professional Services Group. Bill Wurzbach, President of FAS Construction Management, will continue to manage the construction division.
2. The LearnSafe Initiative(TM) - As stated before, the LearnSafe Initiative is now one of four distinct lines of business at MDI, Inc., joining MDI Security Systems business, FAS Construction and our Professional Services Group as a unique member of the MDI family.
Our market focus for LearnSafe over the last three months has been set on gaining acceptance at the highest levels with State and Regional education decision makers, while continuing to promote the Initiative at the district level. As opposed to past approaches, our sales efforts are now extremely targeted, customized and controlled. As a result of this, our program's sales cycle has been extended by several months. However, with this new focus, we expect to gain considerably more market share across a shorter period of time in aggregate.
Our new strategy has led to a tremendous increase in sole sourced proposals to large school districts and state funded educational security initiatives. I am extremely happy to report that the LearnSafe proposal pipeline for multi-year program engagements currently stands at well over $1 billion dollars and we are working diligently in a team environment to close this business. As you can see, our goals for the program are lofty but the possible rewards in 2008 may become tremendous. Our ultimate goal is to build the LearnSafe Initiative into the de-facto standard for comprehensive school safety and security programs in the United States.
As we move forward, we will continue to enhance our business relationship with The Cooperative Purchasing Network (TCPN) (www.tcpn.org), the major Regional Education Service Centers in Texas and forward-thinking educational support organizations such as the Mexican American School Board Association, which, I am happy to report, has just endorsed the LearnSafe Initiative as its preferred school safety and security solution. This is a huge milestone for LearnSafe and we will release more specific details on this partnership next week.
We are continuing to promote the value of LearnSafe to administrator-level school district decision makers at every turn. We have just returned from presenting at two very successful TCPN Regional Superintendent Leadership conferences in Orlando, FL and Central Texas. The LearnSafe and TCPN partnership, designed to provide affordable risk audits to Texas school district to assist them in complying with State Senate Bill 11 is progressing very well. We currently have numerous schools in process and will continue to try and bring those schools into the LearnSafe program.
This week, the LearnSafe Team is sponsoring the Texas School Administrators Safety Conference, which is organized by the Texas School Safety Center. Texas Attorney General Greg Abbott will be the guest speaker with several hundred school security administrators in attendance. As mentioned last month, LearnSafe founded the first ever Texas Safe Schools Week, in coordination with National Safe Schools Week, which is held every year from October 21 - 27. Texas Governor Rick Perry has officially proclaimed this date as Texas Safe Schools Week and you can rest assured that LearnSafe will be working with multiple organizations next year to promote its statewide charter.
To conclude this section, I would like to note that next month, LearnSafe will be the sole sponsor at a special superintendent's conference in Austin. Held by the Texas Association of School Boards (TASB), this first ever conference will unite superintendents from the fifty largest school districts in the state to discuss security issues facing their schools. LearnSafe (Nortel, ASSA ABLOY, SBS Group, MDI) will be the only "vendor" in attendance.
3. Stratis Authority Issues - I will combine several of the matters that were discussed in my address last July here. Let me start by stating that to our knowledge there are no issues open between MDI and Stratis. The LearnSafe Initiative, post Stratis, immediately established relationships with a strong group of advisors in educational financing, political consulting and student safety such as: (i) Dr. Adam L. Saenz, Ph.D., the managing partner of The SBS Group; (ii) Hollis Rutledge, Jr., managing partner of Hollis Rutledge and Associates, Inc.; (iii) Delta Consultants International and (iv) Alfonso Herrera, an authority on gang violence and behavior modification and CEO of Herrera and Associates. The result of these relationships was that LearnSafe no longer had the need for the continuous services of the former Board of Advisors or for the services of Jim Vandevere or Kellie Tomeo, who both left the company in October.
4. MDI Building Ownership - As announced on October 8, 2007, for 3.3 million shares of the company, MDI purchased all of the shares of STC Holdings, Inc. from Ridgemont Investment Group, LLC. These 3.3 million shares are part of the 5.3 million shares that Stratis Authority agreed to purchase from the company last January, but were unable to. The only asset of STC is the property at 10226 San Pedro Avenue in San Antonio where MDI has its corporate offices. MDI currently occupies approximately 16,000 square feet of completely remodeled space in the main building facing San Pedro Avenue.
We plan to remodel the remaining 16,000 square feet in that building to house our new central station monitoring business in 2008. This new managed security services offering will begin as a component of the LearnSafe Initiative. Our goal is to manage all video surveillance and alarm monitoring for our school district clients. Although this is a new venture, it is not a new capability. Some of you may remember that MDI originally stood for Monitor Dynamics, Inc. and that our SAFEnet(R) centralized command and control software is UL Certified as a central station solution. LearnSafe has provided us with a market opportunity to establish our own capability in the same fashion as we have successfully provided it for enterprise organizations across the world for so many years.
FAS currently occupies the entire 18,000 square feet in an adjoining plantation style building located next to MDI Security Systems and will continue to do so. The purchase of the STC shares required that we assume the obligations under a $5.5 million note, the proceeds of which were originally used to purchase the property and to make improvements to the buildings. The note is non-recourse to MDI or to STC, being secured only by the property.
We are also considering making additional investments in land and real estate for MDI, Inc. in the future.
5. Federal Government Business - Under the new leadership of Tim Rohrbach, and in preparation for a new year in 2008, we will be investing a considerable amount of time in our nation's capital selling federal government projects for the installation and maintenance of our security systems. As previously announced, we have added former Homeland Security Official Justin Oberman to the MDI sales management team to lead the charge. Justin, a former Assistant Director of the Transportation Security Administration, is an expert in identity and credentialing for Government. He will be working with MDI to develop new business within the D.C. Beltway, primarily focused on HSPD-12 and FIPS 201 integration initiatives.
We are also happy to announce that we have inked a deal with a premier contract government sales force in the D.C. area to develop business for our products within the Federal Civilian Government and Department of Defense. Under Justin's oversight, and taking advantage of his contacts at the highest levels of U.S. Government security, we have now launched a multi-tiered professional sales, marketing and sales support force currently closing hundreds of millions of dollars in Government business for clients each year. This organization brings to MDI:
-- An established network of IT and Security decision makers in the Government market
-- Years of trust as technical solution providers for these Government decision makers
-- A seasoned proposal and sales process management team
-- A seasoned telemarketing and Internet marketing team
-- New sales offices for MDI business, centrally located in Tyson's Corner, VA
-- Dedicated conference and product demo staging areas, enabling us to develop significant new business in the Federal Sector
-- New relationships with best-in-class IT, Information Security, IP Video Surveillance and Physical Security companies that can pull MDI solutions into existing omnibus contracts
-- New relationships with large Government contractors, designed to win significant multi-year deals based on MDI's past performance in high-security classified environments
To enhance and add value to our new Government sales initiatives, we will be using a number of our existing D.C. area customers as real-time live demo sights for prospective clients who are new to MDI. We will also be announcing partnerships with some of the most well known companies in the Security and IT industry soon to combine forces in selling targeted deals with unified physical security and HSPD-12 components to Federal Government Agencies.
Besides new Government initiatives, Justin will bridge his team with the high margin MDI legacy system upgrade business. By teaming with long-time MDI sales executive Jim St. Pierre, Justin will have a direct line to all MDI Government business development initiatives.
To conclude this section, I would like to mention that we will utilize well known political fundraiser, political consultant and lobbyist Hollis Rutledge, of Hollis Rutledge and Associates, Inc. to assist us in our task of winning back the Washington, D.C. Beltway. As former Director of the Government Services Administration (GSA) and numerous other Presidential appointments over the past 20 years, Mr. Rutledge and his organization's network will soon prove to be a valuable asset to MDI and its partners.
6. Nasdaq Bid Price Deficiency Letter - The company received a letter on November 7, 2007 from The Nasdaq Stock Market stating that the Company is not in compliance with the minimum $1.00 per share requirement for continued inclusion under Marketplace Rule 4310(c)(4).
The Company will be provided 180 calendar days, or until May 5, 2008, to regain compliance.
If, at anytime before May 5, 2008, the bid price of the Company's common stock closes at $1.00 per share or more for a minimum of 10 consecutive business days, the Nasdaq will provide written notification that to the company that it has achieved compliance with the Rule. If the company is not in compliance with the Rule by May 5, 2008, the Nasdaq will determine if the company is in compliance with the Nasdaq Capital Market initial listing requirements. If it is, Nasdaq will notify the company that it has been granted an additional 180 calendar day compliance period. The company is currently in compliance with all Nasdaq listing requirements, except for the minimum bid price requirement.
7. Third Quarter Financial Results - Financial results for the third quarter ended September 30, 2007, are as follows (Please note - FAS Construction Management is not included in these results):
Although total revenue for the third quarter of 2007 was basically flat at $1.843 million compared to $1.933 million for the third quarter of 2006, the cost management measures which we implemented earlier this year continued to position us for attainment of our profitability goals in the near future. Expressed in dollars, gross profit increased $81 thousand during the third quarter 2007 compared to the third quarter 2006, taking gross profit margins from 52 percent to 59 percent. Selling, general and administrative expenses decreased by $118 thousand in the third quarter of 2007 compared to the third quarter of 2006, reflecting our efforts to reduce costs. In the third quarter 2007, net loss decreased $791 thousand to $946 thousand compared to a loss of $1.737 million for the third quarter 2006. Cash and cash equivalents at September 30, 2007 totaled $1.969 million compared to $2.850 million at the end of the second quarter 2007.
8. Future Cost Savings - During October 2007, the company decided to terminate several non-revenue producing positions within the company. These positions were not located at its corporate headquarters. The reductions are expected to yield approximately $1 million in direct savings on an annualized basis.
In closing, I would like to stress that as a company, we remain driven to produce revenue channels that we can build on for the future. We plan to achieve this by growing revenue at FAS Construction while continuing to develop our targeted high margin sales initiatives within LearnSafe, the Federal Government and upgrades to our current legacy customer base. I hope you all can see why I am bullish on MDI. I am more certain now than ever before that 2008 will be the most successful revenue year in the history of the company. Thank you once again for your continued support.
Sincerely,
J. Collier Sparks
