Form 10QSB for SULPHCO INC

--------------------------------------------------------------------------------

11-Aug-2005

Quarterly Report

Item 2. Plan of Operation
Our Business

We are engaged in the business of developing and commercializing our patented and proprietary technology for the upgrading of crude oil. Our patented and proprietary process, which we refer to as Sonocracking, is based upon the novel use of high power ultrasonics the application of high energy, high frequency sound waves to effect beneficial changes in the chemical composition of crude oil. These beneficial changes include an increase in the gravity of the crude oil and a corresponding increase in the amount of lighter oils that can be recovered during refining processes. Other beneficial changes to the crude oil as a result of the Sonocracking technology include a reduction in the weight percentage of sulfur as well as a reduction in the parts per million of nitrogen. Although our primary focus has been the application of the Sonocracking technology to crude oil, we believe that beneficial changes to other petroleum products and chemicals are also possible.

The initial markets for our Sonocracking technology and our Sonocracker units are expected to be crude oil producers and refiners. The economic value of crude oil is driven largely by both the gravity of the crude and sulfur content. Because our technology is expected to increase the gravity of the crude oil and at the same time reduce the sulfur content in a cost-effective way, the successful commercialization of our technology can be expected to produce economic benefits to future customers in these markets.

References in this report to we,us,our company and SulphCo refer to SulphCo, Inc., a Nevada corporation.

Development and Commercialization Activities

We have been developing our Sonocracking technology on an ongoing basis since January 1999. Testing has been done through in-house facilities, and more recently by ChevronTexaco Energy Technology Co. (ChevronTexaco), a unit of ChevronTexaco Corp. Beginning in mid-2002 our development activities have centered around re-designing, upgrading and testing of laboratory scale prototypes utilizing more powerful ultrasonic generators, and redesigning these prototypes to accommodate the more powerful generators. Substantially all of the development work to date has been conducted by SulphCo personnel.

In January 2005 ChevronTexaco installed a 2,000 bbl/day Sonocracking system in its pilot plant at the Richmond Technology Center in Richmond, California, using components owned by us to further evaluate our technology. Our collaboration agreement with ChevronTexaco expired by its terms on July 6, 2005. We are unable to predict when or if we will enter into any new business agreements with ChevronTexaco or the terms of any such agreements.

We are completing construction of our first commercial 5,000 bbl/day Sonocracking unit at our facilities in Sparks, Nevada. Construction of the unit is a culmination of months of testing of the internal components of the unit at our facility. The 5,000 bbl/day unit is designed to be modular in order to facilitate both scalability and maintenance. We intend to configure five of the 5,000 bbl/day units to make up a single 25,000 bbl/day unit.

SulphCo is continuing its Sonocracking development work on crude oil, primarily through data generated from its pilot plant located at its headquarters in Sparks, Nevada. SulphCo is also developing and testing improved ultrasonic probes and associated electrical components at the same facility.

--------------------------------------------------------------------------------
During the next 12 months we intend to continue development and commercialization activities currently underway and to explore new activities. In this regard:
We completed design and engineering work for a 25,000 bbl or more per day Sonocracker unit during the second quarter of 2005. Once the design and engineering work for the 25,000 bbl unit is fully tested, we intend to manufacture two initial 25,000 bbl units in anticipation of receipt of a customer order.

We plan to continue to engage in development and testing activities, both at our facility and in collaboration with other parties.

We expect to continue to explore partnerships, joint ventures, licensing and other relationships conducive to the further development and deployment of our Sonocracking technology.

In February 2005 we entered into an agreement with OIL-SC, Ltd (OIL-SC) based in Seoul, South Korea, which provides for the sale by us to OIL-SC of a Sonocracker pilot plant utilizing our Sonocracking technology for $1 million and the appointment of OIL-SC as our marketing representative for oil refiners in South Korea. The pilot plant, which is expected to have a processing capacity of up to 2,000 bbl/day, will be located in South Korea, and is intended to both serve as a demonstration unit for our Sonocracking technology to South Korean refiners and to upgrade petroleum products which OIL-SC purchases on the open market. We recently completed construction and testing of the plant components and expect to deliver and assemble the Sonocracker unit in South Korea in August 2005. We will also provide start-up assistance in connection with OIL-SCs operation of the pilot plant.

The agreement with OIL-SC calls for the $1 million purchase price for the pilot plant to be paid to us in installments. The initial installment of $300,000 was paid to us on March 15, 2005 and the second installment of $200,000 was paid to us on June 30, 2005. Additional installments of $50,000 and $450,000 are payable on September 1 and December 1, 2005. This agreement also provides that OIL-SC is entitled to a full refund of all payments if the pilot plant does not operate within agreed specifications within 90 days of the installation of the pilot plant. These specifications call for the pilot plant to upgrade a specified grade of medium weight crude oil (Arab Medium Crude) by increasing its gravity (API) by 9.8%, reducing sulfur weight content by 29.4%, and reducing nitrogen content by 29.9%. As the payment of the $1 million purchase price is refundable if the pilot plant does not meet the agreed specifications, no portion of the purchase price has been or will be recorded as revenue in our financial statements until the pilot plant is successfully installed and tested under the agreement with OIL-SC.

In July 2005, we entered into a Manufacturing Agreement with Jaie Haour Group of Taiwan (JH Group) which provides for the manufacture by JH Group of major structural components for our Sonocracking units. The agreement specifies that JH Group will manufacture, the frames, tanks, piping and certain other components for the Sonocracking units, as well as provide component sourcing, technical design and development assistance. JH Group will also assist SulphCo by providing personnel for equipment installation support. JH Group has constructed components for a Sonocracking unit for our customer, OIL-SC, in South Korea.

In May 2005, we entered into a Manufacturing Agreement with Märkisches Werk GmbH (MWH) which provides for the manufacture by MWH of our Sonocracking probe assembly and reactor (Equipment). Under the terms of the Manufacturing Agreement we are required to purchase Equipment we may require from time to time exclusively from MWH, so long as MWH is able to meet certain requirements as to price, quality and delivery schedules. The Manufacturing Agreement has a term of five years, subject to earlier termination upon the occurrence of specified defaults.

In February 2004 we formed a joint venture with two Kuwaiti nationals to engage in the marketing of our technology in Kuwait. To date, marketing activities by the Kuwait joint venture have been limited to exploring sales of demonstration units in Kuwait. We have not licensed our Sonocracking technology to the joint venture and we are unable to determine at this time what activities, if any, the Kuwait joint venture will undertake in the future.

--------------------------------------------------------------------------------
The nature and timing of our activities over the next 12 months and beyond cannot be predicted with certainty, as they are dependent upon a number of factors, including the timing of completion of development and commercialization milestones and the business requirements of third parties. We do not expect to generate any revenues from the sale of Sonocracker units or the licensing of our technology until at least the second half of 2005.
Liquidity and Financial Results

As of July 31, 2005, we had $7,138,457 in available cash reserves. Included in this amount is $500,000 in refundable installment payments (unearned revenue) received related to the pending delivery of a pilot plant by us to OIL-SC. Additional refundable installments of $50,000 and $450,000 are payable on September 1 and December 1, 2005. We believe our current cash reserves, excluding the unearned revenue noted above, are sufficient to meet our current obligations and fund our operations for the next 12 months.

We currently have a total of $1,000,000 due to related parties that is payable December 31, 2005 and carries an 8% interest rate. We also have a $7,000,000 note payable to a related party due December 31, 2007 with a variable interest rate of LIBOR plus .5% adjusted quarterly, based on the one-month LIBOR rate (See Financing Activities below). We currently use the proceeds to fund our day to day operations and meet our current obligations.

We are a development stage company and have not generated any material revenues since we commenced our current line of business in 1999. We do not anticipate generating any material revenues on a sustained basis unless and until a licensing agreement, sale of an initial production scale unit, or other commercial arrangement is entered into with respect to our technology.

As of June 30, 2005, we had an accumulated deficit of approximately $27.0 million, which includes approximately $6.9 million of stock-based compensation. For the six months ended June 30, 2005, we incurred losses of $4.7 million, of which approximately $1.1 million represents stock-based compensation payable to directors, officers and consultants.

These losses are principally associated with the research and development of our upgrading and desulfurization technologies, development of pre-production prototypes, and related marketing activity, and we expect to continue to incur expenses in the future for development, commercialization and sales and marketing activities related to the commercialization of our technologies.

The $4.7 million loss for the six months ended June 30, 2005, also includes: (1) approximately $760,000 of accrued late registration fees payable to investors in our June 2004 private placements resulting from delays in an SEC registration completed in June 2005 (See Financing Activities below);
(2) a $234,000 loss on impairment of asset, as we have determined that a previously capitalized prototype no longer reflects the value of our commercially viable technology.

--------------------------------------------------------------------------------
Our estimated monthly cash outflow, or cash burn rate, as of the date of this report, for fixed and normal recurring operating expenses, is approximately $400,000 per month, as follows:

Salaries and consulting expenses   $ 177,000
                    Plant and property leases             37,000
                    Professional fees                     60,000
                    R&D Expenses                          31,500
                    Interest expense                      26,000
                    Office, phone, utilities               8,000
                    Patent costs                          30,000
                    Travel and entertainment              23,500
                    Miscellaneous                          7,000

                       Total                           $ 400,000

The foregoing amounts represent fixed and normal recurring cash operating expenses, and are exclusive of non-recurring items such as capital expenditures. Additional funding requirements during the next 12 months may arise upon the placement of an order by a future customer for one or more Sonocracker units. We expect that funding for the cost of manufacturing of any particular unit would be available either from current cash reserves or from potential customers before we commence manufacturing the unit. In addition, as we are unable to determine the precise timing of development activities or receipt of customer orders, monthly cash outflow may increase significantly as we increase our research and development activities, and prepare for additional assembly and manufacturing duties associated with the deployment of the Sonocracking technology.

Salary and consulting expenses represents salary and payroll costs for all of our full time employees and consulting payments.

Monthly fixed and recurring expenses for Plant and property leases of $37,000 represents the monthly lease payment to an unaffiliated third party for our facility located at 850 Spice Islands Drive for approximately 93,000 square feet of executive offices, research facilities and manufacturing space.

Included in professional fees are estimated recurring legal fees paid to outside corporate and patent counsel and ongoing litigation expenses, audit and review fees paid to our independent accountants, and fees paid for investor relations.

We anticipate that our existing capital resources will be sufficient to fund our cash requirements through the next 12 months. The extent and timing of our future capital requirements will depend primarily upon the rate of our progress in the development and commercialization of our technologies, the terms of any future commercial arrangements, and the timing of future customer orders.

To date we have generated no material revenues from our business operations. We are unable to predict when or if we will be able to generate additional revenues from commercial activities or the amounts expected from such activities. These revenue streams may be generated by us or in conjunction with collaborative partners or third party licensing arrangements, and may include provisions for one-time, lump sum payments in addition to ongoing royalty payments or other revenue sharing arrangements. However, we presently have no commitments for any such payments.

In the past we have financed our research and development activities primarily through debt and equity financings from our principal shareholder, Dr. Rudolf W. Gunnerman, and other parties. Sources of additional capital include the exercise of additional investment rights and warrants issued to investors in the June 2004 private placements, and funding through future collaborative arrangements, licensing arrangements and debt and equity financings. We do not know whether additional financing will be available on commercially acceptable terms when needed. If we are unable to secure such additional financing when needed, we may have to curtail or suspend all or a portion of our business activities. Further, if we issue equity securities, our shareholders may experience dilution of their ownership percentage.

--------------------------------------------------------------------------------

Financing Activities
As of June 30, 2005, a short-term promissory note in the amount of $500,000 was outstanding and payable to Dr. Gunnerman. The note is due December 30, 2005 and carries an interest rate of 8 percent per annum. The agreement provides for mandatory prepayments from revenues we receive from the sale of our products or the licensing of our technology or otherwise, and from the amount of unrestricted loan or equity financings we receive.

As of June 30, 2005, a short-term promissory note in the amount of $500,000 was outstanding and payable to Erika Herrmann, the sister-in-law of Dr. Gunnerman. The note is due December 30, 2005 and carries an interest rate of 8 percent per annum. The agreement provides for mandatory prepayments from revenues we receive from the sale of our products or the licensing of our technology or otherwise, and from the amount of unrestricted loan or equity financings we receive.

In June 2004 we conducted two private placements with institutional and other third party investors for the sale of units consisting of our common stock, warrants, and rights to acquire additional stock and warrants, generating net cash proceeds of approximately $2.3 million. Additional cash proceeds of $2.3 million were generated as of November 2, 2004, when investors in the June 2004 placements acquired the remaining unpurchased units pursuant to the terms of the June 2004 placements, and up to $15.2 million may be generated upon exercise of warrants and rights if investors in the June 2004 private placements exercise all available warrants and rights. The rights expire on March 15, 2006, and warrants expire three years from the date of their issuance.

As of June 30, 2005, we were obligated to pay approximately $760,000 in the aggregate to investors in the private placements as late registration fees. Our agreement also provides for interest to accrue on this amount at the rate of 18% per annum. We have had informal discussions with some of the private placement investors who have expressed interest in receiving restricted shares in lieu of cash fees and we expect that we will reach agreement with most of the investors to pay these fees with restricted shares in lieu of cash. However, as of the date of this report no formal agreements have been entered into with any investors to pay these fees by issuing additional restricted shares.

In December 2004 Dr. Gunnerman advanced $7 million to us as a loan. The loan is evidenced by a promissory note which bears interest at the rate of 0.5% above the 30 day LIBOR rate, adjusted quarterly and payable annually, and the entire principal amount is due and payable in December 2007. The LIBOR rate, which stands for London Interbank Offered Rate, is a reference rate for short-term loans between banks in the London interbank market. The initial loan rate under the promissory note on December 31, 2004, was 2.9% (0.5% above the LIBOR rate), and the interest rate under the note is adjusted quarterly. The LIBOR rate as of June 30, 2005 was 3.34%, making the interest associated with the note 3.84%.

Research and Development

For the six months ended June 30, 2005 we incurred approximately $443,000 related to research and development of our Sonocracking technology. Of this amount, approximately $130,000 was paid to our engineers as wages and related benefits for the design and testing of the pilot plant being sold to OIL-SC. Also included in this amount is approximately $142,000 for the procurement of control panels, probes, centrifuges, and generators related to the development of the 2,000 bbl/ unit for OIL-SC and the 1,000 bbl / unit currently located at our Sparks, Nevada facility used for test purposes. The remainder of our research and development costs in this six-month period relate to outside labor costs and recurring monthly expenses related to the maintenance of our warehouse facilities. We continue to design, test, and purchase parts that we expect to use in the production of a large scale commercial unit.

--------------------------------------------------------------------------------
We intend to continue our research and development program during the next 12 months in order to expand the development of the design and manufacture of commercial Sonocracker units which embody our proprietary technology. Management anticipates that our research and development costs, including a portion of salaries for full time employees, will be approximately $50,000 per month, or $600,000 during the next 12 months.
Employees

As of July 31, 2005, we had 17 full-time employees and a consulting agreement with RWG, Inc., for the full-time services of our chairman and CEO, Rudolf W. Gunnerman. We do not expect any material changes in the number of our employees during the next 12 months unless required to service future customer orders.

Will Ameritrade even let you short a sub $5 stock?? I made decent money in IVAN long, and really REALLY wanted to short after selling it for a rediculous $3.30, but I just assumed that I couldn't short at that price. I've always thought puts were a better way to play the bears, so I don't short very much.

Bought @7.38.

January 24, 2006 09:40:37 (ET)

Jan 24, 2006 /PRNewswire-FirstCall via COMTEX/ -- After close consultation with other members of the Board of Directors of SulphCo, Inc., (SUF, Trade) Robert H.C. van Maasdijk feels compelled to respond to the article in Barron's Magazine over the weekend as, in his opinion, the article is materially misleading regarding the company, its management and its technology. In response, Mr. van Maasdijk has decided to focus exclusively on his assessment of the Sonocracking(TM) technology, and in particular, test results furnished not only by SulphCo, but also those produced by one of the leading oil companies in the Middle East, a company which has tested the Sonocracking technology at the facilities during the entire month of December 2005. In the opinion of Mr. van Maasdijk, these results indicate that the Sonocracking technology developed by SulphCo will not only reduce sulphur and nitrogen content in processed crude, but more importantly, will substantially increase the yield of light distillates.

SulphCo has previously stated that its technology will increase the API gravity by 6 to 11 points, depending on the quality of the crude processed (light, medium or heavy). These test results confirm that, in volume terms, Sonocracking can yield between 20% to 50% more light oil per barrel, depending on the grade of crude processed. In dollar terms, this can mean an uplift of between $5 and $10 per barrel.

Sonocracking technology has minimal operating costs and is adaptable to both upstream and downstream applications.

SulphCo will install, by the beginning of June 2006, its first 210,000 barrels of Sonocracking capacity (seven 30,000 barrels per units) in Fujairah. The equipment will be manufactured by NTG Technology in Germany, following which 300,000 barrels of additional capacity will be installed in the following months. It is the opinion of NTG that once the seven units of 30,000 barrels each have been installed, an accelerated rollout is anticipated.

Last but not least, SulphCo is in the final stages of negotiations with several oil producing nations and companies, as has been stated before. As a consequence, the Board of SulphCo is fully focused on the rollout of the Sonocracking equipment.

Not too bad, I went long this morning, but didn't do as good, 7.50 - 8.25. I saw the action this morning and figured that short cover volume would be good for awhile.

I'm not a huge fan of daytrading, but sometimes it's just too hard to resist (NVAX, IVAN come to mind).

Either way I certainly don't have the confidence to hold a position in this stock (long or short) overnight, so it's either daytrade or not at all.

Well, I entered this cat a bit too early for da $1000 contest;) >:D :'(
Looks like this cat has been heavily manipulated by da big dawgs, before the REAL NEWS break out!!!
With this non sense rumor came out of no where "RPT-Investors wait for SulphCo to deliver-Barron's" last sunday paid by big institutions to mislead investors so that they can load up tons cheaper???
Well, their action always prevail and just look at the drops after that rumor and now look at the fact from the news:

I don't see anything that great in the PRs?  Where's the cash?  And why is no US company interested in technology?

This is probably a short-lived squeeze here followed by trace back to 8?

Excuse my analysis, but I am mostly TA and that was why I ended up picking SUF as my $1000 contest pick.  I really didn't pay too much attention to its fundamental but as I am getting more and more attention on it, maybe I will share my thought.
I also don't see anything that awful in the PRs too? Why the huge two days's drop?  Just because of that barron rumor stirring why suf all silent about their PRs?  I see that it is just another great act by big dawgs to goble up before the news breaking out and by the time, you won't yelling for da cash, you want to get some of that oil as well ;D
I just hope that my pick will have da biggest turn around for the contest, from down 80% to up 80%, I sure don't mind da suprise! :D

Nice ascending triangle breakout on the intraday chart today - bought in at 8.70 - I think this bounce has got a good bit more in the tank yet.  I agree that people overeacted to the Barron's article - over 35% gain from yesterday's low so far.  Not sure how long I will hold this one at present, need to do a bit more analysis yet.  Will leave you with the intraday chart.

By the way dyc100 - can't blame you for the pick - the chart up till then was simply astounding, and there was no way you could know this would happen - hey, last month I wa dead last on the stock picking contest with EGHT, for totally different reasons, but after all, it's only a game  ;)

Hey ScottishTrader, its all cool mate! :P
I knew that I should have get another pick on monday morning after I checked out the SUF yahoo site and only to see that barron didn't like SUF's ascending chart, lol!  only to find out that hehe, maybe da big boys are in da work as well ;)
So I decided that I am just going to keep my pick even if it meant a gap down which it did and more!  Well, I kno that it is going to be quite volatile from that point, so sell order is definitely out of question for me :-[ :'(
Hey thanks for the intraday chart update, I agree with that it still got lots of potential since it only take rumors to tank it down 80%, well, speculations and actual PRs, I really don't want to miss that for sure >:D
Yea, it is totally suck being alone at the bottom of contest right now, but it is still too early to tell anyway, so we'll keep our promise and see if it was a total manipulation or just price correction!  Good luck to you and thanks for your chart! ;)

Well a nice day on SUF, that's for sure.  Lots of others but I think this is a very nice short term play.

SUF topped out at the resistance at 9.8 - 9.85, and I will be watching for signals that it may fail to break this level and pull back tomorrow.  However, if 9.80-10.00 is broken, I think a run up to the 61.8% fib is a good first target, at around 11.65-11.70.   it may even have more legs than that - 50% Fib is at 13.20.  I like the low institutional buying - I know it smacks of outright market manipulation, but at least it is suggesting there should be strong upward momentum from here.

OK, a little more TA on SUF - from the last few day's action, I think SUF's price movement matches Calven's exhausted selling model quite well:

http://www.3stocksonfire.org/trading/index.php?topic=3555.0

The 15 min chart shows the clear downward bounces, with the volume spike associated with the first low.  While the second low actually came in below this level, it showed lower volume than the first spike, as expected.  The 21 MA fits the pattern very well, with breakdowns off each touch in the descen ding phase.  Once the price action broke through the descending trendline and the 21MA, it pulled back again to test both and started its upward move.

The price action at the end of the day was strong, but bounced off resistance at 9.80, very close to the low on the 23rd.  It then dropped as low as 9.30, touching the 21MA again (on this 15 min chart) before closing fairly strongly at 9.60.  If it breaks through 9.80 today and upp above 10.00, it may run right through 10 and start pushing at next short term resistance - either the 61.8% fib at 11.60, or possibly next key short term resistance at 12.60.

I plan to take big profits around there maybe taking partial profits if it looks to have legs beyond 11.60, and if it fails to break and looks set to move below 9.30, will sell for a small profit there.

SulphCo Sonocracking(TM) Technology - the Facts
Tuesday January 24, 9:40 am ET

NEW YORK, Jan. 24 /PRNewswire-FirstCall/ -- After close consultation with other members of the Board of Directors of SulphCo, Inc., (Amex: SUF - News) Robert H.C. van Maasdijk feels compelled to respond to the article in Barron's Magazine over the weekend as, in his opinion, the article is materially misleading regarding the company, its management and its technology.

About SulphCo, Inc.

SulphCo has developed a patented safe and economic process employing ultrasound technology to desulfurize and hydrogenate crude oil and other oil related products. The company's technology upgrades sour heavy crude oils into sweeter, lighter crudes, producing more gallons of usable oil per barrel.

You were right, SUF did gap over $10 on the open and going on and on continuing to make its trend valid for now a rock solid gainer! >:D
Anyway, I think that the price was totally manipulated by barrons and investors were too quick and too dramatic to realize their profit at risk.
I think that by the end of the$1000 contest, the gap is very likely to be filled with few extra more!
Good day to all! ;)

SulphCo Places Order With Makisches Werk for Ultrasonic Equipment to Install in UAE
Thursday February 2, 3:11 pm ET

SPARKS, Nev., Feb. 2 /PRNewswire-FirstCall/ -- SulphCo, Inc. (Amex: SUF - News) announced that the company had placed an order with its equipment manufacturing partner Makisches Werk GmbH (MWH) for the manufacture of 60 ultrasonic probes. A major component of SulphCo's Sonocracking(TM) units, the equipment will be used in the assembly and installation of SulphCo's ultrasound processing plant for Fujairah Oil Technology, LLC, SulphCo's joint venture company in the United Arab Emirates.

"We are thrilled about this first commercial order. Not only does it represent good business for us, more importantly it represents a level of acceptance of this new technology," said Edward Urquhart, managing director of Makisches Werk. "This signal is the first step in the process of transforming SulphCo's technology from prototype to commercial status. We at MWH will continue to do everything possible from the manufacturing side to assist SulphCo in their efforts to commercialize Sonocracking."

According to Peter Gunnerman, SulphCo president, the company anticipates that the plant, with seven ultrasound units capable of processing a total 210,000 barrels of oil a day, will be operational by the end of June. SulphCo's high-powered ultrasound process upgrades heavy sour crude oils into lighter sweeter crudes by increasing gravity and reducing sulfur, nitrogen and viscosity.

"Tests show that Sonocracking reduces sulfur by 30 to 50 percent, depending on the grade of crude processed. Refiners can realize additional revenues with the efficiencies produced by our technology. Compared to the conventional hydrodesulfurization process (HDS), the capital cost of the ultrasound plant and equipment is extremely low, with a rapid return on investment," Gunnerman said.

Gunnerman said SulphCo's ultrasound plant in Fujairah will have a per barrel throughput cost of between $0.18 and $0.20 per barrel. The capital cost and production costs are fractions of current refinery equipment, he said.

10.20 ;D

SPARKS, Nev., May 11, 2006 /PRNewswire-FirstCall via COMTEX/ -- SulphCo, Inc. (SUF, Trade) announced today that Fujairah Oil Technology, LLC, Sulphco's joint venture with the Government of Fujairah, is continuing to make progress in the planning and execution of its project to implement SulphCo, Inc.'s patented Sonocracking(TM) technology in the joint venture's facility in Fujairah, United Arab Emirates. The facility, expected to have an initial processing capacity of 210,000 barrels per day, will utilize SulphCo's patented and proprietary technology to upgrade sour heavy crude oils into sweeter, lighter crudes, producing more gallons of usable oil per barrel.

A series of meetings were held by senior management during the week of May 1, both in Fujairah and in Germany, to evaluate critical aspects of the Fujairah project, including site preparation and manufacturing of Sonocracking equipment. Meetings included a meeting of the Fujairah Oil Technology (FOT) Board of Directors and a meeting with NTG, the German manufacturing company responsible for building the Soncracking equipment. Following discussions with the FOT Board of Directors, NTG and other members of the Fujairah project team, SulphCo's management believes that significant progress has been made towards the first commercial rollout of its Sonocracking(TM) technology and expects that key project milestones established in December of 2005 will be achieved within close proximity to previously announced timetables.

SulphCo's current timetable calls for initial Sonocracking units to be shipped from Germany this month and delivered in Fujairah in the first half of June 2006. Construction activities for the building and infrastructure which will house the Sonocracking units are underway, and these facilities are expected to be completed in time for delivery of the initial Sonocracking units. SulphCo has targeted the beginning of August 2006 as the start date of the 210,000 barrel/day capacity facility, following completion of testing of the Sonocracker(TM) units and installation of all required supporting infrastructure. Planning is also underway to install an additional 200,000 to 300,000 barrels of processing capacity in Fujairah by the first quarter of 2007 following successful implementation of the initial 210,000 barrel per day operation, with an additional 200,000 to 300,000 of processing capacity by the end of 2007.

"We are extremely fortunate to have the full support of the Government of Fujairah in this venture. We are also extremely fortunate to have assembled a world class team of dedicated professionals over the past few months, including NTG and Mustang International, L.P., to assist SulphCo in achieving the commercial rollout and operation of our Sonocracking technology in Fujairah," said Dr. Rudolf W. Gunnerman, Chairman and CEO of SulphCo, "and we look forward to further internal and external additions to our team as our commercial rollout progresses."

SUF looking good, and showing strength deespite market weakness.  The huge morning spike got sold off pretty hard, but it has held above crucial 10.00 level.  I see a breakout of an ascending wedge formation, but it closed just below key resistance/support at 10.25.  Looking at the price by volume chart, there may still be some bagholders from the cave-in in January, but the recent PR clearly demonstrated that the content of the Barron's report doubing the technology is rubbish, and they have set very clear targets in the near term to get this plant installed and operational.

Provided SUF can move above 10.25 today and doesn't sell off, I think this could be a good un as the area above 10.25 looks pretty soft and we could see a definite run up in the coming months.

Looks like we have a nice little intraday breakout in the works here.  SUF looks to have consolidated here and wants to move into 8.00 land.  Volume is pretty low but is building, suggesting breakout is for real and this reversal may have legs.  In at 7.95 8)

Picked up some SUF today at 5.16 as a value play.  Recent action has suggested that $5 will hold, and after having been brought down on pretty low volume in the last month or 2, I think SUF is ready for a little rebound.

Quite a few press releases detailing development at SUF lately, but with little corresponding price action.  In the most recent update on their sonocracking facility in Fujairah they say that they were on schedule to get the sonocracking equipment installed by 20th Nov, and are aiming to have the plant operational by the end of the year.

http://biz.yahoo.com/prnews/061103/nyf043.html?.v=71

They have also been announcing various agreements with Oil companies such as Nippon Oil and OMV (see previous posts) which may demonstrate interest in their technology, as well as the development of a smaller more all-in-one 15000bpd unit that can be delivered adn installed into ongoing refining operations more easily than their build-to-order systems:

http://biz.yahoo.com/prnews/061023/nym246.html?.v=2

Just today, they released a PR stating that an assessment by Oil consultancy NEXIDEA shows that sonocracking provides an estimated improvement of about $3 - $3.50 per barrel of Maya crude after treating, although the PR also states that NEXIDEA only provided the analysis based on given data.  NEXIDEA, however "was not involved in the Sonocracking(TM) treatment or analytical testing of the Maya crude oil and has not independently verified the improvement in quality shown in the assay data."  So if you are not convinced by Sulphco, then take it as you will.  I take it as a reasonable indication that Sonocracking should be of value to the oil industry (the main questions as to what the actual ROI on one of these units would be, remain...)

Anyway, technically, SUF has strong support at $5, and a descending trendline to contend with, coming of the $7 september highs.  Upside resistance at 5.25ish and 5.60.  Then not much till 6.  $7 is big resistance.  Today's little candle suggest to me that we should get a reversal and downtrend breakout shortly, and we have had increased bolume the last 2 days since it went below 5.25.  CCI is below 100 and pulling up.  I may have jumped the gun on this one a little, without the technical indicators clearly in place, but I figure with a 4.95 stop, I am only risking about 4% on this, and I think it is unlikely for $5 to be broken.

Here's the chart:

SUF closed at 5.40, on the HOD, making a 4.65% move today.  All is going well on this rebound play so far... lets see if it can break descending resistance.

I don't know if anyone else caught a bit of this one, but SUF has been absiolutely ripping over the last few sessions!  I was too nervous about this company to buy the initial bounce, but it looks like a major short squeeze is on and things are turning.  Currently up almost 24% today, this has already nearly doubled since its lows last week (it up 80%!!)

Looks like it could have more in the tank, although watch for the 50MA, and resistance at 4.50 and 5.00.  Also looks like it could smack into descending resistance right here at 4.10.  Still, I bought this morning at 3.33, so I'm not complaining one bit  ;D ;D

OK here's the hourly chart on SUF.  Shows a nice upside breakout of a rising wedge.  I calculate that to give an upside target of 5.35 (range of wedge pattern = 3.8-2.25 = 1.55 + 3.80 = 5.35.  SUF certainly looked strong today and it was almost certainly fueled by both short covering and some renewed market confidence following their conference call yesterday.  I just had a listen to it, and it was actually pretty encouraging.  They are having some problems with the probes (a key part of the sonocraking process) and anticipate starting test runs o their two main sites in the next 6-8 weeks (probably).

Strangely he cc was mostly a Q&A session, and the analysts on the call were quite pleased with SUF managements newfound openness.  Clearly the market thinks the removal of Gunnerman from the BoD and company leadership is a very positive thing and will lead to more clarity both about the process and technology, but also about the company and its progress towards its goals in the next few months.

Technically, if SUF can ge over that 4.17-18 resistance it bashed its head against it should run to 4.50 pretty quickly.  It might need some consolidation after that, but it seems to me this could be a real turnaround for the stock.  If investors regain their enthusiasm, then this stock should easily be trading around $5 fairly soon.  We won't know for sure how things fair with their commercial tests for some months yet, but that is obviously the key litmus test for the technology and the company.

As I said, I'm long from thsi morning, but only on a small position, so I may look to build that position out in the next few days if we see some weakness on profit taking.

Now I know cheap can get a lot cheaper, but we may have a potential double bottom situation here with SUF.  Friday's candle was a Doji and an inside day, suggesting a potenial reversal.  Buy pivot (at least to me) would be a print of 2.81.  With a stop loss at 2.49, that would give a risk of abut 11.4% - high, but considering that a move back to first resistance at 3.68 would represent a 30% gain, it could be worthwhile.

SUF has had a lot of setbacks but thier technology is coming online.  I don't think it is the endgame for them just yet, but really the beginning.  Their change in leadership, and their recent determination to be transparent with investors bodes well, but of course, it is all about demonstrating their technology.  I'm not a believer yet, but this does seem to be an interesting opportunity....

SUF on a double bottom tear!!  Up 47% since my last post on March 9th!!  If it breaks $4 -4.20 here, I think we could see some fireworks!  The high of the "W" is at 4.72, with the low of the right leg at 2.35, if it gets past 4.72, it would put a target of 7.09 IN PLAY.

SUF had a strong close yesterday and looks set to break out above 4.17-18 resistance.  Not much news from the company, but what we do know is they are set to start testing of the Fujairah facility in the next month or so, barring any further delays.  This looks to be an important time for Sulphco.

Technically, the chart looks poised for a potential rally.  The weekly chart shows that it has broken out of the long term downtrend that stretches back to the highs in December last year.  With a nice double bottom put in, this could be the beginning of a new uptrend for this heavily shorted and downtrodden stock.  A break of $4.20 *should* get SUF back up to $5, although there looks to be resistance at $4.50 as well.  A move above 4.72 would put a W-bottom breakout of $7.09 IN PLAY.  I'll be looking to add o my position if we get above 4.20 today.

Did I mention the Cup & Handle on the intraday???

Handle breakout yesterday, with the stock closing right on the "rim" of the cup.  A breakout of this pattern would put a target of 5.07 IN PLAY

Well in case you missed it, SUF had a super day, breaking out above 4.17-20 resistance (the top of that cup) and rallying strongly on above average volume.  SUF closed right on next resistance at 4.72, so we may see a bit of a pullback, but there was strength going right into the close and not much selling, so I think this move is set to continue.  here may be some resistance around 4.93, but I think SUF should break out of this W-bottom and be trading north of $5 very shortly.

Ares,

I like your analysis of the situation, and agree, now is not the time to be buying SUF - there is major resistance at 4.95-5.00 both from the chart and the 200MA and it may struggle a bit to get through there.  As far as using the RSI (2) to inform trading decisions, I like it (it reminds me of the CCI, an indicator I like to use), but just remember that these indicators must only be used as supporting evidence to what you see on the chart.  They can inform trading decisions, but basing decisions off them (especially one with such a short period) can lead to too many whipsaws and inopportune entry points.  But I'm sure you already know that.

As for SUF price action, they released a correction to their form 10 yesterday AH which seemed to bring the stock down 12% in the aftermarket, however, only 600 shares were traded after hours, so this can hardly be seen as a watershed.  I sold almost half my SUF yesterday to lock in a 30% gain, it seemed a reasonable thing to do considering the recent run and the looming resistance levels.

If we do get a retrace, I would like to see the recent breakout level of 4.18 hold, so will probably set my stop on the remainder down near there.  I may even try and pick up more shares at that level.  It is often worth aiming to pick up more shares when a stock tests support for a low risk entry, provided you have a close stop if that support level fails.

The problem with SUF is that the company itself has no revenues, no earnings and has been losing money ever since inception - all they have is a promising and potentially revolutionary technology.  Sounds like a biotech really, not an oil technology  company.  The market is and has been pretty skeptical on them over the last year, and a lot of people ar betting on the technology failing, and that they will never see revenues.  This is entirely possible, but they have been building a major facility, which is scheduled to be complete in the next month or two, so d-day on the tech is looming.  If positive results come out of this facility, thn we should see a major short squeeze.  But my recent experience with DNDN has taught me to treat every trade as a trade, nothing more nothing less.  Don't get sucked into "believing" in a technology or a possible outcome, and letting that influence your decisions, which for me at least, need to be based on what the chart is saying.

Hi ST,

I finally got a chance to read the SUF thread from beginning to the latest post.
I really enjoyed reading it and had been admiring a lot of the TA inputs.

When I got to the last post, I was so surprised :o

I feel honoured and encouraged that you pasted my analysis. :)
I can't believe that someone I look up to would refer to it.

Thanks for the encouragement.

Attached is the most recent way I look at SUF.
Comments on this is appreciated (good or bad) so that I could improve on my charting ability.

Currently, on my tradefreedom charts, I see that price closed above the 8ma of the weekly, daily, hourly, and 15 minute charts.
The previous week's candle high is at $5 and the 200ma is at $5.21(resistance)

It looks like this would be a good momentum play on monday if:

Price trades at least 2.5% from the open (changed the 25 cents above the open per your suggestion)
has a positive net price
nice level 2 set up
green prints (block trades coming in would be better) filling the tape.
Ax leaving the offer
the $5 resistance broken
watch out for the $5.21 resistance (this may be broken too if demand is high)

Keep on trading well,

Ares

Double Bottom (Reversal) Pattern

The double bottom is a major reversal pattern that forms after an extended downtrend. As its name implies, the pattern is made up of two consecutive troughs that are roughly equal, with a moderate peak in-between.

Although there can be variations, the classic double bottom usually marks an intermediate or long-term change in trend. Many potential double bottoms can form along the way down, but until key resistance is broken, a reversal cannot be confirmed.

It is important to remember that the double bottom is an intermediate to long-term reversal pattern that will not form in a few days. Even though formation in a few weeks is possible, it is preferable to have at least 4 weeks between lows. Bottoms usually take longer than tops to form and patience can often be a virtue. Give the pattern time to develop and look for the proper clues. The advance off of the first trough should be 10-20%. The second trough should form a low within 3% of the previous low and volume on the ensuing advance should increase. Volume indicators such as Chaikin Money Flow, OBV and Accumulation/Distribution can be used to look for signs of buying pressure. Just as with the double top, it is paramount to wait for the resistance breakout. The formation is not complete until the previous reaction high is taken out.

HOUSTON, Aug. 8 /PRNewswire-FirstCall/ -- SulphCo®, Inc. (Amex: SUF - News) announced yesterday that the management of SulphCo, Inc. The Company reported the completion of infrastructure and ancillary facilities, including electric, cooling, water tanks, sludge tanks, pumps, control systems, a water separator and external feed lines, sufficient to allow continuous operation of one of the six commercial scale 30,000 bpd Sonocracking units earlier installed at the facility.

Initial testing began on August 5th with a run of 285 barrels of heavy oil (less than 13 degree API gravity, sulphur content 2.63% by weight) through a 5,000 bpd skid (six of which in parallel comprise a 30,000 barrel per day commercial unit). The oil was supplied by tank truck through external piping into the plant, with flow rates averaging 2,500 bpd and peak rates as high as 3,500 bpd, said Brian Savino, President of SulphCo®. "The limiting factor was the discharge rate of the tank truck, not the throughput capacity of the Sonocracker."

Dr. Larry Ryan, CEO of SulphCo®, described the event as a milestone in the history of the Company, stating "We now have the ability to operate a commercial scale prototype unit for extended runs on tank truck quantities of the types of heavy oil for which this unit was designed. What's more, this installation was completed on schedule under our revised timetable." He added that "The ultrasonic probes performed flawlessly during this test, showing no evidence of inconsistency or mechanical breakdown."

Sensitive to the fact that potential customers and investors alike are anxiously awaiting test results validating the technology on a commercial scale, Dr Ryan counseled patience, stating that "This is just the first run on a heavy oil we have never before tested. More than 50 samples were collected under various combinations of power settings, water content, and flow rates, with the goal of optimizing system performance. The samples were then sent to a respected outside laboratory for testing. Once preliminary data is analyzed, additional testing will take place later this month involving larger runs of a varied slate of heavy oils, and utilizing a new probe developed by an outside supplier. Results from these trials will be released only after a sufficient data base has been compiled and appropriate analyses have been performed."

With respect to the European testing program, Dr. Ryan commented that "further testing in concert with our European partner has been delayed by permitting and coordination issues over which the Company had no control. Those issues have now been resolved and both SulphCo® and our European partner are fully committed to a resumption of testing as soon as practicable."

SUF  SulphCo Announces Successful Commercial Technology Evaluations...

HOUSTON, Oct 14, 2010 (GlobeNewswire via COMTEX) -- SulphCo, Inc. (the "Company" or "SulphCo") (nyse-amex:SUF) a technology company with a patented ultrasound process designed to desulfurize liquid petroleum streams, today provided an update on the progress of the commercial technology evaluations with a wholly-owned subsidiary of a domestic mid-stream energy company.

As reported in June, the two companies entered into an agreement (the "Validation Agreement") under which SulphCo installed a mobile Sonocracking(TM) unit at a natural gas liquids ("NGL") fractionation facility located in Mont Belvieu, Texas for the purpose of evaluating the commercial scale performance of SulphCo's Sonocracking(TM) technology on certain natural gasoline streams produced at the facility. The installation and operational commissioning of the Sonocracking(TM) unit began during the week of June 28, 2010 and was completed during the week ending August 27, 2010 with the two companies working together to jointly prepare the site at the Mont Belvieu facility. During this period, SulphCo's installation team, in conjunction with site engineers based at the Mont Belvieu facility, successfully installed the mobile Sonocracking(TM) unit and conducted commissioning tests to assure safe operations and equipment reliability.

Commercial scale validation tests began during the week of August 30, 2010. The initial work involved a number of trials designed to define the operating parameters within which different operating variables such as additive levels and throughput rates could be optimized. Over the course of the commercial scale validation phase, a variety of natural gasoline streams with starting sulfur levels ranging from less than 150 parts-per-million ("PPM") to more than 400 PPM were treated successfully with resulting sulfur levels routinely coming in at the sulfur reduction target of less than 45 PPM and with volumetric throughput rates on a single processing line ranging from 1,000 barrels-per-day ("BPD") to 3,000 BPD. Five weeks of commercial scale validation trials culminated during the week ended October 1, 2010 with SulphCo conducting a continuous run of 42 hours on a single processing line with volumetric flow rates ranging from 1,500 BPD to 2,000 BPD and resulting sulfur levels consistently less than 45 PPM.

The two companies have jointly agreed that the results achieved during the commercial scale validation phase met or exceeded the performance parameters that were established in the Validation Agreement and have mutually agreed to move forward with negotiations on a definitive commercial agreement. Although SulphCo and the facility operator have agreed to work toward a commercial agreement, there can be no guarantee that terms for a commercial agreement will be reached or that a commercial contract will be executed.

"We are pleased with the outcome of this commercial evaluation and its validation of SulphCo's proprietary Sonocracking(TM) technology," said Dr. Larry D. Ryan, SulphCo's Chief Executive Officer. "We are especially pleased that it met established performance parameters. Reaching this important milestone will now allow us to focus on finalizing commercial negotiations, as well as begin to explore additional opportunities with the facility operator and others interested in applying our technology to NGLs and other liquid petroleum streams at Mont Belvieu and elsewhere."
