Futuremedia Selected As Preferred Supplier to Provide HCI Benefits by London Connects Consortium
Thursday , December 22, 2005 12:58 ET

BRIGHTON and LONDON, England, Dec 22, 2005 /PRNewswire-FirstCall via COMTEX/ -- Futuremedia plc (Nasdaq: FMDAY), a leading European learning and managed benefits services provider, today announced that it has been selected by London Connects as Preferred Supplier for HCI benefits as part of a consortium led by Bull Information Systems.

London Connects was jointly established by the Association of London Government and the Greater London Authority. They are keen to promote digital inclusion among public sector employees in London and has appointed Bull Information Systems as prime contractor on the project, and Futuremedia plc as the recommended provider to 32 London Boroughs with a total employee population of approximately 250,000. While the final decision to launch an HCI managed benefits program will be made by each individual borough, this task has been made easier for them by the aggregated procurement process and subsequent economies of scale. It is expected that the first group will launch within the next three months and a rollout will follow over the course of the next twelve months.

The procurement process was managed on behalf of London Connects' members by Citizens Online the leading Digital Inclusion Charity.

Leonard M. Fertig, CEO of Futuremedia commented on the selection, "Futuremedia is pleased to be working with Bull Information Systems in managing the HCI benefit program for London's public sector employees. This is an important responsibility and reflects the quality of Futuremedia's service proposition and our proven ability to handle managed benefits for large organizations. As this may be one of our largest Managed Benefits responsibilities, the Boroughs will have the benefit of the experience and systems that Futuremedia has developed in the two years since launching the UK's largest HCI program to date with Royal Mail Group plc. We look forward to serving the London Boroughs and their employees with the highest quality services."

Futuremedia To Launch New Managed Benefits Service
Thursday April 13, 8:08 am ET
Targeted at 4,000+ Businesses employing 15 Million UK Employees

BRIGHTON, England, April 13 /PRNewswire-FirstCall/ -- Futuremedia plc (NasdaqCM: FMDAY), a leading European e-learning and managed benefits services provider, today announced a new managed benefits service that will help both employers and the general population of the UK to compete globally in the 21st century. The new product will be unveiled at the Northern Employee Benefits conference scheduled later this month.

On March 22, 2006, Chancellor Gordon Brown announced, as part of his budget, the abolition of the tax exemption on the provision of computer equipment for private use by employers, known as the Home Computing Initiative (HCI), with effect from April 6, 2006. Employers and their employees who signed up for HCI benefits prior to April 6 remain eligible for these benefits until the end of their 3-year programs. Futuremedia continues to provide services to its clients and more than 40,000 employee-subscribing households without interruption.

This announcement of the abrupt end of this successful and rapidly growing employee benefit came as a complete surprise to British industry. As a result of extensive lobbying by industry leaders, including Futuremedia, alongside the Department of Trade and Industry, Confederation of British Industries (CBI) and the Trades Union Congress (TUC), the government has begun consultations to consider a revised plan. However, it is not known when or if such a decision will be announced.

Today, Futuremedia is announcing its plans to launch a new managed benefits product at the Northern Employee Benefits Conference and Exhibition on April 26. The new service, while not incorporating tax exemptions among the benefits, will provide the opportunity for employers to offer their employees and their families home-based education and digital access for work, school and life enhancement. It is targeted at the 4,000 companies who have offered HCI in the past two years, as well as those whose plans to do so were cut short by the change in tax regulations.

"Futuremedia is again taking a leadership position in managed benefits," said Leonard M. Fertig, Chief Executive Officer of Futuremedia plc. "In 2003 Futuremedia launched the first large-scale HCI benefits program on behalf of The Royal Mail and gave birth to an industry. Now we are drawing upon our 23-year history as a provider of learning through technology in the United Kingdom to offer employers an opportunity to provide their employees with a very high value family benefit. Futuremedia is pleased to continue providing content and services that enhance the capabilities of employees and their families at work, at school, and at home. While the ultimate size of this new benefits program cannot be estimated at this time, the predecessor HCI grew from concept to being offered to five million UK employees in a little over two years."

Futuremedia Provides Safety Critical Training for Virgin Atlantic Airways
Monday October 16, 9:00 am ET
- Nominated for multiple industry awards -

BRIGHTON, England, Oct. 16 /PRNewswire-FirstCall/ -- Futuremedia plc (Nasdaq: FMDAY - News), a leading learning and communications company, today announced that its subsidiary, ebc, has completed a custom e-learning project on behalf of Virgin Atlantic Airways for the purpose of training new cabin crew recruits. The course has been nominated for both the UK's e-Learning Age Awards in the category "Most Tangible Project ROI" and for the World of Learning Awards in the category "Bespoke Solution of the Year."

Following an extensive submission process, ebc was selected to provide an online learning course covering Safety and Equipment Procedures (SEP) to Virgin Atlantic's new cabin crew. Although Virgin initially planned to launch the course gradually, feedback during testing was so positive that it was launched in full upon completion. The course represents a groundbreaking use of e-learning in Virgin Atlantic's safety critical environment and includes a specially constructed tracking database to allow monitoring of an individual learner's progress. Overall, the project has brought significant reduction in training time and costs dramatically improving the comprehension of historically difficult subjects among new recruits and allowing instructors to focus on practical training. Initially expected to achieve ROI in two years; the projects' unprecedented success means that this figure has since been reduced to just one year.

Pauline Reeb, e-Learning Manager at Virgin Atlantic said, "The Cabin Safety Training e-learning has met all our objectives and exceeded our expectations in relation to the return on investment. I am therefore delighted that the combined efforts of the Virgin Atlantic and ebc team, in developing this significant piece of e-learning, have been nominated by the awarding bodies."

The e-Learning Age Awards take place in London on November 9 and recognize excellence within the e-learning industry. The World of Learning Awards, sponsored by learning Magazine, take place on November 14 and recognize and reward excellence in the training industry.

Volume Spikes: LMRA FMDAY OPEN SUMT
Monday October 16, 2:39 pm ET
Lumera Corp. Successfully Tests New Product, Sending Shares Into Heavy Volume

NEW YORK (AP) -- The following companies were showing unusually heavy volume in trading Monday on the Nasdaq around 2 p.m. Higher-than-normal volume can indicate increased activity by institutions such as mutual funds and insurance companies. Upward stock movement on such volume can show increased confidence among investors, while selling can signal further downward pressure on a stock.

Shares of Lumera Corp. surged on extraordinary volume after the nanotechnology company announced a successful test of its millimeter wave wireless bridge.

The Bothell, Wash.-based company said the new product will enable government agencies and businesses to transmit a vast amount of data through telecommunications networks. The company has already begun discussions with prospective customers, Lumera said.

More than 1.6 million shares were exchanged by 2 p.m., far exceeding the average daily trading volume of 41,676 shares.

Futuremedia PLC, a U.K.-based business consultant, saw a fivefold increase in trading of its American depositary shares by 2 p.m. on no significant news. The company did not issue any material press releases, and no analysts distributed research on the company.

Shares of Futuremedia traded on volume of 49.8 million, versus the daily average of 9.2 million. The stock rose more than 10 percent.

Shares of Open Solutions Inc., which makes software for banks and lenders, surged on unusual volume Monday after a group of private equity investors offered to buy the company's shares at a 25.5 percent premium.

Private equity firms Providence Equity Partners and Carlyle Group offered $38 per share for the Glastonbury, Conn.-based company's outstanding shares. The cash consideration in the deal is roughly $975 million, including $144 million in debt that will be converted into stock and excluding $342 million in long-term debt.

More than 9.5 million shares of Open Solutions changed hands by 2 p.m., far more than the stock's daily trading average of 172,682 shares. The stock rose 24.3 percent to $37.65.

SumTotal Systems Inc., a Mountain View, Calif.-based maker of business software, warned of an unexpectedly wide loss in the third quarter and the news sent the company's stock into accelerated trading.

The company early Monday said it expects a loss of 10 cents to 11 cents per share, versus original guidance to a smaller loss of 4 cents to 8 cents per share. The anticipated loss widened, despite surprisingly high revenue, because of burgeoning costs in the services business, the company said.

Trading volume of the shares reached 2.4 million at 2 p.m., compared with a daily trading average of 102,714 shares. The stock sank more than 14 percent on the news.

Futuremedia Announces Completion of Up to $5 Million Private Placement Equity Financing
Wednesday October 25, 11:34 am ET
- Fully Funds Capital Needs to Reach Cash Positive Operations -
- Confirms Guidance for Positive EBITDA in Fiscal Year 2007 -

BRIGHTON, England, Oct. 25 /PRNewswire-FirstCall/ -- Futuremedia plc (Nasdaq: FMDAY - News), a leading learning and communications company, today announced that it concluded an equity private placement of up to $5 million with a corporate investor to provide funding for its continued operations until the Company reaches cash positive operations by the first calendar quarter of 2007 as expected (the Company's third financial quarter of fiscal year 2007).

The Company also reconfirmed its previously announced guidance for its fiscal year ending June 30, 2007 of EBITDA between GBP 1.0 to 1.5 million ($1.8 to $2.7 million) on revenues of GBP 18 to 20 million ($33 to $36 million).

Leonard M. Fertig, Chief Executive Officer of Futuremedia commented "With this financing Futuremedia is able to put the difficulties of the past year behind us and move forward as a profitable and cash generating business. With a rapidly growing business and our focus on cost controls, we expect to achieve consistent yearly growth and expanding operating margins which we expect to translate into increased shareholder value."

"In March 2006, the Company was on the verge of completing a remarkable turnaround after years of losses. However, this was ended by the unexpected termination of HCI in April, which eliminated about 90% of the Company's revenues. In the last six months Futuremedia has fought its way back by cutting costs, acquiring two profitable businesses, preserving its listing on the Nasdaq Capital Market, and paying off significant debt. With this new equity financing we are now prepared to move into operating profitability and cash self-sufficiency in early 2007."

"Going forward our focus will be on two of the fastest developing segments of the communications industry; online communities and face-to-face experiential marketing. Our learning and communications businesses are expanding, and we are actively pursuing new revenue opportunities. As we enter the last quarter of calendar 2006 we have right sized and refocused our company, and we are in a strong position to capitalize on the growth of our industry."

The investment comprises an initial payment to the Company of $3 million in exchange for 20 million ADSs at a price of $0.15 per share and warrants giving the investor the right to purchase a further 80 million ADSs at $0.025 per share for an additional $2 million. The warrants are exercisable for one year.

The use of the proceeds will be to fund remaining HCI obligations due to the UK Government's decision to terminate the program last April, remaining expenses connected to the acquisitions of ebc and Button, and to pay down a portion of the convertible debt owed to Cornell Capital.

This press release contains certain forward-looking non-US GAAP financial measures (as defined by SEC Regulation G). EBITDA is earnings before interest, taxes, depreciation and amortization, and is not a financial measure presented in accordance with US GAAP. The Company believes that it is helpful to highlight for investors its current results and future expectations regarding its results on an EBITDA basis. Management believes EBITDA provides an indicative measure of the Company's operating performance, and will limit its earnings guidance to revenues and EBITDA. As the Company's EBITDA is not a financial measure presented in accordance with US GAAP, when analyzing the Company's operating performance investors should not consider EBITDA in isolation or as a substitute for other financial measures presented in accordance with US GAAP. Moreover, the Company's EBITDA is not necessarily comparable to other similar measures reported by other companies. Due to the complexity of non-cash accounting charges connected with financing and the accounting for the possible amortization of intangible assets in connection with our recent acquisitions, it is not practicable at this time to reconcile the non-US GAAP financial measures in this press release to the most comparable US GAAP measure.

It used to be FMDAY but after a 50-1 reverse split it's now FMDAD. I think the chart is setting up for a major move (upward is my hope ;)) It's not a horrible company, they're just always a penny short of profitability, quarter after quarter. If they can get to positive EBITDA as they've promised,  and then maintain it, that would be a good catalyst for the stock.  IMO this is a stock David should have on his watchlist for a 3StocksOnFire trade if it gets moving.
