NEW YORK, June 13, 2005 /PRNewswire-FirstCall via COMTEX/ -- SIRIUS Satellite Radio (SIRI, Trade) today announced that it has developed a new, advanced proprietary technology that will initially increase the company's total network capacity by approximately 25% within its existing digital transmission system. The technology, known in the industry as hierarchical modulation, will allow SIRIUS to offer additional audio channels, as well as advanced services such as data and video, without affecting the quality of its broadcasts.
"Our new modulation technology will use a very innovative approach to increase the number of bits we transmit through our satellite and terrestrial repeater networks, enabling us to increase the effective use of our currently licensed spectrum to add additional programming for the benefit of our subscribers," said Jim Meyer, SIRIUS President, Sales and Operations. "Sirius will continue to deliver uncompromised sound quality, and with this new technology we will retain the flexibility to expand our broadcasts even further in the future."
The technology, developed by SIRIUS' Advanced Development Team based in Lawrenceville, NJ, will work over SIRIUS' current network, with minimal upgrades to its satellite uplink and terrestrial repeater infrastructure. SIRIUS has already conducted several tests of the technology to confirm the performance.
The new modulation technology will not impact the customer experience of existing SIRIUS radios sold or currently on the market. Future SIRIUS radios will be outfitted with the new technology, making it possible for them to receive the additional services planned.
"Since our inception, it has been SIRIUS' goal to combine the most cutting-edge technology with the best in creative programming," said Scott Greenstein, SIRIUS President, Entertainment and Sports. "This technological advancement is validation of SIRIUS' ability to excel in both areas of expertise, and to provide our subscribers with innovative services and a unique entertainment experience."
SIRIUS is currently working with its silicon partners to integrate the advanced modulation technology into its chipsets. The company expects to begin offering services using the new technology in the second-half of 2006.

Make some money bro! Good luck with your trades....of course you don't need it.
Was expected to correct from last December's high of $9.43 and went as low as 4.36 in April, but has been steadily gaining in price since that low (presentlysently 6.60 in pre-market). Howard Stern is coming in January and subscription numbers are staying ahead of forecasts. That's the good news.
The bad news is that this company has over 2 Billion shares out, is riddled with debt and cannot stop finding new ways to create more. Apollo Group owns several stock warrants they can cash in at any time.

Nice day for SIRI. This should make a good run to the end of the year. Lots of near term specualtion for Howard Stern starting early. It would be nice to see some strong sub #s for the qtr. to support the move!

NEW YORK, July 1 (Reuters) - XM Satellite Radio Holdings Inc. (XMSR,Trade) on Friday said it added 640,000 subscribers in the second quarter and now has more than 4.4 million in total.
Washington, D.C.-based XM, No. 1 ahead of rival Sirius Satellite Radio (SIRI,Trade) as a provider of nationwide talk, news and music stations, has previously said it expects to reach 5.5 million customers by the end of the year.
XM ended 2004 with about 3.2 million subscribers. Sirius, which launched its service about a year after XM's, ended the first quarter with 1.45 million and expects to reach 2.7 million this year.

Thx for posting your analysis. So how long have you been trading? You really seem to know your chart patterns and candle stick formations.
So does a 6 month island suggest a big advance in the stock price is in order or is it the reverse head and shoulder that suggests it?

Thx for posting your analysis. So how long have you been trading? You really seem to know your chart patterns and candle stick formations.
Thanks. I've been trading for so long, I can't remember. ??? Since back when we didn't have computers, and you had to calculate the exponential moving averages of the MACD by hand for each chart that you were looking at, and you had to draw the open, high, low and close for each stock on graph paper. Tedious work :P
QuoteSo does a 6 month island suggest a big advance in the stock price is in order or is it the reverse head and shoulder that suggests it?
BOTH suggest that the chart is bullish. SIRI could go back and re-test the Inverse H&S breakout near 6.08 and still be bullish, but I view it as more bullish if Friday's gap doesn't get filled, and if the six-month Bullish Island Reversal reversal remains on the chart.
All of the people who bought the stock over the past six months are sitting on that "island" holding a winner, and they are very comfortable in their long postion because the "ship has left port," so to speak, with that gap higher on Friday, and there's now no chance to buy the stock back at "island prices," as the chart stands.
That's why I say that it's more bullish if the gap doesn't get filled. If we go back to "island prices," (fill the gap) it's not as bullish because "the ship has come back to port", allowing others to buy "at island prices." The people on the island won't be quite as comfortable in their long postition as they were this weekend if "just anybody is allowed to buy SIRI at island prices."
The price that they paid for the stock won't look like as much of a bargain as it does right now ;)
Melf-
What a beautiful analogy you have created with the island! Brings my mind back to a few cruises I've been on. The psychology behind what you describe is interesting.
As I mentioned I didn't pick up the H & S pattern and what I see is what is the completion of a cup and am waiting to see if the handle is going to form. A bit presumptuous on my part since a handle hasn't even begun to form. I figure that the pop on Friday was due to the Motley article (or maybe Setravis :D)and that the stock would retrace a bit once it hit the Resistance at the gap it's closing right now. Either way, I agree that the bulls are in control of the stock right now and hope this has a nice pay off by the end of the year. Thx again.
I have been checking in every so often reading you guys post.
Great TA on this Melf, and a fine chart to go along,(Applaud) If I just didn't have to scroll ;)
It's up in the pre market!Looking for a nice move today.
AustinPowers... ;D A nice pay off by the end of the year!!!!
Good trading guys..
Man I thought that SIRI was going to have a huge day. Lots of profit taking off of the high. Does today's candle suggest anything?
Hopefully it all just profit takers.
IMHO, That is what I think the case might be.
Below is the definition of the candlestick (Spinning Tops)
*************************************************************************
Candlesticks with a long upper shadow, long lower shadow and small real body are called spinning tops. One long shadow represents a reversal of sorts; spinning tops represent indecision. The small real body (whether hollow or filled) shows little movement from open to close, and the shadows indicate that both bulls and bears were active during the session. Even though the session opened and closed with little change, prices moved significantly higher and lower in the mean time. Neither buyers nor sellers could gain the upper hand and the result was a standoff. After a long advance or long white candlestick, a spinning top indicates weakness among the bulls and a potential change or interruption in trend. After a long decline or long black candlestick, a spinning top indicates weakness among the bears and a potential change or interruption in trend
Would anyone mind providing some TA comments for SIRI? It looks like it is could possibly be setting up for a break out above $7. (This time sustained since it did breach $7 recently and then consolidated) Oppenheimer initiated coverage today at a buy. I think this is very bullish considering earnings are due to be released on Aug 2. TIA
Here is what Oppenheimer holds of SIRI stock:
OPPENHEIMERFUNDS, INC. - 8,161,709
OPPENHEIMER GLOBAL FUND- 54,491,700
OPPENHEIMER GLOBAL OPPORTUNITIES FUND- 20,000,000
OPPENHEIMER GLOBAL SECURITIES VARIABLE ACCOUNT- 13,387,014
They are one of the largest Institutional holders of SIRI stock. Maybe set for a nice run to earnings although I would be reluctant to hold on earnings day with this one.

Good volume this morning. This has been consolidating below $7 for the past month after spiking up to $7.5 on a good run. IMO this is the time of year to consider this stock. The factors are:
history: this stock typically performs very well between now and January.
specualtion: Howard Stern starting early, Oprah and Apple rumors. Any one of these will create a nice price spike
expectations: there should be a huge increase in subscribers due to Howard Sterns official arrival in Jan 2006.
Sirius recently announced their next gen. products available in stores this fall. Good Luck

SIRI has been on fire this week! Good earnings and the best selling season of the year is right now for them. They are expeting a blowout 4th qtr in terms of sales as per the CEO on the conference call yesterday. As many of you know, this is a stock that can move dramtically with hype. Volume has picked up and is already at 26 Mil shares.
In the words of the execs on the call there will be an "unprecedented" media blitz advertising Sirius and Howard Stern starting from now and going into the 1st qtr of next year.

Sirius, XM Shares Rise on Analyst Call
Friday December 9, 12:56 pm ET
Sirius Satellite Radio, XM Satellite Radio Shares Advance in Trading on Positive Citigroup Call
NEW YORK (AP) -- Sirius Satellite Radio Inc. and XM Satellite Radio Holdings Inc. both rose Friday after Citigroup urged investors to buy shares in both the pioneering media outfits.
Analyst Eileen Furukawa said in a report to clients that "satellite radio is one of the few growth stories in media." She initiated coverage on both stocks with a "Buy" rating.
XM Satellite Radio increased 65 cents, or 2.3 percent, to $28.51. Sirius rose 29 cents, or 4 percent, to $7.72. Both trade on the Nasdaq.
"In our view, satellite radio is one of the few areas within the media sector that offers attractive secular growth," Furukawa said. "The industry has already experienced robust growth from 4.4 million subscribers at the end of 2004 to our estimate of 9 million by the end of 2005."
She anticipates growth will continue to impress, reaching some 51 million subscribers by 2015. However, the analyst also pointed out that the growth stories also carry a certain amount of risk -- especially with stock valuation.
Furukawa noted it might be difficult to determine where the stocks should be trading at because they are relatively new companies. She also compared them to another one-time "emerging growth story" -- America Online.
"Like the Internet in its early years, valuation can become tricky and biased when based on estimates that need to go a decade or more out, particularly when growth is nascent and rapid," she said.
XM Satellite radio shares could hit $43 within the next 12 months, she said. Sirius, which in 19 days will get its biggest on-air coup when shock jock Howard Stern goes on air for the first time, could see its stock price hit $9 in the next 12 months.

NEW YORK (AP) -- Satellite radio provider Sirius Satellite Radio Inc. said Tuesday it recently topped more than 3 million subscribers to its service and expects a strong finish for the year.
Sirius sells more than 120 channels of commercial-free music, talk shows and other programming to subscribers. calven,
We got your 5.60 yesterday, and the CMO is pulling back to the 9EMA. That's looking good, so far.
I'm wondering, however, if the three closes back below the Wolfe Wave breakout diminishes (or even negates) the bullishness of that breakout.
???
Maybe it will pull back toward the 3.23 low, and make a double-bottom?
???
Yesterday's high was 5.7701. The top of the Wolfe Wave pattern comes in today, February 14, at 5.7889. If we use 5.78, a print above yesterday's high, as the buy pivot, or a print of 5.79 to make sure that we're back above the top of the Wolfe Wave, the risk on the trade with a stop out below the 5.23 low is about 10%.
The Wolfe Wave target and the 50/200 DMAs all are clustered between about 6.44-6.50. Conservatively, an entry at 5.79 with an exit at the low end of that range, 6.44, is a reward of about 11%.
I'd have to pass on that one. Buying it here at 5.61 would improve the risk:reward, but I hate to jump in "on the come," especially with those three closes below the Wolfe Wave breakout putting me in doubt about the bullishness of the pattern.
Maybe we'll get some more pullback for a better risk:reward.
???
Yesterday, we got a higher close on a Bullish Hammer, and the CMO ticked higher off the 9EMA. The high of the Bullsih Hammer was 4.70; the low was 4.55, so the Buy pivot if we want to take it is 4.71.
I'm going to try this one. I'll buy SIRI on a print of 4.71. Stop: a print of 4.54, below yesterday's candle. Risk: a loss off 3.6%.

The MACD histogram was one of the things that I liked when I took the trade. There were three bullish divergences, then a cross above the signal line. That's tricky when a stock is in a downtrend, like SIRI, but with the Wolfe Wave possibility, it looked promising. Often, it works. This one didn't.
>:(
The stop signal was for when SIRI broke back into the previous WW channel....(failed ww)
Anways, I plan on buying in SIRI very soon for the 10-15% bounce it should offer...
Here is what I see for a non risky 1-2 day hold type trade... The longer term bottom should come within the next two weeks. I may buy on friday... I like the risk reward - 4.20 is STRONG support and 6$ is a nice bounce...

I would have to disagree with you Melf, on this one...
I think Im going to buy in the high 5.60's if possible monday. I think this is a good trade!
Wish me luck... :o
cal >:D
The high 5.60s was back inside the WW, near where I bought at 5.71. No problem at all. I still liked the technicals, and used the stop. Just want to clarify for the future: If a stock closes back inside the WW channel, should we consider it a failed WW from now on?
I have to laugh that, after our discussion, I ended up buying it, and you didn't. You did have good luck! :)
Thanks, and I appreciate all of your efforts on these WWs. Applause.
Fortionately for me I bought HCBK instead .... >:D
I came VERY close to buying... I still dont think 5.60 is a bad LT entry...

MACD divergences is also one of my favorite, that's the first one I'm checking before triggering my trade but i'm confirming that with moving averages along with the prices & also one of my favorites the Wilder's DMI (ADX)
As of now I don't see any bullishness for SIRI but bearishness ;)
Ps. check out the 2nd chart before SIRI dived.

Alister,
Thanks for your nice charts. I like them a lot. Applause.
I saw that Bearish Cross of the 50/200DMAs in SIRI the day before I bought it, but I'll tell you why I still took the trade. Sometimes, that "sell" signal shows up near a bottom, and it's actually a great buy. On occasion, by the time the 50/200DMAs make a Bullish Cross, the stock already has had a good rally.
I'll show you a great example of that on the chart below. Two days prior to the 2005 low for the year in the QQQQ, the 50/200 DMAs made a Bearish Cross (the first vertical black line). That was a great buy! The 50/200DMAs didn't make a Bullish Cross until two days after the Inverse H&S breakout in July (second vertical black line).
I'm glad to see that you're having success with the Directional Movement Indicator. I played with that one for a long time, using ADX, then ADXR, then using both of those...then combining it with Aroon...I didn't have any luck with it.
>:(
Thanks again for all of your nice charts.

Hey Terlisa, I follow this one pretty close and I had taken your advice a ways back and went to the sideline. Thanks for your valuable advice $$$ (Appl). This stock is perplexing because with the intense coverage and incredible potentia,l people are in my mind, playing this fairly conservatively. $4.00 dollars would appear to be the next stop, and I just wonder (guessing) that when this turns up, it will turn up hard. The risk/reward potential here seems quite high and I look forward to jumping aboard.

Sirius Radio on the move with the news:

Sirius Satellite Radio Shares Climb After Deal Announced With Volkswagen
NEW YORK (AP) -- Shares of Sirius Satellite Radio Inc. rose Friday after Volkswagen announced a deal that will make Sirius the auto maker's sole satellite radio provider for U.S. vehicles through 2012.
In midday trading, Sirius shares climbed 29 cents, or 6.4 percent, to $4.80 on the Nasdaq. Over the past 52 weeks, the stock has traded between $4.36 and $7.98 per share.
Volkswagen will offer Sirius beginning with its 2007 model year vehicles, including its Audi brand cars, and said it expects to install Sirius radio receivers in about 80 percent of Volkswagen brand vehicles.
In addition, the auto maker will offer three months of free Sirius service.
Financial terms of the deal were not disclosed.
Analyst Kit Spring of Stifel Nicolaus said that although Volkswagen and Audi account for a relatively small share of the American car market, the fact that Volkswagen is immediately equipping 80 percent of its 2007 vehicles is significant.
"We believe this is further evidence for investors that satellite radio is indeed going standard in new cars by early next decade," Spring wrote in a note to investors.
Barton Crockett of JPMorgan called the deal a "modest positive" for Sirius, saying that despite Volkswagen and Audi's minimal share of U.S. market, the agreement does boost Sirius' market share to 39 percent, compared with larger rival XM Satellite Radio Holdings Inc.'s 58 percent.
But analyst Jonathan A. Jacoby of Bank of America said the market is overreacting to the deal and he will continue to recommend the purchase of XM shares over Sirius.
"XM is the larger company and retail share is beginning to return to XM," Jacoby wrote in a note to clients. "In addition, XM has the more leverageable expense model."
Jacoby also said that although the financial terms of the deal were not released, he estimates that it was a more expensive deal than other recent agreements XM made with Toyota and Hyundai.
"Furthermore, we worry that a high-cost deal could concern investors on future deals (in other words when current deals have to be renegotiated)," Jacoby said.
SIRI broke the downward trend on the news today. I've been watching for months and entered @ 4.76. I believe we have strong support at 4.35, with some medium term resistance at 5.70 and strong resistance at 7.88
Any objective comments welcome!

UC,
Are you planning to enter in SIRI for the LONG side? if u do it's not time yet in my opinion.
Bears still winning on the battle... SIRI's charts says all..
Goodluck!! ;)
I made a well-timed add at 4.48 the other day since it seemed to find support above last April's low (4.36). Still deep underwater on my initial position. Thinking we might get a rally up near $6 in the next month or two, which would be a 38.2% Fib retrace and also where it hits its head against the Oct 05 swing lows. Chart: http://tinyurl.com/jao2y
I think SIRI is bottoming.... I will wait for a retracement back below 5.00 and take a "half position"
SIRI fufills the ESM....

I took some off the table @ 5.14. Seems like it wants to fill that gap a bit. I'll look to add back that position at a lower price.
Almost time to go long on SIRI... it will go down & close that GAP i will cover my short around there & ready to go LONG ;)

& another thing to consider before taking our LONG position (I pulled out the weekly chart for better view) ;)
Thanks for that perspective Calven. I didn't see that it was up against that channel line. Coupled with the gap and shooting star candlestick I think it's a safe bet SIRI will backfill. I sold 2 of my 3 positions today. Will see how things unfold early tomorrow and probably cut the third position, with the idea of reentering if a a double bottom or higher low is confirmed.
Nothing new on SIRI prices still below 8 SMA... ;)
Looks like bears are starting to dissipate :D ... but the price still below 8 EMA
I hate to get sucked into a bear trap but SIRI broke the downtrend and horizontal resistance today. This is a positive sign since I am a trendline trader...volume was also outstanding. We might be looking at a good entry near the middle of todays candle! >:D

Sirius Satellite Shares Rise on Outlook

Sirius Satellite Radio Gains on Outlook, Rival XM Satellite's Stumble
NEW YORK (AP) -- Shares of Sirius Satellite Radio Inc. rose Thursday, after it reaffirmed its guidance for subscriber growth and an analyst downgraded its main rival, XM Satellite Radio Holdings Inc.
New York-based Sirius' stock gained 15 cents, or 4 percent, to $3.83 in morning trading on the Nasdaq. The stock has traded between $3.60 and $7.98 during the past 52 weeks, and it has generally declined since last month, when it was over $5.
Shares of XM, meanwhile, dropped to a new 52-week low. The stock fell as low as $12.77 before settling at $13.86, down 89 cents, or 6.5 percent, in morning trading on the Nasdaq. Its previous low was $13.43, set Wednesday.
Bear Stearns analyst Robert S. Peck downgraded XM stock to "Underperform" from "Outperform," saying its management's credibility is in doubt after cutting its growth forecast Wednesday and failing to follow through on marketing promises.
XM said soft retail sales of satellite radios and problems with product availability pushed it to lower its full-year subscriber forecast.
"We think the market has lost faith, and unfortunately what used to be XM's premium over Sirius (confidence in its management) has eroded," Peck wrote in a research report.
Peck said he's optimistic about the satellite-radio industry long term and that shares of Sirius may begin trading more independently of its rival.
Banc of America analyst Jonathan Jacoby cut his target price for XM to $25 from $30 due to the lowered guidance.
Jacoby said he still prefers XM over the longer term, as he expects it to have more profitable subscribers than Sirius. He maintained his "Buy" rating for XM.
Merrill Lynch analyst Laraine Mancini said Sirius' price drop has been due to bad news for XM, not for Sirius.
After Sirius reaffirmed its growth guidance for this year Wednesday, Mancini maintained a "Buy" rating and $9 price target.
"Investors must separate XM news flow from SIRI fundamentals, which should be easier to do as SIRI continues to meet its milestones while XM works to eliminate overhangs," Mancini wrote in a research note.

Trading Idea:
This is solely a technical trade; we are not considering SIRI's fundamentals and prospects, this trade is for short term purposes only.
SIRI break out its descending channel last Friday, and yesterday it managed to close above its last relative high, gaining momentum over an interesting technical upside potential. Volume has been above average giving some consistency to this technical move.
$4.50 is a technical reference; a reactionary level working has resistance/support, where SIRI had reactions within the past few months. Our plan is to buy SIRI now, and using a stop a bit bellow yesterday's low of the day.
A few news out today that are not particularly relevant, but may keep SIRI and XMSR under attentions for now:

Sirius Satellite CEO says company doing well on its own
Monday , June 26, 2006 18:22 ET
By ELLEN SHENG
NEW YORK, Jun 26, 2006 (AP Worldstream via COMTEX) -- Sirius Satellite Radio Inc. would be interested in buying XM Satellite Radio Holdings Inc. at the right price, though regulatory issues "would be a question mark," Sirius Chief Executive Mel Karmazin said Monday.
He said he'd be less interested in being acquired, though he also would consider it if it were in the shareholders' best interest. Asked if he would consider a merger with a satellite-television provider, Karmazin said it would make more sense for DirecTV Group Inc. and EchoStar Communications Corp. to merge with each other than with Sirius.
Karmazin emphasized that regardless of the possible benefits and cost savings from a merger, Sirius is doing well on its own. "Our business plan doesn't involve our doing a deal," he said at an industry conference here.
Karmazin was speaking at an industry conference on media convergence at the Museum of Television & Radio.
In May, Sirius' chief financial officer, David Frear, similarly said that it would make sense for Sirius to merge with its rival, but wasn't so sure regulators would approve such a deal.
Chatter about possible talks between the two companies has circulated for months. Sirius and XM are the only two satellite radio providers in the United States. In order for regulators to approve such a deal, the two would have to be considered part of a broader industry with other competitors.
In 2002, regulators nipped a proposed merger between DirecTV and EchoStar amid competitive concerns. DirecTV management has said in recent months that it still seeks the appeal of such a merger, but didn't know if regulators would change their minds.
New York-based Sirius saw shares rise 23 cents, or 5.2 percent, to close Monday at $4.70 on the Nasdaq Stock Market. Stock of Washington-based XM rose 91 cents, or 6.8 percent, to $14.37.
Update:
SIRI is holding above the support zone ($4.50), the chart looks great showing relative strength against the market, the volume was low for the last 2 sessions, but that's not a problem for now.
The projection of the descending channel's breakout is something like $5.35; with the right market environment we believe it can achieve that mark shortly.
Trading Plan:
Hold SIRI with a stop @ $4.30
Update:
SIRI is holding the recent highs, having a little triangulation pattern on the intraday charts, the main reference for short term is a new resistance near $4.80, the low volume on the previous sessions shows some indecision. Our target for SIRI is $5.40 short term, and we are now updating our trading plan with a limit sell order:
Trading Plan:
Hold SIRI with a stop @ $4.30 or Sell @ $5.35
Regards,
Update:
Monday was not a good day for SIRI, but momentum is not yet compromised, SIRI is still holding this breakout levels, and we'll maintain the trading plan while we wait for a further move up.
Trading Plan:
Hold SIRI with a stop @ $4.30 or Sell @ $5.35
Regards,
Update:
SIRI opened with a Gap Up today because of this:
Sirius subscriber growth outpaces XM (http://biz.yahoo.com/rb/060706/media_xmsatellite.html?.v=6)
Race for subscribers to satellite radio tightens up
SIRI closed the gap during the session, following the negative trend on the Nasdaq intraday chart. SIRI closed again above the $4.50 support, and we'll continue with the same plan for now.
Trading Plan:
Hold SIRI with a stop @ $4.30 or Sell @ $5.35
Regards,
Position closed according to plan.

siri took out 3.83 support yesterday, after that failure at the bottom of the bear flag.

The 3.60 target that was IN PLAY from the July 13 Bear Flag pattern break MADE within two cents on August 15. The low was 3.62.
Although the second Bear Flag target of 2.97 still is IN PLAY, SIRI might have double-bottomed here at 3.60 and 3.62, so that one might not get MADE.

I've drawn the pattern above the chart, for those not familiar with it. A print of 4.85, above the middle of the "W," is a technical breakout, and would put the target of 6.06 IN PLAY (math is on the chart).

1. Solid green line is like an 8-day price-related MACD. Solid red is 22-day.
2. Notice at the mid-March low, and again at the May low, the 8 and 22-day were inverted. Green was below red.
3. On both occasions, SIRI got a "thrust" higher, the 8 (green) made a bullish cross above the 22, SIRI came back and tagged them, then had a nice little rally.
That doesn't always happen, but as with any moving averages, we like to see them in their proper sequence: the faster one above the slower one.
4. Currently, SIRI is "ahead of itself." It's above both the green and the red lines, it's at the bottom of the Kumo (Cloud) which oftern is resistance, and the 8 and 22-days are bearish (green below red).
SIRI could blast right through the Kumo (Cloud), which would accomplish getting the 8 above the 22, but a pullback after a bullish cross is fairly common.
Probably more than anyone wants to know about Ichimoku. :D
Weekly MACD also has been looking very good. See next chart.

SIRI is getting a pop this morning. It's above the Symmetrical Triangle this morning (easier to see on the chart that I posted at the bottom of page 7).
A close today of 4.16, or better, is a technical breakout. 30-day average volume is 31 million shares. We'd like to see at least double that on a breakout. With two hours of trading remaining volume only is 37 million.
SIRI currently is BID 4.18...ASK 4,19
Melf , once again thanks for the work on your update of this stock.

Melf , once again thanks for the work on your update of this stock.
setravis,
You're very welcome. We got the breakout on a closing basis (4.19), but the volume wasn't strong. That surprises me since it was a breakout above recent congestion, at 4.02 -4.16, AND a pattern breakout, at 4.16. We need some upside follow-thru on volume, esprecially through 4.335. That's the top of the Kumo (Cloud) resistance.
No volume on yesterday's breakout, and it's set to close back below the breakout. :P
I don't like that.

XM Satellite CEO Parsons Sparks Shares Above 50 Day Moving Average
Wednesday September 20, 3:13 pm ET
Ant & Sons submits: Last week, XM Satellite Radio (NASDAQ: XMSR - News) shares broke above their 50 day moving average for just the second time in months. The stock has been plagued by fierce competition from rival Sirius Satellite Radio (NASDAQ: SIRI - News), FCC compliance, cuts in subscriber guidance and a track record of losses. The catalyst then to move the stock higher was another analyst upgrade, the latest from Credit Suisse analyst Brian Kraft, who said that "management's guidance now implies realistic assumptions for retail gross additions."
This time, however, words coming from XM chairman Gary Parsons, who spoke at this morning's Goldman Sachs' Communacopia conference in New York, moved XM shares. In a similar tone, Parsons echoed that "the negative news events" earlier this year were "problematic for a couple of quarters," but those issues would be "clearing up going forward." Through his remarks, the chairman tried to emphasize the long-term growth potential for the company and believes that there is "significant upside potential" for XM shares. Parsons added that the company is now in a much better inventory position after its FCC problems, saying that "we will be in pretty good inventory shape across the board for the holidays."
Also helping to boost the satellite radio company's shares higher was an announcement from Sirius Satellite Radio, flat out denying speculation and rumors that Howard Stern would leave the company. XM Satellite shares are higher by $.39 to $13.70, approaching resistance of $14.00 that could be broken if the stock catches some late afternoon volume and momentum surge.
So far, however, volume has remained relatively light, indicating some skepticism on the part of investing believing that XM Satellite's troubles are over.
Double Bottom.....Let's see where the action takes us.
I have a short term and long term theory on Sirius.
Short term, I think the stock has bottomed at $4.00, and I think with the NFL season kicking off, and their new Stiletto portable device being launched, it could serve for better than expected subscriber adds. The CEO purchased 1 Million shares at a price 10% higher than SIRI stock is currently trading. SIRI should be cash flow positive (not profitable) in Q4.
Long term, I think baby boomer's will begin to splurge on retirement gadgets for their cars and homes. My recently retired father-in-law is going out to get SIRI installed in his car to listen to classical music. I just don't see him using an iPOD. Yes, there are multiple threats to Sirius' business model, but I think they can navigate through those obstacles. I absolutely think Apple is one of the most innovative and impressive companies I have ever seen, and I wish I owned their stock. I don't see AAPL and SIRI as direct competitors – they both can win. S&P rates SIRI as 5 stars.
Now that the Stiletto finally has its FCC sticker (Crutchfield just started taking pre-orders again today) combined with football season and the approaching holidays, we should see some decent upward moves.
Expects to rise into Christmas season with the new release of Stiletto portable.
A merger would be nice though.

No volume on yesterday's breakout, and it's set to close back below the breakout. :P
I don't like that.
After the breakdown of the Symmetrical Triangle (pattern in blue), and double bottom that you mentioned, at 3.60 - 3.62, I figured it for a downside fakeout when SIRI broke out to the UPSIDE on Sept 5, on the print of 4.16, which I bought.
Nope. No volume. Closed back below the breakout the next day, at 4.08, so I took a loss of 1.9%.
Curses! ;D >:D
Currently, we've got a Symmetrical Triangle (pattern in green) at the apex of the Symmetrical Triangle (pattern in blue). It's skimpy, though, and looks weak.
If I extend the top of the Symmetrical Triangle to the left, however, it comes in at
4.4285 on July 31. The high that day, where it says "Bear Flag/Channel Re-test Failure" on this chart, was
4.43, so we've got three data points, validating the trendline, and it "could be" the neckline of a Bullish Inverse H&S pattern.
I'll show you that next post.
It would be unusual, to say the least, to have the right side of a "W"-Bottom be a Bullish Inverse H&S, but it "looks like it," nonetheless. :D
The little greeen weak- looking Symmetrical Triangle doesn't look so wimpy if it's the Right Shoulder of the Bullish Inverse H&S.
Regardless of whether it is, or it isn't, we do have a validated trendline (shown as a neckline on this chart), so we might get something if it gets taken out on VOLUME this time.
:D
But, like I said, I'm having difficulty figuring this chart out, so the Inverse H&S could be all wet.
Earnings in, prmkt up 3.5%. I like the prospects at this level. Fingers crossed.

Sirius Satellite 3rd-qtr loss narrows
Wednesday November 8, 7:26 am ET
NEW YORK (Reuters) - Sirius Satellite Radio Inc. (NASDAQ:SIRI - News) said on Wednesday its quarterly net loss narrowed as revenue more than doubled on a sharp increase in subscribers to its fee-based service.
The third-quarter net loss was $162.9 million, or 12 cents a share, versus a loss of $180.4 million, or 14 cents per share, a year ago.
The company added about 441,000 net subscribers in the quarter for a total of 5.1 million.
Both Sirius and bigger rival XM Satellite Radio Holdings Inc. (NASDAQ:XMSR - News) are growing rapidly but losing money as they beef up their technologies and enlist top-shelf entertainment, such as Sirius deals with the National Football League and shock jock Howard Stern.
SIRIUS SATELLITE RADIO INC.
Wachovia cut shares in Sirius Satellite to "market perform" from "outperform" on Thursday. Wachovia said the paired trade opportunity with rival XM Satellite Radio Holdings Inc.
which was the primary basis for the brokerage's previous rating on Sirius, has ended.
Sirius shares rose 2.9 percent to $4.23 on the Nasdaq.

Sirius Upgraded at JPMorgan
By TSC Staff
1/16/2007 6:35 AM EST
Two big Wall Street firms weighed in Tuesday on investors' hopes for a merger of satellite radio outfits Sirius (SIRI - commentary - Cramer's Take - Rating) and XM (XMSR - commentary - Cramer's Take - Rating).
<%@ include file="/includes/requestparams.jsp" %>
JPMorgan upgraded Sirius and XM to overweight from neutral, saying satellite radio is well on its way to becoming a standard feature in new cars. The firm said the companies' growth prospects are cooling but remain strong, with tens of millions of subscribers due to be online by 2010. It said a merger is possible this year but that regulators aren't certain to go along.
Banc of America Securities downgraded XM to neutral from buy, saying there's significant risk if the Washington-based company doesn't pull off a merger with New York-based Sirius. Banc of America also said a merger would take years to fully integrate.
Shares in both companies have rallied in recent weeks as deal chatter has grown ever louder. The news comes after a year in which both companies pulled back on their subscriber growth forecasts and pledged to keep a lid on costs as their shares fell.
Could this break out here?, its been sideways since mid August.... if it takes out 4.30 with a big white candle, mid-day, would that be good point of entry? Anyone got a better handle on this stocks tecnicals/fundamentals?

XM and Sirius May Be About to Merge
Monday February 19, 1:34 pm ET
Satellite Radio Rivals XM and Sirius Could Announce a Merger Deal Soon
NEW YORK (AP) -- Satellite radio rivals XM and Sirius could announce a merger deal as early as Monday, The New York Post reported.
The Post, citing an unnamed person familiar with the matter, said that XM Satellite Radio Holdings Inc. and Sirius Satellite Radio Inc. were in advanced negotiations but that the deal could still fall apart.
Spokesmen for both companies didn't return calls and e-mails seeking comment.
Speculation about a potential merger between the two companies has persisted for months, and analysts and company executives say such a deal could have significant cost savings. However, many remain skeptical that a deal would be able to pass regulatory scrutiny.
A clause in the Federal Communications Commission ruling granting licenses to the satellite radio operators says that one company cannot own the other one, but the FCC would have the power to change the rule if it chose to. Any deal would also have to pass an antitrust review at the Department of Justice.
The New York Post reported that XM's chairman Gary Parsons would likely keep that title in the combined company, while Sirius' CEO Mel Karmazin would become CEO. It wasn't clear if XM's CEO Hugh Panero would remain.
The shares of both Sirius and XM tumbled more than 40 percent last year on concerns about whether the rapid growth both companies had seen would continue. Both stocks have gained support in recent months from speculation that they would attempt to merge.
XM's stock rose again on Friday after an analyst said in a research note that a merger would have a good chance of passing regulatory hurdles.
I'd love to hear some analysis of this deal.

New Study Shows That SIRIUS-XM Merger Enhances Audio Competition
Thursday June 14, 12:47 pm ET
Report from Leading Economist Concludes SIRIUS-XM Merger Will Expand Programming Options, Improve Content Quality and Benefit Consumers
NEW YORK and WASHINGTON, June 14 /PRNewswire-FirstCall/ -- Thomas Hazlett, the former Chief Economist of the Federal Communications Commission, Professor of Law & Economics at George Mason University, and a principal in Arlington Economics, today released a study regarding the merger of SIRIUS Satellite Radio (Nasdaq: SIRI - News) and XM Satellite Radio (Nasdaq: XMSR - News).
The paper, "The Economics of the Satellite Radio Merger," explores the financial and strategic rationale behind the SIRIUS-XM merger and concludes that the merger offers the potential to yield substantial efficiencies, benefit consumers and enhance the dynamics of competition within the audio entertainment marketplace. The paper was prepared for XM and SIRIUS and was filed today at the Federal Communications Commission (FCC) as part of the companies' merger application.
Commenting on the merger, Professor Hazlett stated, "After a thorough analysis, it is my opinion that the merger of XM and SIRIUS will predictably enhance consumer welfare. The National Association of Broadcasters' (NAB) staunch opposition to the merger illustrates their similar expectation. The improved economic vitality of a combined satellite radio company would drive industry innovation, promote competition and enhance programming and pricing options for customers."
Key findings from the study include:
The proposed XM-SIRIUS merger will increase competition among providers of audio entertainment.
-- AM/FM radio -- "free radio" -- competes with satellite radio, as
evidenced by long-standing opposition by terrestrial stations to
satellite rivalry and to the proposed merger.
-- If the terrestrial broadcasters genuinely believed that the merger
would substantially increase price, they would support -- not oppose --
the merger, given that higher prices for satellite radio would
translate into larger audiences and ad revenues for them.
-- Since satellite radio first appeared on the scene, broadcasters have
consistently attempted to restrain this new service to protect their
interests at the expense of market competition.
Numerous independent investment analysts have concluded that the proposed merger will yield substantial efficiencies.
-- The merger is expected to lift the financial prospects of satellite
radio, lower capital financing costs, and foster economies of scale.
Consensus estimates identify cost synergies of between $3 billion and
$7 billion in net present value.
-- These efficiencies will permit more aggressive investment in satellite
systems and products and prompt competitive responses from terrestrial
broadcasters and other rivals.
By any measure, satellite radio is dwarfed by terrestrial radio.
-- The most common measure of economic size is revenue. Terrestrial
broadcasters accounted for over $21 billion in sales in 2006, as
compared to just $1.6 billion for satellite -- less than 7% of overall
radio broadcasting revenues.
-- In market value, terrestrial stations have an estimated enterprise
value, in aggregate, of about $82 billion as compared to about $9
billion for XM and SIRIUS combined.
-- XM and SIRIUS compete in a complex and dynamic market. When iPods and
other digital audio media are considered in addition to terrestrial
broadcasting, satellite's revenue share falls to 4%.
Consumers will benefit from the proposed merger.
-- By combining two small players in the audio entertainment market, the
transaction will bring economic vitality to satellite radio. This, in
turn, will sustain a wide range of valuable consumer options and spawn
new services and products.
-- Consumers benefit from lower-cost products and services, as well as
wider program choice. By combining operations, satellite operators
seek to create greater scale economies in radio receivers, and to
supply a wider array of popular programming to subscribers.
There is intense inter-modal competition among providers of audio entertainment.
-- Consumers have a wide range of audio entertainment choices, including
advertising-supported terrestrial broadcasting, subscription satellite
radio, MP3 devices, and other emerging digital media. The fact that
there are widely disparate pricing models among these platforms
demonstrates that the competitive frontier is largely defined in terms
of quality and convenience of service, rather than price.
-- Taking the fluid nature of the market into account, it is clear that
satellite radio broadcasters are not dominant players but compete with
a host of other products and services.
Investment analysts see the merger as an attempt by satellite radio providers to drive costs down and to offer a more competitive product.
-- Independent projections show an increase in subscriber growth and more
programming choices -- a strongly pro-consumer outcome.
-- A merger that reduces effective prices to subscribers and delivers
billions of dollars worth of cost saving efficiencies is in the public
interest under either a "consumer welfare" or a "total welfare"
standard.
Hazlett concludes that it is for these reasons that Wall Street analysts have argued in favor of this transaction since long before the parties negotiated a merger agreement. Likewise, these same reasons serve as the basis for incumbent broadcasters' opposition.
The analysis and views expressed in this study are solely those of Professor Hazlett, whose research on both high-tech markets and economic regulation has been published in leading economics journals and law reviews. Professor Hazlett received financial compensation for his time in assembling this paper.

Congressional Chairs Oppose XM / Sirius Satellite Radio Merger
Thursday June 21, 8:18 am ET
Todd Sullivan submits: It looks like Congress is getting into the act against the proposed satellite radio merger.
A bipartisan group of 72 Congressional leaders sent a letter Monday to the chairpersons of the Federal Communications Commission, the Department of Justice and the Federal Trade Commission, opposing the merger of the nation's only two satellite radio companies, XM Satellite Radio Holdings Inc. (NasdaqGS: XMSR - News) and Sirius Satellite Radio (NasdaqGS: SIRI - News), saying "On its face, we believe that sanctioning the marriage of the only competitors in the satellite radio market would create a monopoly which would be devastating to consumers," the letter said.
Among the Democrats signatories are Budget Committee chair John Spratt of South Carolina, Agriculture Committee chairman Collin Peterson of Minnesota, Rules Committee chairwoman Rep. Louise Slaughter of New York and presidential candidate Rep. Dennis Kucinich of Ohio.
Among the 25 Republicans who signed the letter are former House Speaker Rep. Dennis Hastert of Illinois, Republican whip Rep. Roy Blunt of Missouri and Tom Cole of Oklahoma, chairman of the National Republican Congressional Committee.
Earlier I posted my thoughts on the possibility of the merger based on the reaction to the Whole Foods (NasdaqGS: WFMI - News) and Wild Oats (NasdaqGM: OATS - News) attempt. This action by Congress all but assumes this one is dead. While not unusual for those in Congress to chime in with their opinion , in this seemingly new era of a market segment anti-monopolistic attitude, I cannot see how they will allow the merger.
Personally, I think the Wild Oats / Whole Foods opposition is laughable, but a combination of XM /Sirius does create only one satellite radio company, and last time I checked, that was a monopoly.

Congressional Opposition May Deter Sirius/XM Merger
Thursday June 21, 5:43 am ET
The M & A Researcher submits: The last week for the Sirius (NasdaqGS: SIRI - News)/XM Satellite (NasdaqGS: XMSR - News) deal has seen a few interesting, although far from surprising, developments.
First, the companies submitted a commissioned report authored by Thomas Hazlett which naturally touts the merits of the merger while refuting the NAB's claims against the merger. The only real revelation, or rather question, surrounding this report is its timing. It seems somewhat odd that the companies would allow so much momentum to develop against the merger to this point, when a report of this nature could have effectively quelled much of the negativity had it been prepared months ago. The report is available on a this site, which was recently created by the companies to publicize the transaction.
Second, the American Antitrust Institute published this report (on 6/6) in opposition to the merger. The report has been subsequently filed with the FCC and is available as an ex parte filing on the regulator's transaction page.
Third, and perhaps most important, 72 members of the U.S. House of Representatives have signed a formal letter of opposition to the merger. This highly publicized event is remarkable mostly by the fact that no bloc of Congress has come together (at this point) in favor of the merger. Thus, there is currently no political counter to the growing opposition with the beltway, and there is no indication that organized political support will develop any time soon. It should also be noted that this type of concerted political opposition to a merger transaction is extremely rare, as opposition from Congress usually comes in the form of a small group of representatives.
It should also be noted that many of the Congressional opponents are indeed supported by the National Association of Broadcasters. But this in itself is neither surprising, nor terribly significant in the overall scheme of things. The political opposition is real and evidently increasing, and connections to the NAB will have little, if any bearing on this development.
Finally, the ex parte filings posted to the FCC have shifted somewhat to the positive where consumer groups are concerned. However, the groups in question are essentially fringe elements with relatively small public reach when compared to some of the more established groups currently opposing the deal.
As noted from the outset, the public participation in the FCC review will be both extremely voluminous and contentious as the review proceeds. It is pointless to keep score or give much weight to individual filings, on either side of the issue at this early stage. However, it must again be noted that the recent influx of filings has leaned towards support of the merger. This will likely swing back to opposition in the near future.
Once again, this publication estimates the chance of a successful deal completion to be roughly one in three. The recent political involvement tends to push the odds down slightly, although it is too early in the regulatory processes to suggest that this opposition can not be overcome.

National Council of Women's Organizations Calls on the Federal Communications Commission to Approve the Merger of Sirius Satellite Radio and XM Radio
Thursday June 21, 11:28 am ET
'Satellite radio today is a mere 3.4 percent of the overall radio market -- a market dominated by men. A more affordable satellite radio market would be valuable not only to our members, but also to women across the U.S.,' Susan Scanlan, Chair NCWO.
WASHINGTON, June 21 /PRNewswire-FirstCall/ -- The National Council of Women's Organizations (NCWO), a coalition of over 200 women's organizations and representing over 11 million diverse and talented American women, today called on the Federal Communications Commission (FCC) to approve the proposed merger of XM Radio (Nasdaq: XMSR - News) and Sirius Satellite Radio (Nasdaq: SIRI - News).
"Today, satellite radio is a mere 3.4 percent of the overall radio market -- a market dominated by men. A stronger satellite offering can increase the audience for satellite radio," said Susan Scanlan, NCWO Chair. "A more affordable and more diverse satellite radio market would be valuable not only to our members, but also to women across the United States."
Satellite radio is home to a number of influential women. From Judith Warner to Candace Bushnell to broadcasting legends Barbara Walters and Oprah Winfrey, satellite radio offers women a unique perspective absent on everyday commercial radio and previously only accessible on television. With expanded choices and lower prices, satellite radio will develop into an even more attractive option for women nationwide.
"Expanding the audience and diversity of satellite radio programming would give women a better opportunity to access new sources of entertainment and enlightenment," added Scanlan. "Diversity in programming is a critical component of this merger, and should not be overlooked by members of the FCC Board as they begin their review process."
The NCWO joins several prominent and diverse national organizations such as the National Black Chamber of Commerce, Hispanic Federation, Latino Coalition, the League of Rural Voters, Women Impacting Public Policy, League of United Latin American Citizens (LULAC) and Women Involved in Farm Economics, among others in supporting the efforts of satellite radio to bring greater competition, lower prices and diverse programming to American consumers.
The National Council of Women's Organizations (NCWO) is a nonpartisan, nonprofit coalition of more than 200 women's organizations across the nation collectively representing over eleven million women. For years, NCWO has convened the leadership of major women's organizations dedicated to focusing on national issues and public policy agendas affecting women.

Chart, Good long term play.
Base is formed and a lot of upside potential.......
As satellite radio becomes more mainstream it will become a standard option. If the merger with XM goes through practically every car sold will have satellite radio.
Merger Targeted for December.

Speculation....... ;)
I believe SIRI has a huge upside potential with only a minimal downside. Their customer base is getting bigger, and if the deal with XM goes through, which it will, this will be nice to have.
With the former FCC Chairman on board for the merger, along with many consumer groups, it's not likely that it won't go through. Although, still speculative as an investment, it seems both companies are proceeding without hedging their bets. A combined satelite receiver that can decode both XM & SIRI signals is what the public is wanting without having to choose Beta vs. VHS. Then, consolidation of overhead + expanded content/choice will make this a long term winner in the publics mind. Strap in for the ride.... ;D

Hi Setravis ;)
I agree with you, from a pure technical point of view, SIRI is drawing a very nice technical setup right now. Here’s my TA:
Brief Technical Analysis on SIRI:
Just to get the Big Picture lets look at the long term chart:
From this chart we can see that SIRI works great with the key technical references, after breaking to the downside its ascending support back in 2005, SIRI started a major down trend. In 2006 SIRI had a solid support @ $3.67 and in early 2007 after breaking that support to the downside SIRI had another free fall. These little notes are just to see how SIRI works with the main technical lines, now looking into a short term chart:
In this chart we can see the main support for 2007 which is @ $2.71, and the way SIRI has been reacting in that zone since April. A few days ago SIRI had a breakout to the upside of its EMA-50 and in the next two sessions had another breakout, this time the breakout of a main reference: the Long Term Descending Resistance Line. The reaction was strong, with a big volume increase and a big pop to the upside.
Today’s candlestick left a big upper shadow, which usually is not a good sign for the short term… But despite from that the overall technical outlook for this stock is very attractive right now, the stock may experience a throwback to the breakout zone ($3.00) for consolidation, but the upside potential overtakes the downside risk.
Key technical values:
3.00 – Support (breakout level)
2.95 – EMA-50
2.71 – Support
3.28 – EMA-200
3.67 – First big resistance level
5.81 - The Upside potential in case 3.67 is crossed and consolidated.
Personal thoughts:
- SIRI had a breakout of an important technical reference; it may have to consolidate this breakout before having the fuel for a bigger move, Long term chart is still bearish but SIRI may be preparing a strong reversal setup to change that.
Best regards,
Great looking work you have there Rams !
I appreciate you jumping in there and giving your Analysis... ;)
Your thoughts are always welcome with any stock that I may be talking about !
I would like to see your comments more often... ;D
Nice view Rams - have to say that close below the $3.25 with that big ole tale would make me sit untill it broke $ 3.25 .
Kinda interesting though / what really is making this stock move , they dont really make any money. A merger would prob. not make any money , why would politics be against a merger in companies that dont really make money? And as folks here pointed out unheard of politics . Hummm my total wacky theory is that Apple will buy them out, yep no proof , no real reason xcept , if i were running apple i would do it, why you say , i duhhno , I would say they would eventually dominate the music download industry if they bought out one entity , but if two were around they would have a harder time ( just trying to get an idea of what would make political entities get into satellite radio). What do yall think ?
Thanks guys.
Today SIRI was back on the move after holding up quite well the previous two trading sessions while the general markets was down and quite pessimistic. I was expecting to watch SIRI sell off a bit more, so that shows some relative strength so far. Today's close was also above the EMA-200.
Here's an updated chart:
Here's an updated chart, showing another positive session for SIRI, today with higher volume, but the candle was not so strong (closed a bit far from the highs of the day). The 3.67 level is the only resistance nearby.
Update:
Just a «little» follow up comment on this analysis:
SIRI is now testing the 3.67 resistance level mentioned in the previous analysis; this is an important resistance level that if broken to the upside could mean further upside on a different scale.
Since the last update, SIRI was consolidating inside a triangular pattern, which is good in terms of sustainability of the up trend (yesterday it broke out this pattern, which is good in terms of momentum expansion).
I'm quite curious right now about this test on the 3.67 reference level ;)
Here's an updated chart:

Sirius, XM Shares Likely to Bounce Around Ahead of Deal Decision, 3rd-Quarter Results
NEW YORK (AP) -- Investors in satellite radio are accustomed to wild fluctuations, but the next few weeks promise to deliver even sharper movements, as regulators decide whether Sirius Satellite Radio Inc. can buy XM Satellite Radio Holdings Inc.
The companies will also report third-quarter results, putting the viability of their operations back in focus, at least temporarily. That comes at a time when recent data show retail sales of satellite radios slowing sharply.
Analysts are mixed on the implications of that development. In the short-term, it likely means lower subscriber numbers than the companies have forecast, but Stifel analyst Kit Spring thinks the increasing availability of the radios in new cars is probably making retail channels less important.
"It is our thesis that satellite radio will be successful because of high penetration into vehicles," he wrote in a note to investors last month. Recently, Chrysler said it would install Sirius radios in 70 percent of its 2008 models, for example. All major car makers have a deal with one of the two satellite radio operators.
XM finished the second quarter with 8.25 million subscribers, while Sirius had just over 7 million, but Sirius has been growing at a faster pace for seven straight quarters.
The terms of the deal stipulate Sirius will pay 4.6 shares for each XM share, which provided a 22 percent premium when the deal was announced. Based on the stocks' closing prices Wednesday, Sirius is offering a premium of 8 percent.
Analysts say a combination would make financial sense and could save an enormous amount of operating costs, but any estimates must be considered very speculative. There remain many questions related to equipment, one problem being that Sirius radios currently cannot tune XM signals and vice versa.
Beyond that, the deal faces high regulatory hurdles, not least because of a Federal Communications Commission provision that specifically forbids the two companies to combine. The FCC does have the authority to waive that stipulation. Along with the FCC, the Department of Justice has to review the deal on antitrust grounds.
In September, XM and Sirius announced they had provided all information requested by the Justice Department. That led to widespread speculation that the DOJ would approve the deal, although the regulator gave no indications that would lead to that conclusion.
Still, numerous analysts have said the deal has a better than 50 percent chance of going through.
"We expect DOJ approval and a split FCC decision in favor," Cowen analyst Tom Watts said recently. He expects a ruling in the next three to six weeks from the Justice Department. In any event, he said, the stocks are good bets because, either together or apart, Sirius and XM will post subscriber and revenue gains.

XM/Sirius Merger: The FCC Gets Down To Business.......
When the Federal Communications Commission comes a knockin' there's usually a pretty good reason. And XM Satellite Radio Holdings and its rival Sirius Satellite Radio are hoping that the questionnaires the FCC sent last week seeking detailed information pertaining to the merger as well as business operations over the last two years are the final steps leading up to a merger approval.
Investors seem to think the inquiry is a positive one. Sirius' shares shot up 3.6%, or 12 cents, to $3.47 on Tuesday afternoon, while XM's shares soared 8.7%, or $1.15, to $14.42.
Bear Stearns analyst Robert Peck said the requests were extremely detailed and structured around four topics including corporate documents and agreements, studies and analyses, technical questions, and claimed public interest benefits. The FCC also devoted a whole section to requests for information on interoperable radios, which would allow programming for both services to run on satellite radios. The FCC asked both companies to respond to the requests by November 16.
Given the specificity of the questions, Peck said, he wouldn't be surprised if the FCC was close to finalizing its order on the merger. Given the tight deadline the companies have to respond and the fact that the FCC still plans to make its decision by the end of the 180-day period, which ends on December 6, Peck thinks the FCC's urgency is a positive sign. "The Department of Justice likely is close to allowing the deal, which would necessitate the FCC to expeditiously complete the documentation process," Peck said. "If the Department of Justice were close to denying the deal, the need for such detailed information would not have arisen in the first place."
Peck recently announced his revised synergy estimate on the value of the two companies once they merged at $5 billion, implying Sirius (nasdaq: SIRI - news - people ) could be worth about $5.50 per share and XM (nasdaq: XMSR - news - people ) could be worth $23.50 per share in fiscal year 2008.
Meanwhile, on October 25, XM's tumbled after the company announced that its third-quarter loss jumped 70.1% to $145.4 million, or 47 cents per share, from $85.5 million, or 32 cents per share, a year ago.
The widening loss at XM, which has never had a profitable year, makes a successful outcome of its proposed merger with Sirius even more important. (See " XM Sinks Further Into The Red") The companies are hoping their combination will boost profitability with big cost savings. (See " XM and Sirius: When Satellites Collide").
The FCC and Department of Justice are reviewing the merger request to deem whether it's legal under antitrust regulations. Shareholders of both XM and Sirius are slated to vote on the proposed roughly 50-50 ownership on November 13. If approved, the union would not be sealed until the Justice Department and the FCC sign the dotted line.
-----------------------------------------------------------------------------------------------------------
Moon's Gravity taking over.... :D Satellite radio is to radio as cable was revolutionary to television. The last four quarters have showed a positive earnings report of +10% or better compared to the estimates. All those Democrat congressmen endorsing the merger is all anyone should need to decide whether or not to get on-board.
Moving up out of the oversold area.
Indicators have turned north.
We personally wouldn't watch 500 channels, but we each watch a different set of 15 stations. It just takes 500 channels to keep us all happy. And with HD radio on the horizon, we'll have high quality programming where ever we are. Imagine driving 450 miles and never losing reception of the Alabama football game. What about radio TiVo? The possibilities are endless. I've always dreamed of being on a space flight....... ;D

Sirius And XM: The Final Stretch
Is this merger siriusly about to happen? ???
Sirius Satellite Radio (nasdaq: SIRI) and XM Satellite Radio (nasdaq: XMSR) have been working together for months on a deal to merge the two companies into one. On Friday, one analyst, at least, said that goal was about to be achieved.
Shares of both companies skyrocketed after Bear Stearns analyst Robert Pek said that while he believes the Justice Department's junior staffers will attempt to block the deal, senior members will likely rule in favor of the merger. He said Thomas Barnett, the assistant attorney general for anti-trust, would support the deal.
If the amalgamation is approved, XM stockholders will receive 4.6 shares of Sirius for each of their shares.
XM Satellite Radio soared 13.5%, or $1.86, to $15.60, in Friday trading while Sirius Satellite Radio leaped 8.8%, or 31 cents, to $3.83.
In order to finalize the merger, the Federal Communications Commission must give its stamp of approval as well. According to Pek, the FCC decision could come soon after the Justice Department's.
"While the final outcome remains uncertain, we expect Tom Barnett likely will rule along with the higher officials and announce that the DOJ will not be blocking the deal," Pek wrote in a recent note to investors.
In February, Sirius annouced its intention to join with XM as long as the Justice Department and the FCC give their stamps of approval. (See: Sirius/XM Gets Thumbs Up From Fowler)
Earlier this month, shareholders of both Sirius and XM voted in favor of the merger. Now, the fate of the two companies lies in the hands of federal regulators. While no official verdict has been given, several bigwigs support the union.
"If the two satellite radio companies, each only several years old, need to combine to be more effective competitors in an audio entertainment marketplace teeming with technological change and innovation, the government should not stand in the way," former Federal Communications Commission chairman Mark Fowler said in September. (See: Sirius About A Merger)
According to Pek, if the deal receives federal regulatory approval, shares of XM could hit $20.00 while shares of Sirius could rise as high as $4.50.

Shareholders in XM Satellite Radio(XMSR) and Sirius Satellite Radio(SIRI) have been punished over the grueling 15-month wait for regulatory approval.
And as the process finally appears to be nearing an end, longtime investors in the stocks are alternately hopeful, desperate, angry and depressed about the future prospects for one or both companies.
"[My Sirius] shares were purchased prior to the merger announcement with anticipation that the merger would actually take place," says John Veenkamp, who owns 6,000 shares at an average cost per share of $4.32. "And the funny thing is, after a year and several months later, we still know nothing more than we did on Day One of the merger announcement."
Sirius shares have tumbled roughly 44% to $1.85 since the deal was announced in March 2007 and have plummeted 69% over the last three years. XM shares have lost more than 40% over the last 15 months to $7.80, and are down more than 75% over the last three years. Both XM and Sirius are currently trading at five-year lows.
The Federal Communications Commission recently has given inclinations it will follow in the footsteps of the Justice Department and approve the pending merger, which both agencies have scrutinized for fear that it is anti-competitive and what that would mean for public interest.
In a statement earlier this month in which he offered his support for the deal's approval, FCC Chairman Kevin Martin said that with the voluntary commitments XM and Sirius have made, on balance, the transaction would be in the public interest. His proposed list of stipulations -- price constraints, smaller packages at lower prices, the sale of interoperable radios, additional public interest programming for noncommercial use -- may ultimately be good for consumers.
Of course, two of the other four FCC commissioners need to offer their approval for the merger to occur, so nothing is a sure thing yet.
Bullish analysts have maintained a price target of $4 a share for Sirius and one near $19 for XM based on expectations that a deal will be completed and that a combined XM-Sirius will have cost synergies near $4 billion in value. On the flip side, bearish analysts believe Sirius could fall below $2 a share and XM shares could hover around $6.50, due to lower cash flows, slowing subscriber growth, the effects of the FCC stipulations and the timing and magnitude of synergies.
Despite the two markedly different views put forth by analysts, battered investors are holding tight to Sirius in hopes a merger will ultimately go through and that shares will rebound.
" hope that eventually it will get closer to my purchase price," says John Kessling, a managing partner with Acumen Strategic Communications, who invested in Sirius in 2005 when it traded above $6 a share. "I bought during the hyper period when satellite radio was signing big-name talent, like Howard Stern, and people thought it would someday supplant over-the-air broadcasting."
Kessling, who considers himself an armchair investor with a stake in Sirius, says he will likely hang on to his investment because it's a small one. At the same time, however, he's becoming more skeptical about the prospects for satellite radio in an era of Apple's (AAPL) iPod and iPhone, podcasting and Internet radio, and that the satellite radio companies need to address this competition.
"All I'm reading is the 'he said, she said' noise that comes in all regulatory battles such as this one," Kessling adds.
Another Sirius investor who declined to be named said he started buying the stock in April 2006 and has been accumulating shares by averaging down over the last few years. Currently, he owns 13,000 shares and plans on holding onto them after a merger happens. He argues that a merged company should be able to thrive amid a broad spectrum of competitors.
"I truly believe, regardless of the merger, there will be one satellite company left and it's Sirius," he says. "[The] FCC is essentially creating a monopoly which would give [Sirius] a huge playing field to compete against all forms of products and services, such as terrestrial radio, iTunes, iPods, etc."
The same investor argues that there is a huge opportunity for Sirius to take advantage of all the different content distribution vehicles, noting that satellite radio service is already being offered by DirecTV (DTV), Research In Motion's (RIMM) BlackBerry and a massive new and used car market.
A combined Sirius-XM, he says, could possibly have distribution access to AT&T's (T) U-verse and Verizon's (VZ) FiOS services, as well as gaming consoles like Microsoft's (MSFT) Xbox 360.
"These reasons alone lead me to believe that the combined synergies of the two companies will create huge opportunities to drive revenue and growth," he adds. "Will I sell if the stock goes up significantly? I would be stupid not to consider it. But for now, I am holding on tight."
Another Sirius investor, Dave Atkinson, owns the stock currently and has bought and sold a number of times on merger rumors. " should not have bought at $2.77 but things looked OK at that time with Martin saying, 'We will look at merging the companies soon,'" he says. "The FCC should not have come out and said a thing."
Atkinson says he may sell off some of his investment into merger news, but plans to keep investing in Sirius if and when the stock goes up. " will own it after the merger. I will buy back later and hold that number then. There is lots of lost time here with this stock."
Veenkamp, who plans to hold his investment position if and when there is merger approval, says that looking ahead, he is worried that some members of the FCC will be voting based on the outcome of their reappointments, vs. what is best for the consumer.
"The length of time to make a final decision on the merger has adversely affected the well-being of both Sirius and XM and if one or both of the companies declare bankruptcy before or after the merger, the blame clearly falls on the shoulders of the FCC," he says.

Sirius XM Extends Rally, Now Up Over 800% From Lows
Friday April 17, 2009
Continued an impressive 3-day rally on Friday, leading radio stocks higher.
Those who bought into Sirius XM for 5 cents in February are currently seeing gains of over 800%. Investors drove the stock to near zero on fears of bankruptcy, but have reversed their opinion, at least temporarily, after a $530 million investment from Liberty Media. More recently the company has rallied on a corporate credit upgrade form Standard & Poor's, which it received earlier this week. The upgrade boosted Sirius XM's rating to CCC+. Speculators are betting on the stock today, driving it up by 15%.
As a whole, the Radio Stocks Index is ahead by 2.6%. It is now ahead of the S&P 500 by 31% this month.
While Sirius XM is undoubtedly driving the Index's performance today, terrestrial radio companies should benefit from what appears to some to be a bottom in radio and television advertising markets. Earlier this month Viacom (NYSE: VIA - News) CEO, Phillippe Dauman commented that television ad sales had leveled off in the short term, which is a good sign for traditional media outlets.
Sirius Is an 8-Bagger
April 17, 2009
It has been another good week for Sirius XM Radio (Nasdaq: SIRI), especially if you draw the starting line when shares of the satellite radio operator bottomed out at $0.05 two months ago.
The stock is now an eight-bagger, based on Thursday night's close, and would become a nine-bagger if Friday's intraday highs stick.
The catalyst this week is a welcome nod of approval from credit rating agency Standard & Poor's. It raised its rating on Sirius XM on Tuesday -- to CCC+ from CCC -- two months after an infusion from Liberty Media (Nasdaq: LINTA) improved the radio giant's near-term liquidity.
Sure, it's still a junk-bond rating. And S&P didn't change the rating on Sirius XM's senior unsecured notes. However, it's just another baby step in the right direction for a company that many figured would file for Chapter 11 bankruptcy protection two months ago.
The upbeat news comes at a time when Sirius XM itself has been pretty tight-lipped about its near-term prospects. It abandoned its subscriber targets when it posted its fourth-quarter report last month. The only guidance the company is providing at this point is that it expects to top $300 million in operating profits this year.
Even if all of that is consumed by interest payments on debt, it would be a confidence builder, especially for the company's creditors. A buoyant share price may also grant the company the flexibility to use secondary stock offerings to pay down its debt. It would also help the company step back from considering a reverse stock split, which has ended poorly for most companies, save for priceline.com (Nasdaq: PCLN).
Sirius XM has a long way to go. We have yet to see if likely near-term catalysts -- like the Apple (Nasdaq: AAPL) iPhone app that Sirius XM is releasing this quarter or whispers of a bundled package with satellite television giant DirecTV (NYSE: DTV) -- pan out.
However, as long as the shorts keep coming despite the steady trickle of positive developments, there could be more bags in Sirius XM's future.
SIRI will either go north of the 200-Day MA or not... ;)
Note to Sirius XM: Use Buzz Words on Tomorrow's Earnings Call
A lot of folks over the last couple of days or weeks have been speculating over the Sirius XM Radio (SIRI) Q1 2009 conference call tomorrow morning. People have been wondering whether subscriber numbers have gone up or down and how the auto sale numbers affected the first quarter. Was it a growth quarter or not?
The reality is that for tomorrow's conference call, all Sirius XM Radio management team has to do is successfully sprinkle a few "buzz words" through out the conference call. Namely the iPhone (AAPL) buzz word. If Sirius XM Radio management team successfully does that on tomorrow's conference call, the stock is heading upward.
The Sirius XM Radio iPhone application was announced on the previous Q4 2008 conference call to be released sometime in Q2. The application should be launched any day now. Any color provided by the management team on tomorrow's conference call is a positive for the stock.
I'm not saying to ignore fundamentals, but for the most part fundamentals are improving and synergies are being gained. For Sirius XM Radio, commonly used "buzz words" is what's important for the short term.

Sirius: Barrington Ups Rating; Sees Possible Double
Posted by Eric Savitz
Barrington Research analyst James Goss this morning upped his rating on Sirius XM (SIRI) to Outperfrom from Market Perform, setting a price target of 70 cents, or twice yesterday's closing price of 35 cents.
Goss writes that "after a recent period of significant volatility in the share price," several factors are working in the satellite radio company's favor. He says a favorable swing in EBITDA to more than $500 million into positive territory this year should be followed by substantial additional revenue gains.
The analyst contends that Sirius now has "fundamental momentum," driven by a number of factors:
•Cost cuts across a broad swatch of line items, with more to come.
•Added charges for the previously complimentary Internet service.
•Increased prices for added subscriptions under family plan.
•Likely to add "royalty recovery" fee under new terms of FCC agreement.
•New initiatives like iPhone App "are being very well received."
SIRI today is up 2 cents, or 6%, to 37 cents.

Sirius XM Is Quicker Than You Think
By Rick Aristotle Munarriz
June 29, 2009
I had a surreal moment on Saturday, when I took the family to grab some burgers at the local Five Guys. No, President Obama didn't walk in for a cheeseburger fix. Instead, an obscure Michael Jackson song was playing when we walked in, and then on came "Thriller." A buzz filled the dining room. Patrons started hopping. I thought it was going to break into a full-blown dance number myself.
Now, I don't know whether Five Guys just happened to stumble on a local terrestrial radio station that just happened to be paying homage to Jackson with a commercial-free set of his tunes. My guess is that Five Guys was cranking up Sirius XM Radio's (Nasdaq: SIRI) Michael Jackson Tribute Channel, which launched earlier in the day.
As big as Sirius XM is, it can still be nimble.
Jackson passed away on Thursday. At 11:45 p.m. Friday, Sirius XM announced that the Jackson channel would launch just 16 minutes later.
Sirius XM never sleeps. This morning, it announced an exclusive Fourth of July broadcast of a Bruce Springsteen concert that will be recorded in Germany a day prior. Both Sirius and XM carry the Boss-dedicated E Street Radio channel, so this is a welcome treat for its listeners.
Don't get me wrong. I don't think many people will run out and buy a satellite receiver -- or activate a dormant one -- for the sake of hearing Jackson 24/7 for awhile, or even to crank up Springsteen's Saturday afternoon show.
However, Sirius XM's proven ability to remain timely should help with subscriber retention. I'm hardly Jackson's biggest fan, yet I found myself tuning in to the dedicated channel several times during the weekend.
Buzz matters. Few are talking about the streaming application that launched through Apple's (Nasdaq: AAPL) App Store just 11 days ago. It's gone from being the second most popular free app in Apple's iTunes storefront to a still-respectable fifth. But the fadeout will continue. Rare are the apps -- among them Facebook, Pandora Music, Google (Nasdaq: GOOG) Mobile, and AT&T's (NYSE: T) account tracker -- that remain fixtures on the Top 25 list.
The app may generate new interest if Howard Stern is added, or if it takes a page out of the Netflix (Nasdaq: NFLX) playbook by making itself available at no additional cost for existing subscribers. But Sirius XM is well-served by keeping the press releases rolling, to maintain its flagship satellite-based service relevant.
Sure, Jackson and Springsteen peaked in the 1980s, but even nostalgia can be relevant. And marketable.

Sirius Bucks the Bears...
The break of the $1.00 ;) ;D
The race to the dollar bill is over.
Shares of Sirius XM Radio (Nasdaq: SIRI) hit the $1 mark shortly after this morning's open. A buck may not seem like much, but this is the first time in 17 months that the satellite radio operator's stock has reached such lofty highs.
The $1 mark became an essential target for Sirius XM after it received a delisting notice last year. It has until mid-March to comply by closing above the $1 mark for 10 consecutive trading days.

Can Sirius XM Maintain Its Momentum?
NEW YORK (TheStreet) -- Sirius XM(SIRI) roared pass $1 for the first time since 2008 Wednesday, stirring up excitement among its loyal investors and prompting analysts to consider raising their price targets for the company. At the same time this much-anticipated (read: begged for, hoped for, by Sirius XM investors) has sparked significant discussion about what it all means for the company and its investors.
The consensus among Sirius XM equity analysts is that the stock's accomplishment almost, if not completely, removes the threat of the company being delisted by the NASDAQ, if it can keep it up for 10 consecutive business days. The unpalatable notion of performing a reverse stock split to prop up its prices would, in that case, become a distant memory for Sirius XM. In truth, many investors had seen the move coming. Sirius XM shares, after all had been swelling in volume before they finally broke through the critical barrier. "It's a good sign any time volumes go up in terms of demand and supply dynamics," Standard & Poor's analyst Tuna Amobi said.
Still, the psychological effect this event had had on investors is undeniable. For many, this was yet another sign that they had been right about the stock's potential all along.
Now they could also breathe a sigh of relief. "Whether or not [delisting] was an actual threat remains to be seen, but we don't even have to worry about it at this point," Jack Hain, an analyst at Barrington Research said of the delisting threat.
Amobi isn't drawing any firm conclusions about Sirius XM just yet, and says he wants more data points on the retail side of the company's business first. He notes that the company struggled on that side of the business over the last year or more and its auto OEM (original equipment manufacturers) business picked up most of the slack. How long this can keep working remains to be seen.
Hain says the diminishing significance of the retail side of the business is less a function of failure on Sirius XM's part than a shift in the company's strategy. Hain points out that Sirius XM's growth is now very much tied to the growth of the auto economy.
SIRIUS XM plans to release fourth-quarter and full-year 2009 financial and operating results on Thursday, February 25, 2010. Between now and then investors will no doubt be keeping their eyes glued on Sirius XM's stock price.
Sirius XM's stock has risen 68.7% over the past month, but whether it can keep this momentum going remains to be seen. TheStreet.com users: which direction do you think the stock is headed?
Some profit taking...
Can Sirius XM Maintain Its Momentum?
We will see after the 25th of this month if it drops.

What's Up With Sirius XM?
Sirius XM (SIRI) shares are flying high today, apparently on a new round of speculation about the long-term intentions for the 40% fully diluted stake in the company held by investor Liberty Media.
After the close yesterday, DirecTV (DTV) announced that it had reached a deal with Liberty's controlling investor, John Malone, to swap his super-voting stake in DTV in exchange for a higher number of regular common shares. Malone is stepping down from the DTV board, as are two other Liberty nominees, including Liberty Media CEO Greg Maffei. The swap reduced Malone's voting position in DTV to 3% from 24.3%.
That news comes after the blogosphere dug up a March 31 Federal Trade Commission filing that shows the FTC granted early termination of its review of some matter involving Liberty and Sirius; the theory among some Sirius bulls is that Liberty might boost its stake in the company to the maximum 49.9% allowed under the terms of the deal between Liberty and Sirius, although it seems more likely to be connected with Liberty's participation in a Sirius debt offering announced in March.
I've got a call into Sirius to try to sort this out.
SIRI is up 6.8 cents, or 7.8%, to 93.7 cents.

Below the 1 year chart
Sirius Short Squeeze...
The latest short interest numbers have been released, and if you are short Sirius XM Radio (SIRI), you had better take a look at what I found out. You are about to lose a lot of money on that bet, because a very slow and methodical short squeeze is underway. Sirius XM short interest hit a record low back in January of this year with just over 54 million shares reported short at the time. Short interest then rose until June, topping out at over 227 million shares. Currently, there are 176 million shares short, which suggests the holders of these short positions are severely underwater. It also appears that some of those short sellers are sneaking out the proverbial back door and closing out short positions, leaving their comrades to pay the price.
The following table shows that interest more than quadrupled through the first half of 2010. The most important aspect of this is that Sirius XM shares traded off a .60 low and ended the first half of the year at $1.03. As the price of Sirius XM stock rose, short bets increased. That's not the surprising part:
Before I go on, we need to consider that these short positions may in fact have been timely and highly profitable trades. The largest increases occurred from April 2010 to June 2010. In April, Sirius XM shares rose from .87 to 1.17, but short interest had already tripled since the bottoms of January. In April, 70 million new shares were added to the short tally and by early May, Sirius XM hit a 52 week high of 1.25 per share while short interest peaked at 227.77 million shares. The problem for the short sellers is that the majority of these positions remain open at prices much lower than the current price per share and Sirius XM, in their view, is going the wrong way.
Perhaps the most interesting thing about this chart, is unlike earlier in the year as short interest rose in tandem with the price of SIRI shares, this time short interest is falling as Sirius XM shares rise. That is a reversal that needs to be especially noted.
The above chart shows that since topping out in June, short sellers are helping to squeeze SIRI shares higher, as those deep red losses are being covered. Those that sold short and held on the word of some shady hedge fund manager, might want to check if his or her firm remains short. Clearly, Sirius XM is going up as short interest decreases, suggesting a slow exodus from short positions and a slow short squeeze.
If in fact Sirius XM shares rise above $1.50 as I think they will in the coming days or weeks, panic stricken shorts are likely to force Sirius XM shares even higher. All it may take is for someone to figure out what is happening and report on it. Oh wait....seems I just did that.

Sirius XM Radio About to See Hard Work Pay Off...
There's a reason why the stock of Sirius XM Radio (SIRI) is moving up. The recent refinancing of some of its debt has left the company in a much more favorable position going forward with significantly reduced interest on its debt. That, along with the fact that more money stands to hit the bottom line as CAPEX will be reduced for the next several years, has left the company primed for success. There will be substantial differences, tangible ones on future quarterly balance sheets after 2010. With Sirius XM beginning to show it will be routinely profitable, those $ 8 billion dollars in NOLs will really have some positive effect on the bottom line going forward.
The market believes that Sirius XM is more valuable at the moment than Netflix (NASDAQ:NFLX). Not a surprise since there are only 3.9 billion shares being traded and available right now and not really the 6.4 billion shares outstanding constantly quoted. Liberty Media (LINTA) owns preferred shares with the potential to convert into another 2.5 billion or so common. Those shares are attributed to Liberty Capital (NASDAQ:LCAPA), and while that value percentage of the company has to be accounted for, it also makes the available shares not so available. Sirius still has another $3 billion in debt, but it is much more manageable debt. Sirius XM commands an enterprise value of roughly $11.7 billion. But let's take a closer look at that. Enterprise value is calculated by adding a corporation's market capitalization, preferred stock, and outstanding debt together and then subtracting out the cash and cash equivalents found on the balance sheet. The reason the cash is subtracted is that once you have acquired complete ownership of the company, the cash becomes yours. I will come back to this part of the article a little later.
Sirius XM has kept monthly churn down and has reported churn of 1.8% latest quarter. Not a surprise really since Sirius XM subscribers receive significant discounts for pre-paying their subscriptions. Let's talk growth. Sirius XM's subscriber base has grown from 1.6 million subscribers in 2003 to 20 million strong in 2010 just 7 years later, with no signs of stopping as the Auto industry recovers. We know and understand that OEM radios are the driver so far for subscribers, but the company has been smart, if not aggressive, in leveraging their content over the internet and portable devices as well.
Some very vocal critics continue to knock Sirius XM's media market share, by thinking squarely within the confines of limiting the service to American and Canadian commuters and consumers. Worldspace satellite radio was a disaster abroad so they figure it stands to reason that there will not be any expansion by Sirius XM radio outside the Continental US and of course Canada. "Besides," they say, "Sirius XM doesn't have the necessary satellites or infrastructure." Well, with the recent launch of XM 5, there is no doubt that things are going to change and the company is going to evolve. As a matter of fact, recent petitions related to XM 5 and its launch also include permission to relocate certain XM assets. It doesn't mean much short term, but there definitely seems to be some sort of expanded coverage area emerging. Everyone seems to have forgotten that even though Worldspace failed in execution of its business model, it did have plans to cover Asia, Africa, Europe, North America and South America with fewer satellites than Sirus XM combined now has in orbit.
It certainly is no leap to say that future expansion beyond the continental US and Canada may very well be in the cards. Additionally, Sirius XM has not even tried to really leverage its internet platform yet, and doing so could eventually include overseas availability. Could the wooing of Russell Brand this past summer have been a precursor to future expansion rather than a play for leverage with media icon Howard Stern? There are still several unknowns as far as the company and expansion are concerned including Howard's pending decision, but the possibilities sure are juicy. The fact that Sirius XM is dealing from a different position than Worldspace did also may help. Expanding into those overseas markets while you already have a solid base of subscribers from North America would certainly be a much better option, one which I am sure Noah Samara would have loved to entertain.
Getting back into Sirius XM's value, and looking forward a bit, what will they be worth with revenues of 3.5 to 4 billion dollars, subscriber numbers of 22 million or more, and EBITDA of more than 1 million, with debt of 2.5 billion or less? Mel Karmazin recently said that the company was at a historically low leverage ratio of 4.6 and that it would be improving. Certainly sounds bullish to me, and apparently those buying Sirius XM's most recent offering felt so too. In fact, the offering was increased almost 200 million dollars in size because it was so well received. Sirius XM has now cleared several financial hurdles and investors as well as the company could be getting ready to see their hard work and due diligence turned to reality over the next several Quarters as the stock price continues higher. With an increasing subscriber base, increased OEM penetration in new models, used car programs, satellite 2.0 on the horizon, decreasing expenses and debt, as well as exclusive content and information services, it's time for those who have not looked at this company to do so more closely, Liberty media certainly has.
Cramer Contradicts Himself About Sirius XM...
by Brandon Matthews
Once again, Jim Cramer has decided to bash Sirius XM (SIRI) and further separate himself from reality. In front of the student body of Tulane University, Jim Cramer decided to humiliate himself not only on National Television but to a captive audience of tomorrow's investors. While recommending that investors do homework on stocks they own, Jim Cramer apparently did not heed his own advice. Once again referring to Sirius XM as an overhyped stock, Jim Cramer pointed out that there are still no firms with a sell rating on Sirius XM. One of those happens to be Jim Cramer's own TheStreet.com, which most recently upgraded Sirius XM from Sell to Hold, and reaffirmed its rating on October 17, 2010.
Without naming names, Cramer took a shot at me and those of us with a bullish position in Sirius XM. Unfortunately for Cramer, his poke at Sirius XM gets even more embarrassing on a number of levels in that he recommended BUYING Sirius XM right up until the merger was approved. At just over 3.00 a share, Cramer stated that Sirius was a BUY on his Mad Money program while telling viewers they would have a FIVE DOLLAR STOCK when the merger was approved. Cramer failed to own up to his own shortcomings and placed the blame on anyone and everyone else. If that is not bad enough, it gets a lot worse for Jim.
For those Mad Money fans out there, you know that Jim's style includes the buying and selling of various positions. Cramer is averse to holding any stock and recommends taking profits and cutting losses when appropriate. In his blatant attempt to bash Sirius XM investors and those of us that may seem to promote the stock at times, Cramer actually went back and used an example of how astronomical the losses to investors had been since he recommended BUYING it! He explained how holding the stock, that he himself recommended, turned a $2000.00 investment into $440.00. A whopping 78% loss of principal!
Missing the mark yet again, Cramer decided to mock the investment of John Malone's Liberty Capital, stating that it was a good deal for Malone but not retail investors. Cramer failed to point out that since the bottom in 2009 when John Malone took a stake in Sirius XM, a $2000.00 investment in SIRI would now be worth nearly $45,000 today! For the bulk of these gains that Sirius XM investors have realized, Cramer has maintained his position on Sirius XM, while his company TheStreet.com rated Sirius XM a SELL.
Honestly...Why does anyone continue to give this man an audience?
Sirius Valuation Models, Like Netflix Valuations, Are Useless
By Brandon Matthews
I recently wrote a comparison of Sirius XM Radio (SIRI) to Netflix (NFLX), which made the point that valuations on these companies are meaningless based on fundamentals that are by and large based on improper projections. Netflix reported a quarter that seemed to blow away street expectations and the bulls chased the bears away (see earnings call transcript here). Netflix beat down its naysayers, leaving them looking a lot like Brock Lesner after Saturday night's fight and just as confused. You see, the numbers reported by Netflix are misunderstood.
Netflix made some changes that resulted in subscriber numbers being larger than they really are, and reduced churn to lower than what it would have been. Tyler Durden pointed this out and made a great case for the bears, yet like Sirius XM Radio's bears, he misses the point. The idea is simple. Cast a wider net, and you will catch more fish. Netflix did this by extending its free trial periods, and the stock and Wall Street is responding.
While CNBC and analysts such as RBC's David Bank wail at Sirius XM's valuation, our pal Jim Cramer is now screaming that valuations don't matter for Netflix. What's good for Netflix, is good for Sirius XM.
Sirius XM Radio has not only been doing this all along, but investors are about to discover that Sirius XM has found its own way to cast a wider net. To start with, you may have missed recent General Motors commercials, in which G.M. is now offering a full year of XM Radio. This is a big change from the previous model in which G.M. provided only a three month trial. Although the specific terms of the G.M./Sirius XM deal are unknown, these subscriptions will be counted as subscribers because General Motors is footing the bill. There is bigger news on the horizon however, which was revealed in a patent application released yesterday...membership.
Back in 2008, I first reported on a patented chipset that would allow for a tiered Satellite Radio service. When Liberty Capital (LCAPA) first discussed its Sirius XM investment, Liberty CEO Greg Maffei suggested that the company could provide both a subscription based service along with an advertising based service.
On April 22, 2008, the US patent office issued a new patent number 7,363,000. Here is an abstract:
A secondary satellite radio or broadcast channel is used to broadcast advertisement clips (e.g., audio clips) to a receiver for subsequent decoding and playback. The receiver is configured for different tiers of service, e.g., one that delivers substantially advertising-free content and another that delivers content that includes more significant amounts of advertising. The content delivered to both is the same content; however, for the service tier that includes more advertising, the advertisements broadcast on the secondary channel are interleaved into the content, preferably in such a way that the continuity of the content being delivered is not compromised. - source
A new XM patent revealed Tuesday and discovered by Rod Gunsauley, indicates that this secondary service is in the Sirius XM pipeline.
A system is provided for generating a remapped audio stream at digital audio broadcast radios from a first audio stream using content insertion to allow tiered subscription services. A remapped audio stream is rebranded by extracting segments from the first audio stream relating to channel identification segments and disk jockey talking segments and replacing them with stored audio items (e.g., commercials, different channel identification segments and different disk jockey talking segments). Stored audio items for insertion are broadcast to the radios with messages for controlling the scheduling of insertion at the radios, and the storage and deletion of these audio segments at the radios. Stored audio items and messages can be sent using a different, localized broadcast system from that used to transmit the source audio stream to permit market-specific commercial insertion. Group file format for delivery permits intermittently used radios to receive the stored audio items and messages. -Source
When you consider used car marketing, changes in the new car marketing, and the future ability for Sirius XM to earn revenue from every Satellite Radio whether it is subscribed to or not, Sirius XM valuation models, much like Netflix valuations, are useless.
With Sirius on Shaky Ground Conventional Broadcasters Look for a Rebound...
The Bedford Report Provides Analyst Research on Sirius XM & Entercom Communications
Press Release Source: The Bedford Report On Thursday October 28, 2010, 8:46 am EDT
NEW YORK, NY--(Marketwire - 10/28/10) - The Radio Broadcasting industry experienced significant headwinds during the recent economic downturn. With companies watching their budgets closer than ever, spending on radio advertisements have been eliminated or scaled back. While conventional radio broadcasters are optimistic that a rebounding economy will lead to expanded advertising budgets, recent data suggests that companies are spending an increased portion of their advertising budgets online and not on the air. Then of course, there is the satellite radio revolution. Satellite broadcasters garnered substantially better results than their standard radio peers during the economic downturn due in large part to its subscriber based service. Satellite radio is expected to drive demand going forward, as consumers value its commercial-free programming and exceptional sound quality. The Bedford Report examines the outlook for companies in the Broadcasting-Radio Industry and provides research reports on Sirius XM Radio, Inc. (NASDAQ:SIRI - News) and Entercom Communications Corp. Satellite Radio kingpin, Sirius XM has been reporting impressive subscriber growth this year. In the first three quarters of 2010, Sirius says it has added 1.1 million net subscribers compared to a loss of 488,126 net subscribers in the first three quarters of 2009. At the end of the third quarter the company had 19.9 million net subscribers. The company's CEO, Mel Karmazin says he expects Sirius to close out the year at least 20.1 million subscribers.

This is not to say Sirius doesn't face its own set of headwinds. One of the most publicized contract negations of the year has been that between the popular "shock jockey" Howard Stern and Sirius. Stern's five year, $500 million contract with Sirius is set to expire in December. While Sirius and Stern continue to negotiate, Mel Karmazin says the company is actively "exploring alternatives". According to Standard & Poors, Stern is responsible for adding about 2 million subscribers to Sirius XM since he moved to the satellite radio provider in January 2006.

Stick with SIRI as long as it doesn't go below .30

Sirius Bucks the Bears...
The break of the $1.00 ;) ;D
The race to the dollar bill is over.
Shares of Sirius XM Radio (Nasdaq: SIRI) hit the $1 mark shortly after this morning's open. A buck may not seem like much, but this is the first time in 17 months that the satellite radio operator's stock has reached such lofty highs.
The $1 mark became an essential target for Sirius XM after it received a delisting notice last year. It has until mid-March to comply by closing above the $1 mark for 10 consecutive trading days.

Sirius XM
I feel I have to join the witness protection program anytime I write critically about Sirius XM. Shareholders are fanatics, and they get fired up when challenged that their Sirius shares aren't rivaling the dollar as the world's next reserve currency.
But I'll take the risk. Here's how I view it: Sirius skirted bankruptcy last year, which is great -- because it came damn close. Then it slashed costs like no one's business -- which is also great, because your average lemonade stand had been more profitable. What's left is a viable company. But what's it worth? That's the issue at hand. Shares trade at 46 times 2011 projected earnings, and 20 times 2012's projected earnings. No thank you. Some counter that Sirius is a cash-flow story. Fine. The company generated $148 million in free cash flow over the past 12 months, which equals a 2.7% yield over its $5.4 billion market cap. Perfectly uninspiring.
Not everybody has to like SIRI, But most analysts do. Almost every analyst has given it a $1.50 - $1.60 target price, even those who are more skeptical. Why do you think that is?
1) It is a virtual monopoly.
2) Satellite Radio is now standard factory installed in almost all cars sold in the US. And 50% of those who get the radios in their car keep paying for their subscriptions.
3) Churn is at a all-time low.
4) Their Debt Load has been reduced and continues to go down.
5) Their Credit Rating has been continually upgraded several times over the last two years
6) Their subscriber rate has continued to increase despite a soft economy. In fact, they are now 2nd in the most subscribers to a paid media content provider, 1st being Direct TV.
7) They have quite a lot of tax write-offs in their pocket to use as their earnings continue to increase, even generation more profit.
8) Yes, you're correct. It did turn around from a near-bankruptcy (as did other companies 2 years ago). But it didn't go bankrupt, because the company has a good product and the fundamentals of the company are strong. It didn't need a government bail-out to save itself unlike other companies. Liberty Media saw that fundamentals of the company are strong and made a killing. Many other small investors saw that as well and bought it at the all-time lows and they made a killing. While you and other MF's decided to attack the stock for the last 2 years, many of us made stratospheric returns. And we continue to do so even as you wrote this article.
Have you picked a 30 bagger in the last 2 years? OK, how about a stock with a 60% gain made in the last 2 months? If you had told your fellow traders to buy SIRI over the last 2 years instead of putting it down. You would have been the "Hero" of the small investor. But instead, you can just keep your title of "Fool".
Of course SRI investors are fanatics. They're entitled to be. The stock has been very good to us over the last 2 years. I don't need to "attack" you for your criticism, the fundamentals do a better job than I could. I just laugh at you every day, as the stock continue to go up to new yearly highs. And yes, I've taken profits from my initial SIRI investment, so now I'm just playing with the house's money.
Let's be "clear" here. Clear Channel attempted to drive them into bk to clear the roadway for them to rule the world. Their pack of distortions and outright lies, assisted by a couple of FCC sheep, delayed the merger until almost all the money was gone. THAT WAS THE PLAN. Fortunately, Clear Channel was not successful and they will not be successful in the future since capitalism is still alive and well in this country. Now it's Clear Channel I watch under pressure. Their ad revenues they can blame on anyone or anything they want, but the line up at Sirius is really tough to beat even before the merger. Now it's impossible. I can wait around a couple of years for Mel to continue to work his magic.
Hard Choices October 28, 2010, 5:00PM EST
Hard Choice for SiriusXM's Mel Karmazin
After Sirius and XM merged, the chief had to winnow the workforces both radically and fairly...
When we completed the merger of Sirius (SIRI) and XM in 2008, there was a lot of redundancy: two CFOs, two general counsels, two heads of programming, and other roles where there were two people when we only needed one. For every position, I had to pick between two qualified people.
It was very hard: About 500 people had to lose their jobs. Not because they weren't good, but because we didn't need them. I decided that we weren't going to try to find the single best person for each job. The choice was between the Sirius person and the XM person. We didn't look at anyone outside. We didn't want more people losing their jobs than was necessary.
The first thing I did was get to know the people who were going to report to me: I interviewed them and had to decide who was better. Knowing someone well can cut both ways. You know their strengths, but you also know their faults. It's not a perfect science—and I probably made mistakes—but I don't look for qualities I might have. I'm more impressed with someone who's not like me. It's because of my own insecurity: My father was a cabdriver, my mother worked in a factory, and I was a C student.
There's no best way to do something. When I first became a manager, my inclination was to think my style was right because I was the one who had been promoted. I learned it's not about style. Some people get out of a huddle and walk to the line of scrimmage while others run. I don't think that matters. What matters is what happens when the ball is snapped.
I try not to be as hands-on as I would like. People need to feel they're running their own business. I'll offer up opinions, but I try not to tell them what to do. When I make a decision, I tend to consider the facts and make it quickly. You just have to focus on the endgame. I think about what's right for our shareholders and subscribers. If I can make these decisions, anyone can.
Sirius XM to Report Q3 Results: Extraordinary Surprises Unlikely...
With Sirius XM Radio (NASDAQ: SIRI) scheduled to report third quarter earnings on Thursday, November 4th, as reported in a recent press release, investors are eager to see what the recent addition of subscribers will mean to the company's bottom line. On October 13th, the company released net subscriber additions for the third quarter of just under 335K, pushing the company's subscriber numbers to a new record high of over 19.8M. This announcement of record subscriber numbers pushed the company's stock price to a new high for the year of $1.40 per share at that Day's close.
With the conference call scheduled, and record subscriber numbers already declared, investors are now looking for the next catalyst to bring new money into the investment pool, driving the stock price even higher. With that purpose in mind, I thought it prudent to separate the hype from the reality and take a look at what the upcoming call most likely will mean for investors as a singular event.
Of course, with Sirius XM, it's not always the reported numbers that move the company's stock price. Contract announcements for content, such as the pending Howard Stern deal and the NFL agreement, each having year end deadlines, are also potential stock price movers, depending on the outcome of those agreements and the reported details. Debt restructuring announcements, with improved interest payments and extended maturity dates, also serve as catalysts or stability-building events in the stock's price, showing improving credit conditions and reflecting an overall lower default risk. The result of favorable debt restructuring draws the attention of the credit rating agencies, resulting in credit risk upgrades from both Moody's Investor Services (MCO) and Standard and Poor's.
To begin, the analysis of Sirius XM's third quarter financial performance, an estimate of Total revenue is a good place to start. Total Revenue is comprised of Subscriber revenue net rebates, Ad revenue net fees, Equipment revenue, and Other revenue. Subscriber revenue has been providing steady year-over-year growth for the company in the first six months of 2010, at 5.35%. Sequential growth for Q2 over Q1 of 4.1% was reported in the August 2010 filing with the SEC. Subscriber revenue represents 86.5% of all revenue derived from Sirius XM Radio's business.
The management of subscriber churn with subscriber retention incentives has an inverse relationship to Subscriber revenue. This in turn represents a key measurement of management's effectiveness in managing subscriber retention incentives against the company's ability to maintain subscriber revenue growth. While the growth in net subscriber additions looks and feels good to investors, subscriber revenue growth is what makes the company money. There should not be any surprises lurking in Subscriber revenue in this report, and an expectation of a sequential increase of 4.5% for Q3 over Q2, resulting in Subscriber Revenue of $628M is reasonable.
With Ad and Equipment revenue representing ~2% of total revenue each, the impact to total revenue growth is minimal, but their impact on net income and adjusted earnings from operations is more significant. The growth rate for both categories has been impressive. Ad revenue has improved Q2 over Q1 by 8.75%, and Equipment revenue has improved by 29.5% for the same period. Equipment revenue growth is attributed to royalty improvements from increased OEM installations. I see these two line items continuing to perform well, with Ad revenue posting a 9% increase to $17.2M, and Equipment revenue posting an 18% increase to $22.2M for Q3.
The most significant revenue growth driver, other than Subscriber revenue, is that generated from the U.S. Music Royalty fees passed on to new and renewing subscribers, and is found in the Other revenue category. Initiated at the end of July 2009, the Other revenue category has contributed $191M to total revenue, and $119M in the first six months of 2010, compared to $11M in the same period of 2009. The $119M represents about half of the revenue share and royalties payments currently being made by the company in 2010. While I understand that this category also includes affiliate revenues, content licensing and syndication fees, they represent a small percentage of the total category. I anticipate the Other revenue number will remain consistent at $58M for Q3.
Q3 Estimated TOTAL REVENUE: $725M
Most of Sirius XM's operating expenses are relatively stable since restructuring the cost centers post merger. Items like Programming and Content, Customer Service, Satellite and Transmission, and others related to standard operating process for the company, are relatively fixed and apportioned throughout the quarter.
Other expenses such as, Sales and Marketing, Subscriber Acquisition Costs (SAC), Revenue Share and Royalties, while still being standard to operating process, are more variable in amount. These charges are directly proportional to the amount of subscribers the company adds during the quarter, and advertising and distribution costs necessary to support the sale of subscription based services. Sequentially from Q2, I would expect costs to decrease for Q3 for Sales and Marketing from $56M to $49M, a decrease of ~$10M in SAC from $108M to ~$98M, and small increase $2M in Revenue Share and Royalties posting an expense of $109M.
Q3 Estimate of Total OPERATING EXPENSE: $559M
Q3 Estimated Total INCOME (LOSS) FROM OPERATIONS: $166M
Other Expense is a "non operating expense" category. When looking at Cash from Operations above, this expense is not include in the calculations. Interest expense, a key component to this category, has been consistent for the first two quarters of 2010, and should remain so for this quarter at ~($77M). Without any debt restructuring resulting in Loss on Exinguishment of Debt in the third quarter, there will be a reduction in this category in Q3 over Q2, of $31.9M. This is a non-cash accounting expense that represents discounts not fully consumed throughout the life of a loan, or note's maturity. This will result in an improvement of "net income (loss)" by that amount for Q3. Holding all other items as equal for Q3 in the other expense category, an estimate in total Other Income Expense of ~($77M) can be expected.
Q3 Estimated Total OTHER INCOME EXPENSE: ($77M)
Q3 Estimated Total NET INCOME (LOSS): $88M
EPS (Basic): $.02 per share
EPS (Diluted): $.01 per share
When trying to estimate Cash Flows for the period which determine the company's ending Cash balance, three areas need to be evaluated; net cash from operations, net cash used in investing activities, and net cashed used in financing activities. As will be reported, the Cash balance account is reconciled over the nine months of operations for 2010.
As of June 30th the cash balance was $258M with significant financing activities taking place in Q2, impacting significantly cash used in investing activities, which was reported at ($105M). Additionally, the Q2 Cash used in investing activities was reported as ($160M), and the Cash used in operating activities was reported at $140M. Together the cash used in these three categories resulted in a depletion of the cash account by ($125M), from a balance of $383M at the beginning of the period.
With no cash being deployed in financing activities for Q3, and an estimated ($42M) cash being used in investing activity, primarily for XM5 launch and build commitments, the third quarter may provide a surprise when the cash balance is reported. With a projected net income of $88M and a growing deferred revenue account from continued subscriber growth, the company may post a net increase in cash and cash equivalents of $100M, resulting in a Cash balance of $358M as of September 30th 2010.
Estimated CASH ON HAND: $358m
Estimating EBITDA for Sirius XM is very difficult to evaluate without sitting in on the final computations with the company's CFO. For the purpose of this estimate, a figure of $155M can be used, and would be on track with CEO Mel Karmazin's end of year projections of over $575M at the Liberty Media (LCAPA) Investor Meeting.
In addition, adjusted FCF reported by the company has been forecast to reach over $150M for the year 2010. Currently adjusted FCF is ($18M), representing a significant recovery in this metric for the remainder of the year. The primary drag on adjusted FCF for the company was a lump-sum payment made in January 2010 for deferred payments from 2009, and the use of cash on hand to pay for employee incentive bonuses rather than issuing stock for this payment. The second quarter showed good recovery in this category posting a positive $108M. Given the broad latitude in computing EBITDA and adjusted FCF, an estimate $125M for Q3 is reasonable.
Estimated EBITDA: $155m
Estimated ADJUSTED FCF: $ 125m
As I have assessed the financial and operating performance for the company during the third quarter of 2010, it is highly unlikely that there will be any extraordinary surprises in this upcoming report. From a stock price point of view, this report should show steady improvement in maintaining good cost containment processes, and the efficient use of cash to support operations and continued growth in the company's primary markets. Other than a surprise to the upside in building cash on hand, this report should support current stock price levels.
With uncertainty lingering from the Howard Stern deal, I would expect range bound activity absent any other catalyst for the upcoming weeks. From what is being presented here, it will take another quarter of solid financial performance, securing the company's premium talent, and some aggressive 2011 projections by the company to get the stock price to the next level. Mel Karmazin needs to present more accurate forecasting for future performance for the company to get the attention investors are looking for from "the street".

1 of the 5 best stocks under $5 right now...
Stocks trading for less than a fiver have more room to grow than the giants, and the right ones can grow faster, too. Here is one of the five to look at now, with names you might already know.
Sirius XM Radio
Howard Stern lemmings piled into Sirius stock years ago when the shock jock moved his circus to satellite radio. Many lost almost all their money, as the company's stock fell under $1 from above $8.
But with a 2008 buyout of XM Radio and a bankruptcy scare under its belt, Sirius XM Radio (SIRI) is now a dominant force on the comeback trail.
Skeptics believe iPods and free Web radio services like Pandora will jam the signal at Sirius, which charges $12.95 a month. But satellite radio offers content that listeners can't find elsewhere on the radio -- not only Stern, but also Martha Stewart, Oprah Winfrey, Jamie Foxx, Barbara Walters and a Playboy channel, to name a few.
And recent trends confirm that drivers are willing to pay for that content. Sirius XM Radio's subscriber base grew last year by 8%, to 20.2 million. That helped drive revenue up 14%, to $2.82 billion. "It's kind of like the original cable TV, when everyone thought people wouldn't pay for TV because it's free," says Robert Routh, a media analyst at Phoenix Partners. "Sirius XM Radio has lot of stuff you can't get elsewhere." The reason: While terrestrial radio companies lack the funds to buy the big talent, Sirius XM Radio can buy whatever it wants to fill its 135 channels, says John Tinker, an analyst with Maxim Group.
Two other keys to growth: Sirius XM Radio is available for free for a few months in 60% of all new cars. As car sales rise in an improving economy, subscriber growth should increase. A Sirius 2.0 upgrade and a possible rate increase later this year will also drive gains. All-important cash flow could hit $1 billion a year by 2015, predicts Morgan Stanley analyst David Gober. He says Sirius XM Radio will be announcing dividends and share buybacks -- music to investors' ears.

Sirius XM: Price Hike Coming? And Then A Big Buyback Plan?
Apr. 6 2011 - 1:59 pm
Is Sirius XM (SIRI) planning to hike its subscription rates later this year?
Gabelli & Co. analyst Brett Harriss thinks so. In fact, he raised his rating on the shares this morning to Buy from Hold, in part on the theory that the company has pricing power that the Street might not appreciate. Note, by the way, that while he is bullish on Sirius, he thinks the best way to play the stock is via Liberty Capital (LCAPA), the company's largest single investor.
Harriss notes that as a condition of the July 2008 merger of Siriux and XM, the company agreed not to raise prices for its basic subscription until August 2011. With August now less than six months away, no immediate pricing action is likely, but the analyst contends that the company is likely to gradually increase prices from here. He's modeling a 4% average annual price increase through 2015.
"With a largely fixed cost basis, price increases should be highly accretive," he writes in a research note. Harris estimated that a $1 a month increase in ARPU across the company's 20 million subs would mean $185 million in additional EBITDA.
Meanwhile, Harriss also thinks the company could start buying back shares in 2012. "Management has expressed comfort with a debt to EBITDA ratio of 3.0x which implies share repurchases could begin in the
second half of 2012," he writes. Harriss thinks the company could return as much as $6 billion – 55% of the company's current market cap – through 2015.
SIRI today is up 6 cents, or 3.15, to $1.83.

Sirius: Outlook Ahead of Earnings...
In a few weeks, Sirius XM (SIRI) satellite radio will be announcing first quarter 2011 numbers. The company will also be posting a preliminary proxy shortly regarding the annual shareholder meeting. This proxy should remove any concern moving forward regarding the previously voted on reverse split possibility, as the company is now more than likely headed to two dollars and safely above minimum NASDAQ listing price of $1.00.
So many attempts to discourage would be investors from buying Sirius XM stock over the past two years it is literally mind numbing. Even now the same false stories and untruths seem to find their way into the mainstream and the internet media world. In fact, these "stories" are designed to take the average persons focus off of what is actually going on. Truth be told, Sirius XM satellite radio is continuing to grow with no real sign of stopping as more and more automobiles on the road today now have satellite radios installed as standard equipment. While it is true that there are also alternative internet based radio services and technologies being embedded in new vehicles, quite simply, none of them compare to what Sirius XM provides in the way of content. What other service has commercial free music, talk programming, special event limited programming, college and professional sports from around the globe, live concert broadcasts, comedy shows, children's radio, medical and even adult entertainment radio channels?
Sirius XM has been upgrading and integrating more technology into all its platforms. The newly integrated internet radio player can provide listeners with information related to the songs they are listening to and the artists who recorded them as well as album art. Sirius has also been streaming metadata provided by ROVI (ROVI) on its internet player. Certainly Sirius XM has seemingly lagged behind for a couple of years in the upgrade of its technologies, but lately it seems to be making up for it. This week on April 12th we will finally get to see what it is that Teleca has done for Sirius XM via the Android platform at the SAE 2011 World Congress in Detroit. As of 11 April Sirius XM internet also has added LIMITED engagements to the Internet radio platform on XM 19 as well as other channels. This coupled with press releases which made sure to mention that the Triple Crown races as well as special programming from Metallica are definitely items which distinguish Sirius XM along with other special programming and from other radio or entertainment programming, especially on the internet. Is this a step toward the future further monetization of Sirius Xm internet radio?
On Sunday, May 8, SiriusXM will launch "Mandatory Metallica," the 24/7 Metallica music channel, including music from the band's entire catalog, rare cuts and songs from Metallica's "Big 4″ concert performances. "Mandatory Metallica" will be available for an extended period on SiriusXM Bootlegs on SiriusXM Internet Radio, and through the SiriusXM App for the Apple iPad, iPhone and iPod touch, and several BlackBerry and Android-powered smartphones.
More Trouble for SIRIUS XM...
Satellite radio service provider SIRIUS XM Radio Inc. (NasdaqGS: SIRI - News) is facing legal challenges one after another. Yesterday, a U.S. District judge has ruled that the company must face class-action lawsuit related to antitrust violation. The case was filed in 2009 by a group of SIRIUS XM subscribers, who claimed that the company is abusing its monopoly power by raising prices to nearly 30%. SIRIUS XM was formed in 2008 after a merger between the two arch rivals, Sirius Satellite Radio Inc. and XM Satellite Holdings Inc. The lawsuit is primarily related to music royalty fees that SIRIUS XM is charging from July 2008, in addition to subscription fees.
Last week, SIRIUS XM faced a lawsuit from none other than its star performer Howard Stern. Mr. Stern has complained that SIRIUS XM failed to pay him stock awards that it granted based on a specific subscriber growth target. Immensely popular radio-jockey Howard Stern hosts talk-show in SIRIUS XM. Several industry researchers estimated that discontinuation of Howard Stern shows in SIRIUS XM may result in loss of approximately 1 million subscribers to the company.
Nevertheless, SIRIUS XM looks confident that their view will ultimately prevail in the federal justice department. The merger between SIRIUS and XM cleared both U.S. Department of Justice and the Federal Communications Commission rulings long back. Therefore, abuse of monopoly power does not arise. As of now, after Comcast Corp. (NasdaqGS: CMCSA - News), the company is the second largest entertainment subscription service provider in the U.S.
Further, satellite radio broadcasting market is becoming intensely competitive. SIRIUS XM is facing severe competitive threat from Pandora Internet radio.Pioneer System, a leading car information system manufacturer, unveiled a new car stereo, which can detect Pandora Internet radio settings from Apple Inc's (NasdaqGS: AAPL - News) iPhones or iPods. Besides, the iPhones or iPods can be used to conveniently set customized music stations for individual users while driving. In addition to iPhone, Pandora has also developed streaming services for BlackBerry devices of Research In Motion Ltd. (NasdaqGS: RIMM - News) and Google Inc's (NasdaqGS: GOOG - News) Android-based smartphones.

Noteworthy Insider Buys And Sells
In Consumer And Retail Sectors Wednesday To Friday
We present here two noteworthy buys and six noteworthy sells from Wednesday, Thursday and Friday's SEC Form 4 (insider trading) filings in the consumer and retail sectors, as part of our daily and weekly coverage of insider trades (the basic materials and energy sectors, and the technology sector, were covered in separate articles, hyperlinked above). These were selected by a review of over 790 separate transactions in over 450 different companies filed by insiders on Wednesday and Thursday, and an additional 200 or so filings so far today. The filings are noteworthy based on the dollar amount sold, the number of insiders buying or selling, and based on whether the overall buying or selling represents a strong pick-up based on historical buying and selling in the stock (for more information on how to interpret insider trades, please refer to the end of this article):
Sirius XM Radio (SIRI): SIRI provides satellite radio services in the U.S. and Canada via approximately 135 channels of commercial-free music, sports, news, talk, traffic and weather on a subscription basis. On Thursday, two insiders filed SEC Forms 4 indicating that they sold 9.55 million shares for $20.1 million. Of these, EVP Patrick Donnelly exercised options to acquire 7.70 million shares and sold the resulting and an additional 1.54 million shares (total 9.24 million shares) for $19.45 million, ending with no direct holdings and 12,549 shares in indirect holdings after the sale (not including derivative holdings). Director James Holden exercised options and sold the resulting remaining 0.3 million shares, ending with 0.14 million shares after the sale (not including derivative holdings). These sales are in addition to the 6.94 million share sale that we reported earlier on last Friday, so that overall SIRI insiders have reported selling a total of 16.5 million shares in the past five trading days. In comparison, insiders reported selling only an additional 0.8 million shares in the past year.
SIRI reported an in-line Q4 earlier this month, on February 9th. Its shares, currently trading at the upper end of a long-term $1.50-$2.50 trading range, have been surprisingly strong after the report, consolidating in a tight 10% range of $2.00-$2.20. Technically, the shares look ready to break-out. However, with earnings staying generally in the 1c-2c range, it looks unlikely that shares will rise much beyond the long-term highs in the $2.40s on the strength of current fundamentals.
We expect Satellite radio company, SIRIUS XM Radio Inc. (SIRI), to beat expectations when it reports second-quarter 2013 results on Jul 25, 2013 before the market opens.
Why a Likely Positive Surprise?
Our proven model shows that SIRIUS XM is likely to beat earnings because it has the right combination of two key ingredients:
Positive Zacks ESP: Expected Surprise Prediction or ESP (Read: Zacks Earnings ESP: A Better Method), which represents the difference between the Most Accurate estimate and the Zacks Consensus Estimate, stands at +50.00%. This is very meaningful and a leading indicator of a likely positive earnings surprise for shares.
Zacks #3 Rank (Hold): SIRIUS XM currently has a Zacks Rank #3. Note that stocks with Zacks Ranks of #1 (Strong Buy), #2 (Buy) or #3 (Hold) have a significantly higher chance of beating earnings.
The combination of SIRIUS XM's Zacks Rank # 3 (Hold) and +50.00% ESP makes us very confident of a positive earnings beat on Jul 25, 2013.
What is Driving the Better-Than-Expected Earnings?
SIRIUS XM in its interim report has reported a net addition of 715,000 customers for the second quarter of 2013, registering a 15% annualized and a staggering 58% sequential growth. With the latest subscriber gain, SIRIUS XM has crossed the 25 million customer mark and has added 1.17 million subscribers in the first half of fiscal 2013.
Increased automobile sales and the continuous launch of innovative products have mainly contributed to such strong subscriber growth. This, in turn, is expected to boost SIRIUS XM's top line.
Additionally, SIRIUS XM boasts a solid product portfolio and strong business relationships with the original equipment manufacturers. These have led the company to raise its 2013 fiscal outlook by 100,000 to 1.5 million.

Sirius is Looking to the Internet to Go International
Sirius XM Radio (NASDAQ:SIRI) has been criticized for its lack of international expansion as the company and its service are, for the most part, focused in the U.S. and Canada. Chief Executive Officer Jim Meyer said at the Goldman Sachs Communacopia conference on Thursday that the company's international expansion efforts will focus more on Internet-based products than satellite, and the company will likely look to Mexico first for that growth, according to a report from Reuters.
Both the company's board of directors and John Malone, chairman of Liberty Global (NASDAQ:LBTYA), which owns a controlling stake in Sirius, have complained about the company's lack of international expansion. Meyer, who has lead the company for less than a year, is pushing Sirius outside just satellite radio towards investing more in connected car systems.
"One of the reasons why it's key that we participate in that rollout and building of that architecture is that it's going to give us opportunities to look at services on an international basis that are different than we've done here in the U.S.," Meyer said.
Meyer also said that international efforts will likely focus on streaming and Internet-based services rather than satellite radio, and that it's unlikely the company would launch satellites in other countries. Although Meyer said Mexico would probably be the first target of that expansion, he said there wasn't anything to announce quite yet.
Meyer was the brains behind Sirius's first big acquisition earlier this year. The company announced that it is buying Agero Inc. for $530 million back in August. Agero is a connected vehicle system and provider of telematics for cars. Through the acquisition, Sirius will provide telematics services to more vehicles than any other company. Agero counts automakers Acura, BMW (BMW.PK), Honda (NYSE:HMC), Hyundai (HYU.PK), Infiniti, Lexus, Nissan (NSANY.PK), and Toyota (NYSE:TM) as customers. That deal is expected to close in the fourth quarter, according to Reuters.
Connected car systems that allow drivers to connect a computer in their car to the Internet and allow it to interact with their smartphone devices is seen as the future of automobile technology. Since Sirius is already used in many vehicles, scooping up a telematics company was a smart move that will diversify the company outside just satellite radio and move its business outside just the U.S.
