This press release contains forward-looking statements which reflect management's best judgment based on factors currently known. However, these statements involve risks and uncertainties, including the successful development and market acceptance of new products, the degree of competition in the market for such products, the product and channel mix, component costs, manufacturing efficiencies, and other risks detailed in our annual report on Form 10-K for the year ended December 31, 2005. These risks and uncertainties could cause actual results to differ materially from those in the forward-looking statements included in this press release.
This release includes non-GAAP net income, non-GAAP earnings per share data, and other non-GAAP line items from the Non-GAAP Information table in this release, including costs of sales, gross profit, selling, general and administrative expenses, research and development expenses, profit from operations, income before provision for income taxes and provision for income taxes. These measures exclude the effect of stock compensation expense for employee stock options associated with the application of SFAS 123R, which ADTRAN adopted effective January 1, 2006. These measures are not in accordance with, or an alternative for, generally accepted accounting principles and may be different from non-GAAP measures used by other companies. ADTRAN believes that the presentation of the non-GAAP measures, when shown in conjunction with the corresponding GAAP measures, provides useful information to management and investors regarding financial and business trends relating to its financial condition and results of operations. ADTRAN further believes that where adjustments used in calculating non-GAAP net income and non-GAAP earnings per share are based on specific, identified charges that impact different line items in the statements of income, it is useful to investors to know how these specific line items are affected by these adjustments. In particular, as ADTRAN applies SFAS 123R, it believes that it is useful to investors to understand how the expenses associated with the application of SFAS 123R are reflected in its results of operations. The presentation of these non-GAAP measures permits both investors and management to more readily compare past results, which do not include the impact of SFAS 123R, with future results, and to better understand ADTRAN's performance over the periods presented.

Adtran Hits 52-Week High After Earnings
Tuesday July 17, 12:26 pm ET
Adtran Shares Rally After Earnings Meet Expectations, Share Buyback Plan Announced
NEW YORK (AP) -- Adtran Inc. shares hit a one-year high Tuesday after the networking and communications equipment provider announced a new share buyback program and reported quarterly earnings in line with Wall Street forecasts.
The Huntsville, Ala.-based company said late Monday that second-quarter earnings slipped to $19.8 million, or 28 cents per share, from $20.8 million, or 27 cents per share, a year earlier. The company's share count fell year-over-year. Revenue increased 1 percent to $123.7 million.
Those results matched analysts' estimates.
Adtran also said it would buy back 5 million shares of common stock once a share repurchase program announced last July is completed. There are 173,000 shares remaining under that plan.
Since 2004, Adtran has bought back 14.2 million shares.
Analysts were cautiously optimistic about Adtran's future results pending a call with management late Tuesday morning. Several issued client notes reiterating their largely neutral ratings on the stock.
"While we are incrementally more positive on ADTN due to increasing new product momentum, especially the TA 5000, we believe that the stock price is largely reflecting the company's improving outlook," wrote Thomas Weisel analyst Jason Ader.
Adtran shares nevertheless rallied, rising $1.22, or 4.6 percent, to $27.96.
Earlier in the session, the stock hit a one-year high of $28.22. The stock has traded as low as $20.32 in the past year.
Adtran sees sequential rise in Q3 revenue
Tue Jul 17, 2007 12:47PM EDT
July 17 (Reuters) - Network access equipment maker Adtran Inc., forecast a sequential increase in third-quarter revenue, typical to what it has often seen.
"As you are aware, Adtran has traditionally seen sequential revenue increases from the second quarter to the third quarter and our expectations are that the third quarter revenues this year will follow that trend," Chief Financial Officer Jim Matthews said in a conference call on Tuesday.
During the call, the Huntsville, Alabama-based company also said it still expects year-over-year revenue growth for 2007.
However, the company, whose customers include AT&T Inc., and Verizon Communications Inc., added that annual growth will continue to depend on the health of wireless spending, the micro IT spending environment, among other factors.
Analysts, on average, expected third-quarter revenue of $135.1 million, and 2007 revenue of $505.8 million, according to Reuters Estimates.
On Monday, the company posted a slightly lower second-quarter profit, while its sales edged higher. The company's second-quarter net income totaled $19.8 million, or 28 cents per share, compared with $20.8 million, or 27 cents per share, a year earlier.
It also announced a buyback of an additional 5 million common shares.
Shares of the company were up more than 3 percent at $27.66 in afternoon trade on the Nasdaq. (Reporting by Purwa Khandelwal in Bangalore)
