Hey Elite-
I gotta tell you, I've looked at the fundies on this thing as you requested, and I am mystified. ALL of the acquisitions they have had have been for shares of CGHI stock-- NO CASH.Their earnings history is sketchy at best and the last earnings that I see are from 6 months ago and they ain't much, plus, when the CEO talks about the value of their holdings to make a judgement as to the value of the company for a sale, he's including the minerals that are STILL IN THE GROUND and are only PROJECTED reserves.I  think this is often done in mining operations where there is little actual historical results to go on but his number is $520M, which, from what I can tell, is ludicrous. This just doesn't smell right to me but I know you're too much of an old pro to get burned. All the best

I agree...the smell is an important thing.  ;)  Thank you for looking at it Irishman  :)
I dont think anyone can be much of a pro at this penny business.  This one will teach us a lot.

Post by: strp609 on June 24, 2005, 08:08:11 PM
Agreed, thanks irishman, looks like they're leveraging everything using these "stock for mining" acquisitions to increase their pps on paper to make it more attractive for the offers they claim to have

i'll keep a small position on a tight leash based on technicals, while giving it a few days for news - i'd be interested in seeing either a buy the rumor run or a real offer if there is one (anything over .24pps would be fine with me  :D)  either way i figure it will start to reflect up or down in the share price soon, and that will tell me what i should do - good warning on this one, thanks  ;)

well according to that news..we should definately hold... but it is strange to me that we are not closer already.  It may be wiser to sell 1/2 now.  Its pretty darn interesting though...

I guess this stock slipped here, werent we in penny pickers before?

hi eliteG, what do u think of CGHI movement these 2 days? its so low compared to the buyout offer at 0.45, but the stock is not moving , and dropping today so far too.
ppl dont believe in the buyout offer?

Thanks!

hey eagerlearner, these past 2 days are very strange to me. . when I think about it according to stock price history the buyout offer is quite low. . . I dont know I still feel this is ez money.  There should be another offer from another company as well.  So lets see what happens.. i believe the risk is minimal.  8)

i am still holding my full position. do u have a position in this?

been on extreme low volume for a while now. i guess this strange price scares both buyers and selers - buyers not sure to get in because of the big deficiency and sellers certainly dont wanna sell cheap.
see how this plays out in the near future.

thanks for your reply elite!

Eager,
i'm still in with a small position, figure if it runs up i won't have time to buy back in, low downside risk, and with the low volume it's probably people getting tired of waiting for news and pulling their money to move on to other things.

Form 8-K for CENTURION GOLD HOLDINGS INC

--------------------------------------------------------------------------------

8-Jul-2005

Termination of Material Agreement

Item 1.02 TERMINATION OF A MATERIAL DEFINITIVE AGREEMENT.
On March 30, 2005, the Share Sale Agreement, dated as of July 7, 2004 (the "Agreement") by and between Fraser Alexander Tailings (Proprietary) Limited, Nedbank Limited, The Industrial Development Corporation of South Africa Limited, Richard Harry Austin Plaistowe, Ken David Bouch, Tukiso Environmental Solutions (Proprietary) Limited, and the Company, was terminated. Pursuant to the Agreement, the parties agreed to acquire Mine Waste Solutions, (Pty) Limited, an environmental remediation company that combines mine rehabilitation with re-treatment, for $24.5 million.

While the parties to the Agreement have attempted to reach a negotiated purchase price, we abandoned such discussions on March 30, 2005, having concluded that no resolution could be reached. Because we have withdrawn from all further negotiations with the parties, the Agreement, including all rights and obligations of the parties thereunder, has terminated and is of no further force and effect.

good luck !

an unusual roller coaster on this one , yesterday it spiked up to 0.34 then dopped to 0.22 in a couple hours.  a buyer play shouldnt act like this i guess?
good thing is the offer is more valid as it moves closer to 0.45, and a better reason to hold.
volume is big today and yesterday too , been watching and i was late june last time we have over 1m volume.

hope it plays out as expected.  :)

only good thing is from Lastsale all the big orders (100K+) at the close are buy orders.

Hi !

Management and Board of Directors Announce Their Intention to Buy up to 5 Million Shares of Centurion Gold Holdings
Sep 15, 2005 6:00:00 AM
Copyright Business Wire 2005
JOHANNESBURG, South Africa--(BUSINESS WIRE)--Sept. 15, 2005--Centurion Gold Holdings, Inc. (OTCBB:CGHI), the only South African junior gold mining company publicly listed in the U.S., announced today that the management and board of directors intend to purchase up to 5 million shares of Centurion Gold Holdings' stock in the open market. The management and board of directors' decision to purchase additional shares for their personal holdings is based on the fact that they do not feel the value of Centurion Gold is fully reflected in the price of the stock.

"We have built a solid company through the acquisition of several properties that have a considerable amount of gold, platinum, chrome, and tin, with an estimated value in excess of $5 billion. We have accepted an offer to be bought out at $.60 a share from a company that brings a tremendous amount of synergy for Centurion and the ability to raise capital for new projects. The board of directors and I are excited about the future opportunities for Centurion Gold and feel that the value of the Company's mineral resources is not being recognized in the marketplace and are, therefore, taking this opportunity to increase our personal holdings in Centurion Gold," commented Dale Paul, CEO and Chairman of Centurion Gold Holdings, Inc.

Good luck.
Evgeny.

I bought a few K when the buyout was announced, and am waiting.  ;D They did say in a PR awhile back that it should be finalized by the end of Sept and a done deal by years end. The spiking price of gold/metals should be aiding this stock right now also.  ;D

From what I've been able to gather, there seems to be some confusion on the buyout details...and the company is suppose to have a followup PR to explain. I've held a few thousand shares of this for awhile....seems to be somewhat of a gamble to buy now, but what's new.  ;D

HMMM..that's interesting!!  ;D This stock announced about twom months ago that they were being bought out at .60 a share...details were to be out about now...their 10k the other day seemed to be saying the details of the buyout are not worked out yet, and it sold off on that...there is supposed to be a PR coming on the details...but who knows when. I bought a few thousand shares back when the deal was announced and still holding. The inside buy is an interesting item in more ways than one.  ;D Thanks for posting that. I'll clap for ya.  ;D

I'd be really careful with this. The market doesn't think its going to happen. I had a similar experience with MTDX recently. They had a buy-out offer for +3.00 on a .60 stock. The highest the stock went was about $2.00 intraday. Then the whole thing collapsed.

Centurion Gold Enters LOI to Sell 10% of Naboom Platinum Deposit; Proceeds from Sale of Naboom to Be Distributed to Centurion Shareholders via Stock Dividend; Fundy Minerals to Hold Exclusive Right to Acquire Balance for $17 Million

Mining Writers / Business Editors

JOHANNESBURG, South Africa--(BUSINESS WIRE)--Oct. 19, 2005--
Centurion Gold Holdings, Inc. (OTCBB:CGHI),

the only South African junior gold mining company publicly listed in the U.S.,
announced today that it has signed a letter of intent to sell 10.4% of
its stake in Naboom Platinum Deposit to Fundy Minerals Ltd. Fundy is a
Canada-based natural resources company listed on the OFEX in London
under the ticker "FUN."
In consideration for 10.4% of Naboom, Fundy will issue 20,000,000
shares of its stock to Centurion Gold. In addition Fundy will pay a 1%
royalty fee on all future production from the property to Centurion.
As part of the agreement, Fundy will hold the exclusive right for 12
months to acquire the balance of Centurion's ownership in Naboom
Platinum Deposit for $17 million. Conclusion of the transaction is
pending due diligence. Once the sale of 10.4% of Naboom is concluded,
the Directors of Centurion intend to distribute, on a pro-rate basis,
shares in Fundy to Centurion shareholders of record as of the date of
the transaction concluding.
"We are pleased to team up with Fundy on the Naboom Project. Fundy
recognizes the value in our Naboom property and has the exclusive
right to purchase the property for $17 million," stated Dale Paul,
Centurion's President and CEO. "Naboom is just one of Centurion's
properties and at a valuation of over $17 million, this alone exceeds
50% of Centurion's current market capitalization. Through the Naboom
sale, as well as our other pending M&A transactions, we are working
hard towards creating the shareholder value that reflects the wealth
of our mining assets."
In April 2005, Centurion acquired 74% of the Naboom Platinum
Deposit from AngloGold Ashanti Limited with the Black Economic
Empowerment Partner retaining its mandatory 26% share. Centurion has
complete legal rights and all licenses/permits to Naboom. The Naboom
ore body is a platinum-rich deposit with grades up to 4,000 grams/ton.
The platinum occurs in free form in a quartz host rock containing
chromatic chlorite. The implied tonnage, based on existing, historical
development of Naboom, is 2.2 million tons equaling 14.96 million
grams possible in-situ platinum resource that was previously exposed.
Discovered in 1923, the Naboom Project is located in the Waterberg
District approximately 5 km northwest of Naboomspruit in the Limpopo
Province, South Africa and was originally operated by Transvaal
Platinum Limited.

About Centurion Gold Holdings, Inc.:

Centurion Gold Holdings is the only South African junior gold
mining company publicly listed in the United States. The Company is
executing a roll-up strategy acquiring proven mineral assets, "growth
through acquisition;" these assets consist of near revenue stream and
existing low cost production operations with turnaround opportunities.
Based in South Africa, the Company is ideally suited to exploit new
legislation implemented by the government in May 2004. This
legislation enforces a "use it or lose it" strategy, whereby all
mining claims must be prospected within a designated time frame,
otherwise, such prospects revert to the state, thereby creating never
before seen opportunities, particularly for smaller companies like
Centurion. The Company has built a strong team of experienced
management and operations mining professionals to exploit these
opportunities, and is positioning itself to become a major producer by
continually implementing its "growth through acquisition" strategy.

Centurion Gold Holdings Receives Zaaiplaats Exploration Permits; Plans to Begin Mining Immediately
Business Wire - November 04, 2005 06:00
;)
JOHANNESBURG, South Africa, Nov 04, 2005 (BUSINESS WIRE) -- Centurion Gold Holdings, Inc. (OTCBB:CGHI), announced today that it has received exploration permits for its Zaaiplaats tin mine in Limpopo province, South Africa. Having received these permits, the Company intends to immediately commence mining the property. As previously announced, the Zaaiplaats property makes Centurion the largest tin mining company in South Africa.

"As a resource development company we are moving forward with developing our mining assets. Zaaiplaats is a very economically feasible mining property which we expect will yield us cash flows that support our business. Centurion will continue to evaluate which of our properties we will mine immediately and which we can more favorably sell or joint venture with other partners. Our development decisions to either mine or spin out an asset are driven by internal ROI requirements and the best return on shareholder value," stated Centurion Gold Holdings CEO Dale Paul.

Centurion Gold Holdings' Zaaiplaats tin mine is located in the Limpopo province of South Africa, in the northern Bushveld complex. The Zaaiplaats tin mine has produced in excess of 17,000 metric tons of metal. Once fully capitalized it will produce roughly 2,500 tons a year. The mine has agreements with local smelters to buy the tin concentrates to be produced. The processed metal is generally exported to China or used locally in the production of steel alloys. The mine has a probable reserve of 3.3 million tons of minus 3 mm gravity tailings.
