HandHeld Entertainment Acquires Dorks.com, a Fast-Growing Web Site Full of Hilarious Videos Attracting Up To 1 Million Unique Visitors per Month
Tuesday November 14, 3:01 pm ET
Dorks.com Purchase Puts HandHeld Entertainment in the Middle of the User-Generated Content Category and is Expected to Help HandHeld Entertainment Boost Both Its Online and ZVUE Portable Video Player Revenue

SAN FRANCISCO & SEATTLE--(BUSINESS WIRE)--HandHeld Entertainment(TM) (NASDAQ:ZVUE - News; NASDAQ:ZVUEW - News) today announced the acquisition of Dorks.com for $1.5 million ($500,000 in cash and a five year $1 million note convertible to common stock).

A rapidly growing, leading aggregator of user-generated content, Dorks.com attracts as many as 1 million unique visitors each month.

"With our purchase of Dorks.com, HandHeld Entertainment is jumping into one of the fastest-growing segments in the entertainment world," said Jeff Oscodar, president and chief executive officer of HandHeld Entertainment. "In less than 12 months, Dorks.com has become one of the leading destinations on the Web for the hilarious videos loved by viewers of all ages. This acquisition also adds considerable strength to our overall online offering, which can be viewed on PCs as well as portable video players (PVPs). Our ZVUE(TM) users, as well as users of other PVPs, will especially enjoy sharing Dorks.com videos with their friends on their ZVUEs or other PVPs.

"We are very excited about the prospect of cross selling our large and growing library of commercial content into Dorks' large and growing user base. Doing so effectively should increase both our revenue and our traffic. Few if any companies provide both user generated and commercial content."

Launched in November 2005, Dorks.com generates more than 110,000 unique page views each day and attracted more than 850,000 unique visitors in October, with a high of 1 million unique visitors in May 2006. Individuals from all over the world have submitted videos to Dorks.com via the submit page at http://www.dorks.com/templates/view.php?go=submit in an attempt to win a monthly cash prize for the top video of the month.

Some of the most popular videos on Dorks.com include

The cutest kitten falling asleep at http://dorks.com/html/Cutest-Kitten-Falling-Asleep.html;
The eBay song at http://dorks.com/html/Ebay-Song.html;
Little Superstar is Back (of Kollywood fame) at http://dorks.com/html/Little-Superstar-is-Back.html,
McDonald's Order Song at http://www.dorks.com/html/McDonalds-Order-Song.html, and
Special Mother's Day (from Barats & Bereta) at http://dorks.com/html/Special-Mothers-Day.html, among others.
"I started Dorks.com because I couldn't find what I was looking for on the 'Net - crazy, fun, videos that made me laugh, without all the violence of other sites," said John Kowal, King Dork of Dorks.com. "And apparently I wasn't alone in that desire. Becoming a part of HandHeld Entertainment makes sense for Dorks.com and any Webmaster. It opens a whole new segment of portable video players to our audiences as well as allows us, as single Webmasters, the resources that HandHeld Entertainment can provide, including access to a huge library of commercial titles, an incredible management team, an amazingly talented staff, and even a water cooler which is more than I have now."

"Sometimes you want to be able to use your PVP to share great humor with your friends. Now, you can pull out your PVP and say to your friends, 'Hey, watch this,' as you show them 'Special Mothers Day' or the latest SONY/BMG music video," Oscodar said. "We believe that you should be able to watch such videos on any PVP, not just our ZVUE brand player. And we think that by adding Dorks.com to our roster we'll be able to attract more attention from PVP owners around the world, drive more traffic to ZVUE.com and Dorks.com and also increase sales of ZVUE players as well."

Absolutely bonkers  :o :o :o :o ::) ::) ::) ::)

Now I feel a fool for only riding it for a 15% gain in the middle!!!  That end of day rally is just insane and I have absolutely no idea where this will go, but it certainly made some people's year today!!!  I guess christmass just came early  :D

Just take a look at the intraday chart - a spectacle of insane bullishness.  As for tomorrow, who nows it could be at $9!!!!  (seriously though, I think this will be a VERY dangerous stock tomorrow...)

Absolutely nutty. :o :o

ZVUE showed up on my screener yesterday before the close...as do many stocks.  This morning it showed up again before the open.  That's when I jumped in at 2.15.  I actually had another order to buy at 2.08 on a pullback that never got filled.

I've found many runners this way by watching after/before hours.  Obviously ZVUE outperformed my expectations... >:D

ZVUE should have more good days ahead.

The fib retracements are 50% at $4 and 61.8% at $3.29.

Interesting the inflection point from yesterday is around $4.  I'll look for a possibility at $4 if ZVUE bounces of that level.

FYI - ZVUE plunged 20% to $4.88 per share after announcement that additional 3.2 million shares would become free trading, adding total floating shares to 6.3 million.

So are you still thinking $4 as an entry?

Awesome trade kslifka :o  (applaud)

This stock wasn't on my database :-[. I need to sistematically introduce new IPO's on the database, or else I'll lose all these opportunities.

Let me check some things on ZVUE:

1) "As of November 14, 2006, 11,424,247 shares of Issuer's common stock, with
$0.0001 par value per share, were outstanding." So, market cap is $55.75 M (this is why it was able to run so much, very small cap)
2) These two press releases made it fly so high:

- HandHeld Entertainment Acquires Dorks.com, a Fast-Growing Web Site Full of Hilarious Videos Attracting Up To 1 Million Unique Visitors per Month
Business Wire (Tue, Nov 14) (http://biz.yahoo.com/bw/061114/20061114006232.html?.v=1)

- HandHeld Entertainment Sees Cash Flow Positive Results in 2007, Makes First Acquisition
Business Wire (Wed, Nov 15) (http://biz.yahoo.com/bw/061115/20061115005986.html?.v=1)

3) Yesterday it came down some, possibly due to this: Handheld Entertainment Ups Public Float
AP (Thu 8:59am) (http://biz.yahoo.com/ap/061116/handheld_entertainment_pipe_shares.html?.v=1)

«The release of this provision will allow the 3.2 million shares registered under the prospectus to become free trading and increases the public float of the company's common stock to about 6.3 million shares.»

It doesn't make sense to go down just because of this, because this isn't dilution in any way. Those shares were already issued and outstanding, they just couldn't be sold for 180 days after the IPO, and now they can. It doesn't have any effect on the company's value, so it shouldn't have on the stock price either. But people can perceive this change as a sign that initial investors want to cash in at current prices. And this may very well be true ...

Now, ZVUE is very hard to value ... it's such a new company. There's big opportunity and big risk here. I need to study it some more, any input would be very welcome !
Title: Re: ZVUE
Post by: David Randolph on November 17, 2006, 05:26:07 AM
I guess that since Google bought YouTube for $1.65 B and YouTube had 100 million unique visitors per month, dorks.com would be worth 1/100 of that since it has 1 million unique visitors per month. This would be $16.5 M (ZVUE bought it for $1.5 M).

But I don't know, www.dorks.com perhaps is more for young kids, so its advertising potential would be worth less ... what do you think?

Anyway, say it's worth $10 M.

And what about this ZVUE players (http://www.zvue.com/players/players_home.php)?

«The fact that HandHeld Entertainment's new value-priced $99 ZVUE(TM) 250 PVP begins shipping next week into approximately 2,000 Wal-Mart stores nationwide, replacing the ZVUE 200;»

«The launch of the $69 ZVUE ZP3(TM) MP3 player pre-loaded with 30 of the top songs of 2006 and with a firm initial order for 36,000 units being delivered into retail stores this November;»   36,000*$69 = $2.48 M.

The company is entering a space of huge potential ... I just wonder if they will stick to this:

«With the steps we have taken and that we outlined yesterday afternoon, we plan to achieve cash flow positive results in 2007 without raising additional capital»

They have $2.93 M in working capital, but it looks like they just spent $1.5 M buying www.dorks.com (damn it, I should also do a website with videos and stuff  >:D).

Market cap $55 M ... arrghh, I really don't know, it depends on how they will manage this Dorks site and how sales from their ZVUE will do this Christmas season ... there's room for this to double, triple or quadruple from current values, but it may also fall 50% (I would surely buy it at $2.44, or $27.5 M market cap).

Intense speculation will drive the stock over the short term, I don't think this will just lay down and die ... the theme is too hot !

Good luck  :)

A word of caution from their latest 10-Q:

«We believe that based on our current cash position, our borrowing capacity, and our assessment of how potential equity investors will view us, we will be able to continue operations at least through June 2007. The forecast that our financial resources will last through that period is a forward-looking statement that involves significant risks and uncertainties. It is reasonably possible that we will not be able to obtain sufficient financing to continue operations. Furthermore, any additional equity or convertible debt financing will be dilutive to existing shareholders and may involve preferential rights over common shareholders.»

I guess they were not telling the truth on the press release, when they said «without raising additional capital».

ZVUE says this on Wednesday: :)

HandHeld Entertainment Sees Cash Flow Positive Results in 2007, Makes First Acquisition
Wednesday November 15, 3:01 pm ET
HandHeld Entertainment Execs Project Cash Flow Positive Results in 2007 without the Need to Raise Additional Capital as They Highlight Recent Steps Taken by the Portable Video Player Industry Pioneer Designed to Achieve Success with Its "Complete Portable Video Ecosystem" and Acquires Popular User Generated Video Site

and then this on Thursday >:(

PIPE investors desiring to sell under the effective registration statement must deliver a current prospectus which is available for download as Form 424B3 filed on August 30, 2006 (File No. 333-133215) from the SEC's Web site (www.sec.gov). The release of this provision will allow the 3,238,558 shares registered under the prospectus to become free trading and increases the public float of the company's common stock to approximately 6.3 million shares.
Title: Re: ZVUE

Now I'm pretty convinced the recent press releases are just a way to get some working capital by issuing and selling shares in the open market.

Yesterday $ volume was about $78 M, nice market to get 20 or $30 M for working capital purposes  >:D

Ramsburg tells me there are thousands of websites like www.dorks.com (although this is a funny one) ...

I guess in 6 months from now ZVUE will be trading back at $1, but with a market cap 3 or 4 times larger than the last time it was there.

Good luck for day traders, though.
Title: Re: ZVUE
Post by: Ramsburg on November 17, 2006, 10:22:14 AM

David talked with me about ZVUE earlier this morning, so I'll try to add some more inputs on this thread:

About ZVUE players, from my perspective:

- One thing I enjoyed was that they have DivX certification, so they are way more compatible then for example the iPod:
http://www.hheld.com/news/20040303.html
They are also compatible with Xvid, ASF, WMV, etc... so they lieteraly play anything.
- The data storage was in the other hand, too low... I mean 4GB, is something that is not acceptable in these days... My own cell phone has a 2GB memory card, so I was expecting something like the iPod 30GB disk storage or something.
- The design is cool, very cool... but you can't compete with iPod on this ;)
- The price is relatively cheap, but not too cheap... this is a nice product for sure, but its still not «bombastic»... They should sell  lot.... But I'm not expecting some phenomenon here...

As a consumer, I'm still waiting for iPod to be DivX certified, and then I'll buy one... ZVUE won't be on my shopping list this Christmas.
ZVUE is a innovative product, but I expect some of the major products like iPod and Zune (Microsoft), to quickly integrate more compatibility on their players, by the way, take a look at the new Microsoft Zune:
http://www.zune.net/en-US/meetzune/device.htm

About Dorks.com, and the comparison with Youtube:

http://www.dorks.com/ is a nice website, with a good community, etc... but I don't think we should do the Math comparison with youtube.com... I mean, youtube has 100M users, and Dorks has 1M, but we should not consider that Dorks was a cheap purchase for 1.5M$, just because according to the Youtube value it should be valued in 15M$...

Youtube was bought by Google for 1.65B$, not because it had 100M users, but mainly because Youtube literally means Video in the internet.... And it would provide Google to easily dominate the video scene on the internet. 1.65B$ is the price to dominate video on the internet.... Not just the price of a given number of users...

There are probably thousands of websites like Dorks.com, if you do a quick search you can see that Dorks is not even on this first page:
http://www.google.pt/search?hl=pt-PT&lr=&q=related:www.youtube.com/

Personal opinion on ZVUE stock:

I would certainly have bought ZVUE a few days ago at $1.50 if I even knew this company existed ;) ... But now at $4 / $5 its completely out of my radar... even with all this speculation, and speculative potential, I'm not considering to buy this stock at this level.

Best regards,

The reason we got such a high volume (like LMRA) is because ZVUE is in a very hot sector - user generated videos.  ZVUE is a very nice speculative play that isn't highly overvalued.

What investors are excited about isn't really their low end portable video players.  It's not even www.dorks.com although it will play a significant part to start driving traffic to www.zvue.com .  The excitement is what people will be able to do once they get to www.zvue.com .  They will be able to download videos at a price to ANY portable video player they wish.  Soon, they will also be able to download videos from www.dorks.com to their portable video player.  But more significant than any of the above mentioned is that by the end of 2006, visitors will be able to upload videos to the FREE STUFF section of www.zvue.com , which anyone can download to their portable video player!  There are very few sites where you can download user-generated videos to your video player.  You can't even do that with Youtube.

What www.zvue.com is trying to do is to put everything in one site:  allowing upload/download free videos to your portable video player (any video player including ipod), allowing download paid videos to your portable video player (any video player), selling ZVUE portable players, monetize the site with ads, monetize the www.dorks.com site with ads, drive traffic from dorks.com to zvue.com .

When web 2.0 stocks start to rally hard in the next few years, ZVUE will no doubt rally with them.

Actually... some of the best «fundamental opportunities» can be found in stocks bellow $10, long before institutionals put them on the radar, and long before you have the desired good numbers.

I'm not sure if Fundamentals are David's cup of tea LOL I'm not even sure if David likes tea...

Ok... now we got something... finally a nice input to this thread !

I really enjoy these new developments on the Online Video scene, this on demand streaming directly to our video devices is something great, but ZVUE is not breaching into new territory here, and ZVUE is not alone on this... I own a KISS DP-600 wireless DVD Player, and there is already a new firmware almost done and published (ezlink), that will enable direct streaming of google videos on the DVD set, this is just an example, I'm not sure how the «scene» will be in a couple of months / years, but to be honest with you, ZVUE is not on my radar concerning this developments (as a consumer).

ZVUE has a low market cap, and it could be on fire for a while, from a technical approach I can't say much yet...

Ramsburg,

you kinda missed the point of the whole thing.  I don't think it is likely you will lug around your KISS dvd player with you even if you could download video clips to it.

The point is portability.  The downloading of videos so  you can take it with you CONVENIENTLY is what will make portable video players like the Ipod and Zune sell like hot cakes.

Title: Re: ZVUE
Post by: traderdog on November 22, 2006, 03:08:27 PM
The reason i am so positive about ZVUE is several fold:

1) cheap stock
2) low float
3) owner is Carl Page, brother of Larry Page (co-founder of Google)
4) It's one of the very few plays on the Youtube phenomenon, besides NWS, DIVX and GOOG.
5) very few sites allow you to download videos to your portable video player!

I have no doubt ZVUE will surpass $10.  No doubts at all.

ZVUE is a truly amazing play of the Youtube phenomenon!  You can't even download Youtube videos to your portable video player like ipod of Zvue or Zune.   What a shame!  But guess what?  At www.zvue.com you will be able to download videos to your portable device!!!!!!!!!  And that's hot!!!!

ZVUE has $20 written all over it!!!!!   If you liked my EFUT pick at $11-$12, you will definately like ZVUE.  I have more confidence in ZVUE's future potential than i had with EFUT!!!!  And that says alot!!!

Don't mean to be screamin' like a hungry hyena, but i believe the ZVUE potential is immense.
Title: Re: ZVUE
Post by: traderdog on November 24, 2006, 10:11:18 AM
oh my!

I know alot of sites that have user-generated videos for you to look at , but i know of only a few sites that allow you to download user-generated videos to your portable video player (ipod, zune, zvue) and that site is www.zvue.com .

There is a paradigm shift coming in the Youtube phenomenon and that is being able to take those videos with you whenever and wherever you want it. Do you even comprehend how profound this is?

I believe that ZVUE will eventually be worth more than what Google paid for Youtube ($1.6 billion). You might say i be crazy. You might say i be dreaming. You might even say i'm just a really bad pumper. That's ok by me. That's what they all said about EBAY, GOOG, and YHOO before they became the huge companies we know them today.

I could definately be wrong about ZVUE, but i am not wrong about the significance of being able to download user-generated videos to your portable video player. I want you to ask your wife, husband or your friends about this. I want you to ask them if they believe being able to download user-generated videos to any portable video player will be hot. I already know the answer. Do you?

I am now raising my intermediate term target to $20 .

Don't just pay any price for ZVUE. Buy the dips to support areas.

Traderdog-

Your comments are welcome here, but you are preaching to the choir.  Why not take your enthusiasm to other sites where they have not yet heard of the ZVUE miracle stock.
You, my Traderdog, could be responsible for many a Merry X-Mas if you do your job right!  Poor investors will finally make $ in the stock market and be able to buy their kids toys!

Actually, this is the gadget of the year!  Forget Wii, Forget Playstation!  I want to show all my friends the Youtube video of the cat chasing the toy helicopter and I don't want to e-mail it to them, I want to bring it to their house and show it to them in person on my 2" screen.
That makes more sense!

But one of my theories of current culture is - the more it annoys me, the more people are likely to buy it.

Look at how AAPL has exploded with anticipation of their new i-phone & their box that allows you to download videos to your TV.

ZVUE is no AAPL, but I'm sure there is some kind of weird parallel there.

Regardless, I hope you are right with 20.

Funeral for a ZVUE handheld:

From Cramer:

Another "bogus perception" going around is that Verizon Communications (VZ) doesn't know what it's doing, Jim said. While market players think it's spending too much money supporting its wireless business and is moving too slowly, he said he does not believe this is true. Jim thinks that VZ is a very low-risk play on a good story. First, its new mobile deal with YouTube will allow kids to send YouTube videos to each other immediately and should be popular. Second, it has a great ringtone downloading business and a "terrific" dividend, he said. Jim thinks that VZ is a good buy here and could be a win for investors in multiple ways.

If you can download your videos on your vz phone, why do you need to buy a ZVUE handheld?

Great...I just bought a little ZVUE today...and now Cramer bashes it. :-\

I have no need for a ZVUE player...and I actually think it's kinda ridiculous to pay $94 for one...but I thought that about the I-pod from Apple 2 years ago.

Anyway I searched Wal-Mart online to see that the ZVUE player is OUT OF STOCK. Maybe they are selling???

HandHeld Entertainment Increases Position in the User-Generated Humorous Videos Marketplace by Acquiring FunMansion.com for $1.1 Million
Friday December 1, 5:57 am ET
FunMansion.com adds approximately 1.5 million monthly unique visitors/potential customers to HandHeld Entertainment's growing network of Web sites; combined monthly traffic of FunMansion.com, Dorks.com and ZVUE.com now provide a growing collection of user-generated comedy videos (along with commercially produced music videos, television programming and feature length movies) to potentially 2.5 million unique visitors per month

SAN FRANCISCO & PORT ST. LUCIE, Fla.--(BUSINESS WIRE)--HandHeld Entertainment(TM) (Nasdaq:ZVUE - News; Nasdaq:ZVUEW - News) today announced it has acquired FunMansion.com(TM) for $1.1 million ($350,000 in cash at closing, $150,000 in cash payable over 12 months and a five-year $600,000 note convertible into common stock).

FunMansion.com has averaged approximately 1.5 million unique visitors per month and more than 3.5 million page views per month during the past two months.

"In a little more than two weeks, we have begun assembling a significant collection of user-generated video content by acquiring Dorks.com(TM) and FunMansion.com," said Jeff Oscodar, president and chief executive officer of HandHeld Entertainment. "The FunMansion.com acquisition takes us to potentially 2.5 million unique visitors per month, with a combined total of more than 5.4 million page views per month, all tied to the comedy/extreme marketplace. We believe that these funny user-generated and user-submitted videos, photos, jokes and more tend to attract demographics that will be attractive to advertisers and sponsors. We also believe that the combination of ZVUE.com's commercial content, coupled with our rapidly growing library of user generated content from Dorks.com, FunMansion.com and ZVUE.com's own FREE Stuff! site, will be a powerful combination for our company."

HandHeld Entertainment's user-generated Web properties -- Dorks.com, FunMansion.com and FREE Stuff! -- now attract nearly 2.5 million unique visitors each month, particularly in the comedy/extreme space. In addition, HandHeld Entertainment announced earlier in November a content agreement with Comedy Time Network to make hundreds of hours of stand-up comedy routines and sketches available for purchase at ZVUE.com. Taken in combination, these two acquisitions and the Comedy Time agreement have helped transform HandHeld Entertainment into a leading provider of comedic/humorous videos for both portable video players and PCs.

Representative of the humorous user-generated and user-submitted videos posted recently on FunMansion.com are the following:

Nutty Paintball Prank at http://funmansion.com/html/Nutty-Paintball-Prank.html;
Finger Scratching DJ at http://funmansion.com/html/Finger-Scratching-DJ.html;
Idiots Playing with Fire at http://funmansion.com/html/Idiots-Playing-With-Fire.html; and
Female Reporter Loses Her Cool at http://funmansion.com/html/Female-Reporter-Loses-Her-Cool.html
"FunMansion.com has been around for more than five years, and we've seen a strong increase in visitors and page views during the past 18 months," said Mary Dunne, founder and owner of FunMansion.com. "I'm really excited to be joining the ZVUE.com network of Web sites. Now I can continue to build the site that I love and can do so with greater resources and scale. Those resources should accelerate FunMansion's growth and bring FunMansion's user-generated videos to a larger audience."

HandHeld Entertainment also has more than 4,400 videos available for purchase on ZVUE.com today out of more than 11,000 video selections it has under contract. These selections include music videos, anime features, television shows, movies, cartoons, independent films, documentaries, news, entertainment and sports programs from companies ranging from Sony BMG to IMG Media and from Canadian Broadcast Corp. to Fun Little Movies.

Launched in February 2001, FunMansion.com hosts free user-generated videos, photo slideshows and Flash-based games and movies.

Cramer mentioned the deal between GOOG and Vz.

But I see what ZVUE is trying to do.  By buying their own sites, they will be able to enable their handheld to download their own videos.  The person would be able to search what he wants and download it.  Brilliant.  A different take from what VZ will do with YOUTUBE.

And scoop up some RNIN.  They make video signage.

I would tend to disagree. If you look at the warrants (ZVUEW), the price has gone down only marginally over the last few dog days, while the stock has tanked. it looks like ZVUEW might me a much more stable and profitable investment than ZVUE in the long run though.

Maybe they're selling shares, since they're losing $3.4 M a quarter and only sold $123,000 in Q3.

The share count was 11,424,247 on November 14, 2006, but I bet it's some millions more after the run up that started November 15. It can be double those 11 million, so beware, you may be buying a $100 M plus market cap company with no relevant sales and huge losses.

Good luck, though :)

ZVUE Announces Share Buyback Program.......

Monday's action was predictably slow with many waiting on the Fed's
announcement on Tuesday. Over the weekend ex Fed chairman, Alan
Greenspan, gave his thoughts on the economy which were pretty
gloomy. Inflation and some fallout from subprime were his reasoning
for the bleak outlook.
In the small cap space, news was a bit slow with only a few names reporting anything
of substance. One name's lack of reporting news caused shares to fall some 22.5%. iRobot Corporation
(IRBT) was expecting a Department of Defense contract to be announced on Monday. Instead, it was announced
that Robotic FX received the contract.
iRobot is a provider of robots that perform dull, dirty or dangerous missions in a better way. The company's
proprietary technology, iRobot AWARE Robot Intelligence Systems, incorporates advanced concepts in
navigation, mobility, manipulation and artificial intelligence. This proprietary system enables iRobot to build
behavior-based robots, including its family of consumer and military robots.
Before the announcement, analysts reiterated their strong buys and overweight ratings last week even with
the litany of insiders that were selling shares. With the loss of the contract, analysts acknowledged the loss
as a big negative, but have yet to change their ratings. Shares could see increased selling pressure with
rating changes over the coming days even though some of the analysts feel that Robotic FX may not be
able to deliver on the contract in the time frame specified. In either event, the name should be one to watch
over the coming weeks.
Another company in the small cap space reported some positive news but it raised a few eyebrows. Handheld
Entertainment (ZVUE) is a global digital entertainment company offering products and services that
deliver fun, entertaining digital media for people on the go. Its ZVUE Network of Web sites (Putfile.com(TM),
Holylemon.com(TM), UnOriginal.co.uk(TM), YourDailyMedia.com(TM), Dorks.com(TM), FunMansion.
com(TM) and ZVUE.com(TM)) now houses more than 850,000 user-generated and commercial videos
available for purchase or free viewing, as well as millions of free user-submitted photos and other media,
and is expected to deliver nearly one billion page views/video streams in 2007. The Company also recently
purchased eBaum's World which is a fairly popular website. Its ZVUE(TM) personal media players are
mass-market priced and currently available for purchase online and in more than 2,200 Wal-Mart stores
throughout the U.S.
On Monday, the Company announced that its Board of Directors authorized the repurchase of up to 1 million
shares of HandHeld's common stock, or approximately 6% of shares currently outstanding, over the next six
months. The 6% is somewhat of a misleading number.
What was surprising was the amount of cash and cash equivalents the Company had on their balance sheet
as of their latest quarter. Cash and cash equivalents was $1.41 million while restricted cash was only $50
thousand for a total of $1.46 million total cash.
Between the end of the quarter on June 30th and Monday's announcement, the Company announced the
acquisition of eBaum's World for some $17.5 million of which $15 million was to be paid in cash.
To help finance the acquisition, HandHeld also entered into an agreement to sell $24.0 million of three-year,
7.5% convertible debentures with a fixed conversion price stock at $1.90 per share subject to adjustment. Of
the proceeds, $15.0 million was for the acquisition of eBaum's World and $9.0 million is for future mergers
and acquisitions, working capital and fees.
In July, the Company also announced the issuance of $1.425 million in unsecured notes, bringing their total
cash balance to around $11.89 million before their cost of operations over the past few months. To purchase
the shares, the Company would have to use some $1.7 to $2 million of the money they recently received
from their private placement to fund the buyback. Plus, the financing agreement is most likely contingent on
the acquisition closing, of which, has yet to happen.
In the world of finance, it's not looked upon very highly to sell shares and then turn around and use the
money to fund buybacks. The buyback, though, is only a program that the Company can choose to act upon.
They actually do not have to repurchase the shares. Either way, the Company does expect to be cash flow
positive by the end of the year and grow revenues by 100% for 2008. With such huge expectations, investors
would certainly be wise to watch.
