Post by: setravis on June 11, 2005, 10:02:57 AM
Positioning for a possible break of $5 bucks.
Looking at the 1 year chart it has been in this trading range
of $3 to $5 for the past 9 months or so.
Rising EMA's,analyst upgrade,good volume,up volume compared
to total volume indicates accumulation.

Increased performance levels of the clock management portfolio offer design flexibility for high-performance telecommunications, networking, high-end computing, and ATE applications

PHOENIX--(BUSINESS WIRE)--May 19, 2006--Further expanding its high-performance ECLinPS MAX(TM) family of clock and data management solutions, ON Semiconductor (Nasdaq: ONNN - News) today introduced the NB6L11S and NB6N14S -- two highly accurate, fully differential interface ICs. The devices are designed for precise clock management of telecommunications, networking, high-end computing, and automated test equipment (ATE) applications.

Both devices combine ON Semiconductor's cutting-edge bipolar capability with an LVDS-compatible output structure, enabling them to interface directly with LVDS devices without sacrificing performance. In addition, both devices utilize the ON Semiconductor's AnyLevel(TM) input structure, which provides seamless interfacing with LVPECL, CML, LVCMOS, LVTTL, or LVDS signals and offers true design flexibility.

The NB6L11S is a differential 1:2 Clock or Data translator and distribution device, with a maximum input clock frequency of greater than 2.0 gigahertz (GHz), and jitter of 500 femtoseconds (fs) typical. The device operates at Vcc of 2.5 volts (V), and is packaged in a Pb-free QFN-16. The NB6L11SMNR2G is priced at $3.50 per unit in 3,000-piece quantities.

AP
On Semi 3Q Profit Up More Than Threefold
Thursday October 26, 5:45 pm ET
On Semiconductor Third Quarter Results Are Impressive, but Next Quarter Looks Weaker

PHOENIX (AP) -- On Semiconductor Corp. said Thursday third-quarter profit increased more than threefold from last year, but warned fourth-quarter sales would not meet analysts' expectations.
Income for the quarter was $76.8 million, or 23 cents per share, versus $23.5 million, or 6 cents per share, last year.

Revenue for the quarter was $420.9 million, up 34 percent from $313.6 million in sales last year.

Analysts polled by Thomson Financial expected the company to post earnings, on average, of 20 cents per share on $409.6 million in sales.

Revenue during the quarter included about $372.2 million of product sales and around $48.7 million of manufacturing services revenue.

Looking forward, the company projected fourth-quarter sales of $390 million to $400 million, falling short of analysts' current fourth-quarter expectation for $409.6 million in sales.

"Backlog levels at the beginning of the fourth quarter were down from backlog levels at the beginning of the third quarter of 2006, and represented over 90 percent of our anticipated fourth quarter 2006 revenues," said Keith Jackson, ON Semiconductor president and chief executive.

Shares of On Semiconductor rose 16 cents, or 2.6 percent, to $6.40 in after-hours trading.

On Semiconductor seeks bank amendment; to buy back shares

Nov 29 (Reuters) - On Semiconductor Corp. (ONNN.O: Quote, Profile, Research) on Wednesday said it was seeking an amendment of its senior secured credit facility to increase its financial flexibility.

The maker of power-management microchips in a statement said the amendement would enable it to replace a portion of its bank debt and allow the expenditure of up to $300 million to buyback shares.

The company also said its board authorized the repurchase up to 50 million common shares. (Reporting by Deepti Chaudhary in Bangalore)

It looks to me like ONNN just broke out of a nearly 3 year long symmetrical triangle, and on excellent volume.  PE of only about 13..

Also, it looks like this is a t3ml candidate, as has been discussed on that thread.
Title: Re: ONNN...Sector: Technology...Industry: Semiconductors
Post by: bjc on December 10, 2006, 10:50:17 PM
Additionally, a nine month long symmetrical triangle with multiple touches on each bound.  Decent volume confirmed this breakout, and VERY high volume confirmed the breakout of the 3 year sym triangle

The fundamentals here are outstanding.  My only worry is that the excellent earnings are already priced in, and the market sees the inevitable downturn in the very cyclical semiconductor industry.  I read an article that reports 9% growth for the next 3 years, though.

The PE is currently 12.5, and will likely decrease to about 10 when the next earnings are released (if the outlook given in the 3rd Q 10Q is fairly accurate.)

Between the fundamentals and the beautiful technical breakout, I think I'm forced to buy soon.  Might wait for a pullback, might not.

Huge volume again today, like 30 million plus shares in the first 10 minutes.  It might be a big private equity group selling that has over 35% of the float.

Anyhow, I couldn't resist and bought at 7.54.  It looks like there may be a tug of war at 7.50.  But I only see this enormous volume as confirming the breakout.

ON Semiconductor Prices $440 Million 2.625% Convertible Senior Subordinated Notes
Tuesday December 12, 8:45 am ET

PHOENIX--(BUSINESS WIRE)--ON Semiconductor Corporation (Nasdaq:ONNN - News) today announced that it has priced $440 million aggregate principal amount (increased from $400 million previously announced) of 2.625% convertible senior subordinated notes due December 15, 2026. The notes will rank pari passu in right of payment with ON Semiconductor's existing and future senior subordinated indebtedness and will be subordinated in right of payment to ON Semiconductor's existing and future senior indebtedness. The sale of the notes is expected to close on December 15, 2006, subject to customary closing conditions. In connection with the offering, the company has granted the initial purchasers an option to purchase up to an additional $44 million aggregate principal amount of the notes to cover overallotments (decreased from $60 million previously announced).

Assuming the initial purchaser's overallotment option is exercised in full, ON Semiconductor intends to use the net proceeds of the offering to repay approximately $199.1 million of amounts outstanding under the term loan portion of its senior secured credit facility. After this repayment, approximately $200 million of its senior secured credit facility will remain. In addition, the company repurchased, concurrently with the pricing of the notes, $230 million worth of its common stock in privately-negotiated transactions (or approximately 30.7 million shares). All of the repurchases of shares of common stock by the company are conditioned upon the closing of the offering of the notes. Any net proceeds not used to repay the senior secured credit facility or for share repurchases will be used for general corporate purposes.

The notes will be convertible beginning on June 15, 2013, or earlier upon the occurrence of certain events, at an initial conversion rate of 95.2381 shares per $1,000 principal amount of notes (equivalent to an initial conversion price of approximately $10.50 per share of common stock), subject to adjustment. The initial conversion price represents a premium of approximately 40% based upon the closing price of ON Semiconductor's common stock on the Nasdaq Global Select Market on December 11, 2006 of $7.50. The notes will provide for "net share settlement" of any conversions, meaning that upon any conversion ON Semiconductor will pay the noteholder an amount in cash equal to the lesser of the conversion value or the par value of the notes and will settle any excess of the conversion value above the notes' par value in cash or common stock, at ON Semiconductor's election.

ON Semiconductor will have the right to redeem some or all of the notes on or after December 20, 2013. Holders of the notes will have the option to require ON Semiconductor to repurchase the notes on December 15 of 2013, 2016, 2021. Upon the occurrence of certain corporate events, each holder may require us to purchase all or a portion of such holder's notes. In each case, the redemption or repurchase price would be 100% of the principal amount of the notes, plus accrued and unpaid interest to, but excluding, the redemption or repurchase date, as applicable.

This announcement is neither an offer to sell nor a solicitation of an offer to buy securities. Any offers of the securities will be made only by means of a private offering memorandum. The notes and the common stock issuable upon the conversion of the notes will be offered in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"). The notes and the common stock issuable upon conversion of the notes have not been registered under the Securities Act and may not be offered or sold in the United States without registration under the Securities Act and may not be offered or sold in the United States without the registration or an applicable exemption from registration requirements.

On Semiconductor Shoots Higher  ;D :D ;)
Shares of On Semiconductor, surged on Thursday, after the chipmaker surpassed Wall Street expectations by quadrupling its fourth-quarter profit.
The Phoenix-based company said it earned $87.4 million in net income, or 27 cents a share, for the three months ended Dec. 31, compared with $21.2 million net income, or 8 cents, a year ago.

The profit included a benefit of $10.2 million, or 3 cents a share, from favorable insurance settlements and gains on idle real property sales.

Analysts polled by Thomson Financial were looking for EPS of 17 cents.

On Semi's stock was up 11.6%, or 97 cents, to $9.33 in midday trading, with shares trading hands at more than three times the average volume.

The company's fourth-quarter sales of $401.6 million were slightly above analysts expectations.

But On Semi's guidance for the current quarter was a little less than the analysts' consensus estimate. The company projected that first-quarter revenue will range between $368 million and $378 million. The Street was looking for $383.1 million.

"While our underlying business activity remains relatively flat in the first quarter of 2007 compared to the fourth quarter of 2006, we have 4 less days during the first quarter as compared to the fourth quarter, which is the primary reason for our expected revenue decline," said CEO Keith Jackson in a statement.

Bouncing from a 32.8% Fibonacci Retracement.

ON Semiconductor Expands Its Power Computing Product Offering with New Dual-Edge Multi-Phase Controllers
Tuesday April 3, 6:26 pm ET
The New Controllers Greatly Improve the Power Efficiency of Servers and Desktop Computers

PHOENIX--(BUSINESS WIRE)--ON Semiconductor (Nasdaq: ONNN - News), a global supplier of efficient power management solutions, has expanded its power computing portfolio with the introduction of two new dual-edge multi-phase controllers. The NCP5387 and NCP5382 multi-phase buck controllers address power needs for servers and for VR10.x, VR11.0 and Parallel VID based desktop personal computers. These devices join the NCP5391 and NCP5385 dual-edge control solutions the company introduced within the last year to enable more efficient and more compact Vcore power solutions to support VR10.x/VR11 desktop computers applications.

"We are pleased to expand our innovative dual-edge technology - and the corresponding efficiency and board space benefits - to additional sectors of the computing market," said Bill Schromm, senior vice president and general manager of ON Semiconductor's Computing Products Group. "Our dual-edge control technology is changing the way the industry approaches computing power supply design. The fact that our controllers improve power efficiency by up to three percent is a significant advancement that has been welcomed by our customers."

Utilizing the company's dual-edge Pulse Width Modulation (PWM) technology, the new devices deliver significantly faster response to load transients than existing industry solutions. As such, they enable power management subsystems to more quickly and more efficiently respond to users' activation of high-performance computing functions. Industry standard single-edge and clocked control devices in place today require operation at higher-than-optimal frequencies or use of substantial capacitive hold-up circuits. ON Semiconductor's dual-edge approach is less complicated to design-in, and enables a physically smaller power management subsystem than single-edge or clocked control devices can provide. By enabling simultaneous switching of all phases in a multiphase power waveform, ON Semiconductor's dual-edge PWM controllers also provide faster responses than single-edge or clocked control devices. This improved response enables the power management subsystem to operate at a lower frequency, with fewer hold-up capacitors than existing leading-edge or trailing-edge approaches.

The Devices

The new NCP5387 and NCP5382 are multi-phase buck controllers that combine differential voltage and current sensing, and adaptive voltage positioning. Dual-edge pulse width modulation, combined with inductor current sensing, reduces system cost by providing the fastest initial response to transient load events. Dual-edge multi-phase modulation reduces total bulk and ceramic output capacitance required to satisfy transient load line regulation. A high performance operational error amplifier is provided, which allows easy compensation of the system. The proprietary method of Dynamic Reference Injection makes the error amplifier compensation virtually independent of the system response to VID changes, eliminating tradeoffs between overshoot and dynamic VID performance

The NCP5387 is a two, three, or four phase controller, suitable for VR10.x, VR11.0, and Parallel VID desktop computing systems. The NCP5387 is available in a Pb-free QFN-40 package, and priced at $1.27 per unit in 2,500 unit quantities.

The NCP5382 is a four, five, or six phase controller, suitable for servers and other low-voltage, high-current power supplies. The NCP5382 is available in a Pb-free QFN-48 package, and priced at $1.75 per unit in 2,500-unit quantities.

Chips Snap: Intel Boosts Semi Stocks
Wednesday April 18, 11:58 am ET
Intel 1Q Results Hint at Healthy PC Market; Semiconductor Stocks Trade Up

NEW YORK (AP) -- Chip maker Intel Corp. set an upbeat tone for trading in the semiconductor sector on Wednesday, after the company posted increased first-quarter earnings, and indicated the personal computer market is showing signs of health.

Intel said Tuesday its first-quarter profit climbed 19 percent to $1.61 billion, or 27 cents per share, from $1.36 billion, or 23 cents per share, in the same quarter last year. Analysts, on average, expected income of 22 cents per share, according to a Thomson Financial poll.

Shares of Intel rose 34 cents to $21.32 in morning trading on the Nasdaq Stock Market.

The company's results were expected to help buoy shares of International Rectifier Corp., Intersil Corp., Maxim Integrated Products Inc., Monolithic Power Systems Inc., O2Micro International Ltd., and ON Semiconductor Corp., according to Piper Jaffray analyst Tore Svanberg.

"In our view, Intel's in-line March quarter results indicates a healthy PC market with a trend toward lower cost, higher value systems such as non-brand name desktop and servers provide," Svanberg wrote in a note to investors.

Shares of Intersil rose 62 cents to $28.09; Maxim shares rose $2.20, or 7.6 percent, to $31.30; Monolithic Power Systems shares fell a penny to $12.99; O2 shares advanced 5 cents to $10.09; and ON Semiconductor shares rose 43 cents, or 4.4 percent, to $10.16. All trade on the Nasdaq.

On the New York Stock Exchange, shares of International Rectifier rose 53 cents to $36.51.

Svanberg suggested slower-than-expected sales to original equipment manufacturers could be a negative for Volterra Semiconductor Corp., since it derives much of its revenue from OEMs.

Shares of Volterra rose 6 cents to $14.95 on the Nasdaq.

Elsewhere in the sector, Linear Technology Corp.'s $3 billion stock buyback announced Tuesday led at least one analyst to speculate that other makers of mixed-signal analog processors could announce similar plans.

"We applaud (Linear) management for their decision to leverage its strong cash flow and balances sheet to improve earnings per share," wrote Lehman Brothers analyst Romit Shah. "We believe that other mixed-signal analog companies, such as Analog Devices Inc., Intersil, Maxim and National Semiconductor Corp., could follow in a similar fashion."

Shares of Linear Technology rose $4.06, or 12.6 percent, to $36.18 on the Nasdaq. Analog Devices shares rose $1.82, or 5 percent, to $38.05; and National Semiconductor shares rose $1.62, or 6.7 percent, to $25.72 on the New York Stock Exchange.

Chip Sector Concerns are Overrated.......

CONCERNS ABOUT the personal-computer semiconductor sector are overblown.

In addition to general concerns over U.S. retail demand, the bear case on PC semiconductor stocks heading into third quarter earnings has centered on two main issues. First are the concerns about over-ordering stemming from a higher-than-normal delta [the ratio comparing the change in the price of the underlying asset to the corresponding change in the price of a derivative] between microprocessor (CPU) and PC unit shipment growth in the second quarter. Second are the weaker-than-seasonal fourth quarter unit forecasts from notebook original design manufactures (ODMs) ...

June quarter results slightly exceeded consensus estimates. Next quarter's revenue guidance is for 3-6% growth. Backlog represents over 90% of next quarter's revenue projection. The company has also begun to get significant revenue from its recent major purchase of LSI Logic's Gresham, Oregon wafer facility, which has the potential to be a solid revenue driver. Despite reports of muted success from Microsoft (MSFT) Vista, we feel the stock is under valued at these levels, and recommend Investors buy the shares.

-- Cash and cash equivalents up over $71 million to $327.1 million

PHOENIX--(BUSINESS WIRE)--ON Semiconductor Corporation (NASDAQ: ONNN - News) today announced that total revenues in the third quarter of 2007 were $402.9 million, an increase of approximately 6 percent from the second quarter of 2007. Total revenues during the third quarter included approximately $381.1 million of product revenues and approximately $21.8 million of manufacturing services revenues. During the third quarter of 2007, the company reported net income of $63.8 million, or $0.20 per share on a fully diluted basis. Third quarter 2007 results include approximately $4.1 million associated with stock-based compensation expense and approximately $2.0 million, or $0.01 per fully diluted share, associated with restructuring, asset impairments and other. On a mix-adjusted basis, average selling prices in the third quarter of 2007 were down approximately two to three percent from the second quarter of 2007. The company's total gross margin in the third quarter was 38.6 percent, an increase of approximately 30 basis points as compared to the second quarter of 2007, primarily due to higher revenue which was partially offset by a $5 million reduction of internal inventories.

EBITDA for the third quarter of 2007 was $95.5 million and included approximately $2.0 million associated with restructuring, asset impairments and other. EBITDA for the second quarter of 2007 was $93.9 million. A reconciliation of this non-GAAP financial measure to the company's net income and net cash provided by operating activities prepared in accordance with U.S. GAAP is set forth in the attached schedule.

"During the third quarter of 2007 we grew our cash and cash equivalents position by a record $71.3 million to a balance of $327.1 million," said Keith Jackson, ON Semiconductor president and CEO. "We will continue to review utilizing our cash position for potential shareholder friendly actions such as debt repurchases, common stock repurchases and strategic acquisitions. On the business front, product revenues grew by over 7 percent sequentially driven primarily by our Consumer Electronics and Computing end-markets. As we enter the fourth quarter of 2007, we remain cautiously optimistic about the overall consumer demand environment for the upcoming holiday season."

FOURTH QUARTER 2007 OUTLOOK

"Based upon product booking trends, backlog levels, anticipated manufacturing services revenue and estimated turns levels, we anticipate that total revenues will be approximately flat to up 2 percent sequentially in the fourth quarter of 2007," Jackson said. "We also anticipate that approximately $22 million of our total revenues will come from manufacturing services revenue. Backlog levels at the beginning of the fourth quarter of 2007 were up from backlog levels at the beginning of the third quarter of 2007 and represent over 90 percent of our anticipated fourth quarter 2007 revenues. We expect that average selling prices for the fourth quarter of 2007 will be down approximately two percent sequentially. We expect our product gross margin and our total gross margin in the fourth quarter of 2007 to be approximately flat with the third quarter of 2007. We currently expect our stock-based compensation expense in accordance with FAS No. 123 (R) to be approximately $5 million in the fourth quarter of 2007."

PHOENIX (AP) -- ON Semiconductor Corp. said late Tuesday its first-quarter profit fell 61.5 percent on higher costs.
However, results beat Wall Street estimates, and shares rose $1.26, or 16.1 percent, to $9.07 in premarket trading Wednesday.

Net income fell to $20.8 million, or 7 cents per share, from $54 million, or 18 cents per share, in the 2007 first quarter.

Excluding one-time costs and gains, the company earned $65.4 million, or 21 cents per share.

Sector Snap: Semiconductors waver as ON soars on 2Q outlook
Wednesday May 7, 1:32 pm ET
Chip stocks waver as ON Semiconductor jumps on upbeat 2nd-quarter outlook

NEW YORK (AP) -- The chip sector wavered Wednesday, pulled between ON Semiconductor Corp.'s upbeat second-quarter outlook and a downturn in the wider technology market.
The chip sector, as measured by the Philadelphia Semiconductor Index, rose 1.29 point or 0.3 percent to 404.38 in midday trading before falling 0.78 points or 0.2 percent to 402.17.

ON shares soared $1.50, or 19.2 percent, to $9.30 in midday trading after it said it expects second-quarter sales of $545 million to $560 million. Its estimate is way ahead of Wall Street's forecast -- analysts polled by Thomson Financial expect sales of just $400.5 million.

ON also comfortably beat analysts' profit expectations for the first quarter.

Robert W. Baird & Co. analyst Tristan Gerra said the Phoenix-based company showed strong execution given the weak economy.

The first-quarter results and second-quarter outlook were particularly favorable in light of recently reported results from ON competitors, Gerra said.

The company's first-quarter acquisition of competitor AMIS Holdings Inc. will provide cost efficiencies, he added.

Network equipment maker Cisco Systems' third-quarter results brought encouraging news for its Mountain View, Calif.-based chip supplier Cavium Networks Inc., according to Oppenheimer & Co. analyst Allan Mishan.

Mishan noted that Cisco's U.S. demand remains sluggish, but its management did not report a slowdown elsewhere. Cavium has stronger Cisco revenue than other chip makers such as IDT and NetLogic, he said.

Cavium shares rose 32 cents to $20.33 in midday trading.

Deutsche Bank analyst Brian Modoff maintained his "Hold" rating on Greensboro, N.C.-based RFMicro Devices Inc. after the company announced it would exit the receiver chip business.

"While this could help margins, it also cuts growth," Modoff warned.

RF Micro Devices shares fell 7 cents, or 2 percent, to $3.38 in midday trading. They have traded in the past year between $2.52 and $7.46.

5 Top PowerRatings Stocks for Traders: OPTM, ONNN, WIRE, VIP, TTEK
Wednesday June 4, 12:36 pm ET
By David Penn

A pause in the selling early on Wednesday gives traders a chance to survey the terrain for strong stocks that have been made less expensive due to the markets' recent turn to the downside.
The five stocks in today's report have Short Term PowerRatings ranging from our highest rating of 10 to 8. Our research into short term stock price behavior from 1995 to 2007 indicates that stocks with Short Term PowerRatings of 8 have outperformed the average stock by a margin of more than 8 to 1 after five days. Those stocks with our highest Short Term PowerRating of 10 have performed even better, besting the average stock by a margin of nearly 17 to 1 over the same time period.
---------------------------------------------------------------------------------------------------------

On Semiconductor Corporation (NasdaqGS:ONNN) Short Term PowerRating 9. RSI(2): 10.17

For virtually all of April and the first half of May, shares of On Semiconductor featured low Short Term PowerRatings of 3 or less. These low ratings developed as the stock first moved higher to challenge the 200-day moving average, and continued as ONNN broke out above that level.

Since peaking out in the middle of May, ONNN has pulled back and begun moving sideways, which has helped the stock "climb down" from its extreme overbought levels of a few weeks ago.

Target $14. Stifel Nicolaus initiates ONNN with a Buy and price target of $14 and adding it to their Select List saying over the last few years, management has been working diligently to transform the company from its staid roots as the Standard Products Group of Motorola into a burgeoning diversified analog company. The firm believes the ongoing transformation of ONNN should result in both better financial performance and multiple expansion. They believe the key to the transformation process has been the restructuring of its balance sheet, the expansion of its manufacturing and engineering capability, and the broadening of its product portfolio internally and through prudent acquisitions.

Title: Re: ONNN...Sector: Technology...Industry: Semiconductors
Post by: setravis on June 19, 2008, 09:01:52 PM
PHOENIX, Jun 19, 2008 (BUSINESS WIRE) -- ON Semiconductor (ONNN, Trade), a global leader in power management and circuit protection semiconductor solutions, today announced the expansion of its high-performance off-chip ESD protection portfolio with the introduction of two best-in-class devices - the ESD7L5.0D and the NUP4212. These new products have been designed using ON Semiconductor's propriety integrated ESD protection platform, which enhances clamping performance while maintaining low capacitance and small die size.

The ESD7L5.0D protects two high-speed data lines at 0.5 pico farad (pF) capacitance per line in the tiny 1.2 mm x 1.2 mm x 0.5 mm SOT-723 package. Integrating ON Semiconductor's low-capacitance technology into a 3-pin package provides the designer with a solution to protect the D+ and D- lines of a USB2.0 port with a single device. The ESD7L5.0D can also be connected cathode to cathode to protect a single bi-directional line at 0.25 pF, ideal for protecting high-frequency RF antenna lines.

The NUP4212 protects four high-speed data lines at 0.7 pF per line and 2 Vcc power lines in the compact 1.6 mm x 1.6 mm x 0.5 mm UDFN-6 package. This enables the designer to protect the D+ and D- lines plus the Vcc line on two USB ports with a single integrated solution.

Both new devices share key features which distinguish the company's proprietary technology from competitive offerings. The ESD7L5.0D and NUP4212 are capable of clamping an input ESD waveform of 15 kilovolt (kV) to less than 7 volts (V) in a matter of nanoseconds, ensuring the highest levels of protection for today's ESD sensitive integrated circuits (IC). Other low-capacitance off-chip ESD protection technologies, such as polymer and ceramic-based varistors, offer low capacitance, but their ESD clamping voltage is significantly higher than the ON Semiconductor solution. In addition, the ON Semiconductor silicon devices are free from wearout mechanisms that affect the reliability and performance of passive technologies after multiple surge events such as ESD.

"ON Semiconductor is continuing to expand its leadership in high-performance ESD protection solutions with the introduction of ultra-low-capacitance products targeting high-speed data applications," said Mamoon Rashid, ON Semiconductor vice president and general manager of the company's Discrete Products Division. "Next-generation portable applications require improved performance and increased design flexibility at higher and higher data rates. ON Semiconductor continues to respond to this trend by introducing a complete family of low-capacitance ESD protection solutions."

The first product introduced on this technology platform, the ESD9L5.0S, was awarded Electronic Products magazine's 2007 "Product of the Year" award for a significant advance in technology, its application and innovation in design.

The ESD7L5.0DT5G is available in a SOT-723 package and is priced at $0.20 USD per unit in 8,000-unit quantities. The NUP4212 is available in a UDFN-6 package and is priced at $0.608 USD per unit in 3,000-unit quantities.

Title: Re: ONNN...Sector: Technology...Industry: Semiconductors
Post by: setravis on July 19, 2008, 11:34:08 AM
PHOENIX, & SANTA CLARA, Calif., Jul 17, 2008 (BUSINESS WIRE) -- ON Semiconductor Corporation (ONNN, Trade) and Catalyst Semiconductor, Inc. (CATS, Trade) today announced the signing of a definitive merger agreement providing for the acquisition of Catalyst Semiconductor by ON Semiconductor in an all-stock transaction in which Catalyst shareholders will receive 0.706 shares of ON Semiconductor common stock for each share of Catalyst common stock they own. This represents an equity value of approximately $115 million and an enterprise value of approximately $85 million.

"The acquisition of Catalyst Semiconductor will add to our high gross margin analog and mixed-signal product offerings for the digital consumer and wireless end-markets," said Keith Jackson, ON Semiconductor president and CEO. "Catalyst Semiconductor's analog and mixed-signal business represented more than $11 million in sales as of their April 2008 fiscal year end - a business that grew more than 90 percent versus the prior year. Catalyst Semiconductor's EEPROM technology will strengthen our custom application-specific circuits (ASIC) and power products capabilities expanding our ability to more comprehensively address our customers' needs. With the combination of ON Semiconductor's global footprint, effective channels of distribution, and top-tier customer relationships, we expect to be able to support a broader and deeper penetration of Catalyst's overall product portfolio. This should enable us to accelerate their revenue growth and increase market share. We also believe additional revenue from Catalyst Semiconductor's strong portfolio offering will benefit from ON Semiconductor's manufacturing capabilities. We look forward to welcoming Gelu Voicu, Catalyst Semiconductor's CEO, as well as the talented Catalyst employee base to ON Semiconductor."

"This transaction represents a compelling opportunity for Catalyst employees, customers and shareholders," stated Gelu Voicu, CEO of Catalyst Semiconductor. "To compete successfully in today's global marketplace, size and scale are very important. We are pleased to become part of a leading global company in the semiconductor sector. ON Semiconductor's world-class operational capabilities and supply chain will enable Catalyst Semiconductor's products to better penetrate the automotive, consumer, and industrial end-markets utilizing ON Semiconductor's global customer and channel footprint."

Transaction Details

Under the terms of the agreement, which has been approved by both boards of directors, the fixed exchange ratio will be 0.706 shares of ON Semiconductor common stock for each share of Catalyst Semiconductor common stock. Based on the closing stock price of ON Semiconductor on July 16, 2008, this represents a value to Catalyst Semiconductor shareholders of approximately $6.24 per share. Upon completion of the transaction, ON Semiconductor will issue approximately 13 million shares of common stock on a fully diluted basis to complete the transaction or approximately 3 percent of ON Semiconductor's fully diluted shares outstanding.

The transaction is subject to the approval of shareholders of Catalyst Semiconductor as well as customary closing conditions and regulatory approvals. The companies expect the transaction to close in the fourth quarter of 2008. Upon closing, ON Semiconductor may record a one-time charge for purchased in-process research and development expenses and other deal related costs. The amount of that charge, if any, has not yet been determined.

"This acquisition is directly aligned with both our strategic and financial goals," said Donald Colvin, ON Semiconductor executive vice president and CFO. "Net of cash and short term investments of approximately $30 million at the end of April 2008, the transaction value represents approximately 1.1 times trailing twelve month sales. We also believe ON Semiconductor's operational strengths will significantly benefit the revenue and margin potential of Catalyst Semiconductor. Excluding the impact of amortization expense, write-up of inventory to fair market value, one-time and other deal related charges discussed above, we expect the acquisition will have minimal impact to earnings per share in the first year post the transaction close and should be accretive to our earnings per share thereafter. ON Semiconductor's business and the integration of AMIS Holdings, Inc. has proceeded as anticipated and we are comfortable with the guidance and current level of revenue and earnings expectations provided on our May 5, 2008 conference call. We intend to provide further details on the acquisition and our second quarter 2008 results on our regularly scheduled quarterly earnings conference call on Aug. 6, 2008."

hhmmm...if it gets to $10   ;D ;)

currently trades at relative multiples substantially below peer averages, and I believe the stock is very attractively priced right now.

ONNN's current return on capital is 17.8%, compared to its cost of capital of 11.6%.

The company should experience accelerating growth over the foreseeable future. They are executing a strategy of expanding its power management products to a broader range of end markets, which should also lead to better profitability through higher blended average selling prices and increasing plant utilization.

In my opinion this stock is undervalued -- Outperform!

PHOENIX, Aug 07, 2008 (BUSINESS WIRE) -- ON Semiconductor (ONNN, Trade), a global leader of efficient power semiconductor solutions, has announced the expansion of its discrete packaging portfolio with new micro-packaged transistors and diodes. The new additions broaden the company's micro-packaged portfolio of transistors and diodes targeted to meet the needs of today's most demanding space-constrained portable applications.

"Small size and low profile while maintaining power density are critical parameters for our portable product customers," said Mamoon Rashid, vice present and general manager of ON Semiconductor discrete products division. "ON Semiconductor offers micro-packaged diodes and transistors for power management, switching and protection applications to enable expanded feature integration in their portable products - without increasing the size of their end-products or reducing power efficiency."

New Micro-Packaged Transistors

ON Semiconductor now offers general purpose and bias resistor transistors (BRT) in SOT-723, SOT-963 and in SOT-1123 packages - which measure 1.0 mm x 0.6 mm x 0.37 mm. These smaller, low-profile packages allow design engineers to use them in such applications as mobile handsets. The dual and complementary micro-packaged transistors are lead-free and halogen-free. Budgetary pricing ranges from $0.06 to $0.08 USD per unit in 8,000 quantities.

New Micro-Packaged Diodes

Low Vf Schottky Diodes

ON Semiconductor has expanded its SOD-923 NSR Schottky diode portfolio with higher current capability of up to 500 milliamps (mA) and higher reverse blocking voltage up to 70 volts (V). These micro-packaged Schottky diodes are ideal for use in camera flash and module drivers, boost converters for LCD/ or key-pad backlighting and a wide range of dc-dc converter applications in space-constraint portable applications. ON Semiconductor's Schottky diodes are highly optimized for lower forward voltage drop and lower leakage current resulting in higher efficiency and lower losses. The SOD-923 packaged Schottky diodes are available in the lead-free, halogen-free packages and budgetary priced at $0.064 USD per unit in 8,000 quantities.

For more information, visit http://www.onsemi.com or contact Steve Sheard at [email protected]

ON Semiconductor announces layoffs, restructuringPortland Business Journal

ON Semiconductor Corp. is scaling back costs in 2009 and issuing a lower forecast for the year as the company looks at laying off 10 percent of its work force, closing plants temporarily and giving employees unpaid time off.

That effects 500 employees in Gresham.

The Phoenix-based semiconductor manufacturer said it would furlough about 1,500 workers, or about 10 percent of its global employee base. It also plans to take temporary actions, such as closing factories for four to six weeks during the first and second quarters, cutting about $80 million out of capital spending, 23 percent out of senior executives salaries and 15 percent out of other employee salaries.

Also among temporary measures will be a hiring freeze and elimination of second-half 2008 bonus payments.

ON plans to close its Gresham chip factory — which it bought from LSI Logic Corp. in 2006 — for at least four weeks during the first half of the year and the plant's 500 employees will have to take an additional two weeks of unpaid time off. ON did not say whether Gresham employees will be included in 1,500 job cuts.

ON (NASDAQ: ONNN) also adjusted its fourth-quarter 2008 outlook, saying it expects revenue of between $480 million and $490 million, which would leave it down about 16 percent to 17 percent from 2007.

"Our updated fourth-quarter 2008 revenue outlook reflects the reduction in demand we have experienced as a result of deteriorating conditions in the global economy," said Keith Jackson, ON Semiconductor president and CEO in a prepared statement. He added that the company has increased its cash on hand and the first quarter likely will continue to present the company with challenges.

The payroll cutbacks will be comprise either three weeks of unpaid time off for senior executives at one level and two weeks of unpaid time off for other workers or a four-day work week. The actions will occur in the first and second quarters. Employees also will receive no pay increases or bonuses in 2009.

The company expects the changes to save about $40 million to $50 million a quarter, about 25 percent of which would come from the temporary measures. The overall cost of the restructuring is expected to be between $20 million to $30 million.

Title: Re: ONNN...Sector: Technology...Industry: Semiconductors
Post by: setravis on February 05, 2009, 02:55:34 PM
ON Semiconductor Corporation today announced that total revenues in the fourth quarter of 2008 were a $488.7 million, an decrease of approximately 16% from the third quarter of 2008. During the fourth quarter of 2008, the company reported GAAP net loss of $519.6 million or $1.27 per share.

The fourth quarter 2008 GAAP net loss included net charges of $581.6 million, or $1.42 per share from special items, which are detailed in schedules to our earnings release. The largest special item of $557.4 million arises from our annual goodwill impairment testing and is an estimate finalized with the filing of our 10-K.

Fourth quarter 2008 non-GAAP net income was $62 million or $0.15 per share on a fully diluted basis.

On a mix adjusted basis, average selling prices in the fourth quarter of 2008 were approximately flat with the third quarter of 2008.

The company's GAAP gross margin in the fourth quarter was 38%. Non-GAAP gross margin in the fourth quarter was 39.9%.

Adjusted EBITDA for the fourth quarter of 2008 was a record $102.9 million.

We exited the fourth quarter of 2008 with record cash and equivalents of approximately $458.7 million or approximately $41 million more than the third quarter and approximately $184 million greater than FY07. We also exited the fourth quarter with the lowest debt position and the net deposition in the company's history as a public company.

During the fourth quarter, the company used $49.4 million of cash to retire $60.9 million of its zero convertible senior notes.

At the end of the fourth quarter, total days sales outstanding were approximately 35 days.

ON Semiconductor total inventory was approximately $335.5 million or approximately 101 days. This is up from the third quarter 2008 of $309.4. Included in our total inventory is approximately $28 million of inventory, which includes inventory write-off to share value related to the acquisition of Catalyst Semiconductor, which closed in the fourth quarter of 2008. Also included in our fourth quarter inventory is approximately $6 to $8 million of bridge inventory related to the acceleration of the three closures previously announced. Also included in our overall inventory is approximately $40 million of inventory associated with the write-up to share value from the AMIS and Catalyst Semiconductor acquisitions. This is up approximately $2 million from the third quarter of 2008 due to the Catalyst acquisition.

Distribution inventories were approximately 12 weeks at the end of the fourth quarter. On a dollar basis by approximately $30 million, but the weak, as a result of overall sales. Cash capital expenditures during the fourth quarter of 2008 were approximately $20 million and total cash capital expenditures for the year were approximately $95 million.

Now, I would like to turn it over to Keith Jackson for additional comments on the business environment.

Keith Jackson

Thanks, Don. Now for an overview of our end-markets. During the fourth quarter of 2008, our end market splits were as follows. The computing end-market represented approximately 23% of fourth quarter 2008 sales.

The communications end-market which includes wireless and networking represented approximately 20% of sales.

The automotive end-market represented approximately 16% of fourth quarter sales.

The consumer electronics end-market represented approximately 16% of sales. Industrial, military, and aerospace represented approximately 19% of sales and medical represented approximately 6% of sales.

During the fourth quarter on a direct billings basis, no ON Semiconductor product OEM customer represented more than 4% of sales. Our top five product OEM customers were Continental Automotive Systems, Delta, LGL Electronics, Motorola and Samsung.

On a geographic basis, excluding ON Semiconductor's historical manufacturing services revenue, our contribution from sales in Asia represented approximately 59% of revenue. Our sales in the Americas represented approximately 22% of revenue and Europe represented approximately 19% of revenue during the quarter.

Looking across the channels, sales to distribution channel were approximately 41% of fourth quarter revenue. Direct sales to OEMs represented approximately 48% of revenue and EMS channel represented approximately 11% of revenue.

During the fourth quarter, ON Semiconductor revenues broken out by our divisions were as follows. The custom and foundry product group represented approximately 30% of fourth quarter sales. The standard products group represented approximately 22% of sales. The automotive and power regulation group represented approximately 20% of sales. The computing products group represented approximately 20% of sales and the digital and consumer products group represented approximately 8% of sales. In addition, ON Semiconductor recognized approximately $8 million of revenue during the quarter from the acquisition of Catalyst Semiconductor. We will publish the annual revenue, gross margin and operating margin breakout of these divisions in our Form 10-K filing for this period.

Now I'd like to provide you with some details of other progress we've made. 2008 was a year of solid revenue growth for the company. We recorded approximately $2.1 billion of total revenues for 2008 and generated approximately $394 million in cash flow from operating activities.

During the year, we closed two acquisitions, which have furthered the successful transformation of ON Semiconductor into an analog and power solutions leader. These acquisitions, coupled with ON Semiconductor's global footprint, effective channels of distribution, and top tier customer relationships will allow an even broader and deeper penetration of the automotive, computer, consumer, industrial, medical and wireless markets in years to come.

The end of 2008 and the beginning of 2009 have been a challenging time for the Semiconductor industry. Sales came down dramatically in the fourth quarter of 2008 and we are expecting further declines in the first quarter of 2009. We are uncertain as to the depth orderation of the current recession. To prepare for this uncertainty, we announced a number of proactive cost savings actions on January 7 that once completed should take revenues required for cash breakeven down to approximately $340 million.

Today, we also announced plans to close an additional wafer facility. Disclosure is consistent with the company's ongoing manufacturing consolidation strategy and cost saving measures.

The fab we decided to close is our remaining Phoenix wafer fab. Disclosure is expected to result in a total cash charge of approximately $8 to $10 million beginning in the first quarter of 2009.

We expect to eliminate approximately 350 jobs at this fab between now and early 2010. As a result of the fab closure, the company expects to save a total of approximately $9 million per quarter compared to the third quarter of 2008 with the full benefit seen in the second quarter of 2010.

In the computing end-market, we are positioned as a leader for desktop power management and our notebook presence continues to grow. In the current desktop platform, we increased our penetration by over 50% from the prior platform, having secured over 25 design wins.

On the notebook segment, we were able to increase our position by over 20%, having secured over ten design wins.

We believe we are well positioned and have the momentum to continue our success on the next generation of desktop and notebook platforms. In addition to our expertise, we are also developing a broader system power portfolio to further strengthen our value proposition in notebooks and desktops.

We continue to see penetration of our controllers, drivers, audio amplifiers and MOSFET products in both notebook and server applications. In addition, we are seeing new opportunities from our Catalyst acquisition to gain share with our product line in the computing market.

The overall unit demand returns to the computing end market, we believe our computing business should see above market growth as a result of our recent platform gains.

In the medical market, we saw strong sequential growth in the fourth quarter of over 20%. Our previous design wins in development activities continue to make this a profitable and growing end market for ON Semiconductor. Our audio DSO products are gaining traction in both North America and Asia for hearing aid as well as additional non-medical specific wireless applications.

As anticipated, we experienced continued slowing in our overall automotive business in the fourth quarter. Given the continued global tightening of credit for large ticket items such as automotives, we anticipate a continued slow period of sales to last at least through the first half of 2009.

Once the economic environment stabilizes, we believe we are strongly positioned with the leading automotive OEMs through our design, sales, and supply chain resources, along with our broad portfolio of ASICs, CAN and LIN products, motor control products, drivers, MOSFETs, and discrete devices.

Now I would like to turn it back over to Donald for other comments and our other forward-looking guidance. Donald?

Donald Colvin

Thank you Keith. Fourth quarter 2008 outlook. Over the last few months, we have seen considerable uncertainty and volatility in the global market. As a result, our guidance is not as in the past. We have updated our guidance to accommodate our best view today. In a normal environment, our customers place [models] with ON Semiconductor. However, given our customers limited visibility, we have reduced the [models] with Semiconductor suppliers. As such, we believe the Semiconductor industry will move towards a higher term environment.

In addition, we currently expect our distribution partners to reduce their inventories during the first quarter of 2009.

With our sale through recognition policy for this channel, this reduction is expected to result in incremental revenue above our beginning levels.

In the last few weeks, prior to Chinese New Year, we saw stabilization of our backlog as well as some point of turn activity with a 15-week greater than one in January.

Based upon current product booking trends, backlog levels, manufacturing service revenues and estimated turns, we anticipate that total revenues will be approximately $340 million to $380 million in the first quarter of 2009. Backlog levels at the beginning of the first quarter of 2009 were down from backlog levels at the beginning of the fourth quarter of 2008 and represent approximately 80 to 90% of our anticipated first quarter 2009 revenues.

We expect the average selling prices for the first quarter of 2009 will be down approximately 2% sequentially.

We expect cash capital expenditures of approximately $20 to $25 million in the first quarter of 2009, total cash capital expenditures for the total year of approximately $55 to $60 million.

For the first quarter, we expect GAAP gross margin of approximately 29 to 31%. Our GAAP gross margin in the fourth quarter will be negatively impacted from among other things expensing of appraised inventory fair market value step up associated with the acquisitions of AMIS and Catalyst Semiconductor.

We expect non-GAAP gross margin of approximately 31 to 33%. Non-GAAP gross margin excludes special items of approximately $7 to $8 million.

For the first quarter. we also expect total GAAP operating expenses of approximately $146 to $148 million. GAAP operating expenses include the amortization of intangibles, stock base compensation expense, restructuring, asset impairments, and other charges which total approximately $31 to $33 million.

We also expect total non-GAAP operating expenses of approximately $114 to $116 million.

We anticipate that net interest expense and other expenses will be approximately $21 million for the first quarter of 2009. This includes a non-cash interest expense of approximately $9 million from the adoption of stock position number EPB 14/1, relating to our convertible senior notes.

Cash taxes are expected to be approximately $3 million. We also expect stock base compensation expense of approximately $12 to $13 million in the first quarter of 2009.

This number could fluctuate based on yearly stock awards schedule this quarter.

Our current share count is approximately 413 million shares based on the current stock price. Further details on share count and EPS calculations are provided regularly in our 10Qs and Ks.

As previously stated, management is committed to deliver positive operating cash flow under all circumstances. It is obvious that the industry is currently shipping under the end market consumption of finished products. We believe the industry should hit the bottom of the current correction in the first half of 2009.

We also believe that the second half of this year should see a measurable recovery in our business.

Management's strategic objective remains achieving 45% gross margin, 22% operating income. As previously stated, we are prepared to take additional cost reductions if required to achieve this strategic objective.

With that, I would like to start the Q&A session.

Question-and-Answer Session

(Operator instructions)

Your first question comes from Chris Danely with J.P. Morgan.

Scott Jones (for Chris Danely - J.P. Morgan)

This is Scott Jones calling in for Chris. I have a first question on OpEx trends in gross margin going over the course of the year. How do you expect it to take down given the cost reductions in the out quarters? And then on a gross margin, could you tell me how you expect that to trend up to the target of 45% with the plans now of the fab closure help you get there over time?

Donald Colvin

Operating expense and the other is on gross margin. I think it's obvious the industry has seen a dramatic form in its revenue and we are currently shipping under consumption. So gross margins for us is very much predicated of one the level of revenues. The faster the recovery of the revenue, the faster the recovery of the gross margin. And so, right now I think we're in a bit of a holding. We don't want to start projected rosy numbers and so with the relatively modest outlook we gave, we think we can probably grow our gross margin in the mid-single digit range, but we don't have enough certainty on the exit revenue for the year to give any more color to that and as a company we always just give gross margin and revenue guidance one quarter at a time and especially in these most uncertain times, we don't think it's appropriate to stick our necks out any further than normal.

As far as operating expense is concerned, we've taken a lot of actions on operating expense. Salary reductions, bonus cancellations, headcount reductions, discretionary expense reductions, etc. and we would like to make some of these salary reductions only temporarily. So again, a lot depends on the outlook for our business. As I stated and Keith stated, we are constantly reviewing our P&L structure. So again, I can't give you a specific answer. I think the number, if you look, in the first quarter for operating expense. If you look at that compared to the third quarter of last year, it is down on an apples to apples basis by more than $20 million in a quarter. So when I look at other companies, that cash OpEx expense saving and I think there we are certainly taking strong actions. If we are required to take additional actions, we will not hesitate to take them.

Scott Jones (for Chris Danely - J.P. Morgan)

Do you guys have any color at all for outside of automotive where you saw the most weakness and obviously medical seems to have held up a little better. So any color on which one has underperformed or outperformed?

Keith Jackson

Simple answer to that one is medical is the only market. It actually grew for us quite strongly, but it's the only market that was up. Everything else was down and they were all down substantially. That 16% down overall, quarter-on-quarter, actually is spread pretty well between all the markets. So there was really nowhere that was a safe haven and other than automotives, nowhere that stands out as being particularly weak.

Operator

Your next question comes from John Pitzer with Credit Suisse.

John Pitzer - Credit Suisse

First when you talked a little about pricing in December and what you expect for March, I guess I'm trying to understand as units start to pick up and we actually get them to the recovery phase of the cycle, what's your expectation on ASPs and pricing in general?

Donald Colvin

ASPs were relative flat in the fourth quarter. We did get some benefit there from currencies in our favor. We don't have that currency benefit in the first quarter and we also got some long-term pricing contrasts kick in Q1. So that's why we stated 2% price erosion.

As far as inventories are concerned, I gave a very detailed explanation on inventories. Basically the core inventories went down. We have to build some bridge and we got some fair market value inventories from the AMIS and Catalyst acquisitions.

We want to continue to reduce our inventories in the first quarter and as we stated in the prepared remarks, John, we anticipate that our distributor partners will also continue to reduce their inventories in the first quarter.

We haven't given any specific guidance on the second quarter, but we did state that we expect that there will be a meaningful recovery in the second half. So as far as an increased demand having a positive impact on ASPs, I think that's more of a second half story.

John Pitzer - Credit Suisse

Are you at all concerned given where utilization levels are going to trough for the industry. Pricing never seems to be the first casualty of a downturn. It always seems to get more aggressive as unit demand starts to pick up and you're kind of indicating that a pickup in demand might be positive in pricing. I'm just trying to figure out why you wouldn't be more worried about ASPs as demand starts to pick up.

Donald Colvin

We remain on ASPs, John. It would be a foolish mind to say that we have complete control of a huge market. In our models that we project, one or two percent ASP reduction per quarter. And so, the second half of the year we have not turned away from that for modeling purposes. So we are not modeling an ASP increase in the second half. We remain vigilant, but we will not be the instigator in a price war, as we believe we are in a relatively elastic end market demand situation.

Keith Jackson

John, I would add here really from a gross margin perspective, there may be some more pressures on ASPs as the market structure recover in the second half when there is some demand to go after, but really the gross margins are going to be mostly moved just by the volumes that we got in utilization range. If you look at what we guided you to in Q1, we're having a substantial reduction in distribution inventories and since we're sell through, that won't roll through to the revenue line works, but it will mean our factories are significantly under-loaded and we're reducing our own inventories at the same time in our low-demand market.

So utilization rates, which were kind of mid-60's in Q4 are going to go to mid-40's in Q1 and I think that that is an overwhelming impact on gross margins as you get to the second half versus any ASP impacts you may have.

Operator

Your next question comes from John Barton with Cowen.

John Barton - Cowen

40% utilization in March, what would that utilization figure be if the Phoenix fab was closed as of January 1 for the quarter?

Keith Jackson

So that factory, between 5 and 10% of the volumes in the numbers. So you could get the impact of that into the number.

John Barton – Cowen

In a previous response, you were talking about, or Donald was talking about, the temporary cost savings, embargos on bonuses, non-paid time off, etc. How are you thinking about bringing that back in? I mean how long can you stay in that scenario if revenue doesn't come back? What type of revenue return would you have to see until you start to bring that back? What are the basic parameters the way you think about it going forward?

Keith Jackson

Again, basically the way we're managing the business is no different. We've been telling folks we're managing it for generating cash. So as the business recovers to a point where our cash generation allows us to start returning some benefits, we're going to absolutely get on that to the extent that that doesn't happen in the near term, then we'll figure out what other alternatives are out there for us.

John Barton – Cowen

Design activity, in the current environment that we're seeing, at end customers is it changing their design activity. Meaning, are they accelerating to new projects that get design in, because they're trying to hit lower price points. Are they holding up on new designs because they're trying to get more life out of their R&D spend or how are you seeing customers react?

Keith Jackson

We've seen them react in all manners. It really does differ by customer. What I will say is we're seeing a larger percentage put energy into cost-reducing existing platforms than we traditionally see. You see some people who are accelerating new platforms. You see some of them who are delaying new platforms, but the only real change through the last three or four months has been more people putting more energy in the cost-reducing existing platforms.

Operator

Your next question comes from Craig Berger from FBR Capital Markets.

Craig Berger - FBR Capital Markets

So you've got three fabs closing in the first half of this year and then Phoenix a little further out. How do we think about that impacting the overall margin structure?

Keith Jackson

It's actually going to be for the first three quarters of the year. Three fabs this year, we won't get all of them out in the first half. There'll be some trickling into the third quarter.

From a gross margin perspective, again, maybe the simplest way to look at life is the volumes that those factories represent of the total and of course it is wafer fab not l. fab and backend. So there is a factor of dilution, if you will, in the total GM. But those three factories when added together are going to be somewhere in the 20% to 20+ percentage of the total volumes that'll come out of the system.

Craig Berger - FBR Capital Markets

So is it 20% of half of the cogs, is that the right way to think about that then?

Keith Jackson

That's not too far off. On the cogs, it's not the variable portion, which is materials. It's the fixed portions.

Donald Colvin

I think the trouble we have with this, Craig, is you got to baseline something. So if you baseline two or three activity, a fab closure and the ones we have announced, are roughly on average $10 million, $8 to $10 million a quarter savings, but that's based upon Q3 activity leveling and that would be an approximate 1.5% gross margin improvement. But the activity levels in the first quarter at 40% down on Q3. A lot of these savings are going forward. So that's why going forward, the gross margin expansion isn't so much a fab closure story as a revenue return to growth story and that's what we have to factor in our models.

We can also see and I compared to the Q3 run rate. Keith mentioned fixed cost. We have taken $30 million, we are projecting $30 million of fixed cost reductions from the fab closures compared to a base Q3 run rate. So again, as we made in a pre-announcement at the beginning of January, these actions were taken, would be $30 million on fixed, $20 million on operating expense. In addition to that, additional cost savings from the closure we announced, which would be approximately $8 to $9 million savings compared to the Q3 run rate.

Keith Jackson

Craig, we're not beating around the bush, but the reality is we have such a small fixed cost base relative to the total cogs. You get a very big drop and so when you're trying to calculate percentages, the revenue level is the most determinant factor.

Operator

Your next question comes from Tristan Gerra with Robert Baird.

Tristan Gerra - Robert W. Baird

Following the factory shutdowns in January, what will be your sell-in in Q1 sequentially?

Keith Jackson

The early reports we're getting from Asia right now, Tristan, indicate a favorable bias post Chinese New Year. We're hearing that some of the consumption rates were a little higher than they were planning on and therefore we're starting to see some more orders, but I want to emphasize we're talking a couple of days back now from Chinese New Year. So I don't want to declare a victory and move on yet, but it does seem like we're seeing a little better sell through and January was not as bad as we feared. We mentioned earlier if that includes our sell through, there actually was pretty reasonable, other than of course the Chinese New Year week, which goes down dramatically.

From a sell-in, sell-through perspective, our estimate is that we'll do approximately $25 million or so less on sell-in than sell-through. In other words, there will be a bleed of inventory of that kind of magnitude. Of course, we don't know that yet. All the orders aren't in, but that would be our best estimate as of today.

Tristan Gerra - Robert W. Baird

Also, where are you in terms of outsourcing right now and what would be your target by end of year if this has changed from what you previously said?

Keith Jackson

It's a little over 20% for us, including the acquisitions which were higher percentages of outsource. We are moving aggressively to get more of that inside. Based on the Catalyst piece and the AMIS piece, I would say that we have a chance of moving that model down 300 or 400 basis points by the end of the year.

Operator

Your next question comes from Harold Arowall - UBS

Harold Arowall – UBS

A question on manufacturing consolidation. Just wondering where are we in the process and how much is done and how much needs to be done and if you could provide a roadmap as to how we should think about it.

Keith Jackson

Sure. So the four inch line that we have in Europe should be closed around the end of March timeframe. We've got a six inch line in Europe that should be closed somewhere around July and then we have a five inch line here in the U.S. that should be certainly by September, see closure on that. Then as we mentioned today, the last factory, which is a six inch factory here in Phoenix, would be in the first quarter in 2010.

Harold Arowall – UBS

Second question is about your gross margin for March quarter. Just wondering what are the moving parts, dilution or anything else?

Keith Jackson

Well again, prices were not a significant factor. We have been offsetting those with our normal cost reduction activities. It's really utilization. We're pulling back very, very hard to get the inventories down, both in the distribution channel and internally, plus the lower end demand. So it's really going to a mid-40's kind of utilization rate that has 90% of the impact.

Operator

Your next question comes from Steve Smigie - Raymond James

Steve Smigie - Raymond James

I was wondering if you could give some color on inventory channel, not so much in terms of weeks or days of inventory so much as on a unit base to a level where it's kind of surprises you how low it is or are your distributors being reasonable relative to the current demand?

Keith Jackson

I actually think they're being very reasonable and if anything, Steve, they have surprised me at how much inventory they're still keeping. This could have ballooned a lot more than it has. They've actually kept up fairly well, but it was clear in the fourth quarter, they weren't reacting quick enough. I think now in the first quarter looking at their orders on this, they have done very appropriate actions to get us back into that, you know, 11 to 13 weeks of their model, but back toward the lower end of the model.

So, in general, just surprised they haven't reacted more strongly in getting the inventory out.

Steve Smigie - Raymond James

Donald, you mentioned some hope for a measurable recovery in the back half. Is that just related to the fact that you think you're under-shipping demand or is there something else that would make me feel a little bit better about that?

Donald Colvin

I think that's exactly the first point. We look at the down trend quarter-on-quarter for the major end market segments. It certainly would appear to us from reconciling that the consumption of Semiconductors is still behind the consumption of finished products and we think that certainly will be a meaningful second half recovery.

Operator

Your next question comes from the line of Kevin Cassidy with Thomas Weisel.

Kevin Cassidy - Thomas Weisel Partners

I wonder if we could shift gears a little bit and talk about the notebook position. You said you're improving by 20%. I wonder if you could put some framework around that.

Keith Jackson

We of course measure ourselves by the number what we'll call major board platforms that we win, excuse me, at the key manufacturers of notebooks largely in Taiwan and so just kind of generation-on-generation, we've got about 20% more of those platforms. Again, I think it's self explanatory. What I can't tell you is how many notebooks are going to sell.

Kevin Cassidy - Thomas Weisel Partners

Any new customers or same customers and just deeper penetration?

Keith Jackson

Deeper penetration for the most part.

Kevin Cassidy - Thomas Weisel Partners

Do you have an ASP?

Keith Jackson

That I don't have a single ASP, because again it's blended, everything from the little low end books to the high end books and it definitely varies by platform dramatically.

Operator

Your next question comes from the line of Patrick Wang with Wedbush Morgan Securities.

Patrick Wang - Wedbush Morgan

I know you guys talked about closing that six inch you've got down in Phoenix and the $9 million quarterly impact. Could you help remind us some of the ongoing programs that you've got going on right now that permanently lower OpEx over the next year or so?

Keith Jackson

Okay, so we've got three other wafer fabs. A four inch, a five inch, and a six inch that are being closed in 2009, and I think Donald already gave you some numbers of approximately impact of $8 to $10 million per quarter each and I've already given timing on that earlier in the call. So those are factory closures on a permanent basis. We've also had significant leaning out from a headcount perspective. Looking across the company for ways to get more efficiency and we announced that again there was over 10% reduction in headcount before the latest announcement for the factory.

Everything we've put in writing, it's salary reductions right now of equivalent of two weeks per quarter across the company and elimination of bonuses across the company. No merit increases this year for anyone in the company. What am I missing, Donald?

Donald Colvin

Discretionary actions as well. So as Keith said, if you look at our non-GAAP operating expense in the third quarter, the reason why I say that, because it takes out the amortization of intangibles, non-cash base stock and things. It was $151 million in the fourth quarter of last year, which is a reference point and have about a $5 million of operating expense that we acquired. So adjusted EBITDA becomes $156 million and if you look at the mid point of the guidance we gave for the first quarter, it's $115 million. So again, that is a substantial reduction.

Now, as I stated, some of the actions taken we hope will only be temporary like salaried reductions, approximately $8 million a quarter savings. So the idea will be as other economies kick in because some of the people haven't had the full benefit of the headcount reductions. We're going to eliminate an SEP system, which will give us cost savings by the second quarter. As these things kick in, we are hoping that we will be able to restore some of the takeaways on the salary. That's the current model. So we're not seeing any dramatic incremental savings forward. Marginal savings, just big ones on operating expense, but we remain vigilant as we stated, and that's all predicated on a meaningful second half recovery and if necessary we will take other actions if that recovery is not there.

Patrick Wang - Wedbush Morgan

We think about OpEx over the course of the rest of the year and I'm clearly not asking you guys to provide any guidance here, but directionally is it something that we should think about trending downward slightly over the year?

Donald Colvin

Marginally downward, yes. Not dramatically, but marginally.

Patrick Wang - Wedbush Morgan

Second question here. In terms of your utilization here, I know that you said that kind of mid-40's expected here in Q1. If we think about going forward here, based on what we do know about Q2 and such, is Q1 likely going to be the trough for utilizations?

Keith Jackson

Right now the data would point to Q1 most likely being the trough. Obviously as predicated on whether the end markets, but at least with the look we have right now, because we're doing such a dramatic inventory reduction in distribution, it will probably be the trough.

Operator

Your next question comes from Craig Berger from FBR Capital Markets with a follow-up.

Craig Berger - FBR Capital Markets

Just a housekeeping here. You know first call has you including stock OpEx expense and so the numbers you lay out in your pro forma can't match our pro forma numbers. You're aware of that, right?

Donald Colvin

Well, we give all the different elements, Craig, but I hear what you say and we try to make things as explicit as possible. So we have given all the different ingredients, including our estimate of the non-cash base stock compensation going forward.

Craig Berger - FBR Capital Markets

Any plans to stop excluding that as a pro forma charge?

Donald Colvin

We're going to look at that when we do next quarter results.

ON Semiconductor (NasdaqGS: ONNN - News) reported second quarter earnings that beat the Zacks Consensus Estimate by 4 cents.

Revenue by End Market

Revenue of $472.9 million was up 12.6% sequentially and down 18.7% year over year. The company saw sequential improvement across all end markets except communications and medical, although all end markets were down on a year-over-year basis. Consumer witnessed the strongest growth, increasing 47.3% sequentially. Automotive and computing also grew double-digits.

Year-over-year declines moderated in all except the communications and medical markets. Computing was again the largest end market in the last quarter, generating 27% of sales, followed by automotive with 18%, comunications 17%, industrial/mil/aero with 17%, consumer 17% and medical 4%.

Revenue by Segment

The double-digit year-over-year decline was across all except the standard products segment, with Digital & Mixed Signal the weakest, followed by Computing & Consumer and Automotive & Power. The Standard Products segment was down single-digits. Standard Products generated 32% of revenue (up 15.5% sequentially), computing and consumer generated 24% (up 21.1%), automotive and power 23% (up 16.5%) and digital and mixed signal 21% (down 2.7%).

Geographically, Asia generated the largest chunk of revenue, with a 68% contribution. Revenue increased 14.5% sequentially. Europe generated 17%, a sequential increase of 45.4%. The Americas brought in 16%, down 14.2% sequentially.

Gross Margin

Gross margin for the quarter was 37.9%, up 590 basis points (bps) from the previous quarter's 32.0%. The gross margin improvement was across all four segments and was partly attributable to strengthening demand, and partly due to significantly higher utilization rates. Gross margin increased 125 bps from the year-ago quarter.

Gross margins were up across all segments, with the highest margin Digital & Mixed Signal segment growing 132 basis points (bps). The Automotive & Power segment saw the strongest margin expansion, up 808 bps sequentially. The segment now generates margins comparable to the Computing and Consumer segment, which increased 376 bps sequentially. The Standard Products segment continues to lag historical trends, although it grew very nicely by 335 bps. All except the Digital & Mixed Signal segment declined on a year-over-year basis.

Operating Performance

Operating expenses of $100.9 million were higher than the previous quarter's $97.2 million. However, the operating margin expanded 772 bps sequentially and 311 bps year over year. This higher margin was largely on account of the lower COGS [costs of goods sold], although lower G&A [general and administrative], R&D [research and development] and S&M [sales and marketing] (as a percentage of sales) also contributed.

The Automotive and Power segment saw the greatest sequential expansion in operating margin, followed by Computing and Consumer and then Standard Products. Digital and Mixed Signal grew nicely from the year-ago quarter, but saw a small sequential decline. All other segments declined from the year-ago quarter.

Net Profit

On a pro forma basis, ONNN had a net income of $59.3 million, or a 12.5% net income margin compared to $22.2 million, or 5.3% in the previous quarter and profit of $66.3 million or 11.4% in the third quarter of last year. Fully diluted pro forma earnings per share (EPS) were $0.14 compared to $0.05 in the June 2009 quarter and $0.16 in the comparable prior-year quarter.

Our pro forma estimate excludes restructuring charges, stock-based compensation expenses and amortization of intangibles in the last quarter. Our pro forma estimate may not match management's presentation due to the addition/exclusion of some items not considered by management. On a fully diluted GAAP basis, the company recorded a net income of $29.9 million ($0.07 per share) compared to a loss of $3.0 million ($0.01 per share) in the previous quarter and a net profit of $57.2 million ($0.14 per share) in the prior-year quarter.

Balance Sheet

Inventories were down 2.0% sequentially, with inventory turns increasing from 4.1x to 4.4x. Days sales outstanding (DSOs) were around 51 days, down from 55 days at the end of the June quarter. The cash and short-term investments balance was $470 million at quarter-end, with the company generating $88 million from operations. ON Semi spent $9.3 million on capex, $23.3 million on the repurchase of long-term debt and $4.1 million on share repurchases. At quarter-end, ON Semiconductor had $729 million of debt on its balance sheet, or a net debt position of $260 million.

FRANKFURT, Germany, Sep 27, 2010 (BUSINESS WIRE) -- Strategies in Light Europe (SIL) -- ON Semiconductor (ONNN), a premier supplier of high performance, energy efficient silicon solutions for green electronics, will showcase its newest Light Emitting Diode (LED) lighting solutions at the Strategies in Light Europe conference Sept. 27-29 in Frankfurt, Germany.

"Energy efficiency in a cost-effective design is critical to achieving high overall luminous efficacy in solid state lighting applications," said Laurent Jenck, director of ON Semiconductor's LED Lighting segment. "High Brightness LEDs (HBLED) are replacing incandescent lamps in a broad range of applications, and the overall popularity of solid state lighting is continuing to grow across many different industry sectors. ON Semiconductor has recognized the many needs and applications for efficient LED lighting and effective LED Lighting protection and is rapidly developing solutions targeted to address customers' needs ranging from backlighting in handheld electronics and LCD panels, to general lighting, architectural lighting and automotive lighting."

ON Semiconductor offers a broad portfolio of LED lighting solutions for automotive; cell phones; camera flash; LCD panel backlighting; and interior, exterior, portable torch, signage and architectural lighting. At the SIL conference, ON Semiconductor will demonstrate and discuss its most recently introduced lighting solutions:

Miniature Buck LED Driver Controller for Efficient, Compact Lighting Designs

ON Semiconductor's NCL30100 is a new step-down (buck) LED driver controller that provides an ideal solution for high-brightness LED driver applications where space is limited and high efficiency is important, such as low voltage MR-16 LED bulbs. The new controller helps designers optimize their solution for a wide range of LED drive currents and is ideal for low voltage halogen-to-LED replacement, LED track and landscape lighting, and solar LED products.

The NCL30100's ability to operate at high switching frequency and the flexibility it gives to select the most appropriate power MOSFETs, combine to support the customer in achieving an optimal solution for their design.

Based on a peak current, quasi fixed-off time control architecture optimized for continuous mode step-down operation that eliminates the need for an output filter capacitor, the NCL30100 saves both board space and cost. A switching frequency of up to 700 kHz enables designers to use smaller inductors and therefore achieve further valuable PCB real estate savings. The NCL30100 meets the energy saving demands of the latest designs by achieving up to 95 percent efficiency. For low voltage AC applications, the NCL30100 can be dimmed via a standard wall dimmer.

Next Generation ESD Protection for High Power HBLEDs

ON Semiconductor's new CM1771 is a 100 V back-to-back electrostatic discharge (ESD) protection device that prolongs operation of HBLED lamp modules. It is the industry's first ESD protection solution for HBLED applications to feature a 100 V breakdown voltage. The CM1771 is a member of the innovative LuxGuard(R) family of turnkey solutions for ESD protection in high voltage circuits and is ideal for general illumination, signage, automotive and commercial lighting applications.

To ensure emerging opportunities for HBLED technology are realized, emitter manufacturers need to be sure their devices are not left vulnerable to damage from ESD strikes. Delivering protection at high breakdown voltages presents a new challenge in dissipating higher levels of power when an ESD strike occurs while maintaining acceptably low dynamic clamping voltages. The proprietary side mount arrangement featured in the CM1771 delivers robust, symmetrical ESD protection in a very small, cost-effective die that can be easily integrated into a wide selection of HBLED lamp modules.

The CM1771 is offered as a 440 um x 440 um die. Pricing for these devices is $0.02 per unit in 100,000 unit quantities.

Adjustable CCRs for LED Lighting Applications

ON Semiconductor has expanded its portfolio of adjustable Constant Current Regulators (CCRs). The new CCRs, which provide voltage surge suppression to protect general lighting and automotive LEDs, are simple and highly robust devices designed to provide cost-effective current regulation to LEDs. They are based on the company's proprietary, patent-pending Self-Biased Transistor (SBT) technology and regulate current over a wide voltage range.

ON Semiconductor's new compact CCR devices eliminate the need for additional regulation within the system design. They offer engineers a highly effective LED protection solution that supports tight application budgets and development schedules.

The NSI45090JDT4G and NSI45060JDT4G are offered in D-PAK packages and priced at $0.16 per unit in 10,000 unit quantities. The NSI45020JZT1G and NSI45035JZT1G are offered in SOT-223 packages and priced at $0.10 per unit in 10,000 unit quantities. These devices are all AEC--Q101 qualified. All of the CCRs are offered in compact, thermally robust, RoHS-compliant packages, made using a halogen-free molding compound and lead-free lead finish and have an operating temperature range of --55 deg C to +150 deg C.

Low Power LED Driver Optimized for Coin Cell Powered Backlighting Applications

The CAT3661 is a new one-channel Quad-Mode(TM) LED Driver providing up to 92 percent efficiency for extended battery life in a wide range of portable applications including handheld medical equipment.

The CAT3661 can drive a single LED backlight with a current of up to 5 mA. Soft-start current limiting and short-circuit protection make the new device ideal for use in equipment powered by coin cell batteries. Packaged in a 16-lead TQFN package measuring just 3 mm x 3 mm x 0.8 mm high, the CAT3661 provides a valuable solution for engineers working on new designs where available board space is limited. The quad-mode charge pump supports a wide range of input voltages from 2.0 V to 5.5 V and also helps the CAT3661 achieve peak efficiency levels of up to 92 percent - up to 10 percent higher than traditional high efficiency 1.5x tri-mode charge pumps. Pricing for the device is $0.86 per unit in 10,000 unit quantities.

GreenPoint(R) Interactive Online Design Simulation Tool

ON Semiconductor has developed an innovative GreenPoint(R) tool environment that provides an interactive online design and verification experience accelerating the design of solid state lighting solutions. Based on a user's design requirements -- such as LED configuration, voltage, current or switching frequency -- the GreenPoint Tool automatically calculates optimum circuit configuration and selects appropriate values for inductors and capacitors. The resulting design is displayed as an interactive online schematic. The GreenPoint Design Tool essentially represents a virtual test bed, providing a variety of analyses, which allows engineers to test the performance of the solution.

Once the design has been verified, the GreenPoint Simulation Tool generates a Bill of Materials and a comprehensive design report including simulation results, schematic and design data. ON Semiconductor's e-commerce tools are integrated with the GreenPoint Design Tool, which allows users to pick and choose vendor parts for a qualified bill of materials. Designs can be saved and shared for future reference and further modification in the user's secure and private workspace.

ON Semiconductor Corporation (Nasdaq: ONNN) today announced that total revenues in the third quarter of 2010 were $600.7 million, an increase of approximately 3 percent from the second quarter of 2010. During the third quarter of 2010, the company reported GAAP net income of $87.8 million, or $0.20 per fully diluted share. The third quarter 2010 GAAP net income included net charges of $20.0 million, or $0.05 per fully diluted share, from special items. Also included in the operating expenses during the third quarter of 2010 was approximately $5 million of acquisition related expenses. The special item details can be found in the attached schedules. During the second quarter of 2010, the company reported a GAAP net income of $78.7 million, or $0.18 per fully diluted share.

Third quarter 2010 non-GAAP net income was $107.8 million, or $0.25 per share on a fully diluted basis, and includes stock-based compensation expense. Second quarter 2010 non-GAAP net income was $103.4 million, or $0.24 per share on a fully diluted basis, and includes stock-based compensation expense. A reconciliation of these non-GAAP financial measures (and other non-GAAP measures used elsewhere in this release, such as non-GAAP gross margin and adjusted EBITDA) to the companys most directly comparable measures prepared in accordance with U.S. GAAP are set forth in the attached schedules and on our website at www.onsemi.com.

On a mix-adjusted basis, average selling prices in the third quarter of 2010 were generally flat when compared to the second quarter of 2010. GAAP gross margin in the third quarter was 41.0 percent. Non-GAAP gross margin in the third quarter of 2010 was 41.3 percent and includes stock-based compensation expense. GAAP gross margin in the third quarter included a net charge of approximately $1.6 million, or approximately 30 basis points, from special items. The special items details can be found in the attached schedules.

Adjusted EBITDA for the third quarter of 2010 was $150.6 million and includes stock-based compensation expense. Adjusted EBITDA for the second quarter of 2010 was $143.1 million and includes stock-based compensation expense.

In third quarter of 2010 the company posted another quarter of strong financial results and key business accomplishments, said Keith Jackson, ON Semiconductor president and CEO. We recorded the highest revenues in the companys history as well as the highest adjusted EBITDA and non-GAAP earnings per fully diluted share. In July 2010, we also signed a definitive purchase agreement to acquire SANYO Semiconductor. We have been working with SANYO Electric and SANYO Semiconductor on the transaction closing conditions, and given the timetable required to complete a number of these closing conditions, we currently believe the transaction will close in the beginning of first quarter of 2011, rather than the fourth quarter of 2010 as originally estimated. ON Semiconductor does not currently believe it will need to access the capital markets to finance the transaction, nor does it currently anticipate the need to issue any new shares of common stock in order to close the transaction.

FOURTH QUARTER 2010 OUTLOOK

Based upon product booking trends, backlog levels and estimated turns levels, we anticipate that total revenues will be approximately $565 to $585 million in the fourth quarter of 2010, Jackson said. Backlog levels at the beginning of the fourth quarter of 2010 were down slightly from backlog levels at the beginning of the third quarter of 2010 and represent over 90 percent of our anticipated fourth quarter 2010 revenues. We expect that average selling prices for the fourth quarter of 2010 will be approximately flat when compared to the third quarter of 2010. The non-GAAP outlook for the fourth quarter of 2010 includes stock-based compensation expense of approximately $12 to $13 million.

* Convertible Notes, Non-cash Interest Expense are included in FASBs Accounting Standards Codification (ASC) Topic 470 Debt.

** Fully diluted share count can vary for, among other things, the actual exercise of options or restricted stock units, the incremental dilutive shares from all of the companys convertible senior subordinated notes, and the repurchase or the issuance of stock or the sale of treasury shares. Please refer to the table on our website for potential changes to the Fully Diluted Share Count.

*** Special Items can include: restructuring, asset impairments and other, net; expensing of appraised inventory fair market value (FMV) step up; amortization of intangibles; goodwill impairments; income tax adjustments to approximate cash taxes; non-cash interest expense and certain other special items as necessary.

**** Regulation G and other provisions of the securities laws regulate the use of financial measures that are not prepared in accordance with GAAP. We believe these non-GAAP measures provide important supplemental information to investors. We use these measures, together with GAAP measures, for internal managerial purposes and as a means to evaluate period-to-period comparisons. However, we do not, and you should not, rely on non-GAAP financial measures alone as measures of our performance. We believe that non-GAAP financial measures reflect an additional way of viewing aspects of our operations that when taken together with GAAP results and the reconciliations to corresponding GAAP financial measures that we also provide in our releases provide a more complete understanding of factors and trends affecting our business. Because non-GAAP financial measures are not standardized, it may not be possible to compare these financial measures with other companies non-GAAP financial measures, even if they have similar names.

TELECONFERENCE

ON Semiconductor will host a conference call for the financial community at 5:00 p.m. Eastern Time (ET) on Nov. 3, 2010 to discuss this announcement and ON Semiconductors results for the third quarter of 2010. * Adjusted EBITDA represents net income (loss) before interest expense, interest income, provision for income taxes, depreciation and amortization expense and special items. We use the adjusted EBITDA measure for internal managerial evaluation purposes, as a performance metric for the vesting/releasing of certain of our performance based equity awards, and for earning of corporate cash bonuses when applicable. Adjusted EBITDA is a non-GAAP financial measure. Regulation G and other provisions of the securities laws regulate the use of financial measures that are not prepared in accordance with generally accepted accounting principles. We believe this measure provides important supplemental information to investors. We use this measure, together with GAAP measures, for internal managerial purposes and as a means to evaluate period-to-period comparisons. However, we do not, and you should not, rely on non-GAAP financial measures alone as measures of our performance.

We believe that non-GAAP financial measures reflect an additional way of viewing aspects of our operations that when taken together with GAAP results and the reconciliations to corresponding GAAP financial measures that we also provide in our press releases provide a more complete understanding of factors and trends affecting our business. Because non-GAAP financial measures are not standardized, it may not be possible to compare these financial measures with non-GAAP financial measures used by our company or other companies, even if they have similar names.

Non-GAAP Measures

To supplement the consolidated financial results prepared under GAAP, ON Semiconductor uses non-GAAP measures which are adjusted from the most directly comparable GAAP results to exclude items related to amortization of intangible assets, amortization of acquisition-related intangibles, expensing of appraised inventory fair market value step up, purchased in-process research and development expenses, restructuring, asset impairments and other, net, goodwill impairment charges, gains and losses on debt prepayment, non-cash interest expense, their related tax effects and certain other special items as necessary. Management does not consider these charges in evaluating the core operational activities of ON Semiconductor. Management uses these non-GAAP measures internally to make strategic decisions, forecast future results and evaluate ON Semiconductor's current performance. Most analysts covering ON Semiconductor use the non-GAAP measures as well. Given management's use of these non-GAAP measures, ON Semiconductor believes these measures are important to investors in understanding ON Semiconductor's current and future operating results as seen through the eyes of management. In addition, management believes these non-GAAP measures are useful to investors in enabling them to better assess changes in ON Semiconductor's core business across different time periods. These non-GAAP measures are not in accordance with or an alternative to GAAP financial data and may be different from non-GAAP measures used by other companies. Because non-GAAP financial measures are not standardized it may not be possible to compare these financial measures with other companies' non-GAAP financial measures, even if they have similar names.

-- Non-GAAP gross profit and gross margin. The use of this non-GAAP financial measure allows management to evaluate the gross margin of the company's core businesses and trends across different reporting periods on a consistent basis, independent of non-cash items including expensing of appraised inventory fair market value step up and amortization of intangible assets. In addition, it is an important component of management's internal performance measurement and reward process as it is used to assess the current and historical financial results of the business, for strategic decision making, preparing budgets and forecasting future results. Management presents this non-GAAP financial measure to enable investors and analysts to evaluate our revenue generation performance relative to the direct costs of revenue of ON Semiconductor's core businesses.

-- Non-GAAP net income and net income per share. The use of these non-GAAP financial measures allow management to evaluate the operating results of ON Semiconductor's core businesses and trends across different reporting periods on a consistent basis, independent of non-cash items including amortization of intangible assets, amortization of acquisition-related intangibles, expensing of appraised inventory fair market value step up, purchased in-process research and development expenses, restructuring, asset impairments and other, net, goodwill impairment charges, gains and losses on debt prepayment, non-cash interest expense, their related tax effects and certain other special items as necessary. In addition, they are important components of management's internal performance measurement and reward process as it is used to assess the current and historical financial results of the business, for strategic decision making, preparing budgets and forecasting future results. Management presents these non-GAAP financial measures to enable investors and analysts to understand the results of operations of ON Semiconductor's core businesses and to compare our results of operations on a more consistent basis against that of other companies in our industry.

ONNN  New Components from ON Semiconductor Support Development...

MUNICH, Nov 08, 2010 (BUSINESS WIRE) -- ON Semiconductor (ONNN), a premier supplier of high performance silicon solutions for energy efficient electronics, has announced four new products designed to support portable and consumer electronics applications.

ON Semiconductor offers a comprehensive range of power management, protection, audio and video solutions for portable and consumer applications. With an emphasis on integration, low power and high efficiency in low profile, small footprint packages, ON Semiconductor is able to support the needs of both current and future generation portable and consumer products such as smart phones, personal media players, digital cameras, LCD televisions, set-top-box and DVD players.

Electronica 2010 -- ON Semiconductor Portable Consumer Sector Product Launches

The NCP2704 audio subsystem IC and the NCP2824 low noise Class D amplifier represent the latest audio offerings from ON Semiconductor. The two devices give designers high efficiency and space saving solutions for their portable power amplifier requirements.

The NCP2824 is a low Electro-Magnetic Interference (EMI) Class D amplifier with Auto Gain Control (AGC), and power limiter functions. The NCP2704 is a subsystem that integrates the same low noise Class D amplifier with a very low power headphone amplifier which helps to extend battery life, thus enabling longer audio playback time. Both devices deliver overall efficiency levels of approximately 90 percent and are designed to cover the audio power requirements of a wide variety of portable electronic devices such as cell phones, mobile Internet browsing devices and hands-free car kits.

A non-clipping function featured on both devices automatically reduces the amplifier's gain in order to limit the distortion when an excessive signal is applied to the input. This adjustment is enabled by the Automatic Gain Control (AGC) circuit that is built into the chip. The power limiter function limits the output power of the amplifier to protect speakers from damage caused by an excessive sound level. Both AGC functions are adjustable.

The NCP2824 employs a single-wire interface to simplify designs. The NCP2704, meanwhile, offers extensive control through an IC protocol for adapting the AGC, signal multiplexing and the EMI reduction level to meet system requirements.

ON Semiconductor's new NCP380 and NCP382 are respectively single input / single output and single input / dual output, current limiting distribution switches designed for use in USB ports where heavy capacitive loads and short-circuits are likely to be encountered. Typical end applications include laptop/desktop computers, hubs, set top boxes, televisions and gaming products. The new devices limit output current to a desired level by switching into a constant--current mode when the output load exceeds the current--limit threshold or a short is present. The power switches' rise and fall times are controlled to minimize current ringing during switching. More critically, very short detection times allow huge inrush currents to be limited.

The NCP382 incorporates two 80 milliohm (ma") MOSFETs, is available in either DFN8 3 mm x 3 mm or SOIC-8 packages, and has a current limit threshold that is internally fixed at 500 milliamps (mA), 1000 mA or 1500 mA. The NCP380 meanwhile incorporates a single 70 ma" MOSFET and is offered in a choice of UDFN6, TSOP-5 or TSOP-6 packages. Current limit threshold is again fixed at 500 mA, 1000 mA or 1500 mA or is user adjustable via an external resistor between 100 mA and 1.5 A.

The NCP380 and NCP382 have a 2.5 volt (V) to 5.5 V operating voltage range and include features such as soft-start, soft turn-off, thermal protection, and reverse voltage protection. Both devices are compliant with IEC61000-4-2 (level 4) and have a junction operating temperature range of -40 deg C to +125 deg C.

Portable and Consumer Sector Demonstrations at Electronica

ONNN ON Semiconductor Introduces Highest Efficiency Charge Pump w...

PHOENIX, Nov 22, 2010 (BUSINESS WIRE) -- ON Semiconductor (ONNN), a premier supplier of high performance silicon solutions for energy efficient electronics, has introduced the CAT3649, a 6-channel, high efficiency Quad-Mode(R) LED driver for use in the latest smartphones and other consumer handheld applications such as digital still cameras and portable media players. The Quad-Mode(R) architecture coupled with Content Adaptive Brightness Control (CABC) ensures market leading efficiency in LED backlighting using only external capacitors.

"With new feature-rich consumer products like smartphones utilizing larger displays, greater demands are being placed upon their batteries to provide longer periods between recharges," said Anthony Russell, director of LED Power Products at ON Semiconductor. "The powerful combination of high efficiency, PWM (pulse width modulation) dimming, CABC and filtering capabilities makes the CAT3649 truly unique within the industry."

Differentiating itself from other devices currently on the market, the highly efficient CAT3649 has a total of four charge pump modes (1x, 1.33x, 1.5x and 2x), rather than the customary three. The inclusion of a 1.33x mode increases its efficiency by up to 10 percent compared to traditional charge pump LED drivers using 1.5x operation. This allows the handheld products into which it is incorporated to greatly extend their battery life.

This Quad-Mode(R) fractional charge pump supports a wide range of input voltages, from 2.4 volts (V) to 5.5 V. The LED current can be adjusted by analog dimming in 32 linear increments via the 1-wire interface. Further adjustment can be carried out through PWM. The PWM dimming control is compatible with CABC for PWM signal frequencies from 100 hertz (Hz) to 200 kilohertz (kHz).

Packaging and Pricing

The CAT3649 is offered in a compact 3.0 mm x 3.0 mm, Pb--free TQFN--16 package. Pricing for these devices is $0.49 per unit in 100,000 unit quantities.

ONNN  ON Semiconductor Unveils BelaSigna R261 High Performance...  by Business Wire  Dec 14 2010 10:00AM

PHOENIX, Dec 14, 2010 (BUSINESS WIRE) -- ON Semiconductor (ONNN), a premier supplier of high performance silicon solutions for energy efficient electronics, today introduced BelaSigna R261. This complete system-on-chip (SoC) solution for portable consumer electronics incorporates a highly optimized digital signal processor (DSP) with an advanced dual-microphone noise reduction algorithm to improve speech intelligibility in noisy environments, while preserving voice naturalness.

In applications such as smartphones, BelaSigna R261 eliminates noise from the microphone signal while improving voice quality so that the user can be clearly heard in normal handset mode. While conferencing, BelaSigna R261 identifies and extracts speech within a range of up to 6 meters from the surrounding noise in a 360 degree range. This markedly enhances voice clarity and increases freedom of movement for the user, even when they are not optimally aligned with the microphones or far away.

The SoC's high level of integration - with DSP, regulator, phase-locked loop (PLL), level translator and memory - reduces the bill-of-materials compared to other solutions. The integrated algorithm is customizable, so that the desired balance between noise reduction and voice quality can be tuned for each particular application. The completeness of the solution minimizes the time and engineering effort required for design-in, as design teams do not have to develop or acquire an algorithm or design complex support and interface circuitry.

The BelaSigna R261 SoC simply plugs directly into a digital microphone interface (DMIC) or into a baseband chip's microphone inputs. It works with inexpensive omni-directional microphones in cost-sensitive OEM designs and offers greater flexibility in the placement of the microphones. Production line tuning of the microphones is not required, saving further time and cost.

The new SoC is housed in a highly compact 5.3 mm(2) WLCSP package that occupies considerably less board real estate than alternative solutions, enabling it to fit into even the most space-constrained portable electronics form factors.

The BelaSigna R261 SoC is targeted at voice capture applications including notebooks, mobile phones, webcams, and tablet computers. Its power consumption is less than 16 milliamps (mA) at 1.8 volts (V), halving that of many competing solutions currently on the market.

"Audio system designers are looking for a voice capture solution that is easy to integrate into their systems, thereby shortening time to market," stated Michel De Mey, Senior Director Hearing and Audio Solutions, ON Semiconductor. "BelaSigna R261 offers a drop-in solution that enables clear, comfortable communication anywhere. The state-of-the-art acoustic noise reduction technologies employed in this product means that manufacturers of all kinds of portable electronics can dramatically improve voice quality and customer satisfaction."

BelaSigna R261 is supplied in Pb-free, RoHS-compliant WLCSP-30 and WLCSP-26 packages and priced at $2.00 per unit in 10,000 unit quantities.

ON Semi: Davidson Says Buy, $13 Target
December 23, 2010, 11:59 AM ET.
D.A. Davidson analyst Aalok Shah today initiated coverage of semiconductor maker ON Semiconductor (ONNN) with a Buy rating and a $13 price target, arguing that the pending acquisition of the chip making arm of Sanyo will boost revenue and earnings growth.

ON, which makes a variety of chips from analog to digital converters to power switching, could see another 25 cents to 30 cents per share per year in earnings from the Sanyo deal, believes Shah, as the company consolidates Sanyo facilities and streamlines costs while expanding its market share in Japan, where it has just a few percent of its sales currently.

ONNN stock trades at 9 times Shah's 2012 estimate of $1.03, he writes, while it has traditionally traded for 10 times EPS over the last five years.

Bulls take another run at ON Semi...
After ripping higher all month, ON Semiconductor got another wave of interest.
ON Semiconductor's offerings include a broad range of products used for power, analog, digital-signal processing, and data-management applications. It disappointed investors back on Nov. 3 with weaker performance from computer markets, but that hasn't stopped its higher trajectory since.

ON Semiconductor sees more Q4 revenue, finishes strong year...

saw an increase in its revenue and drop in profits in the fourth quarter, but finished off a strong year thanks to an improving economy.

Phoenix-based ON (Nasdaq: ONNN) reported fourth-quarter revenue of $579 million and a profit of $61 million, or about 14 cents per share. That compares to the $497 million in revenue the company had in the same quarter of 2009 and $68 million in profit.

For the year, ON had revenues of $2.3 billion, up substantially from the $1.77 billion the company had in 2009.

Its profits were up in 2010 substantially as well, as the company reported income of $290 million, or 67 cents per share, compared to the $61 million in profit it had in 2009

The annual revenue numbers were the highest in the company's history, according to CEO and President Keith Jackson, and come a year after ON was scaling back production at its fabs and announced some closures, including its Phoenix manufacturing plant.

The company has fared well in the past year coming out of the recession, and it recently completed a deal that brought it Sanyo Semiconductor, the chip-making arm of the electronic giant, that likely will boost ON's earnings in the next year.

The company's guidance for the first quarter said they saw revenues of between $570 million and $590 million based on orders the company already has received, and an belief prices will drop slightly in the first three months of the year.

PHOENIX, Feb 07, 2011 (BUSINESS WIRE) -- ON Semiconductor (ONNN), a premier supplier of high performance silicon solutions for energy efficient electronics, today announced the introduction of six new AEC-Q101 qualified logic level single channel, power MOSFETs for automotive modules in small, flat lead packages.

Offered in a 5 mm x 6 mm SO-8FL package and a 3.3 mm x 3.3 mm WDFN-8 package, these devices use 50 percent or less of the footprint of industry standard DPAK packages, yet offer the same or lower 'on' resistance. The devices save valuable board space versus established DPAK packaged parts, and are ideal for load switching, DC-DC conversion and power management in automotive applications such as fuel injection systems and motor control drivers.

With combinations of 30 volt (V), 40 V and 60 V, N and P channel devices, ON Semiconductor's new power MOSFETs offer customers a wide choice for their new product designs. Very low on resistance [RDS(on)] minimizes conduction and power losses, while high current capabilities -- ranging from 6.3 amperes (A) to 65 A depending on device -- ensure robust load performance. AEC-Q101 qualification underlines suitability for automotive applications.

The NVMFS4841N (30 V, 65 A, single N-channel) device is housed in an SO-8FL package, while the NVTFS4823N (30 V, 30 A, single N-channel), NVTFS5116PL (60 V, 14 A, single P-channel), NVTFS5811NL (40 V, 40 A, single N-channel), NVTFS5826NL (60 V, 20 A, single N-channel) and NVTFS5820NL (60 V, 29 A, single N-channel) are offered in WDFN-8 packages.

"Reducing overall module size and dependable, robust performance are two primary requirements for automotive electronics," said Paul Leonard, vice president of ON Semiconductor's Power MOSFET business unit. "These demands are met by our new power MOSFET devices that enable automotive customers to save valuable PCB real estate or incorporate increased functionality into smaller overall designs."

ON Semiconductor's new MOSFET devices are priced between $0.39 and $0.60 per unit in 1,500 unit quantities.

ONNN ON Semiconductor Introduces Industry's Lowest Capacitan...  by Business Wire  May 11 2011 9:00AM

PHOENIX, May 11, 2011 (BUSINESS WIRE) -- ON Semiconductor (ONNN), a premier supplier of high performance silicon solutions for energy efficient electronics, has released its newest product for integrated electrostatic discharge (ESD) protection for use in notebooks, tablets and external storage devices.

The new ESD7004 is specifically designed to preserve signal integrity in high speed applications such as USB 3.0 (5 gigabits per second, Gb/s) and eSATA (up to 6 Gb/s). The device breaks the current industry capacitance barrier offering an ultra low 0.4 picofarad (pF) rating, while maintaining extremely low ESD clamping voltage.

As high speed interfaces exceed 5 Gb/s, a few tenths of a picofarad capacitance can have a major effect on the signal integrity of the data being transmitted. By lowering the capacitance down to 0.4 pF typical, 0.5 pF maximum, the ESD7004 offers an ESD protection solution that has virtually no effect on eye diagrams of USB 3.0 at 5 Gb/s and eSATA at 6 Gb/s. In addition, these parts maintain less than 1 decibel (db) insertion loss at over 8 gigahertz (GHz) during S21 measurements, ensuring negligible effect on high speed data transmission.

"Consumer and computing products, including external storage devices, are adopting higher bandwidth interfaces to support increased data transfer requirements," said Gary Straker, vice president and general manager of ON Semiconductor's Protection Products Division. "The ESD7004 from ON Semiconductor addresses the needs of this trend by offering an ESD protection solution that protects sensitive chipsets without degrading the signal integrity of the high speed interfaces it is protecting."

Utilizing ON Semiconductor's patented ESD protection silicon, which incorporates innovative isolation techniques, the ESD7004 offers extremely low clamping voltages and fast response time during ESD events. These designs boast clamping voltages at 11.4 volts (V) or less during Transmission Line Pulse (TLP) +/-8 amperes (A) testing which safeguards chipsets using small geometries and low voltage tolerances, common for high speed datalines. An ESD rating of 15 kV contact per the IEC61000-4-2 standard and low turn on resistance during ESD events ensures that the most sensitive chipsets will be safe from ESD threats.

Packaging and Pricing

This ESD7004 is offered in the popular uDFN 2.5 mm x 1.0 mm x 0.5 mm 10-pin package, which integrates four lines of protection in a flow through routing pinout that enable board designers to route traces easily with minimal impact to impedance matching. Budgetary pricing for this device is $0.097 per unit in 10,000 unit quantities.

The Quad-Mode(R) architecture coupled with Content Adaptive Brightness Control (CABC) ensures market leading efficiency in led lighting (http://www.niceledlights.com) using only external capacitors.

This special feature contains expert industry commentary through in-depth interviews with public company CEOs, Equity Analysts and Money Managers. The full issue is available by calling (212) 952-7433 or via The Wall Street Transcript Online.

Topics covered: Mobile Device Consumer Demand - Enterprise Data Storage Demand - Energy Efficiency, Cloud Computing and Telecommunications

Companies include: Taiwan Semiconductor Manufactu (TSM), Semiconductor Manufacturing In (SMI), Intel Corporation (INTC), Apple Inc. (AAPL), United Microelectronics Corpor (UMC), QUALCOMM Inc. (QCOM), Advanced Semiconductor Enginee (ASX) and many others.

In the following excerpt from the Semiconductors Report, award winning expert analyst Mark Li discusses the outlook for the sector for investors:

TWST: You expect the Chinese fabless industry to outgrow the overall semiconductor sector. Which companies are in the best position to capture that growth, and why?

Mr. Li: For suppliers that provide manufacturing service to these companies, I think two companies will be the key beneficiaries. One is TSMC (TSM). The second one is SMIC (SMI). TSMC is well-positioned because now they are indeed the share leader in that space. They have very good technologies, a well-recognized brand for quality, reliability as well. And the second beneficiary will be SMIC. They have number-two share in this market. It's also a pure-blood Chinese foundry with equity investments from Chinese government, so oftentimes it's the preferred supplier in the eyes of Chinese government or Chinese companies. They are also cheaper compared to TSMC, and finally, they have been improving their execution and quality in the past one to two years. So now their quality, delivery has been pretty solid, enough to satisfy the needs of Chinese companies without issue.

TWST: You expect risk to intensify in the foundry sector over the next few years. What factors will lead to increased risk, and which companies do you think are best prepared to withstand increased risk?

Mr. Li: There are, I think, three risks that foundry will be facing going forward. The first one is cost increase at a very fast rate, and that's going to pressure everyone, basically everyone who wants to do newer technology. They all have to spend high R&D expense or capex investment in new technology or capacity and will need to face that cost challenge.

The second factor is upcoming competition from Intel (INTC). You can see right now, in terms of end application, smartphones are getting bigger and PC demands are weakening...

Is ON Becoming the Best Chip Stock for 2014?

Chip-maker ON Semiconductor Corp. (NASDAQ: ONNN) posted better than expected results after the markets closed last Thursday, and the stock closed up more than 8.5% on Friday after posting a new 52-week high. Volume reached nearly 6-times the stock's daily average of around 6 million shares traded.

The company posted fourth quarter earnings per share of $0.17 on revenues of $718 million, handily beating analysts' consensus for EPS of $0.14 on revenues of $691 million. For the current quarter the company is guiding revenues in a range of $695 to $725 million.

ON's consensus price target for 2014 is $9.81 and its forward earnings multiple is 9.79. Only Micron Technology Inc (NASDAQ: MU) among major chip makers has a lower multiple. Based on Friday's closing price of $9.03 and a consensus price target of $9.81, the potential upside on the stock is barely 9%. But analysts will be taking a look at that price target given ON's fourth quarter results.

In the fourth quarter ON generated 27% of its revenues from the automobile market and the company expects auto-related revenues to rise in the first quarter. Sales fell in ON's communications market to 18% of the company total, which the company said was due to a broad-based inventory correction in the smartphone market. First quarter revenues are expected to be lower in this segment and in the company's consumer segment due to normal seasonality.

ON is in the right place at the right time with its variety of application-specific products, mixed-signal processors, and power interface products. As the "Internet of Things" becomes a reality, ON's products will make their way into more of those "things."

The stock closed at $9.03 on Friday after posting a new 52-week high of $9.27. The 52-week low is $6.80.
