CARLSBAD, Calif.--(BUSINESS WIRE)--June 14, 2005--The Immune Response Corporation (Nasdaq:IMNR - News), a biopharmaceutical company dedicated to becoming a leading immune-based therapy company in HIV and multiple sclerosis (MS), announced today that clinical research conducted by the Company in association with Oregon Health & Science University (OHSU) has indicated that FOXP3, a specific genetic marker on T-cells known to be involved in maintaining immune tolerance and regulation of autoimmune diseases, is significantly reduced in patients with MS compared to healthy controls. These findings, published in the July issue of the Journal of Neuroscience Research, are significant to the Company because this deficiency of FOXP3 in MS patients is likely linked to deficient numbers of regulatory T-cells (also known as Treg cells). The Company believes that induction of these Treg cells is important to the mechanism of action for NeuroVax(TM), the Company's peptide immune-based therapy.
Once this clears 0.98 the 200MA, should fly. keep on watch.

The Immune Response Corporation Signs a $15 Million....
CARLSBAD, Calif., Jul 18, 2005 (BUSINESS WIRE) -- The Immune Response Corporation (IMNR, Trade), a biopharmaceutical company dedicated to becoming a leading immune-based therapy company in HIV and multiple sclerosis, today announced that it has entered into a Standby Equity Distribution Agreement (SEDA) with Cornell Capital Partners, LP, to support the continued development of the Company's product candidates. Under the agreement, which is generally referred to as an equity line of credit, Cornell Capital has committed to provide up to $15 million of funding to be drawn down over a 24-month period at the Company's discretion, subject to an effective registration. There are no minimum requirements on the draw downs in the SEDA agreement. The funds may be used in whole or in part as The Immune Response Corporation chooses.
John N. Bonfiglio, Ph.D., President and CEO of The Immune Response Corporation, said, "We are enthusiastic about entering into this agreement with Cornell Capital. The flexibility and control afforded by this capital structure will enable us to access capital at times when we believe the appropriate value is reflected in our stock price, as development milestones are achieved or when additional liquidity is necessary. The SEDA allows us to make financing decisions that we believe will be in the best interest of the Company and its shareholders."
Under Nasdaq rules, the Company will be required to obtain stockholder approval before drawing down the bulk of the SEDA funding. The Company will promptly seek such stockholder approval.

The Immune Response Corporation Cleared to Initiate New IR103 Study in HIV Drug-Naive Patients in Italy
Tuesday September 27, 10:30 am ET
IR103 Clinical Program Expands to 9 Sites in 3 Countries
CARLSBAD, Calif.--(BUSINESS WIRE)--Sept. 27, 2005--The Immune Response Corporation (Nasdaq: IMNR - News), a biopharmaceutical company dedicated to becoming a leading immune-based therapy company in HIV and multiple sclerosis (MS), announced today it will begin enrolling patients, in Italy, in a Phase I/II study investigating IR103, the Company's newest product candidate for the treatment of HIV.
"The protocol for this study is designed to be compatible with part of the Phase I/II clinical trial currently underway in Canada and the UK so that the data can be jointly analyzed," said Georgia Theofan, Ph.D, vice president of clinical development at The Immune Response Corporation. "We are excited to be adding these six new sites to the IR103 clinical program which will now be active at nine sites in three countries."
The randomized, double-blind, comparative, multi-center Phase I/II study will begin enrolling patients this year and will follow them for 52 weeks. The primary objective is to evaluate safety and bioactivity, or the ability to generate HIV-specific immune responses to IR103, in HIV patients who have not initiated highly active anti-retroviral therapy (HAART). Ability to generate HIV-specific immune responses is thought to be an important indicator of clinical utility.
The patients, up to a total of 100, will be either newly enrolling patients or will be returning patients from a previous REMUNE® study. Patients previously treated with REMUNE® will be assigned across both tracks of the study enabling analysis of IR103 and REMUNE® in this patient population. The IR103 study track will evaluate and compare response to varying doses as well as placebo.
"Our strategies for REMUNE® and IR103 are complimentary with our drive to move REMUNE® into Phase III trials next year and IR103 continuing in Phase I/II. Both products are being investigated in HIV-positive, drug-naive patients and we believe they may be effective therapies throughout disease progression," remarked John N. Bonfiglio, Ph.D., president and chief executive officer of The Immune Response Corporation.
REMUNE® and IR103 are in clinical development by The Immune Response Corporation and are not approved by any regulatory agencies in any country at this time. IR103 combines the Company's patented HIV-1 immunogen with Amplivax(TM), an immunostimulatory oligonucleotide adjuvant. Amplivax(TM) was developed by Idera Pharmaceuticals and has been licensed to The Immune Response Corporation.

Moving with nice volume.
Good call setravis, let's trade this one tomorrow ;) (applaud)
As my first post I'll offer to take on the custodial matter of noting that this gem was moved to the OTC last November. ;)
I bought today because this stock traded on the Nasdaq just two months ago and closed at .08 today.. :o The market cap going from over $60 mil to $5 mil on no significant news looks like overkill. The CFO and former CEO both bought shares on the open market .46-.50 last September according to filings and the new CEO was given options for 6,000,000 shares exercisable at .32. Expecting at least a double from here.

The Immune Response Corporation (IMNR) announced that the final results from a Phase II clinical study indicate that the Company's whole-inactivated HIV-1 immunogen induces HIV-specific immune responses in HIV-infected, antiretroviral drug-naive patients. Specifically, this original formulation product showed potential to stimulate key immunologic parameters and to stabilize the loss of CD4+ cells, which could help prolong the time before these patients need to initiate antiretroviral therapy. The poster was presented at this week's 13th Conference on Retroviruses and Opportunistic Infections (CROI) in Denver.
"CD4+ counts may be an especially important marker of disease progression and we plan to build on this data with our most potent clinical candidate, IR103," noted Joseph O'Neill, M.D., President and Chief Executive Officer of The Immune Response Corporation. "We have two ongoing clinical studies that will investigate IR103 in the drug-naive patient population. We will be expanding them and look forward to reporting the findings."

Is Monday the exit day or is this far from over?

Safe Trading! Good Luck!
Mr TexShar,
I have read the SEC filings since January of this year. One in particular gets my attention;
On February 9, 2006, we entered into and consummated a Securities Purchase Agreement with Qubit Holdings, LLC ("Qubit"). In exchange for $250,000 cash, we issued to Qubit a $250,000 promissory note, secured by substantially all of our assets, bearing interest at 8% per annum, maturing on January 1, 2008, and convertible into our common stock at $0.02 per share, plus 37,500,000 short-term warrants to purchase our common stock at $0.02 per share. In the Securities Purchase Agreement, Qubit also granted us the right to, until August 8, 2006, put to Qubit another $250,000 secured convertible note of like tenor and another 37,500,000 short-term warrants of like tenor, and to thereupon receive another $250,000 cash. We no longer have enough authorized but unissued shares of common stock to enable the conversion or exercise of the derivative securities issued or issuable to Qubit............ :o ???
It appears that this company is running out of options/time/sanity. They do not appear to be in the business of shareholder value. I could be wrong, and would appreciate input/correction from others. That said, your appearance here is suspect and I see no substance to your posting (the one and only to this point). It would appear that you are probably better off back in Yahoo world.......... :-\
Watch what happens today. IMNR is in an ascending triangle and today's action might determine which way the stock price might be heading.
Goodluck trading :)
Break-out! MACD looks good. Stochastic in buy zone. Could be Huge
What do you think will happen now with 8 million financing?
there isn't any known news to support todays move, which I see as purely technical.
i u have profits, i would take them and move on.
the balance sheet is terrible, unlike some other penny stocks like SUWN or XSNX, PTSC, etc.
good luck.
So are you saying that this news will have little effect tomorrow?
CARLSBAD, Calif.--(BUSINESS WIRE)--March 7, 2006--The Immune Response Corporation (OTCBB:IMNR - News) announced today that it has completed a private placement of $8.0 million of secured notes which are convertible into 400,000,000 shares of common stock at $0.02 per share. The secured convertible notes accrue interest at 8% per year and mature on January 1, 2008. Investors also received warrants to purchase an aggregate of 1,200,000,000 shares of common stock at $0.02 per share which have the potential to generate an additional $24 million in gross proceeds. The first tranche of these warrants (600,000,000) expires the later of May 31, 2006, or 45 days following the registration of the shares underlying the warrants. The second tranche of these warrants (600,000,000) become exercisable 70 days after the expiration of the first tranche of the warrants and expire 45 days after they become exercisable. None of these derivative securities will be able to be converted into or exercised for common stock until the Company obtains stockholder approval to significantly increase its authorized number of shares of common stock.
"This offering puts us in a much stronger financial position, giving us immediate capital to pursue our business and clinical strategy," said Michael K. Green, Chief Operating Officer and Chief Financial Officer. "More importantly, the $24 million potential additional proceeds from the two tranches of warrant exercises during 2006 could provide us with long-term capital to complete important phase II clinical trials over the next two years."
Proceeds from the financing will be used to fund the Company's ongoing and planned clinical activities and for general corporate purposes. Spencer Trask Ventures, Inc., an affiliated entity of two of the Company's directors, served as the exclusive placement agent for the transaction.

Wrangler....I have a lot of respect for your comments...and I watched the action as best I could today....I know very little .. this site has taught me more in 6 months than many others in 6 years...so I am at the point that I must read the filings and know quite a bit more now...not just totally technical ... especially pennies...this looks like a trap ...could be wrong... I hope all of you who are long make profits...this Company has nothing to offer but BS so far...if they prove other wise...I shall ask forgiveness from all of you that are much wiser than I....best to you

Will pull back tommorrow may consolidate for a while at or around .02.I got out today at .0265
Had gotten in at .0145 few days back.
i think the news will have a negative effect to the stock tomorrow...the conversion price is a deep discount to today's closing price, and that does nothing to show mgmt's belief is the stock valuation of today.
and the company is trying to increase A/S (authorized shares) which ain't a good sign, especially considering the time frame they plan to make use of the capital generated by today's financing news - 2 yrs.
todau's news does nothing, IMO, to exude confidence in today's closing price and i believe this will take a hit tomorrow.
if anybody has opposing views, feel free to share. :)
I took my profits today. +.079 from this a.m. . Technically this stock looks good but with all pennies you never know when the company will deliver a low blow. Good luck

Hi RJ
I'm not long on IMNR I sold today also @.225 bought on 2-27-06 @.164 I've learned also with penny's to take profit as soon as you can.
What I was refering to at post I did was that IMNR was at the end of the ascending triangle it had to go up or down and anytime a stock is at the end it has got to beat the previous day's high if it's going to go higher and if you see it going below previous day's low then it's time to exit without much loss but if it beat's the high look to make profit and be ready to sell at a point where you can make some money to move on to the next one.
I was alerting those who might have a position to be ready..Me also have learned a great deal from this site and has made such a differance in the way I trade now,it's getting to be exciting instead of wondering if I'm going to loose now it's how much will I gain from my next trade.
Hope you the best of luck trading,,Also listen to elite's TA and you will learn how to be a better trader :)
Things are looking nice Terlisa ;D

Thoughts on the fundementals of IMNR? I am still a bag holder of .6o shares, but made up most of my losses with a quick trade a few weeks ago when it spiked to .26
In the mail i just received notice that IMNR wants to sell 170million more shares and then also do a reverse split.... The notice talks about the need for capital to continue research but gave no indication on how the research is going...
Any one think that IMNR will survive? any one buying here at a dime?
