BUSINESS SUMMARY :
Local.com Corporation provides paid-search advertising services to local and national businesses on the Internet in the United States and Europe. Its services enable businesses to list their products and services in its distributed Internet search results. The company's sponsored listings are derived from its advertiser network, which includes its direct advertisers, as well as indirect advertisers from other paid-search and directory companies. Local.com Corporation supplies these aggregated sponsored listings to its own Local.com Web site and distribution network, which integrates search results into customer's Web sites, in response to targeted keyword searches performed by Internet users on those Web sites. Local.com is a consumer facing destination Web site specializing in local search and provides relevant search results for local business, products and services, and sponsored listings. Its LocalConnect, a search and advertising platform enables its customers to offer local search functionality on their own Web site. Local.com Corporation was founded in 1999. The company was formerly known as eWorld Commerce Corporation and subsequently changed its name to eLiberation.com Corporation. Further, it changed its name to Interchange Corporation in 2003 and to Local.com Corporation in 2006. The company is based in Irvine, California.

Business Overview :

BRIEF: For the three months ended 31 March 2007, Local.com Corp.'s revenues increased 55% to $5M. Net loss decreased 18% to $3.1M. Revenues reflect an increase in the number of revenue generating click-throughs from local business. Net loss was partially offset by a decrease in general & administrative expense due to lower non-cash stock based compensation and a fall in research & development expense due to less consulting expenses. http://www.local.com/

Local.com Granted U.S. Patent Number 7,231,405 for Location-Based Search
Monday June 25, 7:00 am ET

Method of Geographical Searching and Indexing of Data by Location Is Industry Standard for Local Search

IRVINE, CA--(MARKET WIRE)--Jun 25, 2007 -- Local.com Corporation (NasdaqCM:LOCM - News), a leading local search engine, today announced that the company has been awarded patent number 7,231,405 by the U.S. Patent and Trademark Office for the process of indexing and retrieving web-related information by geographical location.

The patent covers local search technology related to identifying location information from web documents, indexing that information and making it searchable geographically. In Local.com's commercial implementation of the technology, the search results are ranked by search term, LocalRank score, location prominence, among other factors. "This patent represents our continued commitment to developing products and services at the forefront of local search innovation. The unique technology related to geographical searching and indexing of web data gives us an advantage over conventional search technologies by providing improved relevance and better overall performance," continued Clarke. Double Bottom (Reversal) Pattern :
The double bottom is a major reversal pattern that forms after an extended downtrend. As its name implies, the pattern is made up of two consecutive troughs that are roughly equal, with a moderate peak in-between.

Although there can be variations, the classic double bottom usually marks an intermediate or long-term change in trend. Many potential double bottoms can form along the way down, but until key resistance is broken, a reversal cannot be confirmed.

It is important to remember that the double bottom is an intermediate to long-term reversal pattern that will not form in a few days. Even though formation in a few weeks is possible, it is preferable to have at least 4 weeks between lows. Bottoms usually take longer than tops to form and patience can often be a virtue. Give the pattern time to develop and look for the proper clues. The advance off of the first trough should be 10-20%. The second trough should form a low within 3% of the previous low and volume on the ensuing advance should increase. Volume indicators such as Chaikin Money Flow, OBV and Accumulation/Distribution can be used to look for signs of buying pressure. Just as with the double top, it is paramount to wait for the resistance breakout. The formation is not complete until the previous reaction high is taken out.

IRVINE, CA--(MARKET WIRE)--May 9, 2007 -- Local.com Corporation (NasdaqCM:LOCM - News), a leading local search engine, today reported its financial results for the first quarter 2007.
"Local.com experienced a sharp acceleration in growth in the first quarter, significantly outperforming our prior guidance. Our search engine marketing delivered better margins than we anticipated and nearly all of our key metrics improved. In the first quarter we closed several distribution deals, grew traffic and completed an $8 million financing," said Heath Clarke, CEO, Local.com. "Our focus for the remainder of the year is to grow organic traffic through continued enhancements to the site and to build our sales channels in order to sell our local ad products."

Q1 Highlights:

--  Revenues -- First quarter 2007 revenue of $4.9 million was $600,000
above our mid-range guidance of $4.3 million. This represented growth
of 55% over the first quarter 2006, and growth of 35% over the fourth
    quarter 2006.

    -  Local Search -- Local search revenue was $4.1 million for the first
quarter of 2007, up 258% over the first quarter of 2006 and up 53%
       over the fourth quarter 2006.

    -  National Search -- Our national search revenue was $800,000 for the
first quarter of 2007, which decreased from $1.0 million in the
       fourth quarter of 2006.

--  Net Loss -- For the first quarter of 2007 our net loss of $3.1 million
was approximately $400,000, or 11%, better than the best end of our
guidance of $3.5 million. This represented an improvement of
approximately $700,000 over the first quarter of 2006 and $100,000
over the fourth quarter of 2006. Basic and diluted net loss per share
    was $0.33.

The net loss includes $1.2 million, or $0.12 per share, of non-cash
expenses consisting of depreciation and amortization ($510,000); stock
based compensation ($491,000); and interest expense related to the
    convertible debenture financing ($160,000).

--  Increased Visitors -- Local.com served 30 million monthly unique
visitors in the first quarter compared to 24 million in the first
quarter of 2006 and 26 million in the fourth quarter of 2006. The
number of visits per user increased to 1.98, up from 1.9 in the fourth
quarter 2006 and 1.5 in first quarter 2006.

--  Increased Monetization -- Revenue per thousand visitors (RKV) was $137,
up 234% from $41 in the first quarter of 2006 and up 49% from $92 RKV
in the fourth quarter of 2006.

--  Signed Distribution Agreement with Idearc Media Corporation -- We
signed a distribution agreement that allows Idearc to place its
    Superpages.com® advertisers' content on Local.com.

--  Signed Distribution Agreements -- We entered into agreements with two
major search companies related to the sale of our local ad products and
monetization of our UK site. Further announcements related to these
deals will be made upon implementation.

--  Launched Local Promote(TM) Basic -- We introduced a new free online
listing service that enables local businesses to quickly and easily
    target local consumers online.

--  Launched Local.com Classifieds -- We integrated about 20 million
    classified listings onto Local.com.

--  Completed $8 Million Financing -- We completed an $8 million
convertible debenture financing and ended the first quarter with $10.4
million in cash and marketable securities.

Financial Guidance:

The company expects second quarter 2007 revenue of between $4.9 million and $5.1 million. We expect the mid-range of local search revenue to be approximately $4.3 million, an increase of 5% over the first quarter 2007. The company expects net loss for the second quarter 2007 to be between $3.3 million and $3.4 million, or $0.38 to $0.39 per share. The loss per share forecast assumes 9.3 million outstanding shares.

The above guidance includes non-cash expenses of $1.3 million or $0.14 per share, consisting of stock based expense of $370,000; depreciation and amortization of $510,000 and non-cash interest expense of $452,000 related to the convertible debenture financing.

I'm in at $10.90.  The volume tells me tomorrow is good for at least 25% open higher.  I'll trim my position around noon tomorrow and keep a eye on the volume.

More shares have traded hands than the number of shares outstanding. That is crazy. It might come close to trading twice the amount of shares outstanding today. If volume is anywhere near the shares outstanding tomorrow (9 million) expect a minimum 25% upside.

There are no more shares left to short so this tells me shorts are going to keep on being forced to cover. Doesn't get much better than this.

I noticed LOCM before anybody posted it on this board but I really think we should point out these high percentage gainers that go up on high volume.  Whenever the stock goes up on high volume it ALWAYS goes up the next day. There are so many examples but the exit points are obvious when the volume falls off the table. For example with LOCM 99.9% chance it will be up tomorrow because of the high volume today. Anyway my point is as investors we should point these stocks out and ride the wave higher. I think this is a good strategy for great gains.

Local.com's Patent Push (http://www.forbes.com/2007/07/02/local-searchengine-patent-markets-equity-cx_ra_0702markets29.html?partner=yahootix)
Ruthie Ackerman, 07.02.07, 4:15 PM ET

Sometimes it pays to stay local.

On Monday search engine Local.com's (nasdaq: LOCM - news - people ) shares rocketed almost 70% Monday after it announced received a patent for the technology it uses that responds to directory assistance inquiries with voice-enabled and text-messaged systems. The patent also includes a referral system which monetizes local searches.

The Irvine, Calif.-based search engine offers local search results and advertising to 10 million visitors a month. The site's mobile service, Local Mobile, sends search results directly to cellular phones and devices.

Shares shot up 69.4%, or $4.80, to $11.72 on Monday following the announcement.

Local.com received a patent for technology that provides businesses with pay-per-click or pay-per-call advertising using 411 and wireless messaging systems.

Heath Clarke, chief executive of Local.com, said that the patent gives the company intellectual property coverage for pay-per-referral in the directory assistance marketplace. "Local.com believes that ad-supported directory assistance is the future of 411 services in the U.S.," Clarke said. "We encourage directory assistance and free 411 companies that are interested in using our intellectual property to enter into licensing agreements with Local.com."

On June 25, Local.com announced another patent which covers technology that allows the company to identify location information, such as a company's address or where its goods are sold, on websites and index that information so that it is searchable geographically.

Jennifer Black, the vice president of marketing for Local.com, said that the company does not have a target list of companies to go after, but is looking into its options.

Jon R. Hickman, an analyst at MDB Capital Group, said how these new patents will affect the stock is hard to determine. "The patents make it more attractive but how much is anybody's guess," Hickman said. "You don't know if other people are infringing on the patent. You don't know how broad the patent is. You don't know if they're going to fight it and demand money from company's [for patent infringement], and you don't even know if the patent is valid until it gets tried in court."

Hickman said he thinks the stock is skyrocketing because of its potential takeout value. "These patents, I think, make people look at the company and say look there's real takeout value here," Hickman said. "Yahoo (nasdaq: YHOO - news - people ) could take it for $200 million and not even blink."

Hickman says the stock has been undervalued for some time. He has a "buy" rating on the stock with a price target of $7.25. "I am not changing anything right now because I'm waiting to see if this is noise or this is real," he said. "I do know they get takeout offers weekly and they weren't entertaining offers seriously. But would they sell for $15 a share? Or $20 a share? It would be hard to turn that down if I was aboard member."

Could Local.com become the Local Search Industry's Qualcomm?
Friday June 29, 5:18 am ET

John Gilliam submits: Qualcomm (NasdaqGS: QCOM - News) has long been envied for its stable of wireless patents that allow it to essentially just sit and collect license or royalty fees. That model is tough to beat - while there is expense in establishing and defending the patents, there is little to no overhead, capital or risk once agreements are in place with end users. From that point forward, QCOM essentially is a toll booth keeper for the wireless telecom companies, nearly all of whom must pass over their bridge. These "tolls" translated to $636 million in EBITDA for QCOM in the quarter ended March 31.

In the online search market, there may be a company that is now positioned to profit handsomely from a similar model. With very little fanfare, micro cap search upstart Local.com announced this week that the US Patent and Trademark office has granted patent #7,231,405 for the process of indexing and retrieving web-related information by geographical location. That the news was not on the front page of the Wall Street Journal is not all that surprising, very few happenings related to companies with such a small market cap get the attention of Wall Street commentators or analysts. However, I think the situation at Local.com bears watching and could turn into a very interesting story.

The patent covers local search technology related to identifying location information from web documents, indexing that information and making it searchable geographically. That is a very broad patent that seems to encompass what the major players in search are already doing with their local search applications. This seemingly opens the door to a tremendous opportunity for Local.com. The breadth of this patent is pretty striking in that it seems to covers much of what Google, Yahoo, AskCity, Verizon, Infospace etc. already do. Though I recognize that QCOM is in a completely different sector with different economics, I thought the similarities in the breadth of their patents in the context of the wireless industry made a good analogy with the untested but seemingly very broad reach of LOCM's patent when viewed in the context of local search. The other big patent dispute in the search arena would have been an interesting case study, but it never made it to trial. Goto.com (later changed to Overture, then Yahoo Search Marketing) invented the pay per click business and patented many aspects required to execute the model. When Google came along (also Findwhat/Miva and others) and developed a better mousetrap that built on some of Overture's patents, they wisely agreed to settle the matter out of court in recognition it would be very difficult to prevail in the lawsuit filed against them by Overture's new parent company (Yahoo). Rather than fight a losing cause vs. a competitor with very deep pockets, Google paid Yahoo a settlement fee in the $300 million range. Miva/Findwhat.com, who was only marginally profitable with the pay per click model, took a similar tack in settling for $8 million plus undisclosed license fees going forward.

While neither QCOM nor the Overture scenario are precisely on point, both give good insight into what we may see happen with LOCM. While the local search industry is in its infancy and is not monetized to the degree we see in the wireless sector, the QCOM situation gives an idea of what kind of revenue can be earned when a company owns patents broad enough to touch just about anything done to monetize that space. The Overture scenario is closer to the heart of the matter in that it deals with search, but I would submit to you that LOCM could be in for much higher compensation than Overture received. First of all, Google had just turned the corner on profitability when it settled. It was pre IPO and Google had all the promise in the world, but nothing like the $12 billion cash hoard of today, not to mention its gargantuan $165 billion market cap. Further, the monetization of search was in its early stages and $300 million seemed like a very large amount at that time. Keep in mind that this was before Google had shown the world how much could be made from search. The investment we have seen from the big players in search since that time and particularly in local search suggests that all appreciate its potential. Thus, it is conceivable that all of the big players would be willing to pay to play if required to do so. If that happens, they all have a lot more to play with now.

The timing of this patent grant is interesting, as a suit alleging that Verizon has infringed on another very broad search patent has just been allowed to proceed to the discovery phase in US District Court in Texas. The owner of the patent, the UK based Geomas, is apparently seeking to establish its right to receive licensing fees from all the major players in search.

Sources have indicated that Geomas may find this to be a fairly tough battle due to the fact that its patent application was filed in the mid 90's before internet search was as common as it is today. In fact, many of the biggest players in search today cite the Geomas owned patent as prior art in their own filings. Further, defendants in the Geomas suit can take the position that Geomas has never developed a working technology based on this patent, as they are primarily an entity that owns intellectual property and they have little in the way of actual operations. Should LOCM decide to follow in the steps of Geomas and go the litigation route, they have a much better set of facts. The timing (this week) of the patent grant and the elaborate technology platform already in use will diffuse any defendant's attempt to use the two most promising defenses Verizon will have to the Geomas claims.

A key question is whether LOCM can afford to take on some of the industry's deepest pockets. LOCM does have a pretty stellar balance sheet for such a small company. It is very rare for a company with a $35 million market cap to have $10 million + in the bank, but LOCM does. With only a very small debt load that leaves its net cash approaching $9 million, it does appear that LOCM could go that route, possibly long enough to extract a significant enough sized settlement that could allow them more resources for litigation against the others. The better question is whether that is the best route to take, as LOCM shareholders might not be patient enough for that approach. Considering the recent flurry of deals among the search elite, they may not have to. As we see more and more deals with ever higher price tags, it would come as no surprise if Google, Yahoo or MSN ponied up to buy LOCM.

With the potential for the local search pie to exceed $10 billion in a few years by many industry watcher's estimates, why would Google or Yahoo sign up to pay $10 - $20 million or so per year or pay royalty fees per transaction that could push it to three or four times that level when they might be able to buy the company outright for $100 million or so? With LOCM's current cash adjusted market cap around $25 million, who is to say that they couldn't pick it up even cheaper - maybe for what could ultimately amount to a couple of years worth of royalty fees? That case is quite compelling when you consider that not only would they be avoiding the royalty fees for years to come, but they can then determine what their competitors will pay as royalty fees.

The type of one-upmanship we have seen with other recent acquisitions by the big search players' (i.e. Google/Doubleclick, Microsoft/Aquantive) recent takeovers suggests to me that a bidding war for LOCM could even materialize. If Microsoft were willing to pay $6 Billion to purchase Aquantive just a few weeks after Google outbid them for DoubleClick - what would either of them pay to own a local search patent that could be used to extract payments of $100 million or more per year from the others? According to various industry sources, the market for online ad spending for local search placements is expected to rise to between $10 - $13 billion annually by 2010.

At last count, Google and Yahoo each command about one third of this market, with MSN , AOL, Ask.com and several yellow page providers taking most of the remaining third. Using the conservative end of those estimates with a total market spend of $10 billion - If Google still controls 1/3 of that market, that would make their annual take about $3.3 billion. What kind of license fee would Google be willing to pay if they were threatened with an injunction that could all but shut down a $3.3 billion revenue per year enterprise? $300 million like they paid Overture? Maybe or maybe not. To spread the risk, suppose instead that they just paid LOCM per transaction (click), some nominal fee like 2% of the revenue. In such a scenario, LOCM would be earning $66 million per year in license fees from Google, with similar arrangements with the other big players in the local search space. Even at just 1% of Google's estimated local search revenue - that would be around $33 million per year, or about 30% higher than the total existing cash/debt adjusted market cap for LOCM. It is the juxtaposition of that kind of fee revenue vs. the current market cap that requires some serious attention.

So how will this play out? Will LOCM get $10 - $20 million per quarter from each of the search players? Will they get 2-5% of local click revenue from each, possibly resulting in even higher quarterly fee revenue? Or will they sell out for $100 - $150 million and let a bigger player with more resources work this patent for even bigger license fees?

Hard to say at this stage, but one thing is certain - existing shareholders who bought the stock near its current range will likely be very pleased with where this story is headed. While LOCM may never receive the $2 billion + per year that QCOM receives in royalty payments, the prospect of earning even $100 million in royalties per year looks pretty good when you have a total market cap of less than half that.

Based off the information we have of this company what do you think the market cap of this company should be in the next year? I'm guessing 300-400 million takeover right now.

300 million market cap/9 million shares outstanding= $33.33 price target
400 million market cap/9 million shares outstanding= $44.44 price target

Nice after hours activity and outside of negative or positive news LOCM will go higher.  Yes I'm pissed I sold Friday too early...I believe it should at leat hit $12.50 by Friday...even if it goes down a little tomorrow.  Speculation will drive LOCM higher.  It's only a $85 million market cap.

$15 is the target next week...then possibly entering the gap. :o

LOCM Thesis 7/3/07

The float is only 8 million shares and we have traded the float several times in the past couple of days.  Eventually this game of musical chairs will stop and people will keep there shares until a buyout.  Once the shares are in strong hands look out.  We will see huge percentage moves since it is such a small float.  A buyout will be $15 plus and should happen soon.

LOCM has the search patents that other companies are already using.  Now that they have these patents LOCM can sue other companies or charge them royalty fees for using their patents.  This could bring millions in revenue.  Analyst suspect LOCM could bring in 100 million plus a year in royalty fees from the new patents.  This should make it a 300-500 million take over target which would make the takeover price $33-$55.  Even if it only brought 200 million market cap that's $22 a share.

If you compare similar search engines they all have market caps well over 200 million so a $22 a share take over is a conservative estimate.  Look at Google for example; they used to have a small market cap.  Imagine if LOCM was the next Google with a 164 billion market cap.  If LOCM ever grew to a 164 billion market cap the price of the stock would be $18,200 a share.  I know I'm stretching this but it is nice to imagine.  You can see the potential here though.

Rather than major competitors face court litigation which could cost millions a Yahoo or Google could buy LOCM without even blinking an eye.  LOCM already has weekly buyout offers but apparently none of them have been good enough for the board's approval.  With the new patents the offers should be much juicier.  LOCM already has ties with Google in the UK so it only makes sense for Google to acquire LOCM or buy them out.

I suspect LOCM will go through a consolidation phase and remain flat for a couple of days.  I still believe LOCM is a triple at these prices.  This is a triple that could happen in less than six months!  I hope it happens later rather than sooner because every paycheck I get is going into LOCM until the buyout happens.  I need sometime to load up more.  Set your homepages to local.com to support the company.

Local.com says Hearst Communications has 22.4 pct stake in company (http://www.reuters.com/article/topNews/idUKWNAS525820070703?rpc=44)
Tue Jul 3, 2007 1:30PM EDT

July 3 (Reuters) - Local.com (LCOM.O: Quote, Profile, Research) said in a regulatory filing that Hearst Communications Inc. has a 22.4 percent stake in the company as of June 23.

In an April 6 filing with the U.S. Securities and Exchange Commission, the U.S.-based Web search services provider had reported that Hearst had a 13.8 percent stake in the company, as of March 29. (Reporting by Shailesh Kuber in Bangalore)

This news means the float has 8.6% less shares. This brings the float from 8.15 million shares to 7.45 million shares. Less supply = higher prices...econ 101  ;D

Now ask yourself why Hearst Media increased there stake? Is it because they plan on selling the company for a higher price? I think so. They know something we don't.

Why would you even think that??
LOCM technically and functionally has no similarity to OPBL.ob.

LOCM finished above the 38.2% fib retracement.  Even though it did go below during the trading day.  I will be ready to buy alot more Thursday morning, if I see a sudden drop then bounce off the 50% fib retracement at $7.80.

Quite the sell-off/shake-out...shall we say price drop at the end of the day.

Ended up with a black candle...but price did finish above the 38.2% fib retracement level.

I surely don't believe LOCM is done....unless bad news hits...I guess.

Kslifka, I don't think it is finished myself just as you.
The black candle, traders taking profits on the big jump up.......
Sweet, Margin sells off and major profit taking leave ample opportunity. Buy... ;)
I see a solid traction to $20.00
Vista deal gaining traction and supported by Hewlett Packard. New financing with potential access to 30 news papers classified/ad sections... Solid support from here !!!

Kslifka...from me another well deserved Applaud for this stock pick....... ;)

Nice looking move today, good action.

CORRECTED - CORRECTED-Hearst Communications reports 22.4 pct stake in Local.
Hearst Communications Inc. disclosed a 22.4 percent stake in Local.com, in a regulatory filing on July 3.

The company said it owned about 2.7 million shares, which included ownership of about 1.5 million convertible notes, Series A warrant to buy 597,105 shares and Series B warrant to buy another 597,105 shares.

The filing reflects new warrants which were revised after cancellation on March 29 to include, but not limited to, changes in exercise period.

In a previous filing on April 6, Hearst Communications showed a 13.8 percent stake in Local.com, as the underlying shares under the warrants were not included in the calculation of ownership.

Earlier in a March filing, Hearst had reported a stake of 22 percent in Local.com, based on the old warrants. (Reporting by Shailesh Kuber in Bangalore)

i think we witnessed a nice short squeeze today. as long as the volume traded is higher than the float LOCM will keep going up.

Looking to get back in LOCM Monday...but at what price...hmm.

Well...the steep 5-day trend is intact....but will it hold.

All day I was expecting LOCM to finish with a small red candle...since it opened at 11.95.  But I didn't expect that morning explosion (probably lots of short covering) to the upside above yesterday's high...and then come back down to leave a long wick on the small red candle.

If it can maintain that 5-day trend LOCM will probably really move up early next week.

If not...we'll I'll have to keep close watch on it.  Still lots of volume which is good. ;)

LOCM getting close to the gap.  I don't like it...right now.  I've been watching for a reversal the past 2 days....and it just keeps going down.

I don't think it will close that gap...but it will probably hang down here for a while.  Obviously news could send this flying since it has such a low float.

I usually don't do this....but I decided to buy a little LOCM after hours for bounce tomorrow.

The stock market was down huge today...and LOCM steadily went down.  It never had any real big downward spikes...thus keeping the 15 minute chart above {RSI} over-sold level.

Volume after hours was still very high...I will probably sell tomorrow...unless we get a nice white candle.

locm lookin decent for a bounce from 8.45, imo... in.

I like the fact that despite conversion of shares, which dropped the price from 13.5, it hasn't really fallen much more, and seems to be consol. at this point... plus with the big search engines running higher in pps, this should draw more interest to locm.

Goog rumors about buying redf should help the rumor of goog buying locm, imo... but we'll see.
