The acquisition news a day before earnings should be positive.  We should meet earnings or beat them, as it would be very unlikely to announce the deal if they were going to miss earnings.  GLTA


Conexant Acquires Zarlink's Packet Switching Business

NEWPORT BEACH, Calif.--(BUSINESS WIRE)--Conexant Systems, Inc. (NASDAQ:CNXT - News), a worldwide leader in semiconductor solutions for broadband communications and the digital home, today announced that it has acquired Zarlink Semiconductor's packet switching business in a $5 million all-cash transaction. Zarlink's packet switching product line includes a range of Fast Ethernet aggregation switches for network access equipment, and is complementary to Conexant's DSL central office (CO) product offering.


"The acquisition of Zarlink's packet switching business allows us to further strengthen our DSL technology portfolio and market-leading presence in broadband access markets," said Akram Atallah, senior vice president and general manager of Conexant's Broadband Access business. "Zarlink's digital switching logic technology is synergistic with our DSL central office product offering, and provides for non-blocking VDSL line card performance. Integrating our respective technologies will enable us to build on our solid foundation in access markets, and provides us with the opportunity to expand the product line into adjacent areas."

Zarlink's packet switch core engineering team has produced six generations of packet switches and management software over the past seven years and has 40 patents and patents-pending relevant to the business. Their team of highly experienced digital switching logic engineers is now a part of Conexant's Broadband Access group, and will be based in the company's headquarters in Newport Beach.

Conexant is the No. 1 provider of DSL semiconductor solutions, and has shipped more than 150 million DSL ports. The company's CO DSL solutions have been deployed worldwide by over 50 major service providers. Customer premises equipment (CPE) and CO semiconductor solutions include a full range of standards-based integrated circuits, software and reference designs for asymmetric and symmetric DSL applications including ADSL2plus, SHDSL and VDSL2. Fiber access solutions include the Xenon family of products for PON applications.

Thanks for the update. I think CNXT will rapidly get back to $2.50 and eventually continue pass $3 back toward the recent 52-week high.

Nothing negative has happened since CNXT was at $3.80 before the May 11th Market crash hit hard.  Nothing fundamentally has changed since May 11th for Conexant.  It will return to the $3 plus range right before earnings, or shortly thereafter.

IMHO, CNXT is a steal below $2.75......Good luck longs.

Thank you.  I don't see how the $100M from Jazz was already discounted by the market.  Can you elaborate on this. Also, what part with Conexant's shares in SIRF, MSPD and SWKS play.

Since CNXT owns 6.2 millon shares on SWKS, what effect will this have on CNXT?

From 1988 to 1989, he was an electrical engineer for the China Ministry of Posts and Telecommunication -- Guanzhou Telecommunications Equipments Manufacture. He has a Bachelor's of Science degree in electrical engineering from GuanZhou Zhongshan University.

Shao was the CFO of US KXD Technology Inc. before joining China Digital. Before that, she was an accounting controller for KXD Digital Entertainment Limited, a Singapore public company. She was an accounting controller for Hainan Pearl River Holding Co., Ltd., a Chinese A/B exchange public company, and Shenzhen Guizhou Light Industry Co., Ltd. She served as an accounting director at Shenzhen Shenmao Group Co., Ltd. from 1998 to 2002. She holds a Master's of Science from the Graduate School of Trade, Economics and Finance at China Academy of Social Science and a Bachelor's of Science in business administration and international accounting from Guangzhou Foreign International Business University. She is also certified from the General Accountants Association of Canada -- China Representation Office.
