JUPITER Global Holdings, Corp. Confirms It Is in Substantive Negotiations With Prospective Acquiror/Merger Candidate

LAS VEGAS, NV -- (MARKET WIRE) -- 02/28/06 -- JUPITER Global Holdings, Corp. ("JUPITER" or the "Company") (OTC: JPHC) today announces confirmation that the Company is in substantive discussions and negotiations with a prospective acquiror/merger candidate. At this stage, the Company is not able to announce any specific terms that may be included in an acquisition transaction, if negotiations are successful, but management believes that the parties to the negotiations anticipate finalizing a preliminary agreement.

As previously announced the Company's Board of Directors has authorized its management to commence preparations to develop a plan to become a target for acquisition or merger by a suitable strategic buyer. That planning continues and the Company's efforts in developing and subsequently executing that plan have begun to produce results such as attracting a suitable buyer.

The Company recently had begun discussions with more than one interested party and within the last several days the Company's efforts has focused on one potential candidate and those discussions have become more substantive in nature. As developments progress and the details of a transaction emerge, the Company will make appropriate announcements and disclosures that are required.

Key items such as the execution of definitive documents and the finalization of the previously announced independent valuation report are some of the items that are required for the negotiations to result in preliminary and final agreements.

JUPITER Global Holdings, Corp. Notifies Shareholders of Significant Progress in Its Corporate Activities

LAS VEGAS, NV -- (MARKET WIRE) -- 03/20/06 -- JUPITER Global Holdings, Corp. ("JUPITER" or the "Company") (OTC: JPHC) today notifies shareholders of significant progress in its developing corporate activities.

JUPITER is pleased to announce that its independent pricing analysis report is near completion and that Management expects the pricing number to be no less than $0.004/share.

This independent pricing analysis report provides two important things to the Company: 1) technical data on the potential value of JUPITER and; 2) a tremendous aid to Management in its discussions with the potential suitors to negotiate the best price possible for the Company's shareholders.

Ongoing discussions with a potential acquirer/merger candidate are progressing at an increased pace and we anticipate a continued move towards the completion of a transaction.

Ray Hawkins, CEO of JUPITER, commented: "The Company set a plan in place, and many of the aspects of that plan are coming together. Shareholders should be very pleased with Management's expectations and enthusiasm."

The independent pricing analysis report is a confidential document that the Company commissioned for internal purposes only to aid the JUPITER board of directors in meeting their fiduciary duties in negotiations with any acquirer/merger candidate. JUPITER retained Evans & Evans to prepare an independent pricing analysis report to assist the JUPITER board of directors in determining a reasonable price for JUPITER in contemplating any transaction with any acquirer/merger candidate.

Although Management is encouraged at this stage of the discussions, no assurances can be given that an acquisition or merger transaction will be agreed to by the parties or that such a transaction will be approved by our shareholders, if required.

gmarc66

Ok....did well...was hoping for more...but, couldn't get beyond the high of day at .001, ended up closing at the same pps that it gapped open to this morning...so, still held the bulk of its gains. I'm still holding...i guess i could have sold then rebought again..but, everytime i do that, it takes off  and i cant get back in at a low enough price...unfortunately, though this did not happen today.

I still think this guy is going to run...call me crazy...i've been called that before many times ;D Some good merger news should do it...or maybe the news that we got yesterday a/f will just take some time to sink in...lets watch and see..lol

Hope some of u guys made some bank on this today.

P.s ...did anybody see AUGC? What!

gmarc66

The 8-k out late morning caused a small rise, decent vol. 8-k gave a positive feel that the an aquisition/merger is imminent...and thats what many traders are waiting for...a confirmation. There are rumours on other boards that news regarding this (hopefully what we're waiting for :)) will be out this week. It is expected to move nicely if all goes thru as anticipated.

JUPITER Global Holdings, Corp. Announces Filing of Form 8-K/A Current Report With Audited Financials of Macro Communica

LAS VEGAS, NV -- (MARKET WIRE) -- 04/17/06 -- JUPITER Global Holdings, Corp. ("JUPITER" or the "Company") (OTC: JPHC) today proudly announces it recently filed with the U.S. Securities and Exchange Commission an amended Form 8-K /A Current Report disclosing the audited financial statements of Macro Communications, Inc. ("Macro") for the periods ending December 2003 and December 2004. The amended Current Report also includes the required unaudited proforma financial information that now includes the acquisition of Macro.

In the month of September 2005 JUPITER completed its acquisition of Macro, a US-based telecom services company. JUPITER believes this amended filing completely supports the conclusion that JUPITER is now on its way to being a business with sufficient sales and assets to eventually achieve meaningful earnings per share and to continue to build value for its shareholders.

The amended Current Report confirms Macro's audited revenues of $18,808,567 for the period ended December 31, 2003, $ 11,871,442 for the period ended December 31, 2004 and unaudited revenues of $4,754,684 for the period ended June 30, 2005. Further details disclosed in the amended Current Report can be found in the aforementioned amended Form 8-K/A Current Report.

Our recent Form 8-K filing continues Management's plans and objectives for the Company to finalize its reporting obligations following the acquisition of Macro in September 2005 and it facilitates our continuing discussions that Management believes will result in a material transaction with a potential acquirer/merger candidate. Management further believes that such discussions have recently progressed to a level where the Company now anticipates the successful completion of a transaction within the very near term.

Although Management is encouraged and remains optimistic at this stage of the discussions, no assurances can be given that an acquisition or merger transaction will be agreed to by the parties or that such a transaction will be approved by our shareholders, if required.

JUPITER Global Holdings, Corp. Provides Update Regarding Current Corporate Plans

LAS VEGAS, NV -- (MARKET WIRE) -- 04/21/06 -- JUPITER Global Holdings, Corp. ("JUPITER" or the "Company") (OTC: JPHC) today provides an update regarding its current corporate plans.

JUPITER is pleased to announce that the Company is in the final stages of completing a prospective merger transaction with an acquirer/merger candidate. The Company now anticipates the announcement of a transaction is imminent.

Today, the Company filed a Form 15 with the U.S. Securities and Exchange Commission, which terminates or suspends the Company's duty to file periodic reports with the Commission and effectively makes JUPITER a non-reporting company. The Form 15 filing is a prerequisite of the merger transaction and is a positive development for the Company and its shareholders, as the filing of the Form 15 completes another step in a series of steps needed to accomplish the completion of a merger transaction.

Although Management is encouraged and remains optimistic at this stage of its prospective merger, no assurances can be given that an acquisition or merger transaction will be actually closed by the parties or that such a transaction will be approved by our shareholders, if required.

APO Health, Inc. and JUPITER Global Holdings, Corp. Announce Signing of Definitive Agreement and Plan of Merger

OCEANSIDE, NY -- (MARKET WIRE) -- 04/25/06 -- APO Health, Inc. ("APO") (OTC BB: APOA) and JUPITER Global Holdings, Corp. ("JUPITER") (OTC: JPHC) today jointly announced their execution of a Definitive Agreement and Plan of Merger (the "Merger Agreement") pursuant to which APO has agreed, through a wholly owned subsidiary, to acquire 100% of the issued and outstanding common shares of JUPITER, and JUPITER has agreed, at the closing of the transaction, to become a wholly owned subsidiary of APO. As consideration in the merger transaction, APO has agreed to exchange shares of its common stock ("the Issuable Shares") with JUPITER's shareholders at an exchange ratio, which is subject to adjustment under the Merger Agreement that values the JUPITER shares at $0.005 per common share.

Jan Stahl, the Chief Executive Officer of APO, commented, "APO is making a shift in its business future and JUPITER, and primarily its subsidiary, Macro Communications, Inc. (http://www.macrosouth.com), presented the best opportunity for us to build a significant operation under a new direction for our shareholders. Our aim was to chart a new course for APO that would result in accelerated growth and increased shareholder value. The challenges we have experienced in growing our health subsidiary prompted the development of our plan for change that included a process of looking for opportunities outside of the health industry and ultimately develop a business with holdings that could provide for significant value creation. Macro Communications, Inc. is a business that we believe has vast potential. It is currently a multimillion dollar operation that has a business plan which includes other acquisition candidates and a comprehensive strategy for growth and profit generation. We look forward to welcoming the JUPITER shareholders as APO shareholders and feel very strongly on the new combined entities moving forward."

Ray Hawkins, the Chief Executive Officer of JUPITER, commented further, "The execution of this agreement results from a diligently prepared and successfully executed plan that we had implemented to move JUPITER forward for the future growth of the company, and ultimately for the enhancement of value for the JUPITER shareholders. APO is a solid company which currently is a multimillion dollar operation, and we feel this merger provides a great opportunity for our shareholders' growth prospects. We are very pleased with the valuation that we received from APO and feel it is fair for our shareholders. We look forward to the consummation of this transaction and setting things in motion to develop a new path of success for the combined corporations."

The parties have agreed to use their best efforts to consummate the transaction by May 10, 2006, or as soon as practicable thereafter.
