WorldWater & Power Corporation Completes $4.45 Million Financing and Recapitalization

Funding for Current Projects, Working Capital, Sales Growth


PENNINGTON, N.J., July 26 /PRNewswire-FirstCall/ -- WorldWater & Power Corp. (OTC Bulletin Board: WWAT - News), developer of high-horsepower solar energy systems, announces the completion on July 22 of a $4,000,000 financing agreement with the hedge fund CAMOFI Master LDC, an affiliate of Centrecourt Asset Management, LLC, a New York based asset management firm. In addition to the private placement, the recapitalization includes $450,000 in exercised warrants, and reduction of long-term debt by $900,000 through stock conversions.
The financing consists of $3 million of 10% senior secured convertible notes due 2008 and 4,259,260 shares of common stock for a purchase price of $1.02 million.

Upon the closing of this private placement, WorldWater received the purchase price for the shares of common stock and $1 million of the purchase price of the convertible notes. The $2 million balance of the purchase price of the convertible notes will be held in escrow by a commercial bank pending the satisfaction of the following conditions: $1,000,000 will be paid to WorldWater from the escrow when the Company's common stock is trading at or above $0.40 per share and trading volume exceeds 500,000 shares for a period of 10 consecutive days, and $1,000,000 will be paid upon the execution of new contracts for WorldWater's products and services in the aggregate amount of $5,000,000. The convertible notes bear interest at the annual rate of 10%, payable monthly in arrears, and are due and payable July 21, 2008. The notes are convertible into WorldWater common stock at a price of $0.18 per share.

The proceeds of this financing and recapitalization strengthen the Company's balance sheet and will help fund the Company's current project implementations, anticipated sales growth, working capital and intellectual property development.

Of the $450,000 raised through the exercise of warrants held by current Company shareholders, $400,000 has been used to reduce its outstanding line of credit from $1 million to $0.6 million. The conversion to common stock of $900,000 of outstanding convertible debt reduced the Company's long-term debt.

Hello Everyone!

This will be my first «official» pick ;)

WorldWater Corporation  (WWAT) is a solar engineering and water management company. The Company designs, develops, and markets proprietary technology with water and power applications.

WWAT is having a very powerful technical behaviour in the last weeks... Volume has increased a lot, a first primary breakout in late July caught our attention, now after some accumulation, and we have a «classic» G-Pattern on the way.
Friday's session showed another volume increase, breaking out the G-Spot price level. The candle has a big spike, but $0.48 was just 1 minute candle with no technical relevance, which means that we just watched a closing value near the actual real tradable high of the day.

This pattern shows that «real» money is entering the stock, and this could be only the beginning of a bigger movement... Also take a look at recent good news from WWAT

It's very difficult to find such a good looking chart... So WWAT is one of our 3 Penny Candidates for today...

Yesterday, WWAT had a nice session, again with increasing volume and a nice advance.

For technical purposes only, the $0.33 price level should be the main downside reference (breakout zone of the G-Spot), and we can start using an ascending support line (yellow on the chart) has the short term leading line.

I consider this move as the second move, and it's still on development, the first move was made on the middle of July, which created conditions to break the overall pattern of WWAT. Now, this new move has the real potential of boosting WWAT to new price levels... I'll give some time, and room for that to happen, taking in consideration the major downside references. ;)

Good Morning,

There's no special update for WWAT today... The stock has behaved on a nice way, holding up these levels and closing on the high of the day. Volume went down a bit, but with no special technical effect.

So we maintain the plan ;)

FWIW-
The deal WWAT did on 7/27 with CAMOFI ldc, a private hedge fund is quite interesting. WWAT get $2.45 million now and another $1million when stock trades above .40 with 500,000 avg. daily volume for 10 consecutive days. Also, they get $1million when they close $5 million worth of new deals. Talk about incentives! All the best.

Yesterday WWAT had another correction day with low volume. Probably it's trying to reach the area of the ascending support line, like it did during July.

Situation is under control, let's wait and see how this move is going to develop.
I'm thinking to use the yellow line (ascending support) as a stop level on close.

Friday was another correction, leading WWAT shares to the ascending short term support. Just a little below there's the $0.33 support level which was the trigger of the last upside movement.

I'm not enjoying very much the recent down move, but I'm expecting this zone to work as a support, if not, I'll have to drop this position and take a loss.
