I'm looking forward to seeing what AMRE can do this week.  Its subsidiary, NAUC, had a very nice week last week.  See David's Randolph's analysis regarding how undervalued AMRE is with NAUC at $2.14: http://www.3stocksonfire.org/trading/index.php?topic=1992.0

NAUC closed at $3.23 on Friday, so add another $1.00 to David's analysis.  If the NAUC pps stays up, and the mainstream catch on to this disparity, I think we can get a nice pop out of AMRE.  I was on board for the last ride, and it was so much fun, that I wouldn't mind doing it again.   ;D

.63, I think we have the mo-mo headed in the right direction!

I hope we got the mo-mo going in the right direction.
By the way NAUC has been performing, I thought AMRE would be up more at this point.
May be a better day is in store for tomorrow.

Stock Lemonade may be cashing in on creating panic.

Introduction to Stocklemon.com
This page is devoted to the exposure of Stocklemon.com and its tactics and the Company's response to the short sellers and stock manipulators associated with Stocklemon.com.

We find the self-serving statements made in Stocklemon.com's distorted reports to be damaging to our real long-term investors who have a right to make their investment decisions based on accurate disclosure, such as that found in the Company's SEC filings and through their own due-diligence.
Who is Stocklemon.com?
Stocklemon.com has a history of taking unsupported accusations, misleading statements, outdated information and unrelated facts and posting them on their website in an effort to cover its principals' short positions in the company's on which it "reports." It is not a coincidence that the Stocklemon.com campaign began immediately on the heels of the Company's stock achieving an all-time high of $4.52 per share.

As previously pointed out by the Company, the principals of Stocklemon.com may have short-selling positions in the companies they claim to have issued an unbiased report about. Unlike real journalists who work for respected papers, such as the Wall Street Digest and The Wall Street Journal, who do not have a vested interest in the outcome of the stock price of the companies on which they report, Stocklemon.com's sole purpose seems to be to profit by driving down the prices of stock in which they have short positions.

The disclaimer on the Stocklemon.com site speaks loudly:

"Disclaimer: Stocklemon.com does not guarantee in any way that it is providing all of the information that may be available. We recommend that you do your own due diligence before buying or selling any security. At any times the principals of Stocklemon.com might hold a position in any of the securities profiled on the site. Stocklemon.com will not report when a position is initiated or covered. Each investor must make that decision based on his/her judgment of the market." [Emphasis added]

When the author of the recent Stocklemon.com "report" on the Company was interviewed by Ed Taylor, a reporter for the Tribune, he admitted to taking positions in the stocks on which he reports. Read the article for yourself here:

Firm sues author of scathing report
A Short-Selling Primer
We thought a brief explanation of short selling would be helpful to those who are not familiar with the concept. Stocklemon.com and its operators engage in transactions that benefit from the fall of stock prices. Stocklemon.com conducts these transactions in company stock immediately prior or subsequent to its issuance of a negative report on the company in question – a report that often is replete with unsupported and defamatory accusations. Stocklemon.com issues these reports knowing that they are likely to drive down the stock price of the company. Here is how short selling works:

Introduction to short selling
The Stocklemon.com Scheme
The Stocklemon.com disclaimer plainly admits that it does not provide all of the information that may be available. This type of selective reporting and selective disclosure is the key element of Stocklemon.com's scheme. Complete and accurate disclosure would be antithetical to the purpose of Stocklemon.com. Presenting a report of complete information in a manner that is current, accurate and fair would not achieve the goal to which Stocklemon.com has pledged itself – the distortion of truth with the intent to exact downward pressure upon stock prices in which it holds short positions. It is quite simple. It is also illegal!

To further its scheme, Stocklemon.com and its promoters then use various stock chatboards to talk up a Stocklemon.com report. Interestingly, if you research the posters on these sites, you will find the same posters on other sites related to other companies that Stocklemon.com has issued reports upon. Is it a coincidence that the same people just happen to always have positions in "problem" companies that Stocklemon.com suddenly discovers? It is more likely that these posters are plants and/or active collaborators with the principals of Stocklemon.com in the short selling of these companies' stock for their personal gain. You, as the reasonable investor, will have to decide for yourself.
YP.Net- The Truth
The reports issued by Stocklemon.com are designed to detract from true fundamentals of this Company.

YP.Net Reports Approximately 144% Increase in Revenue, 227% Increase in Operating Income and 114% Increase in Net Income

We ask our long-term investors, who believe in the soundness of our business model and the strength of our fundamentals: "Why should you believe misinformation that is admittedly designed to allow the person providing that information to profit at your expense?" It is because of our ardent belief that it is inherently unfair and unreasonable to allow our stockholders and the investing public to be assailed with such fabrication and manipulation that we promptly filed suit against Stocklemon.com and its promoters to prevent further damage to innocent investors and the long-term value of our stock.
Transparency vs. Concealment
Unlike YP.Net, Inc., which is required to produce public disclosure about its business, business practices, officers, directors and results of operation, Stocklemon.com does not provide any disclosure.
Who is the principal(s) of Stocklemon.com?
What is their phone number? Where are they located?
How do they make money?
We know it is not from their website. The only way Stocklemon.com makes money is through manipulation...of the investing public and stockholders like you.
Our Challenge
We challenge Stocklemon.com to produce the foregoing information, to end its covert tactics and to stop using the I Internet as a citadel of deceit and attack. Disclose who you are and disclose the positions you have had in each company upon which you report. Finally, disclose the ill-gotten profits you have reaped on these transactions.
We Are Not Alone
In the interim, we think the public will find the following news articles interesting. They speak volumes about the practices of Stocklemon.com.

Second "Report" by Stocklemon
YP.Net's Answers inRED

January 12, 2004
Stocklemon Responds to Allegations Made by YP.NET Inc.

On January 8, 2004, Stocklemon released a report on YP.Net. YP.Net has gone through much effort to defend itself. Stocklemon would now like to go on record as saying the company is not as bad as reported in the first article.

Stocklemon.com did have some oversights in its first report and would like to take this opportunity to clarify statements made.

In the first report Stocklemon claimed that Angelo Tullo had 2 personal bankruptcies.
Correction- Mr. Tullo does not have two personal bankruptcies.
As the company told you last time, Mr. Tullo does not have any personal bankruptcies. Because, Stocklemon.com now finds that it cannot support this position, it now throws out another allegation instead.

Actually, Tullo has not filed Federal Income Tax Returns Since 1995. Please reference in the below link item 21 page 9. Bankruptcy Case.
Once again, Stocklemon.com is faced with yet another untruth. Mr. Tullo has filed all of his personal tax returns and paid any tax due, as well as those of Sunbelt Financial, Inc. through the 2002 tax year. Interestingly, Stocklemon.com cites a link to a bankruptcy court case minute entry that only exists on its site. It is not part of the bankruptcy court record.

Stocklemon Reported that Greg Crane is the president of YP.Net
Correction- Mr. Crane is Executive Vice-President and Board Member, which is important for Sarbanes Oxley regulations.
Once again Stocklemon has been required to correct its previous "disclosure" due to an inaccuracy.

In the FTC suit against YP.Net, dated 2001, we see the name on the defendant list of Michael Bloomquist. According to court documents, Mr. Bloomquist was a director of Telco Billing, a wholly owned subsidiary of YP.Net. The same court document tells us:
The FTC suit against YP.Net occurred in June of 2000. The date referenced above is the date of the Final Commission Order, which specifically included the provision that no wrongdoing was found against the Company or any of the individuals. The Company made minor changes to its solicitation since that date and complies with and exceeds all of the agreements reached with the FTC.

Mr. Bloomquist has not been an officer, director or employee of YP.Net or its subsidiary Telco Billing, Inc. since the date that the public company YP.Net (then called RIGL) acquired Telco Billing, Inc. on June 19, 1999.

"Mr. Bloomquist has formulated, directed, controlled, or participated in the acts and practices of TBI d/b/a Yellow-Page.Net and PMI, including the acts and practices set forth in the complaint."
This statement was included as part of the original FTC complaint, dated June 26, 2000. The FTC complaint was based on information that occurred under prior management's watch. This was an allegation that was not proven in court nor was any case or evidence presented to support it. The ultimate conclusion in this case was that there were no findings of wrongdoing found against the Company or any individuals associated with the Company.

Michael Bloomquist is currently in Prison for Tax Fraud
As noted above, Mr. Bloomquist is not associated with the Company.

Angelo Tullo gets paid through his company Sunbelt Financial. On the conference call Tullo referred to the people at Sunbelt as "his team". Even though Tullo holds all his stock is Sunbelt he claims that ownership lies in the hands of Hickory Management, which is the successor of the majority position to Gladstone Enterprises (same mail box etc box as well).
Mr. Tullo does not hold all his YP.Net stock in Sunbelt. In fact he currently holds 450,000 shares personally. As president of Sunbelt, the 3.825 million shares that Sunbelt owns are shown in Mr. Tullo's beneficial ownership column on the regulatory filings of the Company due to Mr. Tullo's dispositive power over those shares. In addition Hickory Management is the owner of Sunbelt and is not affiliated with Gladstone Enterprises.

According to YPNT SEC filings, Gladstone Enterprises was controlled by Douglas Carpa.
Therefore, per our answer above, whether or not Gladstone is affiliated with this particular Douglas Carpa is of no concern to the Company.

History of Angelo Tullo

Tullo has a history of using his new companies to pay the court settlements of his old companies. Stocklemon believes that he is using the funds of YP.Net to pay off the debts left by the settlements of A BF, as we do not believe he was exonerated. Please read the document below that appears to be a judgment from the court.
There is no such document available from the court. Again here is an example of Stocklemon.com trying to use innuendo, as this document appears nowhere else except on its site.

Prior To the ABF Bankruptcy, according to court documents, Tullo controlled and operated a company called HVAC. HVAC was accused of and sued for obtaining funds through a phony accounts receivables scheme." Tullo agreed to pay the settlements costs of $1.078 million. The payments on this settlement were made by Tullo's new company, American Business Funding. (page 4) Bankrupcy Case.
Again, Stocklemon points to a document that does not exist except on Stocklemon.com's site and is not a judgment of any court. There is no finding by any court of any wrongdoing on the part of Angelo Tullo. Rather, Mr. Tullo has been dismissed from all cases related to American Business Funding Corp. ("ABF") by New Horizon Capital ("NHC"), the successor in interest to ABF. However, NHC obtained judgments against the other members of ABF management. See joint press release.

Tullo and Antigua

In the same court document we read that Tullo and Montelone caused attorney Bill Gibney to form, Alteza Limited, and Antigua Company, which had an Antigua Bank Account. (page 5 article 10) Bankrupcy Case
Mr. Tullo had never been to Antigua prior to October 2003 when he and several fellow members of the Board of Directors traveled to Antigua to negotiate the termination of the revolving line of credit with Morris & Miller, Ltd. and Mathew and Markson, Ltd. In addition, Alteza Limited is not an Antigua company but rather is domiciled in the Grand Cayman. Again, Stocklemon.com refers to the same document cited above that does not appear anywhere but on their site.

Where are the Independent Directors?
In the press release dated January 5, 2003, YP.Net claims that Angelo Tullo has been exonerated
This was a joint press release with New Horizon Capital, LLC., the successor in interest to American Business Funding, Inc., whose Managing Member co-wrote and attested to its accuracy.

What was most interesting about that press release was the exalting quote of YP.net independent board member Daniel Coury. Is Coury really independent? In the below link you will see how Tullo sold Coury his house for $10 in the midst of the ABF Bankruptcy proceedings. Is this ANOTHER violation? Tullo House
Mr. Coury purchased the house that Mr. Tullo inherited from his father for full market value. Mr. Coury put down $20,000 in cash and obtained a new loan from Washington Mutual Savings Bank for the purchase of the house. It is customary, when title companies prepare a transfer deed to use the language "For ten dollars and other valuable consideration" when referring to the purchase price. In the same place that Stocklemon.com found the deed referenced above, they would have found the $180,000 deed of trust (mortgage) for the Washington Mutual Loan. This is another example of Stocklemon.com not giving you all the information when it was readily available.

On January 8, 2003, YP.net held a conference call. Yet, the never put out a press release that advertised this conference call. Management of YPNT must learn that lying to your friends is bad but lying to your investors is ILLEGAL.
In response to investors' inquiries relating to Stocklemon.com's misinformation campaign, the Company believed that it was prudent to hold a single conference call to address all of the inquiries at one time rather. This was not an earnings conference call and we did not reveal material non-public information during the call. Accordingly, we were not required to issue a press release informing the public of the call on advice of outside SEC counsel.

Stocklemon has never been involved in any SEC proceedings.
Stocklemon.com has a complaint filed against it with the Securities and Exchange Commission, file number S7-23-03. This complaint alleges the same kind of activity that Stocklemon.com is pursuing in its smear campaign against YP.Net. We have been informed by counsel that this complaint is still outstanding and we are looking into its status.

During the conference call the company states that the William Cooper that is the signer for the M&M corps., is not the same Cooper that is wanted by the US Government for fraud and money laundering. He actually used the words, "absolutely not"
As Mr. Tullo explained on the conference call, current management has not interacted with anyone named William C. Cooper, William M. Cooper or William Cooper in connection with YP.Net. Management is not aware of any current connection between this party and the M&M corporations.

According to the US Senate Subcommittee on " Correspondent Banking, a Gateway to Money Laundering" The Antigua Management and Trust Company is run by William Cooper and his wife. Stocklemon assumes that is Ilse Cooper.
This is a perfect example of Stocklemon.com asserting assumptions as fact. In any event, it is immaterial to the Company since current management has no involvement with a William Cooper. With the cessation of the revolving Loan Agreement, Morris & Miller, Ltd. and Mathew and Markson, Ltd. will be treated like all other shareholders.

Most importantly, it is the opinion of Stocklemon that Tullo sounds like a total buffoon. It is obvious he is trying to hide the identity of M&M and while doing it makes himself sound like a third grader who has been caught in a lie. We believe that this conference call will one day become a piece of evidence used against YP.net.
The author of Stocklemon.com is of course entitled to his opinions, so long as he doesn't damage innocent investors. The outside auditors, the NASD and the SEC have availed themselves of the information regarding the M&M's and have been satisfied with the information provided to them.

When Stocklemon reported that William Cooper was the beneficiary of the "M&M" accounts it was because he or his wife is the signer on the accounts.
Again, assumptions unsupported by facts.

It is not illegal for the largest shareholder of a company to have a criminal background. Yet, it would be illegal if any of those M&M companies belonged to Greg Crane, who is an officer and director. There have been many transactions with this offshore corp, including loan agreements up to $20 million collateralized by stock.
Greg Crane does not own either M&M company. The Company, its auditors, forensic auditor, the SEC, the FTC, the Company's Board and the NASD have reviewed the situation and have found no evidence to support Stocklemon.com's claims.

Accoring (sic) to Sarbanes-Oxley Section 402, "it is unlawful for any issuer to directly or indirectly though any subsidiary to extend or maintain credit, to arrange for the extension of credit, or to renew the extension of credit in the form of a personal loan to or for their directors or executive officers."
Stocklemon.com has even misquoted Sarbanes-Oxley to you. The above quote is, but of course, only part of the information. Sarbanes-Oxley does not force a company to cancel existing lines of credit or loan agreements that were in force at the time it became effective. It only prohibits the creation of new lines of credit or extensions of existing lines of credit.

Stocklemon believes that both M&M companies belong to Crane and therefore all of the actions to date are ILLEGAL and Crane has been illegally taking money out of the company and breaking the law. Here are two of the reasons why Stocklemon has come to this conclusion.

In 1999 FLW LLC. Signed over a piece of property with a value of $1.2 million to Morris and Miller. Greg Crane was the agent on the transaction
Crane_Trust
Again, Stocklemon seeks to misinform. As disclosed in our SEC filings, Greg Crane has served as a liaison to the M&Ms for sometime. In that capacity, it would not be unusual to see his name associated in transactions with the M&Ms that are unrelated to the Company.

A search on the ownership FLW LLC. shows none other than the Crane Family Trust.
This property was not signed over to the M&M's. This transaction is not the sale or transfer of a property by the Crane family to the M&M's. This was a mortgage loan transaction whereby the property was used as collateral and when interest rates dropped it was replaced with conventional bank financing. This agreement predates the acquisition of Telco Billing by the Company. At the time of the transaction, the M&M's were not even shareholders of YP.Net. This is another example of Stocklemon.com's misinformation.

When Greg Crane tried to get control of the Sex.biz trademark, he did so through Matthew and Markson (alleged offshore and unknown entity)
Perfect example of a transaction unrelated to the Company or the Company's interests where Mr. Crane acted as a liaison for Matthew and Markson. This transaction we are told was done to promote abstinence before marriage. See link: www.moral-sex.com.

EPSTEIN, WEBER & CONOVER, P.L.C.

The auditors of YP.NET should read Sarbanes Oxley

Stocklemon is calling for the immediate resignation of the auditors. If Stocklemon was able to uncover these inconsistencies in 3 days, than why couldn't Mark Weber discover these within 3 years.
As the company has pointed out throughout its response to Stocklemon.com, the facts do not point to any inconsistencies. The Company has more than adequate controls and goes beyond the written requirements of Sarbanes Oxley by, for example, hiring the services of an independent forensic examiner who makes unannounced visits (not less than once per quarter and more frequently at his discretion) and reports to the independent Board Members and outside auditors.

Challenge- If within the next 15 days, a truly independent, national auditing firm is retained to do re-audits Yp.net for the year 2003, and no material restatements to the just filed 10-K are required, Stocklemon will pay the cost of the audit
When the time is appropriate, the Company will interview to obtain a larger auditing firm. For a Company that is currently listed on the OTCBB, the Board believes a firm of the size and reputation of Epstein Weber & Conover fills the needs and budget of the Company.

We do hope that Stocklemon.com will stand true to its offer when we do hire a larger national auditing firm. The savings will come in handy!

Part 3 Report to be on the Business of YP.Net

Stocklemon has reason to doubt the numbers and revenues being presented by YP.Net and their auditors due to their lack of disclosure on other issues. We believe that the character of the company alone is enough to cast doubt on any revenue figures they put forth. In part 3, Stocklemon will review the financial state of the company as well as look into the business practices of YPNT. Their questionable business practices have most recently been discussed in the Dallas Morning News on 12/24/03.
As disclosed in our SEC filings, Currently, our direct mail marketing program includes a direct mail solicitation, which is made up of several pages describing in detail our products, services, pricing, instructions on how to sign up for the service as well as how the potential advertiser will be billed. Included in this solicitation is a promotional sign-up incentive, generally in the form of a $3.50 activation check ("Sign Up Check"), made payable in the name of their business. If a potential advertiser is interested in, and wishes to order our service, all the advertiser needs to do in order to sign-up for our service is deposit the incentive Sign Up Check in the advertiser's bank account. Because a check made out to the name of a business can only be deposited in that businesses account, the advertiser's bank then acts as a third-party verifier, confirming that the solicited advertiser is in fact the advertiser ordering the service. This deposited check then acts as a written Letter of Authorization ("LOA") (authenticated by the advertiser's bank), which we obtain from each and every advertiser prior to activating any service or billing.

Once the Advertiser deposits the Sign Up Check, a series of events begins. Our staff then places a telephone call to the Advertiser to confirm the sale, update the business information to be listed, provide our toll free number and obtain additional information to build the Mini-Webpage™ for the Advertiser. During this call, our staff again asks if the Advertiser has any additional questions regarding our service and repeats our toll-free number for any future questions.

In addition to the written Letter of Authorization and telephone call, we also send each and every new Advertiser a written "Order Confirmation Card" within 30 days, thanking them for choosing to do business with us, informing them of our 120-day no risk money back policy, verifying the advertising information to be displayed, confirming their order and the monthly fee which they have agreed to. We also again at this time provide the Advertiser with our 800 number so that the Advertiser may call us at any time and ask any additional questions which they may have in the future or to simply cancel the service.

We have found that this form of solicitation is cost effective, quick and easy for the potential advertiser, efficiently and effectively provides third-party order verification, effectively eliminates potential slamming or cramming issues, complies with and, in many instances, exceeds the United States Federal Trade Commission ("FTC") requirements as established by the agreement that we signed with the FTC in September 2001, and helps ensure our goal of 100% advertiser satisfaction.

Stocklemon intends to vigorously defend all statements made in this report. We look forward to defending statements in this report in a court of law. We can only hope that the regulators take notice to YP.net and take appropriate action. Stocklemon only wishes to print the truth. Cautious Investing To All.
In an effort to protect our investors, YP.Net sued Stocklemon.com on the same day Stocklemon.com's smear campaign began. YP.Net calls upon Stocklemon.com to thoroughly examine the sources of its misleading information. Stocklemon.com may be relying upon misinformation supplied by a disgruntled former employee with an axe to grind and little concern for the truth, or Stocklemon.com may be driven only by economic benefit flowing from a short term artificial depression in YP.Net's stock price.

When Stocklemon.com admits that it has relied on misinformation, it can mitigate its exposure by immediately correcting and retracting its misstatements.
