I'm not surprised that the accusation would come, but nope, I'm not Raven. I don't have nearly that much time on my hands. I don't post very often, but if you actually read my past posts you'll find that my opinions have been quite different than his. I'm certainly more civil. I do appreciate it, however, when people have strong opinions and back them with facts and numbers.

My current opinion is that the bear argument is extremely persuasive. The company has a lot of work ahead of it if they want to resuscitate the stock. I believe this will be compounded when they come back for more cash. The fact that they hired an investor relations company says to me they need more cash and must do something about the share price so they can get cash at more reasonable terms.

That said, I love the business. I am a happy repeat customer, and I would love to own part of it. Before I do, I want to see how they will resolve the coming cash crisis. If it turns out that they don't need more cash or they can get it without more dilution then sign me up. At that point I'm a long term buyer.

I already own another stock in similar circumstances: SVVS. [Similarities: both have good positions in their respective marketplaces; both have large convertible overhangs; both are fighting to get and stay over a buck with attendant delisting worries. Differences: BFLY has FAR better revenue growth, SVVS has cash, SVVS doesn't have a patrone, delisting or reverse split is far more imminent concern for SVVS, SVVS communicates better with shareholders, BFLY (ex)CEO doesn't drop $241,000 (not a typo) on an evening's entertainment @ Scores] As you can see, one of these beauties is probably more than enough for the porfolio of even the most risk loving speculator.

BFLY is looking strong in pre-market. I expect a nice rally today maybe into $1.3 plus. We shall  see I guess.

Wax

Whoa simply amazing. It is now over 70 RSI and heading up on 200 MA. I am a bit nervous about a dip tomorrow although earnings will be officially released Thurs. Either way I am looking for a $1.58ish exit. GLTA

I hope nobody got burned on this one.

newnewbie = terabemo = 3stocky = wiseman213, etc...

I think this guy has been booted from this site a couple of times now but he resurfaces with the same scam.

Multiple alias pumping low-floaters prior to earnings.  Betcha he exited BFLY yesterday afternoon...probably pumped it at numerous sites to try and drive up pps.

Highlights for the fourth quarter included:

-- Gross margin expanded by 150 basis points to 41.8% from 40.3% in fourth quarter 2004;

-- Revenue increased by 46% to $21.2 million from $14.5 million in fourth quarter 2004;

-- Gross profit increased by nearly 52%;

-- Operating income of $131,000;

-- Cash balance increased by $4.3 million to $9.4 million.

Highlights for the full year 2005 included:

-- Gross margin expanded by 160 basis points to 39.1% from 37.5% in 2004;

"We are extremely pleased with our fourth quarter and full-year results," said Melissa Payner-Gregor, Bluefly's chief executive officer. "Bluefly successfully drove top-line sales to record levels in the fourth quarter while we expanded our margins by 150 basis points in the quarter and 160 basis points for the full year, and we reported operating income in the fourth quarter of 2005 that was comparable to the fourth quarter of 2004. We are encouraged by what we believe to be the preliminary positive effects of the national advertising campaign we began in fiscal 2005. Our results reflect approximately $3.2 million of spending on the campaign, primarily in the third and fourth quarters. We will continue to invest in this campaign in fiscal 2006 and are planning for solid increases in our top-line results, while maintaining margin levels comparable to those achieved in 2005."

Other financial results for the fourth quarter and the full year were as follows (all comparisons are to the fourth quarter of 2004 or the year 2004, as applicable):

-- Net loss for the fourth quarter was $55,000, compared with net income of $7,000 in the fourth quarter of 2004. Net loss per share (which includes preferred stock dividends) was $0.07 per share in the fourth quarter of both 2005 and 2004.(1)

-- Net loss for the year increased to $3.82 million from $3.79 million for 2004. Net loss per share decreased to $0.54 in 2005 from $0.55 in 2004.(2)

-- New customers acquired during the fourth quarter increased nearly 27% to 53,887 from 42,572. New customers acquired during the year increased 17% to 148,975 from 127,177.

-- Marketing expenditures for the fourth quarter increased to $3.3 million from approximately $601,000. Marketing expenditures for the year increased to nearly $6.3 million from nearly $1.5 million.

-- Gross average order size for the year increased by 17.5% to $220.17 from $187.32.

Well I got greedy and broke a few rules on this one.

A) I had a VERY nice profit going in a short time. I was in @ 1.11
B) I held through earnings. Why I don't know. This equates to me selling off for around my entry and loosing the nice profit I had built up.
C) A valuable lesson was learned again.

 Maverick Capital and Prentice Capital Agree to Purchase $50 Million Stake in Bluefly

June 05, 2006 17:57:01 (ET)

NEW YORK, Jun 05, 2006 (BUSINESS WIRE) -- Bluefly, Inc. (NASDAQ SmallCap: BFLY), a leading online retailer of designer brands, fashion trends and superior value (www.bluefly.com), today announced that private funds associated with Maverick Capital, Ltd. and an entity affiliated with Prentice Capital Management, LP reached a definitive agreement to purchase $50 million of newly issued common stock from the Company.

In connection with the transaction, private funds associated with Soros Fund Management LLC, collectively Bluefly's largest stockholder, agreed to convert all of their preferred stock into common stock. $25 million of the proceeds will be retained by Bluefly to grow its business and fund working capital. The balance of $25 million will be used to repay debt to the Soros funds, as well as to pay accrued dividends on the preferred stock being converted in connection with the transaction.

"Bluefly is now in an outstanding position to expand its growth," said Melissa Payner, Bluefly's Chief Executive Officer. "We believe this new capital will enable us to increase our marketing results without the need to raise additional capital prior to achieving profitability. The investment will provide Bluefly with a far simpler capital structure with conversion of nearly all of the preferred stock. We also have significantly strengthened our investor base with the addition of Maverick Capital and Prentice Capital."

"We are extremely excited about our investment in Bluefly," said Brian Zied of Maverick Capital. "Bluefly has generated a record of strong operating performance to date, and this transaction will provide the Company capital to accelerate its growth and progress toward profitability."

"Bluefly has a unique e-commerce business with powerful economics, significant customer traction and strong management," said Michael Gross of Prentice Capital. "Together with the other strategic investors, we believe this transaction will help the company build upon its solid foundation and take advantage of the exciting opportunities in front of it."

Under the terms of the deal, the Company agreed to sell $50 million of newly issued common stock at a price of $0.82 per share, representing a 11% premium over today's closing price. The closing is subject to certain customary conditions and is expected to occur prior to the end of the month. Following the closing, the Soros funds will collectively own approximately 39% of the Company's outstanding common stock, while Maverick and Prentice will each own approximately 24% and will each have a representative on the board.

This press release does not constitute an offer of any securities for sale. The shares of common stock to be issued to entities affiliated with Maverick Capital and Prentice Capital will not be registered under the Securities Act and may not be offered or sold absent registration under the Securities Act or an applicable exemption therefrom.
