Sirius Upgraded at JPMorgan

By TSC Staff
1/16/2007 6:35 AM EST

Two big Wall Street firms weighed in Tuesday on investors' hopes for a merger of satellite radio outfits Sirius (SIRI - commentary - Cramer's Take - Rating) and XM (XMSR - commentary - Cramer's Take - Rating).

<%@ include file="/includes/requestparams.jsp" %>

JPMorgan upgraded Sirius and XM to overweight from neutral, saying satellite radio is well on its way to becoming a standard feature in new cars. The firm said the companies' growth prospects are cooling but remain strong, with tens of millions of subscribers due to be online by 2010. It said a merger is possible this year but that regulators aren't certain to go along.

Banc of America Securities downgraded XM to neutral from buy, saying there's significant risk if the Washington-based company doesn't pull off a merger with New York-based Sirius. Banc of America also said a merger would take years to fully integrate.

Shares in both companies have rallied in recent weeks as deal chatter has grown ever louder. The news comes after a year in which both companies pulled back on their subscriber growth forecasts and pledged to keep a lid on costs as their shares fell.

XM and Sirius May Be About to Merge
Monday February 19, 1:34 pm ET
Satellite Radio Rivals XM and Sirius Could Announce a Merger Deal Soon

NEW YORK (AP) -- Satellite radio rivals XM and Sirius could announce a merger deal as early as Monday, The New York Post reported.

The Post, citing an unnamed person familiar with the matter, said that XM Satellite Radio Holdings Inc. and Sirius Satellite Radio Inc. were in advanced negotiations but that the deal could still fall apart.

Spokesmen for both companies didn't return calls and e-mails seeking comment.

Speculation about a potential merger between the two companies has persisted for months, and analysts and company executives say such a deal could have significant cost savings. However, many remain skeptical that a deal would be able to pass regulatory scrutiny.

A clause in the Federal Communications Commission ruling granting licenses to the satellite radio operators says that one company cannot own the other one, but the FCC would have the power to change the rule if it chose to. Any deal would also have to pass an antitrust review at the Department of Justice.

The New York Post reported that XM's chairman Gary Parsons would likely keep that title in the combined company, while Sirius' CEO Mel Karmazin would become CEO. It wasn't clear if XM's CEO Hugh Panero would remain.

The shares of both Sirius and XM tumbled more than 40 percent last year on concerns about whether the rapid growth both companies had seen would continue. Both stocks have gained support in recent months from speculation that they would attempt to merge.

XM's stock rose again on Friday after an analyst said in a research note that a merger would have a good chance of passing regulatory hurdles.

New Study Shows That SIRIUS-XM Merger Enhances Audio Competition
Thursday June 14, 12:47 pm ET
Report from Leading Economist Concludes SIRIUS-XM Merger Will Expand Programming Options, Improve Content Quality and Benefit Consumers

NEW YORK and WASHINGTON, June 14 /PRNewswire-FirstCall/ -- Thomas Hazlett, the former Chief Economist of the Federal Communications Commission, Professor of Law & Economics at George Mason University, and a principal in Arlington Economics, today released a study regarding the merger of SIRIUS Satellite Radio (Nasdaq: SIRI - News) and XM Satellite Radio (Nasdaq: XMSR - News).
The paper, "The Economics of the Satellite Radio Merger," explores the financial and strategic rationale behind the SIRIUS-XM merger and concludes that the merger offers the potential to yield substantial efficiencies, benefit consumers and enhance the dynamics of competition within the audio entertainment marketplace. The paper was prepared for XM and SIRIUS and was filed today at the Federal Communications Commission (FCC) as part of the companies' merger application.

Commenting on the merger, Professor Hazlett stated, "After a thorough analysis, it is my opinion that the merger of XM and SIRIUS will predictably enhance consumer welfare. The National Association of Broadcasters' (NAB) staunch opposition to the merger illustrates their similar expectation. The improved economic vitality of a combined satellite radio company would drive industry innovation, promote competition and enhance programming and pricing options for customers."

Key findings from the study include:

The proposed XM-SIRIUS merger will increase competition among providers of audio entertainment.

-- AM/FM radio -- "free radio" -- competes with satellite radio, as
evidenced by long-standing opposition by terrestrial stations to
satellite rivalry and to the proposed merger.
-- If the terrestrial broadcasters genuinely believed that the merger
would substantially increase price, they would support -- not oppose --
the merger, given that higher prices for satellite radio would
translate into larger audiences and ad revenues for them.
-- Since satellite radio first appeared on the scene, broadcasters have
consistently attempted to restrain this new service to protect their
interests at the expense of market competition.

Numerous independent investment analysts have concluded that the proposed merger will yield substantial efficiencies.

-- The merger is expected to lift the financial prospects of satellite
radio, lower capital financing costs, and foster economies of scale.
Consensus estimates identify cost synergies of between $3 billion and
$7 billion in net present value.
-- These efficiencies will permit more aggressive investment in satellite
systems and products and prompt competitive responses from terrestrial
       broadcasters and other rivals.

By any measure, satellite radio is dwarfed by terrestrial radio.
-- The most common measure of economic size is revenue. Terrestrial
broadcasters accounted for over $21 billion in sales in 2006, as
compared to just $1.6 billion for satellite -- less than 7% of overall
       radio broadcasting revenues.
-- In market value, terrestrial stations have an estimated enterprise
value, in aggregate, of about $82 billion as compared to about $9
billion for XM and SIRIUS combined.
-- XM and SIRIUS compete in a complex and dynamic market.  When iPods and
other digital audio media are considered in addition to terrestrial
broadcasting, satellite's revenue share falls to 4%.

Consumers will benefit from the proposed merger.
-- By combining two small players in the audio entertainment market, the
transaction will bring economic vitality to satellite radio.  This, in
turn, will sustain a wide range of valuable consumer options and spawn
       new services and products.
-- Consumers benefit from lower-cost products and services, as well as
wider program choice.  By combining operations, satellite operators
seek to create greater scale economies in radio receivers, and to
supply a wider array of popular programming to subscribers.

There is intense inter-modal competition among providers of audio entertainment.

-- Consumers have a wide range of audio entertainment choices, including
       advertising-supported terrestrial broadcasting, subscription satellite
radio, MP3 devices, and other emerging digital media.  The fact that
there are widely disparate pricing models among these platforms
demonstrates that the competitive frontier is largely defined in terms
of quality and convenience of service, rather than price.
-- Taking the fluid nature of the market into account, it is clear that
satellite radio broadcasters are not dominant players but compete with
a host of other products and services.

Investment analysts see the merger as an attempt by satellite radio providers to drive costs down and to offer a more competitive product.

-- Independent projections show an increase in subscriber growth and more
       programming choices -- a strongly pro-consumer outcome.
-- A merger that reduces effective prices to subscribers and delivers
billions of dollars worth of cost saving efficiencies is in the public
interest under either a "consumer welfare" or a "total welfare"
       standard.

Hazlett concludes that it is for these reasons that Wall Street analysts have argued in favor of this transaction since long before the parties negotiated a merger agreement. Likewise, these same reasons serve as the basis for incumbent broadcasters' opposition.

The analysis and views expressed in this study are solely those of Professor Hazlett, whose research on both high-tech markets and economic regulation has been published in leading economics journals and law reviews. Professor Hazlett received financial compensation for his time in assembling this paper.

Congressional Chairs Oppose XM / Sirius Satellite Radio Merger
Thursday June 21, 8:18 am ET

Todd Sullivan submits: It looks like Congress is getting into the act against the proposed satellite radio merger.

A bipartisan group of 72 Congressional leaders sent a letter Monday to the chairpersons of the Federal Communications Commission, the Department of Justice and the Federal Trade Commission, opposing the merger of the nation's only two satellite radio companies, XM Satellite Radio Holdings Inc. (NasdaqGS: XMSR - News) and Sirius Satellite Radio (NasdaqGS: SIRI - News), saying "On its face, we believe that sanctioning the marriage of the only competitors in the satellite radio market would create a monopoly which would be devastating to consumers," the letter said.

Among the Democrats signatories are Budget Committee chair John Spratt of South Carolina, Agriculture Committee chairman Collin Peterson of Minnesota, Rules Committee chairwoman Rep. Louise Slaughter of New York and presidential candidate Rep. Dennis Kucinich of Ohio.

Among the 25 Republicans who signed the letter are former House Speaker Rep. Dennis Hastert of Illinois, Republican whip Rep. Roy Blunt of Missouri and Tom Cole of Oklahoma, chairman of the National Republican Congressional Committee.

Earlier I posted my thoughts on the possibility of the merger based on the reaction to the Whole Foods (NasdaqGS: WFMI - News) and Wild Oats (NasdaqGM: OATS - News) attempt. This action by Congress all but assumes this one is dead. While not unusual for those in Congress to chime in with their opinion , in this seemingly new era of a market segment anti-monopolistic attitude, I cannot see how they will allow the merger.

Personally, I think the Wild Oats / Whole Foods opposition is laughable, but a combination of XM /Sirius does create only one satellite radio company, and last time I checked, that was a monopoly.

Seeking Alpha
Congressional Opposition May Deter Sirius/XM Merger
Thursday June 21, 5:43 am ET

The M & A Researcher submits: The last week for the Sirius (NasdaqGS: SIRI - News)/XM Satellite (NasdaqGS: XMSR - News) deal has seen a few interesting, although far from surprising, developments.

First, the companies submitted a commissioned report authored by Thomas Hazlett which naturally touts the merits of the merger while refuting the NAB's claims against the merger. The only real revelation, or rather question, surrounding this report is its timing. It seems somewhat odd that the companies would allow so much momentum to develop against the merger to this point, when a report of this nature could have effectively quelled much of the negativity had it been prepared months ago. The report is available on a this site, which was recently created by the companies to publicize the transaction.

Second, the American Antitrust Institute published this report (on 6/6) in opposition to the merger. The report has been subsequently filed with the FCC and is available as an ex parte filing on the regulator's transaction page.

Third, and perhaps most important, 72 members of the U.S. House of Representatives have signed a formal letter of opposition to the merger. This highly publicized event is remarkable mostly by the fact that no bloc of Congress has come together (at this point) in favor of the merger. Thus, there is currently no political counter to the growing opposition with the beltway, and there is no indication that organized political support will develop any time soon. It should also be noted that this type of concerted political opposition to a merger transaction is extremely rare, as opposition from Congress usually comes in the form of a small group of representatives.

It should also be noted that many of the Congressional opponents are indeed supported by the National Association of Broadcasters. But this in itself is neither surprising, nor terribly significant in the overall scheme of things. The political opposition is real and evidently increasing, and connections to the NAB will have little, if any bearing on this development.

Finally, the ex parte filings posted to the FCC have shifted somewhat to the positive where consumer groups are concerned. However, the groups in question are essentially fringe elements with relatively small public reach when compared to some of the more established groups currently opposing the deal.

As noted from the outset, the public participation in the FCC review will be both extremely voluminous and contentious as the review proceeds. It is pointless to keep score or give much weight to individual filings, on either side of the issue at this early stage. However, it must again be noted that the recent influx of filings has leaned towards support of the merger. This will likely swing back to opposition in the near future.

Once again, this publication estimates the chance of a successful deal completion to be roughly one in three. The recent political involvement tends to push the odds down slightly, although it is too early in the regulatory processes to suggest that this opposition can not be overcome.
