IRVINE, Calif., June 13, 2005 /PRNewswire-FirstCall via COMTEX/ -- Cardiac Science, Inc. (DFIB, Trade), a leading manufacturer of life-saving automatic public-access defibrillators (AEDs), announced today that it has expanded its multi-year strategic distribution agreements with GE Healthcare, a division of General Electric Company (GE, Trade).

Under the agreements, GE Healthcare will market Cardiac Science's complete line of Powerheart(R)-brand external defibrillators on an exclusive basis to hospitals in the United States and Canada. In addition, GE also confirmed the assignment of the distribution agreements to the new corporate entity being created by the pending merger transaction between Cardiac Science and Quinton Cardiology Systems, Inc. (QUIN, Trade).

The agreements provide GE Healthcare exclusivity in North American hospitals, based on certain annual performance criteria, for Cardiac Science's complete line of defibrillators including Powerheart(R) G3 AEDs, Powerheart(R) CRM(R) and Cardiac Science's new traditional "crash-cart" in-hospital external defibrillator, which is currently pending 510(k) approval by the U.S. Food & Drug Administration and is anticipated to be released for worldwide sale this summer.

Cardiac Science's Chairman and Chief Executive Officer Raymond W. Cohen said, "These agreements confirm that GE Healthcare will market the soon-to-be-released "crash-cart type" defibrillator in North American hospitals under the Powerheart(R)-brand and internationally under the GE Responder(R) brand post our pending merger with Quinton. As is the case with the existing line of Cardiac Science Powerheart(R) AEDs, the new traditional "crash-cart" hospital external defibrillator incorporates the Company's patented STAR(R) biphasic technology and RHYTHMx(R) analysis software. The new product will be manufactured by Cardiac Science under the Powerheart(R)-brand for sale by GE Healthcare in North American hospitals, and on a private label basis under the GE Responder(R) brand name for sale by GE Healthcare in Europe, Asia, the Middle East and other international markets.

GE Healthcare first began selling an OEM version of the Cardiac Science- manufactured AEDs internationally in the late 2003. In October 2004, Cardiac Science made its first shipments to GE Healthcare of its G3 PRO AED, designed for medical professionals, under the Responder(R) label.

the merger with Quinn is done.  Quinn has no debt and plenty of cash.  Price went down, people want in.  Then comes consolidation.  I would like to see $2.50 in a month.

Cardiac shareholders set merger vote date
Monday August 1, 2:01 pm ET


Cardiac Science Inc. shareholders will vote on the possible merger of Cardiac and Quinton Cardiology Systems Inc. on Aug. 31.
The meeting will be held at the Stradling Yocca Carson & Rauth law offices in Newport Beach. The proxy statement and prospectus will be mailed out this week to shareholders of record as of July 14.


The new company will be called Cardiac Science Corp.

Under the terms of the agreement, Cardiac (NASDAQ: DFIB - News) shareholders will get 0.10 of a share in the new company for every share of Cardiac, while Quinton (NASDAQ: QUIN - News) shareholders get 0.77 of a share. The company will be 51 percent owned by current Cardiac shareholders and 49 percent owned by holders of Quinton.

Quinton is based in Bothell, Wash., and makes cardiovascular monitoring equipment. Cardiac is based in Irvine and manufactures defibrillators.

The military branches awarding contracts to Cardiac Science include the Birmingham, Alabama-based U.S. Army 81st Regional Support Command, the U.S. Army Corps of Engineers, Louisville District; the Maine National Guard and Fort Hood, Texas, the largest active duty armored post in the country. Fort Hood supports two full armored divisions and covers a total of 339 square miles.

Along with providing AEDs to the U.S. Army 81st Regional Support Command, Cardiac Science will also train more than 2,600 of its personnel at numerous locations in Alabama, Florida, Georgia, Mississippi, Kentucky, North Carolina, South Carolina, and Tennessee. Cardiac Science Receives Approval From the Japanese Ministry of Health to Market Its Biphasic Version AEDs in Japan

IRVINE, Calif., Aug. 25 /PRNewswire-FirstCall/ -- Cardiac Science Inc. (Nasdaq: DFIB - News), a leading U.S. manufacturer of life-saving automatic public-access defibrillators (AEDs), announced today that it has received approval from the Japanese Ministry of Health, Labor and Welfare (MHLW) to market a biphasic version of the Company's AEDs in Japan. The biphasic AED product, a private-labeled OEM version of Cardiac Science's flagship Powerheart® AED, will be marketed in Japan under the CardioLife® brand name by Nihon Kohden Corporation, (Tokyo: JP: 6849), Japan's largest medical device manufacturer.



"This is a major milestone for Cardiac Science, one that will allow us to begin realizing significant sales in Japan as we enter the fourth quarter of 2005 and into 2006 and beyond," said Raymond W. Cohen, Cardiac Science Chairman and CEO.

"This biphasic submission has been under review by Japanese regulators for over two years, well beyond our initial expectation. As AED demand has grown in Japan, so has the demand for biphasic version AEDs. This regulatory delay has allowed one of our competitors with an approved biphasic version to make up ground in this market. As a result, our 2005 shipments to Japan dropped off substantially from strong second half 2004 levels. We are now able to get aggressively back on the playing field and continue making inroads into this important market. As mentioned in our recent investor conference call, Nihon Kohden reports that substantial demand exists for our biphasic AED product. Tokyo-based Nihon Kohden, which has approximately 650 sales people in Japan, began selling Cardiac Science-manufactured AEDs in the second quarter of 2002 and quickly became the AED market share leader in Japan by selling approximately 10,000 Cardiac Science-manufactured AEDs to Japanese physicians and hospitals.

In 2003 Japan's MHLW approved the use of AEDs by non-medical persons marking a significant shift in the Japanese ministry's view toward the use of AEDs, which formerly could only be legally used by physicians, paramedics and trained flight attendants in airplanes. Now any Japanese citizen or organization can deploy an AED after undergoing a course in AED operation.

According to published market analysis, the Japanese AED market has the potential to be approximately 60,000 units per year by 2010 roughly 20 percent the size of the combined U.S. and European markets. Current buyers of AEDs in Japan include medical and dental clinics, hospitals, fitness centers, airports and airlines.

Potential AED users in Japan include thousands of commercial buildings and government facilities as well as approximately 90,000 physician offices, 53,000 police, fire and emergency vehicles, 41,000 schools, 2,000 golf courses, Japan's extensive railway system and consumers.

Among other things, AEDs employ technology that allows for an electric shock to be delivered to the heart using either a monophasic or biphasic defibrillation shock waveform. That is, current can travel in a single direction throughout the shock (monophasic), or the direction of the current can be reversed partway through the shock (biphasic). Studies have proven that biphasic waveforms are efficacious as compared to traditional monophasic waveforms using similar energy levels and may decrease damage to the heart.

Cardiac Science's patented STAR® biphasic 'self-tracking active response' waveform customizes the defibrillation therapy for each patient by measuring each patient's ability to conduct electricity (impedance) and automatically customizing the waveform for that specific patient by varying duration, voltage and energy in order to optimize external defibrillation efficacy. In clinical studies conducted using out-of-hospital data, STAR biphasic was able to successful restore normal patient rhythm in less than 55 seconds using only 2 shocks on average.
