Item 1.02 Termination of a Material Definitive Agreement

     On September 1, 2006 Headliners and Michael Barnett mutually rescinded
the agreement pursuant to which Headliners was to have sold 10,000,000 shares
of common stock to Michael Barnett for a purchase price of $100,000.
Headliners returned the funds to Mr. Barnett, and Mr. Barnett returned the
shares to Headliners.

Indicators start to look at the north  . Certainly financing Cornell will not allow to return in the near future on 52 Wk High $ 0.23, but to jump up on a level 0.02 - 0.04 HLEG can without problems. Small actions is a gamble, they play under the laws. (Only my opinion)

What is the sense of strong dilution on this level? Compare to NT10-Q/2004 we could see this on Nov 21-22 this year too.
