On November ___, 2006, the board of directors of the Company (the "Board of Directors") and the stockholders of the Company holding a majority of the outstanding shares of common stock of the Company approved an amendment to the Articles of Incorporation


• to change the Company's name from SAFE TRAVEL CARE, INC. to Titan Energy Worldwide, Inc. and

• to effect a Fifty (50) for One (1) reverse stock split, whereby, as of the record date, each stockholder shall receive One share for every Fifty shares then owed.
