SOYO Announces The New Honeywell SecuraDrive RFID for Government and Government contractors

All intelligence agencies, operations departments, logistics departments, etc., etc., will demand the capabilities that SOYO's Honeywell SecuraDrive™ possesses. It is also a known fact that minority and women-owned enterprises get preferred status with U.S. Government contracts. I don't know how many SOYO-built Honeywell products the U.S. Government will buy, but there is tremendous potential IMO. I can imagine many high-level military officials, members of Congress, etc., will end up owning the SecuraDrive. I remember when a few members of Congress started using BlackBerrys a few years ago, pretty soon it became a must-have device.

Here is the announcement:

New Stealth Encryption Technology by SOYO Changes the Rules

Wednesday October 29, 9:15 am ET

The New Honeywell SecuraDrive RFID

SAN JUAN CAPISTRANO, Calif. and ONTARIO, Calif., Oct. 29, 2008 (GLOBE NEWSWIRE) -- SOYO Group Inc. (``SOYO'' or ``Company'') (OTC BB:SOYO.OB - News) and Cali Micro Global, a certified woman owned HUB Zone Company, announced today the release of the Honeywell SecuraDrive(tm) RFID to the Government and Government contractor's.

Cali Micro Global's Managing Director, Darryl King commented, ``The new Honeywell Pocket Size SecuraDrive(tm) RFID changes the rules for portable encrypted hard drives. As the distributor of choice to the Government and Government Contractors for SOYO's Honeywell product lines, I can honestly say that this is one of the most ground breaking products I've ever seen in my 22-plus years in the IT sector.''

Designed and manufactured by SOYO Inc., The Honeywell SecuraDrive(tm) RFID is a 2.5 inch external USB 2.0 hard drive, with either 250GB or 500GB of Government grade secure storage. The Honeywell SecuraDrive(tm) RFID utilizes two powerful technologies, Radio-frequency identification (RFID) and Advanced Encryption Standard (AES) 128bit encryption. The RFID is an automatic identification method that stores and remotely retrieves data. The 128bit password uses AES, which is a block cipher that was adopted by the U.S. Government as its encryption standard. It has been analyzed extensively and is now used worldwide.

``We are very impressed with Cali Micro's success in sales to U.S. Government agencies and contractors,'' said SOYO's Chairman and CEO, Ming Chok, ``Cali-Micro is very highly respected certified Minority Owned fully compliant IT firm. All of us at SOYO are excited to work with Darryl King and the Cali-Micro team.''

Darryl King continued, ``I've sold countless external hard drives over the years and now all of those hard drives are absolutely obsolete. The information you secure on this hard-drive can be kept from the Operating System unless you want it to be seen. It's absolutely stealth to other users on the network. If your network is compromised your critically sensitive information isn't. What I like the most about SecuraDrive RFID is simplicity; you can be protecting your files within moments after opening the box.

``This product is hot and in electronics, hot products are hard to keep in stock. If you want portable encryption then you need to order as soon as possible before we get to the allocation stage. We are the premier choice for internal and external encrypted hard drives since we represent both manufacturers in the space. We have everything from pocket size encrypted hard drives to small book size encrypted hard drives that hold 1.5 TB of information with 256 Bit encryption. We even have hardware driven encryption for internal use. Any questions can be directed to me at my office 949-218-2364, extension 717 or via e-mail to [email protected].''

J&R DOES A TREMENDOUS JOB MARKETING SOYO PRODUCTS. THIS WEEK IT'S FEATURING THE 32" PLASMA IN THE 400K CIRCULATION AM NEW YORK. LAST WEEK THEY USED THE NEW YORK TIMES. It's a win-win situation because J&R knows that the 32" plasma TV is very popular due to its 5-star reviews, low price, great quality, and a free 1-year in-home repair warranty. J&R sells a few TVs and more importantly for them, they are able to bundle other products. For SOYO it's also great because heavy advertising and high visibility enhances brand recognition

SOYO $ 0.68 EXPECTS EXPONENTIAL GROWTH IN THE 2nd HALF OF 2008 and 2009 PER 8/27/08  UPDATED GUIDANCE:

HIGHLIGHTS:

- on 8/27/08 SOYO guided for a VERY strong 2nd half of 2008 with revenue ranging from $80M to $95M. This compares to a $110M revenue in 2007 and 58M in 2006. Total 2008 revenue is expected to range from $135M to $150M.  The current fully diluted market cap is $35M.

- SOYO expects to net 5 - 6c/share for the second half of 2008 or 6 - 7c/share for FY 2008.

-  3Q and 4Q net income will be significantly higher than 1Q and 2Q despite the high transportation costs that have reduced first half net income from 3c/share to 1/c/share because of the deployment of the high-margin Honeywell HDTVs.

- The 3Q and 4Q net income estimate of 5 -6c/share might actually be conservative because the company has applied a surcharge to the record 2Q's transportation costs to estimate 3Q and 4Q transportation costs. However, since the start of 2Q crude oil, gasoline, and diesel prices have come down and they may continue to do so once the hurricane season is over.

- The expected ramp up in 2nd half revenues is due to an accelerated growth for SOYO products as well as the deployment of the company's "top tier" or Honeywell line of LCD and plasma HDTVs with sizes up to 82" and a 120,000:1 contrast ratio...the highest in the indusrty

- The company expects 2009 revenue and profit growth in line with historical trends. SOYO has grown revenues at over 30% Y/Y and net income at triple digit rates the last 3 years.

- The company increased the number of stores where it will sell its SOYO and Honeywell products by over 300% to over 3000 stores since the last quarter. In Canada alone it has agreements with WalMart Canada, Staples, Costco, Office Depot, Canadian Tire, The brick, etc. In the US it has Office Max, J&R, DataVision, CompUSA, Microcenter, Rex TV, and many others.

- SOYO will launch its new top-tier line of Honeywell HDTVs after Labor Day. The first units will arrive to customers next week.  The company expects to announce which big box retailers will carry Honeywell HDTVs, LCD monitors, portable storage, and Bluetooth products.

- SOYO announced that has inked a deal whereby it will sell its Honeywell and SOYO products to the 60,000 US-based Honeywell employees through a new Honeywell's internal website that will be available in September, 2008.

- The company announced in the recent 2Q 2008 CC that t it has received bank approval for a $40M loan pending some conditions that the company is working to fulfill ASAP. With the new financing, SOYO will grow from a $140M/year revenue company to a $300M - $400M/year company paving the way to become the next LCD TV giant.

- SOYO insiders own 0ber 50% of the company. The CEO and CFO continue to add shares. The CEO and CFO each bought 750,000 shares at $1.25/share in April 2008 while the stock was trading at 75c/share.  To minimize dilution the CEO and CFO each returned 600,000 shares to the company for options granted in 2008.  Early this month, the owner of the $3.5M preferred and also an insider, converted it into 2.75M shares or $1.2/share while the stock was trading under 70c.

HERE ARE SOME EXCERPTS FROM 8/27/08 PRESS RELEASE:

SOYO Inc. Updates Financial Guidance for 2008

Wednesday August 27, 9:30 am ET

ONTARIO, Calif., Aug. 27, 2008 (GLOBE NEWSWIRE) -- SOYO Group Inc. (``SOYO'' or ``Company'') (OTC BB:SOYO.OB - News), today announced its earnings and business guidance for the remainder of 2008.

During its August 13th Earnings Call, SOYO's management adjusted its projected 2008 top line revenue projections slightly from $140 - $145 million to $135 - $150 million.

Based on the expected rollout of new ``Top Tier'' brand products and other market conditions, SOYO anticipates an extraordinarily good fourth quarter in terms of top line revenue and profit. The company also believes revenue and profit growth for 2009 will remain healthy and more in line with its historical growth pattern on a quarter over quarter basis.

Looks like the SOYO PR campaign will start after Labor Day.  This might be the last week to be able to buy SOYO under $1.0

This is what Craig Bird of Segue Ventures told investors in SOYO's Investors Group Website in response to the lack of news while apparently the company had been making significant progress in several fronts...new chains offering its products like Staples, Costc, J&R, The Brick, etc....financing....Honeywell deployment, etc.:

..."Finally, let me offer to you the well known cyclical nature of investing, which is, investing slows down considerably during the summer months.  Let me just say that after Labor Day, when almost everyone is back from their vacation and schools are in session, SOYO will be more visible in the investment and public relations community. "

...."It is my belief that press releases and other investment communications media will have a greater positive impact on SOYO's market valuations September through November than during the vacation summer months of July and August..."

Coincidentally, SOYO went from 50c to $1.8 last year from September to November. This time, however, SOYO is lot stronger fundamentally than last year.

Stock Picking / Re: VOCL

VOCL Up 20% at 40c

Highlights:

- $1.4/share cash no debt.

- VoIP Pioneer.

- CSCO and  Deutsche Telekom own over 50% of the company.

- The float is only 3.5M shares.

VOCL recently collected over $9M from the sell of some of its patents:

http://biz.yahoo.com/bw/080721/20080721005646.html?.v=1

With the $2M cash they reported last week they have over $11M in cash. The Outstanding shares are only 7.2M shares. This means that VOCL is trading about $1/share below cash.

The company has reported great news recently that will have a significant effect in future quarters. Here is an example:

Solar power gets a big boost from Pacific Gas deal

http://www.usatoday.com/money/industries/energy/2008-08-17-solar-electric_N.htm?csp=34

By Paul Davidson, USA TODAY

Electric utilities are warming to solar power in a shift that promises to turbocharge a technology that has been hindered by high prices and slow consumer adoption.

Pacific Gas and Electric (PCG) in California announced last week it will buy 800 megawatts of solar-generated electricity from two companies, enough to light 239,000 homes. Within three years, PG&E will buy its solar energy from OptiSolar and SunPower, which plan to build the world's two largest solar farms in California as part of the deal.

It would nearly double the USA's entire solar-panel capacity. Driving the trend are solar's falling costs and state alternative-energy mandates.

Solar power has grown but still makes up well under 1% of U.S. power generation. More than 90% of solar panels have been installed on rooftops by maverick consumers and businesses. Utilities' embrace of solar energy will help push it to about 10% of power generation by 2025, predicts Ron Pernick, principal of research firm Clean Edge.

"Just a handful of utilities doing something big changes the scale of the entire market," says Julia Hamm of the Solar Electric Power Association.

Solar power typically has cost about twice as much as electricity from fossil-fuel-fired plants. But PG&E Vice President Fong Wan says prices in last week's deal approach electricity from natural-gas-fired plants. "The cost has come down to a point where we're comfortable doing it," he says.

Prices for solar-generated electricity have been falling, thanks largely to increasing manufacturing capacity and technological improvements, SunPower's Julie Blunden says. Other recent deals:

•Building farms. Florida Power & Light and Sempra Generation, a power wholesaler, each plan to build solar farms of up to 25 megawatts in Florida and Nevada, respectively.

•Purchasing power. CPS Energy in San Antonio, Duke Energy in North Carolina and Florida Municipal Power Agency say they'll buy solar power from suppliers willing to invest in new generation. That avoids upfront construction costs for utilities.

•Installing panels. Utilities are putting panels that feed into the grid on neighborhood roofs. That sidesteps the need for costly transmission lines. Southern California Edison last week began placing panels on 100 warehouses in the Los Angeles area. Duke Energy, Long Island Power Authority and Portland General Electric in Oregon plan similar initiatives.

With costs for traditional power plants rising and solar falling, "We see a convergence coming," Duke executive Owen Smith says.

Another interesting development per the 2Q 2008 CC last week;

HONEYWELL and SOYO PRODUCTS WILL BE AVAILABLE TO 60,000 HONEYWELL US EMPLOYEES!!

They mentioned in the CC that next month all Honeywell and even SOYO products will be available online to the 60,000 US Honeywell employess.

This is huge IMO. It shows that Honeywell is a strong SOYO supporter and not just a distant business partner. Honeywell employees are strong financially with incomes averaging $88K/year according to monster com. I can easily see Honeywell engineers and other tech people falling in love with the Secura drives and LCD monitors. The Bluetooth products will probably be hot sellers.

I am sure it is difficult to estimate how much revenues this will bring in. This could be a dark horse for significant revenue growth and a significant addition to the bottom line.

The timing is great...right before the holidays. The Honeywell and SOYO consumer electronic products could become a frequent water cooler conversation topic.

Also during the conference call, management listed a growing number of retail outlets both in the United States (including Office Max, Comp USA, J&R, Rex, Datavision) and Canada (including Staples, Costco, Canadian Tire,  and WalMart) that are or will be carrying its products. The retail stores in Canada exceed  1000 with Canadian Tire being the largest chain with over 450 stores. Canadian Tire is similar to Target.

Regarding the Honeywell brand they said that there will be at least one initial big box retailer ...SOYO's Director of Sales mentioned that one of the following will, but did not want so say which one until the negotiations are completed.....Kroger, Target, Sears, Fry's, Best Buy...hmmmmmmm

Excellent CC yesterday....the key point is that $40M financing is in place pending a couple,of issues that the company is already addressing as we speak.

For every $ that SOYO can spend from its upcoming financing, it can leverage it into $5 in revenues. This in not a secret if you know about this industry.

OK now...with that in mind....if we assume that the total package (main and junior loans together) is about $50M...that's about $250M extra revenues or an additional 10/share net income!!

Family members and close SOYO associates are putting together the $10M - $15M junior equity required by the bank to release the new $40M conditional loan on the table (in great terms according to yesterday's earnings call...see below). Soon SOYO will be able to count on an extra $50M - $55M to fuel growth with the new financing.

The current guidance does include new financing by the way.

Just take a look at Take a look at SOYO's history to appreciate the pattern of responsible management. It was the CEO, CFO, and other family fiends that put up a lot of money to increase the company's borrowing power to where we are today. 2 years ago the CEO/CFO put $6M of their own money as collateral to increase borrowing power to $20M. 3 months ago the CEO and FCO together bought 1.5M shares from the company at $1.25 to help finance the initial Honeywell launch (at the time the stock was trading at $0.75. Last week the CFO's brother and owner of the preferred B converted his $3.5M investment in the company into 2.75M shares or $1.2/share. The CEO and CFO each returned 600,000 shares to the company for 2007 options to minimize dilution......and this goes on and on.....there is no other publicly traded company ran more ethically and responsibly than SOYO.

This is from yesterday's earnings call:

Financing

...."Looking at our financial statements for the six months ended June 30, you will see that our financing costs have tripled from the same period a year ago. This occurred because our top line revenues continued to grow rapidly, which caused us to fully occupy our current credit facilities. As a result, we have had to use non-conventional and more expensive financing to fill our customer orders. This non-conventional financing enabled us to maintain top line growth, but negatively impacted our profits. We anticipated this and have been looking for and negotiating for increased credit facilities for almost a year now, but without success.

A few weeks ago, we made an agreement with a large money center bank on a financing package that exceeds $40 million. We believe this agreement is on very favorable terms to us, however the agreement is subject to certain conditions such as improving our financial leverage and bringing in another $10-15 million in junior debt or equity. Once we close the deal on the junior debt or equity, we will close both financings simultaneously. Once that occurs, we will be in a position to finance our continued growth and the Honeywell roll out at substantially better terms. We will have further announcements as the situation develops...."

HUGE SOYO $0.72 NEWS TODAY!! PREFERRED IS CONVERTED AT $1.2/SHARE!!..

The $3.5M preferred B was officially converted at $1.20/share and announced today :

NEWS TODAY>>>>

12-Aug-2008

*** Entry into a Material Definitive Agreement:

http://biz.yahoo.com/e/080812/soyo.ob8-k.html

Item 1.01 Entry into a Material Definitive Agreement
On August 7, 2008, the Company reached an agreement with the independent 3rd party that owned the Class B preferred stock to fix the conversion of the Class B preferred stock to common stock at 2,750,000 common shares. With the mandatory conversion date less than six months away, recent volatility of the Company's share price, weakness in the stock market and perceived market uncertainty, the Company believed it was prudent to fix the conversion at this time. Based on these factors, the Company believes that it made a very favorable deal.

Now this is clear to me.....

SOYO management and the big SOYO stockholders like Andy Chu  (SOYO Taiwan CEO, brother of SOYO CFO Nancy Chu, and owner of the $3.5M preferred) who just converted $3.5M into 2.75M shares, want to send the market a message loud and clear.....SOYO IS AND WILL BE WORTH MORE....A LOT MORE THAN $1.2/SHARE soon.

To recap,  Mr. Andy Chu converted at $1.2/share to minimize dilution when he could have done it at 40c/share less than a month go. Then we have CEO Ming Chok and his wife CFO Nancy Chu each paying $1.25/share for 1.5M shares in early April 2008 while the stock was trading at 75c/share. Why would they willingly lose all that money, or leave so much money on the table??....because they know like many of us do that SOYO will be a multi-bagger.

To give you another example on how carefully they manage the share count, the CEO and the CFO each returned to the company 600,000 shares awarded to them for 2007 options. That's is an avoidance of a 3% dilution. Where do you ever find that type of responsible management in any exchange in the world? Very few companies are managed as ethically as SOYO.

SOYO will report earnings on 8/14/2008 AH. Stay tuned because SOYO is fixing to give the market a major surprise in positive financial results and announcements related to the launch of the new line of Honeywell HDTVs (up to 82" with a 120,000:1 contrast and various technological advances at a fractions of competitors Sony, Samsung, LG).

SOYO has a 6.5 year agreement with Honeywell to design/manufacture, sell over 20 consumer electronic products ynder the Honeywell brand name. SOYO already has Honeywell LCD monitors, portable storage devices, and Bluetooth already for sale on its website and other online vendors. It is expected that SOYO will announce shortly which national electronic retail chains will carry the brand. The stock could fly to $2, $3, etc if the announce a major chain like Best Buy, or Circuit City, or Fry's, etc.

SOYO is moving to a larger headquarters/warehouse next month and will add 25% workforce to keep up with the expected growth after the Honeywell launch.
