Point Therapeutics Announces Positive Interim Results at American Society of Hematology Annual Meeting from Phase 2 Talabostat Advanced Chronic Lymphocytic Leukemia Study
Monday December 12, 10:01 am ET


BOSTON--(BUSINESS WIRE)--Dec. 12, 2005--Point Therapeutics, Inc. (NASDAQ:POTP - News) presented positive interim results, exceeding the company's targeted 20% response rate, in their ongoing Phase 2 study of talabostat in combination with rituximab, a monoclonal antibody, in patients with advanced chronic lymphocytic leukemia (CLL) in a poster session at the American Society of Hematology Annual Meeting in Atlanta, GA.


This single-arm trial evaluates talabostat in combination with rituximab in up to 54 evaluable patients with advanced CLL who have failed fludarabine and/or rituximab. Thus far, 36 patients have entered the study and 31 meet criteria for evaluability (at least six days of talabostat with a post-baseline assessment by the investigator). 66.7% of the patients in the study are Rai Stage IV, the most advanced CLL patient population. Investigators have reported clinical responses in seven of 31 evaluable patients for an overall response rate of 22.5%. One of the seven responses is awaiting follow-up assessment to confirm the response. Five of the seven responses were observed in patients who had previously not responded to or had relapsed following prior treatment with rituximab-- suggesting that the addition of talabostat is providing additive activity. Importantly, three of these five patients had not only failed fludarabine and rituximab, but had also failed prior alemtuzumab treatment--the only approved agent in fludarabine failures.

Responses are evaluated based on the National Cancer Institute (NCI) Working Group Guidelines for CLL, which is the standard used in measuring treatment effectiveness in CLL. The most frequent adverse events are those commonly reported with rituximab, including nausea, fever, difficult/labored breathing, fatigue and itching, with the exception of peripheral edema, which is associated with talabostat. The trial is continuing to enroll and all patients will continue to be followed for durability of response, progression-free survival and survival.

"I am very pleased that we are continuing to see positive results in this trial," said Dr. Khuda Dad Khan, a lead investigator in Point's CLL trial at Indiana Oncology Hematology Consultants. "Patients who are refractory to fludarabine are among the toughest patients to treat because of the advanced stage of disease and minimal treatment options. The only approved treatment option for these advanced patients is often difficult to tolerate, and rituximab is used empirically as an alternative to this treatment. The fact that the addition of talabostat to rituximab is demonstrating positive results-- especially in patients who had failed rituximab in the past--is very exciting. The toxicity profile is low and because talabostat is orally administered, it's easy for patients to take at home--a convenience they like. I believe talabostat has the potential to become an important treatment option for advanced CLL, especially for patients who have exhausted other choices," concluded Dr. Khan.

"These positive interim results in our CLL trial continue a very productive fourth quarter for Point," said Don Kiepert, President and CEO of Point Therapeutics, Inc. "In October, we initiated our first Phase 3 trial in non-small cell lung cancer after a successful End-of-Phase 2 meeting with the FDA. Over the last two months, we have presented positive results from three of our Phase 2 talabostat trials at major scientific conferences--non-small cell lung cancer, single-agent melanoma, and now these latest positive findings in CLL. Earlier this month, we also completed a follow-on offering, raising net proceeds of $25.5 million. We look forward to continuing this momentum in the first quarter of 2006 and anticipate making a decision about next steps for our Phase 2 CLL trial during this timeframe," concluded Kiepert.

This trial is partially funded through an Orphan Products Grant from the Food and Drug Administration, Office of Orphan Products Development. Orphan Products Development grants are awarded by the Food and Drug Administration to encourage clinical development of products for use in rare diseases or conditions, usually defined as affecting fewer than 200,000 people in the United States.

DARA BioSciences and Point Therapeutics Announce Merger Plans
Wednesday October 10, 8:00 am ET


RALEIGH, N.C. & WELLESLEY HILLS, Mass.--(BUSINESS WIRE)--DARA BioSciences(TM), a privately held development-stage pharmaceutical company, and Point Therapeutics, Inc. (NASDAQ: POTP - News), a biopharmaceutical company, today announced that they have entered into a definitive agreement to merge.


Pursuant to the merger agreement, DARA will merge with a subsidiary of Point, with DARA surviving as a wholly-owned subsidiary of Point. After giving effect to the merger, DARA stockholders will hold 96.4% of Point's outstanding shares of common stock on a fully-diluted basis, and Point will change its name to DARA BioSciences, Inc. and be based in Raleigh. The acquisition is intended to be a tax-free reorganization under Section 368(a) of the Internal Revenue Code and is expected to close in the first quarter of 2008.

The combined company plans to evaluate and prioritize its potential research and development programs. DARA and Point's combined R&D assets for the development of therapeutics are focused in the areas of metabolic diseases, including Type 2 diabetes, neuropathic pain, dermatologic disorders, and oncology. A recently signed license agreement with Bayer Pharmaceuticals grants DARA exclusive worldwide rights to a series of patents and compounds for the treatment of metabolic diseases, including Type 2 diabetes and dyslipidemia, expanding DARA's current product candidate pipeline for metabolic diseases. DARA is also developing a novel therapeutic candidate for the treatment of chronic neuropathic pain in cancer patients, a program that is currently in a Phase 2 clinical trial.

Commenting on the announced merger plans, Richard A. Franco, Sr., DARA's President and Chief Executive Officer, stated, "All parties involved believe this to be a logical and productive course of action given the potential synergies of combining Point and DARA. We believe this transaction provides an exciting opportunity for the stockholders of both companies to realize value and liquidity from this combination."

As a result, although Point's common stock is currently listed on NASDAQ, DARA intends to file an initial listing application and satisfy all requirements for initial listing, subject to the completion of the merger and NASDAQ approval. As previously announced on September 17, 2007, Point received a determination letter from the staff of The NASDAQ Stock Market indicating that Point's securities are subject to potential delisting from NASDAQ. The staff determination was based on the fact that Point does not currently meet the $1 minimum share price requirement for continued listing on NASDAQ and that Point's recent cessation of its clinical and research operations renders Point a "public shell," or non-operating company in the opinion of the staff. Point has requested a hearing before a NASDAQ Listing Qualifications Panel and intends to seek continued listing of its common stock pending the completion of the merger, subject to NASDAQ approval.

Biotechnology Company Point Therapeutics to Be Bought by DARA BioSciences


BOSTON (AP) -- Biotechnology company Point Therapeutics Inc. said Wednesday it is being bought by privately held DARA BioSciences for an undisclosed amount.
DARA shareholders will hold 96.4 percent of Point Therapeutics stock after the buyout. Point will change its name to DARA BioSciences Inc. The deal is expected to close during the first quarter of 2008.

The acquisition is intended to be a tax-free reorganization under Internal Revenue Code rules. The companies also expect the deal to be considered a "reverse merger" by Nasdaq, and DARA will file for initial listing on the exchange.

Point Therapeutics currently faces being delisted from the Nasdaq, because it does not meet the exchange's $1 minimum share price requirement.

Shares of Point Therapeutics gained 11 cents at 15 cents in premarket trading after closing at 4 cents Tuesday.

TOday on level 2, at then end of the day there was over a 1 Million buy order at .36..stock rose to .37 on that last minute pressure and is in .38 in after hours (which I really don't trust afetr hours too much..but something to note)

After the hUge increase you would expect a down day...and it was most fo the day..until the end..pretty incredible

I am looking for .30-.50 range...then as it gets nearer to Jan and or if there is some progression news on the merger...we climb to the 1.00 plus area

POTP prime for buying today.
Check it yourself.
MACD indicates heavy accumulation, big money sneaking in gradually. Poor volume on this day of correction. Not even half of Fridays bull run. Good sign.
Trading above its 50ma and 50ema.
%k is above the %d in the stochastics which currently reading 50%, neither overbought nor oversold.

This is a great risk reward entry currently for POTP because we're talking about a run up to $1 before the merger. Only risk the money you're able to part with and you might be nicely surprised because each time the big boys decide to take a bite, the stock gaps up :)

Notice the behavior of the stock when its gets pulled down. The volume is very weak on down days because nobody wants to sell except for a few profit takers. MM's are trying their best to depress the press so as to get in while the getting is good. There is underlying accumulation as the MACD shows clearly.
Note this one last thing, for the last couple of weeks, the price will gap up after a couple days of down trading on low volume. And the volumes on those up days to say the least, is incredible. This stock will be at 50 cents plus by the end of the week.
Currently a very strong buy. Just watch the action tomorrow morning.

After hours trading of almost 5%! Here is the gap up and then zoom to the moon. Take a look at the chart and you will see this behavior.
