Another China stock.  I'm getting over whelmed with these China stocks as of late.   

But this chart just defines what I'm looking for.  Notice how it was a dead stock for a long time.  It spikes pulls back...holds steady with lower volume.  Has a small up day and then "BAM"  gaps up then next day and breaks out on big volume.

Item 1.01 Entry into a Material Definitive Agreement
On November 13, 2007, the Board of Directors of China Recycling Energy Corporation (the "Corporation") adopted the 2007 Nonstatutory Stock Option Plan (the "Plan"). The Plan, which is effective on November 13, 2007, is intended to further the growth and financial success of Corporation by providing incentives in the form of options to acquire the common stock of the Corporation ("Options") to selected employees, directors, and consultants to the Corporation and its Affiliates so that such employees and consultants may acquire or increase their proprietary interest in the Corporation.

The Plan provides that the maximum number of shares of the Company's common stock that may be issued under the Plan is 3,000,000 shares. The term of the Plan is five years, which will expire on November 12, 2012. The Board shall determine the purchase price per share of the Common Stock covered by each Option (the "Option Price") at the time of the grant of the Option, which exercise price will be set forth in the applicable Option Agreement; provided that in no case will the Option Price of an Option be less than the par value of the Stock. The Option Price of each Option that is granted on the date that the Plan becomes effective shall be $1.23 per share.

On March 8, 2007, Mr. Mingda Rong was elected the Director and the Treasurer of the Board of Directors of the Registrant. Mr. Mingda Rong, aged 39, is a Chinese certified public accountant. He graduated from the Open University of Hong Kong with the Master of Business Administration. He served as the accountant in Xi'an Institute of Finance and Economics from 1989 to 2000. After that he worked in Xi'an Sigma CPA firm.



Item 8.01. Other Events
Effective March 8, 2007, the registrant's name was changed to "China Recycling Energy Corporation". The name change was effected pursuant to the provisions of Chapter 92A.180 of the Nevada Revised Statutes and as such stockholders approval of the name change was neither required nor sought. The name change was undertaken in order to provide the registrant with a name that is more indicative of the business operation currently being conducted by the registrant and its direct and indirect subsidiary companies. In connection to the name change, the registrant's common stock is now quoted on the NASD's over-the-counter bulletin board ("OTCBB") under the symbol "CREG", effective at the open of business on March 8, 2007.
