PDL BioPharma, Inc., a biopharmaceutical company, engages in the discovery, development, and commercialization of therapies for life-threatening illness. The company also has six product candidates in Phase 2 or Phase 3 clinical development, which include Terlipressin to treat type 1 hepatorenal syndrome; Nuvion for the treatment of Intravenous steroid-refractory ulcerative colitis; Ularitide to treat cute decompensated heart failures; Daclizumab for the treatment of asthma and related respiratory diseases, multiple sclerosis, and to prevent acute kidney transplant rejection; M200 for the treatment of solid tumors; and HuZAF to treat rheumatoid arthritis. PDL BioPharma sells its products through hospital-focused sales force primarily in the United States, Canada, Europe, and Asia. It has collaboration arrangements with Biogen Idec, Inc. Genentech would have reported adjusted earnings per share of 61 cents for the quarter. A poll of analysts by Thomson First Call estimated the biotech giant would have earnings of 56 cents a share, on revenue of $2.55 billion

PDL to spinoff unit, pay special dividend
Biotech firm will spinoff its biotechnology products, paying $4.25 special dividend to shareholders.

REDWOOD CITY, Calif. (AP) -- PDL BioPharma Inc. said Thursday it will spinoff its biotechnology assets into a separate company and pay shareholders a special $4.25 dividend.

The dividend is payable to shareholders of record on May 5.

PDL (PDLI) said it will capitalize the new company with $375 million in cash. The company said the initial infusion of money, along with potential milestone payments, royalties, and the sale of the company's cardiovascular products will fund the biotech spinoff for about three years.

After the spinoff, the company said it will continue to hold rights to royalty revenue on all future and current licensed products. It said it would distribute future revenue to stockholders and does not plan to make any acquisitions. PDL expects that revenue to range from $240 million to $260 million in 2008.

The revenue comes from a various products, including sales of Genentech's (DNA) cancer drug Avastin and Elan Pharmaceuticals multiple sclerosis drug Tysabri.

The separation should be completed by the end of this year. Additional details on the operations of the two separate companies that will result from the spin-off will be disclosed later, PDL said.

Shares of PDL BioPharma rose 46 cents to close at $11.71. They gained 29 cents in the aftermarket.

In attempts to realize more value for shareholders, PDL Biopharma had been shopping its business around before finally pulling the plug on the effort last month. The news that the company didn't get an anxious buyer and would instead cut jobs to restructure the company sent the stock into a tailspin. But recent news that the biotech firm would spin off a portion of its business and pay a healthy dividend has investors excited again.

The new plan calls for shareholders to receive a $4.25-per-share dividend, funded by roughly $500 million in spoils the company raked in when it sold off pieces of its marketed drug portfolio. The company will then split into two publicly traded entities -- one holding the rights to its antibody humanization royalty assets, and the other containing the rest of its biotechnology operations, with the promise in a pipeline of drugs in development.

PDL plans to capitalize the new biotech company with $375 million in cash designed to sustain operations for about three years while it advances the development of drugs toward commercialization. Investors in general see lots of promise in the company, maintaining a four-star rating for most of the past six months. Optimism with the new dual-company structure has kept PDL Biopharma in the bull camp, too, with 480 out of the 509 investors who've rated the company believing that it will beat the S&P going forward.

PDL Biopharma shares rise on 4Q results, outlook
PDL Biopharma shares jump on 4th-quarter results, outlook for 2009

NEW YORK (AP) -- Shares of PDL Biopharma Inc. jumped Tuesday after the drug developer reported fourth-quarter results above analyst estimates.

The stock soared $1, or 17.9 percent, to $6.59 in afternoon trading. Shares have traded between $5.55 and $16.11 over the last 52 weeks.

On Monday, PDL reported a fourth-quarter profit above Wall Street forecasts on higher royalty revenue from drugs it helped develop. Those include cancer treatments Avastin and Herceptin, macular degeneration treatment Lucentis, and Tysabri for multiple sclerosis and Crohn's disease. Avastin, Herceptin and Lucentis are sold by Genentech Inc., and Tysabri is sold by Elan Corp.

Incline Village, Nev.-based PDL said it expects between $185 million to $200 million in net income after taxes, and revenue of $310 million to $325 million.

The company also declared two semiannual dividends of 50 cents each.

JMP Securities analyst Charles C. Duncan reaffirmed a "Market Outperform" rating on the stock but cut his price target to $9 from $16, to account for the spin-off of the company's biotech business. PDL spun off Facet Biotech Corp. during the fourth quarter, but still owns royalty rights to current and future products.

PDL BioPharma shares rise on better-than-expected revenue outlook for royalties

NEW YORK (AP) -- Shares of PDL BioPharma Inc. jumped Monday after the company said it expects a revenue boost in the second quarter from royalties on a mix of drugs, including the blockbuster cancer treatment Avastin and respiratory virus drug Synagis.

The biotechnology stock gained 22 cents, or 3.1 percent, to reach $7.38 in morning trading. Shares have traded between $5.20 and $12.70 over the last 52 weeks.

The Incline Village, Nev.-based company expects revenue of about $125 million during the quarter, up 18 percent from $106 million a year prior. Analysts polled by Thomson Reuters expect revenue of $114.7 million, on average.

The company receives royalties from Genentech Inc. on the cancer treatment Avastin and macular degeneration treatment Lucentis. Genentech is now part of Swiss-based Roche. PDL also receives royalties from Ireland-based Elan on sales of the multiple sclerosis drug Tysabri. Elan's partner on that drug is Biogen Idec Inc.

PDL is scheduled to report its second-quarter results Aug. 6.

BMO Capital Markets analyst Jason Zhang reaffirmed a "Outperform" rating and a $8 price target, and attributed the higher-than-expected guidance to royalty revenue from the respiratory virus drug Synagis, which is made by Medimmune, part of AstraZeneca.

"Because of an ongoing license litigation, the company had previously not included royalty on Synagis sales in its forecast," Zhang said.

The latest outlook now includes about $18.7 million from Synagis royalties.
