AT&T Named Strategic Information Technology Supplier for Next-Generation Telecommunications Services
Network Supports GM's Drive to Integrate and Leverage Global Resources


DETROIT, Feb. 21 /PRNewswire-FirstCall/ -- AT&T Inc. (NYSE: T - News) today announced that General Motors Corp. (NYSE: GM - News) has awarded AT&T a five-year global networking contract worth nearly $1 billion. The agreement is one of the largest commercial contracts in AT&T history.



Under the agreement, AT&T will deliver next-generation telecommunications capabilities that will enable GM to further integrate its global resources. In addition, GM named AT&T a strategic information technology supplier to support its third-generation information technology business model, which is designed to ensure that GM's IT suppliers are working as one around the world. In that role, AT&T will provide network-integration management covering all aspects of GM's worldwide telecommunications infrastructure, including voice and data applications and systems support.

As part of the agreement, AT&T will be responsible for managing the performance of key regional telecommunications providers around the world in addition to network management responsibility for participating telephone companies to drive consistent, uniform IT service delivery and support. In addition, AT&T will continue to collaborate with GM's Information Systems and Services organization to support its global business strategy.

The contract renews and expands an existing strategic global relationship in which AT&T provides GM with a global Virtual Private Network (VPN) solution, integrating GM locations around the world. AT&T's solution supports a full range of capabilities including local, long distance, global voice mail, conferencing, high speed Internet access and telecommunications business-continuity services.

The network, based on Multiprotocol Label Switching (MPLS) technology, provides a standardized technology infrastructure that will enable GM to integrate networks, applications and devices and to evolve into a single, streamlined communications platform based on Internet Protocol (IP) with consistent standards and capabilities. As a result, employees across the enterprise will have the same telecommunications tools, such as common voice mail and conferencing capabilities, and will enjoy the same quality of service whether they're sitting in the corporate headquarters in Detroit or in a manufacturing facility in Australia.

AT&T Files With FCC to Acquire T-Mobile

filed its formal paperwork with the FCC to acquire spectrum licenses from T-Mobile USA, a major milestone in its bid to acquire the nation's No. 4 carrier in a $39 billion deal. In the filing, which runs more than 100 pages, AT&T provides details on its decision to purchase T-Mobile. The deal was announced March 20.

In the filing, which essentially argues why AT&T believes the proposed acquisition is in the public interest, AT&T touts many of the benefits it has noted before, including that the deal will bring increased spectral efficiencies, fewer dropped calls, and better service. AT&T also argues that the deal is the most efficient way for it to avoid exhausting its spectrum, despite all of the efforts it has taken and continues to take to improve its network, including deploying new cell sites, DAS systems, and expanded backhaul. Additionally, AT&T argues that without the deal, T-Mobile would face spectrum exhaustion and has no clear path to deploy LTE.

AT&T also updated its LTE coverage plans in the document. The carrier now claims the deal will bring LTE coverage to more than 97% of the U.S. population, covering an additional 55 million more Americans than AT&T's current LTE plans. In March, AT&T said the deal would bring LTE to 95% of Americans, or 46 million additional people.

In a press conference with reporters in Washington, D.C., Joan Marsh, AT&T's vice president of federal regulatory affairs, said that the company identified additional, unspecified cell sites that could support the LTE buildout. She also said that regardless of whatever divestitures AT&T might have to make as a condition of the deal, the company is confident it will hit the 97% coverage target.

The FCC will review whether the deal complies with all applicable laws and rules, and whether the companies can prove that the deal serves the public interest, convenience, and necessity. Specifically, the FCC will have to consider how the deal will affect competition; the agency will analyze specific markets based on a so-called HHI screen -- a standard measurement for market concentration -- as well as a spectrum screen to determine whether one company will have too much spectrum as a result of the deal. The Department of Justice has already started reviewing the deal, Marsh said.

Marsh argued that the FCC should take LightSquared's L-band spectrum holdings into account when conducting its spectrum screen. AT&T also urged the FCC to take a more expansive view of the spectrum that Clearwire (Nasdaq: CLWR  ) operates in.

Consumer advocates pounced on the filing immediately. Gigi Sohn, president of public-interest group Public Knowledge, said in a statement that AT&T will spend the next few months spending millions of dollars on lobbying efforts to get the deal through.

"All of that effort and all of that money cannot disguise the simple, fundamental fact that AT&T in this one transaction will fundamentally reshape the wireless industry in ways that will hurt consumers, raising prices, restricting innovation, and limiting choice," she said. "The plain fact is that every one of the benefits AT&T promised to achieve can be accomplished without this merger."

Marsh countered that it would take AT&T eight years to build the same number of cell sites it will acquire through the purchase of T-Mobile.

Critics of the deal, in particular Sprint Nextel (NYSE: S  ) , have argued that the deal will result in AT&T's having excessive leverage over handset makers because of its scale. "I don't view the scale we're going to achieve here as a significant or any sort of threat, but without a doubt we think we will scale through this transaction," Marsh said.

In a statement released after AT&T's filing, Sprint Senior Vice President Vonya B. McCann said that "we are confident that when the FCC examines the record ... they will conclude that AT&T's attempt to acquire T-Mobile should be rejected outright."

AT&T Enhances Broadband Service

AT&T Inc. (NYSE: T) announced that it has added new frequency layers to 12 cell sites of the Sarasota-Bradenton wireless network in South Tampa, Florida to enhance mobile broadband service.

Since early 2011, AT&T has been adding capacity to over 20 cell sites including Bradenton, Sarasota, Osprey and North Port. In Tampa, Florida, the company has upgraded about 130 cell sites and activated five new ones.  AT&T has already invested over $80 million in this region from 2008 to 2010.

The 2011 capacity upgrades in Sarasota-Bradenton is a part of the company's $19 billion investment plan dedicated toward network upgrades for this year.

AT&T is following heavy investment plans to tap opportunities in the wireless data market. The company is aggressively deploying the high frequency 850 MHz band across its markets to boost 3G network performance. AT&T is the only company that delivers 4G services using both High-Speed Packet Access Plus (HSPA+) and Long-Term Evolution (LTE) technologies. Further, the company is rapidly expanding Ethernet and fiber-to-cell sites nationwide and expects that nearly two-thirds of its mobile broadband network will be on expanded backhaul.

Apart from this, the company now aims 4G network expansion much like it peers — Sprint Nextel (NYSE: S), Verizon Communications (NYSE: VZ) and MetroPCS (NYSE: PCS).The company plans to achieve a peak speed of 100 Mbps and cover between 70 million and 75 million people by year-end 2011. Post T-Mobile merger, AT&T expects its 4G LTE technology to reach almost 97% of the U.S. population. Further, the company plans to invest in spectrum licenses to enhance its 4G technologymobile broadband services. With respect to this, the company has agreed to acquire mobile television spectrum licenses in the lower 700 MHz frequency band from Qualcomm Inc. (QCOM) for $1.93 billion.

We expect these investments to remain favorable for the company over the long term considering the growing demand for wireless services. However, in the near term, huge investments can substantially stress the company's cost structure and lead to declining margins and a depressed balance sheet.
