Books are interesting and he is obviously a smart guy.

I have been waiting to check out the software the company was developing.

The company however may have stumbled upon a good thing with the reverse merger, I am betting Smitten knows a good thing when he sees it and so far I am up 68% after getting in at .022.

TXP looks solid and with a reverse merger like this anything is possible.

The Merger

The merger was announced June 20th and should close somewhere very
early August. On the news of the announcement, SMKT stock exploded
from .008 to hitting nearly .05, which shows me just how much the
market was excited that TXP is coming public. From the research I've
done on TXP, they are very well respected and well-known in the
technology community, primarily because they have so many 'household
names' that they provide services to. In the TV coverage above, the
CEO of TXP cites that they produce anything from wrist watch PDAs to
supercomputers for HP. Chances are that you have a technology
product in your home that TXP was involved in the manufacturing of.

The Split, The Current, and Future OS

SMKT filed the terms of the merger which include a 10:1 reverse
split. Do not confuse this split with typical OTC:BB/pink reverse
splits - it is significantly different and is essential to this
merger being consummated. TXP negotiated (touché for them) a
resounding 94.5% completed interest in SMKT, which means that
existing SMKT shareholders will hold only a 5% interest in the new
company.

Currently, there are 50M shares outstanding of SMKT, valuing
the 'shell' a meager $1M pre-merger. Since TXP somehow has to gain
control of 94.5% of the stock, SMKT will issue them several hundred
million shares immediately prior to the merger, which TPX will then
reverse immediately post-merger. There will then be approximately
90M outstanding and according to informal discussions with both the
SMKT and TXP CEOs there will be circa 10M in the public float.

Status of the Merger

SMKT filed a proxy form soliciting a vote on the merger. This is
basically the last stage of any given merger. SMKT management just
needs to vote their majority stock, and we're good. I do not foresee
any complications whatsoever. SMKT was essentially a shell and the
SMKT CEO stands to probably make well on his interest in the new
$18,000,000 company as opposed to his pre-merger $500,000 shell.

This is a complex deal boatguy.

Let's see if I'm figuring this out allright:

SMKT.OB is a publicly traded company with 50.02 million shares outstanding and a market cap of $1.85 M.

TXP is not a publicly traded company, but it wants to be, and that will be done by a reverse merger with SMKT.OB. If the info on your post is correct, after the reverse stock split and all the deal is done, current SMKT.OB shareholders will end up with 5.5% of the new merged company.

It seems obvious TXP is worth a lot more than SMKT.OB. So, let me see, if 5.5% will be worth $1.85M, then 94.5% must be worth $31.79M.

I guess the issue here is what will be the market value of TXP? Is the company worth a lot more than $31.79M? If so, you should buy SMKT.OB ... if not, you shouldn't.

I have no way of knowing the value of TXP. Do you?

Anyway this is a very strange deal, a hardware company (TXP) using a company which looks like a lot with Stocks on Fire LLC (the owner of this website) to go public?

Jesus, I would need to dig a lot more before buying this stock, but perhaps it's on this complexity that one finds the sure thing opportunities, since others are not figuring out the deal (well, insiders always know the deal, and I just don't see all that much volume on the stock).

Waiting for your comments, maybe I'm not seeing this wright. Thanks.

That 94.5% thing isn't sure:

«In connection with this merger, the registrant shall issue the following merger
shares: "Merger Shares" shall mean 90,000,000 shares of common stock, par value
$0.001 per share, that shall equal no less than 94.7% of the Target's issued and
outstanding shares of capital stock after taking into effect a one-for-ten
reverse stock split by the Target at or prior to the Closing, which will require
Target to file and clear a Schedule 14A or Schedule 14C with the Securities and
Exchange Commission, wait 20 days prior to mailing, solicit the required
majority vote of its stockholders, secure a new CUSIP number and make or have
made the appropriate filings with the State of Nevada and the NASD (the "Reverse
Stock Split").»

From what I read, Texas Portotypes will have at least 94.7% of shares. It may have more.

Revenues have been doubling every year and at the current price of .035 it will be a .35 pps stock.

I will dig farther and see what more I can come up with and would love to here your opinion on this.

Current investors in this stock would be in on the ground floor of what is basicaly an IPO of TXP a fairly major OEM supplier with a lot of room to grow in the tech field.

If the stock goes up to .90 or 1.00 post merger it could be very interesting!!

I am not nearly as experienced as some on this board and would welcome all advice and opinions!

Ok, I'm starting to figure this out, I believe. Making it simple, you say:

Yes, this is like an IPO, I agree and this consubstantiates that:

This means SMKT.OB will no longer exist, the CEO of Stock Market Solutions, Inc.
Richard Smitten, will leave the company. So, forget about this Jesse Livermore stuff on a site with not even 1 subscriber yet, I believe.

We have to concentrate on TXP, it's the only thing that matters. I still wonder why a company would use this method to go public and not an ordinary IPO, anyone has a guess why?

Ok, since SMKT.OB is worth at market prices $1.85M and that is 5.3% of the new company which will be just TXP, at current prices SMKT.OB is valuing TXP at $1.85M/0.053 = $34.9M.

You say the company will have about $7M in revenues this year. And what about earnings? Do you know something? If we could know estimated earnings for 2005 (or 2004 earnings) we would get a better view if the stock is cheap or not.

I have never seen so much discussion on one stock in a day in the community...Definitely, it is creating lot of interest.

So after such long discussion, what is the opinion of buy on this stock? What are stock prices to get in and get out?

I bought it at the highest today at .047 and am down around 20%.... :'(

Any thoughts if this share can make it back to the high and how long will it take to make that movement....

Closed up at .045. Got to admit I was surprised at the drop from .047.

What was more surprising to me was that the stock pretty much stopped trading for a couple hours.

People that bought high did not sell even below .04.

People holding the stock who bought low also held their shares.

Even though the close was up on low volume (25k) with a .04 bid x.045 ask I would have to say the lack of selling at the lod was a very bullish signal.

I expected the stock to continue dropping  until it filled the gap left from the morning run up but it didn't.

Should be interesting tommorow!!

Good morning. I wanted to relay some information I received from
Michael Shores of Texas Prototypes.

PQL has been covering the SMKT/TXP merger from the early stages, and
I still hold my entire 155,000. Additionally, I have not traded any
of my stock at higher levels.

Here's my summary:

- As always, Michael was upbeat and answered my questions the best
he could without dancing around anything.

- Merger is still a go, first and foremost. The delays have been
between TXP and the SEC regarding the appropriate filings. The SEC
is really 'cracking down' on quickie mergers and some of the
sarbanes oxley stuff requires a boatload of disclosure from day one.

- Mr. Shores conceded the process is taking a little longer than
expected, but he reiterated that they are fully cooperating with
each and every SEC request. I told him I mentioned to the group that
I expected 45-60 days to complete the merger and he seemed to think
that the 45/60 day barometer is going to extend a little longer in
the current regulatory climate.

- He said to look for some new filings in the next couple weeks. He
mentioned they were working on the SB2 (which is awesome, because
that will register the new TXP stock!), 14A, and many others I can't
remember. He said when these are filed we'll have a lot more 'meat'
about TXP, apparently including their financials.

I will personally add that an SB2 is a huge document. The proxy
statements (14A/C) can be monsterous too. I truly have no doubt that
TXP is going to be a nasdaq company in a year or two, and if it
means being a little more patient to wait for the process to
complete I'm content with that.

I will again add more shares on any significant weakness. I
personally have over $6,200 in this stock at current prices. As many
of you know and can infer by the PQL alerts, I do make a living
trading in the market. I have a very modest lifestyle, relatively
empty walls, and just a few major assets outside of the market. The
fact that I'm sitting on $6K of stock, which is a significant gain,
and not cashing out, should tell you how very much I believe in TXP.

There aren't many longerterm opportunities with bulletin board
stocks, but I faithfully believe TXP is an exception.
