I've checked the fundamentals of this micro company and they were awful. Basically the company is bankrupt. The market cap is just $697,364. So I don't know why there's so much volume and price appreciation over the recent days ... some development in the cards? Someone will acquire this to enter the market using a shell company?

I don't know, but the chart pattern is extremely bullish and that's enough for me to commit $1,000 to this penny pick. Volume in dollar terms was $198,233 yesterday so I feel there will be enough liquidity for me to buy, but be careful, probably there won't be enough for many of us.

I won't buy if there's a gap up at the open, so this means I'm not a buyer if the stock is set to open above $0.30, not even if it comes down later in the day (specially if it comes down later in the day I won't buy).

The trading plan is simple:

1) Buy at or near the open if the open was below $0.0030 (I can buy higher, but I don't want no gap up - a gap up occurs when the open is above the previous day's high)
2) Sell 100% higher than the buying price (you can check my buying price at the 3 Pennies on Fire Homepage)
3) Sell if the stock is set to close below $0.0025

David wanted to avoid buying on a gap up, most times the gap gets filled shortly after the open. Thats what happened here, so I waited a few minutes and I've bought it below $0.0030.

OXFV: Announces $15M PIPE: Conv Bridge Notes + Warrants

Oxford Ventures Inc (OTCBB: OXFV) announced in a Form 8-K that on September 6, 2005, the Company entered into a term sheet with Highgate House Funds, Ltd. and Prentice Capital Management, LP. The Company agreed to issue bridge notes to Highgate and Prentice in an amount of up to $15M and to issue Highgate and Prentice warrants for up to 5M shares of common stock for a period of ten years with an exercise price of $0.01. In exchange for the purchase of the Bridge Notes, the Company will grant Highgate and Prentice a security interest in all of its assets and will issue shares of common stock in an amount equal to five times the total amount of the Bridge Notes to be held in escrow in the event of a default under the Bridge Notes. Highgate and Prentice may at their option convert all or some of the Bridge Notes plus any accrued and unpaid interest into shares of common stock at the price of $1.50 per share.

Well, this is going to be hard ... here's the trading plan I've wrote:

I specifically said not to buy if there was a gap up at the open. But Ramsburg bought it anyway, and the same could have happened with any of our users. We really need to pay close attention to what is written on the trading plans.

So, I wouldn't have bought the stock in the first place. The plan goes on saying «sell if the stock is set to close below $0.0025», and again, we didn't sell it because no one was checking it. Lack of attention, lack of time, indiscipline, costs money in the stock market.

Now the stock is down 25% more and the 3 Pennies on Fire Portfolio is losing almost 50% on this position, overnight  :o

What to do now? Cry? Sell right away? Well, this is hard, I was buying it just because of the chart, but I knew the chart would turn bearish if there was a gap up ... so now the chart is bearish. Why hold? Why sell?

I have to think about this some more time, let me embrace this occasion completely, I want to learn something for the future. My wife was a bit mad with me yesterday, because I left the office before the open to take care of some very important personal issues (she was mad because she knows what I've suffered in the past because of this kind of indiscipline). I had to take my grandmother to the hospital for a minor operation. I should have sent someone else ... this goes to show how the stock market is ruthless, he doesn't even know we exist.

Well, for now, I'll hold, what saves us is diversification, we can't put more than 10% of the 3 Pennies on Fire Portfolio in one single penny stock, so I'm prepared for a stock I hold to get delisted overnight. If I'm prepared to see one or two get delisted, I'm prepared for a 50% overnight loss.

The final decision is to hold OXFV.OB, experience and feel the moment, and later, with the market close, consider to sell it or continue holding.

I'll post an update before the next opening bell.

Micro Cap Oxford Ventures Financing and Merger News

On September 6, 2005, Oxford Ventures, Inc. (OTC: OXFV) entered into a term sheet agreement with Highgate House Funds, Ltd. and Prentice Capital Management, LP. Pursuant to the Bridge Term Sheet, the Oxford agreed to issue bridge notes to Highgate and Prentice in an amount of up to $15,000,000, as well as issue Highgate and Prentice warrants for up to 5,000,000 shares of Oxford's common stock for a period of ten years with an exercise price of $0.01. Also announced in this SEC filing was the company's intention to merge with Uluru, Inc., and to be a wholly-owned subsidiary of that corporation. It is now obvious why Oxford shares have been on a tear lately, and should continue to do so if the merger is successful.

So it appears if the deal goes through, it will be somekind of healthcare company.

May be it is worth getting some shares at this level.

Now the question is did the deal not go through?

Oh, just now I saw that I put the wrong chart on this thread. I wish that was OXFV's chart  ;D

Now I can't fix it, not at my computer. I will do that later.

Considering OXFV.OB, I want to be a masochist here. I'm not selling for the next 10 trading days and will be obliged to post an update on the stock everyday. I believe this will make me remind this lesson for a long time. Lack of discipline costs money, but just $1,000 isn't enough. I would probably forget it fast. So I want physical pain too.

Losing 62% on this penny stock trade because I wasn't at the office when it was needed. I will pay the correct price for the coming 10 days, hopefully learn my lesson and move on.
