I've been watching NECX.ob for a long time and have bought in around .08 over the past month.  This is an alternative energy company, which produces electricity from rubber tires and the company also has a helium plant.

Todays volume appears very large.  This stock has huge potential.  Please look at a 2 year chart.

However, beware when placing a trade.  This stock is very illiquid, so place limit orders only.

Also, the CEO, which has almost complete control over the company is in the process of converting practically all the company's debt to common stock.  At which time, the company would be virtually debt-free and have an energy company that is almost EBITDA positive.

I need help posting a chart.  ???  Are there directions on the website to do this?

Also, it seams a lot of members use the same type of charting program.  Are these from BigCharts.com or some other free site?

Any help is greatly appreciated.

Hi Poorman,

The one many are using is stockcharts.com. Works really nicely I find. Can't help you on the upload thing, haven't tried it myself yet.

Good luck and will watch this one b.t.w.  ;)

Nathaniel Energy Corporation Signs Purchase & Sales Agreement to Sell Its Gas Assets to Midstream Energy Services, LLC
Friday October 7, 5:10 pm ET

ENGLEWOOD, Colo., Oct. 7 /PRNewswire-FirstCall/ -- Nathaniel Energy Corporation (OTC Bulletin Board: NECX - News), an emerging leader in waste-to-energy, announced today that it, along with its wholly owned subsidiary Nathaniel Energy Oklahoma Holdings Corporation (NEOHC) and NEOHC's wholly owned subsidiary MCNIC Rodeo Gathering, Inc. entered into an Purchase and Sales Agreement with Midstream Energy Services, LLC.

Nathaniel's purchase price for its helium and gas processing facility and operations to Midstream is $16,200,000 payable in cash at the closing. The sale is subject to adjustment for improvements or deficiencies that occur between the effective date of the agreement and its closing. The closing is subject to the approval of Nathaniel's stockholders, among other customary closing conditions.

Prior to the sale of its gas assets, Nathaniel Energy Corporation entered into and closed a Stock Purchase Agreement with Richard Strain in which Nathaniel purchased 4,900 shares or 49% of the common stock of NEOHC for $3,354,210 making it a wholly owned subsidiary. Payment to Mr. Strain was in the form of a promissory note which is payable on demand at any time after December 31, 2005.

Upon closing, Nathaniel's plan is to eliminate almost 90% of its debt from the proceeds from the sale of the gas and helium assets and to focus its efforts on the commercial rollout of its patented technology, the Thermal Gasifier(TM). Nathaniel plans to pay off its debts to Richard Strain in the amounts of $3,354,210 and approximately $9,900,000 and the remainder of the proceeds will be used to advance the commercialization of the company's technology and for overhead.

Over the last two years, Nathaniel has achieved several key milestones in preparation for the launch of its proprietary technology, the Thermal Gasifier(TM) that diverts waste from landfills and converts it into clean green energy. Nathaniel has increased the value and cash flow in the gas assets to fund operations and complete the development of Nathaniel technology. It has completed the construction of two commercial Thermal Gasifiers(TM) for a project in Europe that provides "proof of process" for the technology. It has assembled a management team to support the commercialization of its technology. Now, Nathaniel is completing its plan for the elimination of the majority of its debt and retaining enough capital to pursue its core business plan.

Nathaniel Energy (www.nathanielenergy.com) provides industry with an alternative energy comparable to that of fossil fuels. Nathaniel's operational plan focuses on three business models in the commercialization of its Thermal Gasifier(TM) technology: licensing; creating energy infrastructures or utility islands for industrial and commercial hosts; and building, owning and operating small waste-to-energy plants. Nathaniel's Thermal Gasifier(TM), is a 2-stage gasification system designed to combust waste, biomass, tires and any other solid, hydrocarbon-based materials into inexpensive electrical and thermal energy, while exceeding the most stringent EPA and European Union regulations.

Midstream Energy Services, LLC is a privately held Tulsa, Oklahoma based company engaged in the gathering, processing, treating, compression, dehydration, transportation and marketing of natural gas and natural gas liquids

The entire book value of Property, Plant & Equipment on the Balance Sheet was $10.3MM for the past year.

The purchase price, in cash, is $16.2MM.  :o

Sorry, but I'm pretty excited about this.  :D

The market cap as of Friday close was $3.53MM with an EV of $14.4MM.

The company says it will devote it's focus on commercialization of it's Thermal Gasifier(TM) that diverts waste from landfills and converts it into clean green energy.

This may still be under $.10 come market open, but I wouldn't bet on it.

This is from the latest SEC filing dated Feb. 10, 2006.  The closing date has been pushed to March 7, 2006.  Please note that this involves the sale of 96% of their revenue producing assets, but keeps them from bankruptcy.  Alternative energy will be it's primary focus with it's tire processing facility and Thermal Gasifier commercialization, after the sale.

Expected proceeds from the transaction are calculated as of September 30, 2005 using the following assumptions:

Cash to be received from purchaser at closing:
    $18,000,000

Less: Estimated expenses of sale
   (324,169)

Amount due Richard Strain representing 49% of the positive purchase price adjustment
    (882,000)

Payment of liabilities held for sale
    (504,829)

Repayment of stockholder notes and accrued interest
    (13,270,074)

Expected net proceeds
    $3,018,928

Repayment of stockholder notes and interest payable as of September 30, 2005 are assumed as follows:

Existing notes payable

$8,892,151

Accrued interest on existing notes payable through September 30, 2005
   1,023,713

Notes payable arising from purchase of stockholder's   49% stock interest in NEOHC
   3,354,210

Repayment of stockholder notes and accrued interest
    $13,270,074

Volume picking up.  Note the increase in volume over the past month.  Still waiting on the March 7th close date.  I voted all my shares in favor of the sale.

Not that anyone's interested:

Insider bought 3.3MM shares on Tuesday @ $.06.  It appears that the 3.3MM share acquisition equals 33% of the holdings of Corey Morrison, which was filed a few days before.  It probably a non-open market transfer between the 2.

Just a daily update.  The conference occured this morning, but doesn't seam to have added any catalyst to volume.  Volume is very steady and controlled.

NECX.ob has been my early retirement stock.

The quarterly financials will be posted on Yahoo!Finance any day now and NECX.ob is still trading at bankruptcy levels.

If you were to go online to Edgar.com, you will see that the gain on the sale of assets is $5MM, which is half of it's market cap.  NECX has cash in the bank and a bio-waste proprietary technolgy to promote.  Fact or fiction is up to the market, but the value is there IMO.

On the chart, look for the MACD to rise.  Volume is gaining.  The 200 DMA could end up being a real support level.

Good luck,
