eOn Communications Announces Acquisition Option Agreement with Spark Technology Corporation
Tuesday April 4, 4:30 pm ET

ATLANTA, April 4 /PRNewswire-FirstCall/ -- eOn Communications Corporation(TM) (Nasdaq: EONC - News), a leading provider of telecommunications solutions, today announced it has executed an Acquisition Option Agreement ("Agreement") to purchase 100% of Spark Technology Corporation ("Spark").

Spark (www.sparktech.com) designs and markets accessories for wireless telephones. It recently announced Cellstik, a small memory device that allows the user to easily backup, enter, edit and transfer their cell phone contacts. Cellstik provides a unique solution for a growing problem in the cellular market. Spark is 97% owned by David Lee, eOn's Chairman and CEO.

Under the terms of the Agreement, eOn will convert its existing $300,000 loan to 300,000 Spark shares and have the option to purchase all remaining outstanding Spark stock, including options, for 8,665,000 eOn shares. eOn will have the right to give notice of its intent to exercise this option any time between September 30, 2007 and March 31, 2008. The eOn Board of Directors will continue to review Spark operations and complete its due diligence process prior to granting approval of the option exercise. After notice of exercise, eOn will file an S4 with the SEC and seek the approval of the eOn Shareholders.

The Agreement further provides that in the event eOn does not exercise this option, or the eOn Shareholders do not approve it, eOn may require Spark or David Lee to repurchase the Spark shares for $300,000. In addition, in the event that Spark were to discontinue operations or be liquidated, David Lee would repurchase the shares for $300,000 within 60 days.

Hi,

are we in the down of the cup ?? ???
Could it run again???

What to think ?

thnx

Even though all of my favorite technical indicators are bearish, it looks like it's back to a support level at 1.75, like from this past February.  I'd hold it for now, or hold off on buying any if you don't have any.  I think this stock will consolidate around 1.65-1.80 for the next few weeks.  I'd put a stop in at 1.62, which is a few pennies below the lower bollinger band.

I had this stock a few weeks ago and had a good gain on it.  They reported bad news, and I ended up losing 8% on it.

Anyone on EONC?

The company will release its quarterly financial results next week. Last Q earnings were dismal but they said that this quarter would be much better. In fact, they have released new products and have signed large Chinese contracts since. This is a super low float with a very strong balance sheet (60c/share cash and no debt). If they do better than last Quarter, which IMO is a no brainer, EONC could easily gain 50% from today's prices

EONC will report financial results next week. The stock is starting to move up in anticipation of strong results based on comments made in the last CC and based on recent developments consistent with those comments.

EONC is trading at near its 52-week low because it reported a bad quarter last quarter due to a combination of several factors.  Management believes that that combination of factors will not affect results this quarter.

EONC has a 8 MM float, 60 cents in cash per share, no debt and historically has traded in $2.50 -$3 range when it is profitable. EONC is trading at a 0.8 P/S ratio.

EONC sells VOIP equipment and integrated fax, e-mail and web based communications systems with major operations in China, other regions of Asia, and the US.

Since the end of last quarter EONC made two significant announcements:
