Regulation E, the fallacy of microcaps?

According to one Realmoney columnist, Regulation E has been exploited by small companies to camoflauge themselves as microcaps where the actual no. of shares outstanding are not publicaly declared.

Since I dont have a subscription to Realmoney, I appreciate if any could share any comment or info on this. If this is practice is widespread then there is real danger for momo crowd in trading so-called 'micro-caps'.

and now I am more convienced that either yahoo and msn guys not doing their work properly in reporting/updating their portals or companies are not supplying the right info.

May be the best place to look for 'shares outstanding/float' is companies SEC fillings. Not going to rely on yahoo and msn info from now onwards.

Yahoo is correct (they do have lot of errors)! The number that David put out is the fully diluted number of shares. The O/S for May 2005 is 64M shares.

Stocky, I'm beginning to develop a theory about these small stocks. Bear with me, I still on the low end of the learning curve and don't have all the terminology down yet.

I feel there is a whole culture of thieves in the market, connected electronically, in collusion with each other, though not necessarily in one-to-one DIRECT collusion, that pump and dump, naked short, and manipulate small stocks in every way they can dream up and get away with. I think they just work their merry way up and down the list, looking for opportunities for manipulation. Have you ever wished you could at least get your hands on the damned list they follow? :P This is where the technology comes in. Just like the customizable tools you all use to filter through the thousands of stocks to zero in on picks according to your criteria, they have their software set to "scam mode". If the crooks are all using the same basic software, set to about the same parameters, they should all, for the most part, come up with mostly the same "picks". They don't have to know each other to pull this off, just know how to jump on the "gravy train". There's no "syndicate" for the regulators or law enforcement to look for, so the whole scam flies under the radar. CBS's "60 Minutes" has been sitting on a finished story about naked shorting for months now, continuously postponing it's airing. I think once this gets REALLY out, it will be a huge scandal.

There's a site that tracks MM e-communication volume. I'll have to look for it(I seem to have EVERYTHING on a 1000 post-it sized notesĀ  ;D), maybe someone else here knows the name of the site. They track inquiries and email traffic volume of the MMs in general. I think this could be a handy tool to use when dealing with these smaller companies and crooks.

Just my opinion, but then again, I'm famously full of chit...
