AccuPoll Holding Corp. (the "Company") is conducting an offering (the "Offering") of up to 30,000 shares of its Series A Convertible Preferred Stock, $.001 par value ("Series A Preferred Stock"), and warrants ("Warrants") to purchase up to 30,000,000 shares of the Company's common stock, $.001 par value ("Common Stock") to accredited investors pursuant to Section 4(2) of the Securities Act of 1933, as amended, and Rule 506, promulgated thereunder (the "Offering"). The Company is offering the Series A Preferred Stock for a per share purchase price of $100, for aggregate gross proceeds of up to $3,000,000. For each share of Series A Preferred Stock purchased investors will receive three-year warrants to purchase 1,000 shares of Common Stock with an exercise price of $0.10 per share ("$0.10 Warrants") and three-year warrants to purchase 1,000 shares of Common Stock with an exercise price of $0.125 per share ("$0.125 Warrants").
