NewMarket Technology, Inc. Confirms Profitable $17.3 Million in First Quarter 2006 Revenue

First Quarter 2006 Revenue 17% Above Annualized 2006 Forecast


DALLAS--(BUSINESS WIRE)--May 16, 2006--NewMarket Technology Inc. (OTCBB:NMKT - News) today confirmed its earlier press release regarding the filing of its first quarter 2006 financial results. The current financial report filed on Form 10-Q is the Company's first report since surpassing the requirements to file as a small business. Previous quarterly financial reports were filed on Form 10QSB. Originally, NewMarket's financial report for first quarter 2006 was inadvertently filed as a Form 10QSB, in addition, to other formatting errors. The Form 10QSB will be withdrawn from NewMarket's filings. The correct Form 10-Q was subsequently filed. To ensure NewMarket was not penalized for late filings due to the inadvertent filing of the Form 10QSB, the Company filed for an extension on Form 12b-25. NewMarket is currently in compliance with its first quarter financial filing requirements for 2006.

NMKT:  Pumped alot with earnings release and it has fallen over 10% in the last few weeks.  Some even said alot of accumulation going on. 
AIDO:  Even with new contracts, has dropped over 20% iin the last few weeks on low volume.

Also, I guess I am not familiar with how bid/ask are made, but with AIDO, I notice that on a lot of cases, even with the last trade (for example) being .50, the bid and ask will drop to .48 bid, .49 ask.  What is going on there?

Be calm, look at volume traded so far. I,m going to hold volume say's only those who cann't take the pressure is dumping today if it was a major sell off like previous day then I'd be worried but with the light amount of volume being traded I believe once it dry's up it will head back up.

DALLAS--(BUSINESS WIRE)--May 18, 2006--NewMarket Technology Inc. (OTCBB:NMKT - News) released a letter today to shareholders providing an overview of the Company's first quarter operational results and announcing an increase in the 2006 revenue forecast of 30% to a profitable $65 million compared to the $50.1 million in annual revenue reported with a net profit of $2.9 million in 2005. NewMarket had previously forecasted a 15% increase in revenue in 2006 over 2005. As previously announced, management will update its revenue forecast as financial quarter results are released. After reporting $17.2 million in revenue in the first quarter of 2006 with a 326% increase in profit over the same period last year, management has doubled the forecasted increase over 2005 to 30%.

The following letter to shareholders from Philip Verges, CEO of NewMarket, provides an overview of first quarter operations and an outlook for the remainder of 2006. Philip Verges and Philip J. Rauch, CFO of NewMarket, will also conduct an audio webcast and PowerPoint presentation on Monday May 22, 2006, at 4:05 p.m. EDT to allow shareholders the opportunity to hear management discuss the Company's quarterly operational results and outlook for 2006 in more detail. Dear Fellow Shareholders:

No doubt most, if not all, are disappointed in the week's stock price performance following the release of the Company's financial results for the first quarter of 2006. The Company exceeded its annual revenue forecast by 17% and increased its net profit by 326% over the same period last year, yet the share price dropped. The week has not been good for the U.S. financial markets overall. NewMarket's share price decline was likely more of a reaction to a technical filing hiccup than a reaction to overall market conditions. However, we believe that our good financial results will be appreciated in the markets going forward.

1st Quarter Financial Report Hiccup

The financial report for the first quarter filed on Form 10-Q is the Company's first report since surpassing the requirements to file as a small business. Previous quarterly financial reports were filed on Form 10QSB. On Monday, NewMarket's financial report for first quarter 2006 was inadvertently filed as a Form 10QSB, in addition to other formatting errors. To ensure NewMarket was not penalized for late filings due to the error of filing the Form 10QSB, the Company filed for an extension on Form 12b-25. The correct Form 10-Q was subsequently filed and is currently available for review at www.sec.gov. We have requested that the SEC withdraw the Form 10QSB from NewMarket's filings. NewMarket is currently in full compliance with its first quarter financial filing requirements for 2006.

Continuing Fundamental Financial Performance and Sustained Growth

The financial results for the first quarter have been previously released and are again summarized below for your review. Perhaps subtle, but nonetheless notable, the Company had a negligible cash flow increase from investing activities, yet we invested over $400,000 in subsidiary technology companies. This is a significant demonstration of NewMarket's improving fundamental financial performance and sustained growth. The Company is demonstrating an ability to support existing emerging technology investment requirements without further leveraging NewMarket stock to access investment.

Revenue increased 70% in Q106 to $17.3m compared to $10.2m in Q105
Gross profit increased 8% in Q106 to $5.1m compared to $4.7m in Q105
Operating expense decreased to 25% of sales in Q106 compared to 47% of sales in Q105
Net income (before currency translation) increased 326% in Q106 to $434k compared to $102k in Q105
Net income (after currency translation) increased 466% in Q106 to $577k compared to $102k in Q105
Accounts receivable decreased 23% since the end of 2005 from $15.1m to $11.5m at then end of Q106
Stockholder's equity increased 11% since the end of 2005 from $32.8m to $36.2m at the end of Q106
The Company's profitable revenue of $17.3m for the quarter exceeds the annualized revenue rate necessary to meet the forecasted $58m in annual revenue by 17%
The net income reflects non-cash charges for depreciation, amortization and deferred compensation expense totaling $445,605

Room for Improved Market Capitalization Value

Management considers the Company significantly undervalued today by most financial metrics used by investors. National exchange listed companies with comparable revenue are trading at a Price to Sales ratio of more than two times revenue. NewMarket has enjoyed a net share price increase since the beginning of 2006. Nevertheless, NewMarket is still trading at a Price to Sales ratio of less than one times revenue, while reporting better than comparable average Earnings per Share. Management is confident that continued success in the execution of NewMarket's plan will result in a continued alignment of the Company's share price with industry comparables. An independent analyst report released earlier this year by Tri-State Capital, which is accessible on the Company's website, recommended a target share price for NewMarket common stock more than two times yesterday's average share price.

Ongoing Strategy to Align Share Price and Fundamental Financial Performance

Management is committed to aligning the Company's share price and fundamental financial performance. Achieving a new listing on an upgraded exchange is part of management's plan to achieve a share price alignment with fundamental financial performance. An upgraded exchange listing is, however, not the only aspect of management's plan to align share price and is not necessarily the priority initiative. Continued fundamental financial performance and sustained growth is the foundation of NewMarket's goal to achieve a market capitalization consistent with market comparables for its business sector. An expanded management team and improving management process and procedure is central to NewMarket's strategy to continue to grow and produce fundamental financial performance. Management is committed to an upgraded listing.

Capital Structure Improvements to Reduce Fully Diluted Issued and Outstanding

Management is making substantial progress in improving NewMarket's overall capital structure to ultimately reduce the current fully diluted issued and outstanding. NewMarket has issued multiple classes of preferred convertible securities since 2002 in the acquisition of operating assets to achieve its business objectives of building revenue and net income. Currently, management is negotiating with the various holders of preferred securities to reduce the balance and number of preferred securities in order to simplify the overall capital structure and reduce the fully diluted issued and outstanding.

The negotiation requires the mutual agreement of multiple parties. I have led the effort by making a commitment to substantially reduce the current total number of shares collateralizing loans I have made to the Company independent of any reciprocal agreement from the holders of preferred stock. I am confident the overall negotiation will result in a reduction of the fully diluted issued and outstanding and I Iook forward to sharing the overall agreement with shareholders once the negotiations are concluded.

Let me add one notable comment regarding the current issued and outstanding that appears to have been a topic of inquiry from some shareholders over the last few days. Considering I represent a large number of shares in conjunction with the asset sale of a company I founded in 1997 to NewMarket in 2002 and subsequent loans made to NewMarket secured by additional NewMarket stock, some shareholders have expressed concern that I may have sold or are planning to sell some of my holdings. I have not sold any of my holdings and have no plans to sell any of my holdings at this time.

Management Stock Purchase

Management has made a commitment to purchase NewMarket stock. The commitment still stands though the plan to do so has not yet been executed. The planned stock purchase has expanded to include multiple management stock purchase programs comprising more than $1 million in purchase of stock over the next 24 months. I look forward to sharing the details of management stock purchases as further plans are finalized and appropriately approved.

Performance Outlook for Balance of 2006

In reaction to the first quarter financial results, management has increased the revenue forecast to 30% over last year's $50.1 million in revenue. The revenue growth forecast to $65 million in profitable revenue may be further increased following the filing of future quarterly financial reports. NewMarket has previously released business plans and goals for each of its primary operating business units that cumulatively would result in $87 million in profitable revenue if all objectives are achieved. NewMarket has a sales pipeline and merger and acquisition pipeline that could yield revenue and profit results in 2006 well above the revised $65 million forecast and the $87 million business plan.

Approximately 50% of NewMarket's revenue growth through 2005 came from acquisitions. NewMarket launched an initiative at the beginning of this year to substantially increase revenue growth by bidding on and winning larger and longer term contracts with a client list that will include more well known companies. The initiative is producing results demonstrated by our higher than anticipated first quarter revenue. We are optimistic that the early results in first quarter will generate more substantial results as the year progresses.

The most profitable aspect of NewMarket's overall strategy is the plan to monetize the appreciation of incubated emerging technologies. As an integral facet of building shareholder value, NewMarket houses each of its emerging technologies within independent subsidiary corporations. As subsidiary technology companies establish sales traction sufficient to validate an emerging technology's marketability, NewMarket will publicly list the subject subsidiary, while remaining as the majority shareholder.

The public listing of subsidiary technology companies enable:

1. concentrated capital formation to support continued subsidiary
    growth,

2. dividend issue of publicly traded subsidiary stock to NewMarket
    shareholders,

3. enhanced NewMarket profits through the monetization of subsidiary
    stock,

4. along with a strengthening of the Company's balance sheet through
    the Company's ownership of marketable securities.


As the majority shareholder, NewMarket can monetize subsidiary stock by selling a fractional minority interest on the public market. NewMarket can substantially enhance its profits by combining technology product and service sales with equity income from the monetization of subsidiary stock.

I am afraid we will have to wait until the next financial report... However, I would love to be wrong...

Looks like decisions of what to do will be this coming week and I don't want to hold till next earnings. I have posted a chart to show where I want to see this stock go to for me to hold . Support has been @.40 for the last four trading day's if it should fall below that then I'll sell. Let's hope for a good week and let's have a great run back up to test resistance @.70

Chart will show 32 & 200 day MA. I like using 32 MA because it shows when a breakout is occuring faster then 50 day MA. And will usually confirm it.
