Micron to buy Lexar for $688M

Micron Technology Inc. said Wednesday it agreed to acquire Lexar Media Inc. for about $688 million in stock.
The offer for Fremont-based Lexar (NASADQ:LEXR) is about a 19 percent premium over its Tuesday closing price of $7.09 a share. The flash memory product maker's stock has dropped about 26 percent from its 52-week high of $9.63 on Jan. 12, but it has nearly tripled its value since its one-year low of $2.55 on March 17 last year.

Micron Technology (NYSE:MU - News), based in Boise, Idaho, is offering 0.5625 shares of Micron for each of Lexar's 81.6 million shares.

The companies said they expect the deal to be completed by the end of the third quarter.

In mid-February, Lexar said it expects revenue of $240 million to $250 million for the fourth quarter.

Icahn buys up Lexar stock, may oppose sale to Micron

Investor Carl Icahn said in a regulatory filing on Friday that he has amassed about 6 percent of Lexar Media Inc. and may oppose Micron Technology Inc.'s $680 million bid for the company.
The Securities and Exchange Commission filing said funds controlled by Icahn spent $35.8 million on their stake in the Fremont-based flash memory maker (NASDAQ:LEXR - News).


Icahn said in the filing that his funds are looking at whether the offer by Micron's (NYSE:MU - News) "represents the full value of" Lexar and that they "may determine to attempt to convince other stockholders to oppose the merger."

Micron Technology said on March 6 it agreed to acquire Lexar Media for about $688 million in stock.

The offer was about a 19 percent premium over its March 5 closing price of $7.09 a share. Lexar stock rose more than 6 percent on Friday to close at $9.39 a share. It has traded in 52 range between $9.63 on Jan. 12 and $2.55 on March 17 last year.

Micron makes sweetened last-minute offer to Lexar

Micron Technology Inc. said Friday it is prepared to raise its offer for flash memory products maker Lexar Media Inc.
The sweetened proposal calls for every share of Fremont-based Lexar (NASDAQ:LEXR - News) to be traded for 0.5925 shares of Boise, Idaho-based Micron (NYSE:MU - News) rather than at the previous exchange ratio of 0.5625. The new offer, based on Thursday's closing price for Lexar, is about $826 million.


Stocks for both companies dropped Friday on news of the new offer, Lexar closing at $9.62, a 3.12 percent drop, and Micron at $16.46, a 2.43 percent drop.

The original stock-for-stock deal was valued at $688 million. The revised ratio is subject to the approval of both company boards, the companies said.

The last-minute offer came just ahead of a scheduled vote by Lexar shareholders, and the meeting was adjourned and rescheduled for June 16.

Some shareholders have opposed the sale, saying Micron's offer was too low. Opponents unsuccessfully sought a court order blocking Friday's vote.

Micron said in March it planned to buy Lexar, which recorded a $73 million loss in 2004, so it could expand into selling flash memory products directly to consumers.

UPDATE 4-Micron says ready to raise offer for Lexar

(Recasts, adds Icahn opposition, updates share prices)

NEW YORK, June 2 (Reuters) - Memory chip maker Micron Technology Inc. (MU.N: Quote, Profile, Research) on Friday raised its offer for Lexar Media Inc. (LEXR.O: Quote, Profile, Research) by about 5 percent to quell shareholder opposition, but the new terms were rejected by billionaire investor Carl Icahn, and shares of both firms fell.

Big Lexar investors including Icahn and hedge fund Elliott Associates had opposed Micron's previous bid for Lexar on the grounds that it undervalued the maker of digital memory cards.

"I still think it's too little, and we are going to continue to talk to other shareholders about it," Icahn told Reuters in an interview.


Elliott Associates declined to comment on whether it will accept the higher offer, but at least one other hedge fund expressed skepticism that it would win opponents over.

"The bump was at the low end of what people thought it would be. I don't know if Lexar shareholders will accept it," said David Brail, chief operating officer of Para Advisors Inc., a $1 billion hedge fund that owns Lexar shares.

Some analysts said investors were now selling shares on the expectation that the new terms would seal the deal.

"It looks like it's fairly coordinated with some of the shareholders that were against the deal," said Daniel Amir, an analyst at W.R. Hambrecht & Co.

"It looks like it's a done deal, even though the vote won't be for a couple of weeks." 

Shares in Boise, Idaho-based Micron fell 2.4 percent to $16.46 on the New York Stock Exchange, while Lexar slipped 3.1 percent to $9.62 on the Nasdaq.

In a joint statement by the two companies, Micron said it was prepared to exchange 0.5925 Micron share for each Lexar share, 5.3 percent above its previous offer of 0.5625 share.

Based on Micron's closing share price, the sweetened terms value Lexar at $9.75 per share, or a total of $945 million on a fully diluted basis that included share options.

That is some 16 percent higher than when Micron made its initial offer in early March. At that time, the deal was worth $817 million fully diluted.


Micron, a top maker of memory chips for computers and other electronic devices, wants Lexar's consumer product lineup and retail marketing experience to broaden its market beyond its core PC business.

Lexar was due to hold a special meeting of shareholders on Friday, but delayed the gathering to June 16 at its headquarters in Fremont, California, to obtain approval of the amended deal. The record date for shareholders allowed to vote at the special meeting remains April 28, Lexar said

UPDATE -Icahn says opposes new Micron bid for Lexar

NEW YORK, June 2 (Reuters) - Billionaire investor Carl Icahn said on Friday he will vote against Micron Technology Inc.'s (MU.N: Quote, Profile, Research) sweetened offer for Lexar Media Inc. (LEXR.O: Quote, Profile, Research) and said he would share his views with other Lexar stockholders.

"We are not going to vote for the deal," said Icahn, who holds about 7.5 percent of Lexar and whose views are closely followed on Wall Street.


"I still think it's too little, and we are going to continue to talk to other shareholders about it," said Icahn in an interview.

Under pressure from hedge fund shareholders, memory chip maker Micron said earlier today it is prepared to raise its stock-for-stock offer for Lexar Media Inc. (LEXR.O: Quote, Profile, Research) by about 5 percent.

Lexar was slated to have a special shareholders meeting today to approve the offer, but hedge funds this week expressed confidence they had to votes to block the deal.

Based on Micron's share price in early afternoon trading, the sweetened terms valued Lexar at $9.69 per share, or about $790 million, excluding stock options.

Investors complained that Lexar, which has a large roster of hedge fund stockholders, didn't conduct a substantial enough auction to sell itself, a move that may have resulted in a higher price. In addition, they complained that Micron offer didn't take into account likely future proceeds from patent litigation that Lexar is pressing. 

The latest offer met with muted response from other investors.

"The bump was at the low end of what people thought it would be," said David Brail, chief operating officer of Para Advisors Inc., a $1 billion hedge fund that holds Lexar shares. "I don't know if Lexar shareholders will accept it."

Micron shares closed at $16.46, down 41 cents or 2.4 percent, on the New York Stock Exchange. Lexar shares closed at $9.62, down 31 cents or 3.1 percent, on Nasdaq.
