Park City Group Completes $4.8 Million Private Placement; Company Enhances Working Capital as CEO Sees Rapid Industry Growth

PARK CITY, Utah, Jun 15, 2006 (BUSINESS WIRE) -- Park City Group, Inc. (OTCBB: PKCY) today announced it raised $4.3 million through the private placement of common stock with accredited investors. The first release of $1.425 million occurred on June 3, 2006. On June 14, 2006, the company received the balance of $2.938 million. The Company issued 87,272,742 common shares at $.055 per share raising approximately $4.8 million before deducting commissions and other expenses. The net proceeds from the private placement will be used for working capital and general corporate purposes. Taglich Brothers acted as the Company's placement agent.

Randall Fields, Park City Group chairman and chief executive officer, said, "This financing provides us with a significantly stronger balance sheet that will assist us in the continued execution of our business plan. We are very pleased that Taglich Brothers introduced our company to the high quality, long-term investors who participated in this deal, and we look forward to our association with their fine organization."

Fields continued, "Our markets are projected to grow substantially in the coming years as supermarkets, grocers, convenience stores and other retail customers grapple with the imperative to more profitably manage perishables and labor costs. As retailers recognize the solutions Park City Group offers, it is critical that we have the working capital strength necessary to grow with our client's demands for service. The added funds will help us greatly expand our development activities, our marketing and our services activities and the action represents a strong step towards what we ultimately hope to be a listing on a national stock exchange."

Hi, I Will probably be ignored as usual because Iam not rated . But I have come to this site for over one year and I usually just watch the results of the picks. Iam 25 and I have followed the market all thru college and highschool. Ive done my intership at IBM, and now I work for the Best beer Company in the whole world. Anyways, PKCY is def a gold mine. Finding a penny that has a balance sheet like nmkt and park city is hard. I have learned one thing from just observing these boards over the last year, not to count out world events. One thing i liked is that when the market buckled pkcy barely felt it, I have been buying as much as I can from 7.0 on down. Look at the charts. It established footing at 6.0 now 7.0 is it. This company had major contracts which should of moved it back to atleast 12.0 which it already showed us it could hit, but then the entire market took a hit.  Iam new to the market thats why I didnt invest for the last year until now, I did alot of moch investments with some of the picks here to get a feel for it. Finding a penny with these financials is hard. I hope iam not blasted too much cuz Iam a noob. But ya I definitely like pkcy , its not in debt up to its eyes, and it is making solid moves. One thing I noticed from observing alot of picks from just the charts in the last 24 months, the charts tend to be off when the companies are in debt up to there eyes. Anyways, I think we will be okay. I wish us all luck. since nmkt and pkcy are the first stocks i ever bought, and i have almost reached my 25k target in pkcy under 7.0. Now iam pumping my income into nmkt while it lingers in the low 30s. Hoping for a double or trip this year, and since its an election year maybe we will all get lucky. Definite thanks to the 3 stocks team, this is a great site.

David thanks for your time to post... would like to hear more of your thoughts on NMKT over on that thread... it is one of my larger positions, averaged in at .49 and plan on holding at least until we break .60 again and am hoping for .80-1.00 or more,  seems like it compares favorably with IIP which i was a bagholder of for 6 months or more last year at .55 and look at it this year  ;D  thoughts there?

NMKT seems to have all the fundis of a "solid company" just chose to issue many shares so they are a "penny stock"  Now you have me looking at PKCY and i like what i am seeing,  will be watching this one, perhaps a small position on Monday, but in this market it seem like it may test .055 again (or less, i notice that when a private placement of new shares is made the equity often retracts to that price and lower for some time, but in the long run it should be good for the PPS since those investors are usually BIG money and that Is what we want to follow... correct??)

Park City Group Board of Directors Approve 1:50 Reverse Stock Split
Monday July 10, 9:54 am ET

PARK CITY, Utah--(BUSINESS WIRE)--July 10, 2006--Park City Group, Inc. (OTCBB: PKCY - News) today announced that on July 7, 2006, its Board of Directors approved and authorized a 1-for-50 reverse split of its outstanding common stock subject to shareholder approval.

Park City Group's officers and directors hold approximately 50.8% of the votes available to vote with respect to the reverse split; therefore the Company has obtained a written consent of stockholders to approve these actions in lieu of a meeting of stockholders. Accordingly, Park City Group has prepared and filed a preliminary information statement on Form 14 (c) with the Securities Exchange Commission on July 7, 2006. Park City Group will file the Definitive Information Statement on Form 14(c) on or after July 7, 2006, and upon filing will be mailed to Park City Group stockholders. This Definitive Information Statement will be deemed ratified and effective 20 days after it has been furnished to Park City Group stockholders.

As a result of the reverse stock split, the number of shares of the Company's current outstanding common stock will be reduced from 446.5 million shares to approximately 9 million shares of outstanding common stock.

It is a long time since we last talked about Parkcity and a lot has happen since.

Most notably the company has done a 1:50 reverse split and changed ticker to PCYG.OB. The management seems to dress the company up for a listing on a major exchange:

I tried to add to my position yesterday but I have to say that the volume and spread makes it almost impossible to buy the stock (and might also make it difficult to get out again  ::)). You really have to be patient and ready to hold the stock for a long term.

Park City is probably not a stock for the majority of 3SOF members but I feel very good about the stock. We will have volume again so it might be worth for the momentum traders to keep it on the watch list.

Michael can you change the header for this to PCYG

Do you still like it...  Over the past week it fell and filled the gap at 2.50 formed back on april 26 of this year...  that 2.50 appears to be strong support would you agree? (even on a 2 year chart)
Volume has been creeping up this week still nothing to interest short term traders but i am thinking about adding to my position at these prices.  Seems like it has strong fundementals, MACD and RSI are starting to turn up  (macd d not yet on the weekly chart)

ILL BE WATCHING,  curious if you are in it yet?

Welcome to the new PCYG thread (AKA PKCY thread  ;))

Yes I still like Parkcity and yes I am the proud owner of shares in the company  ;D

I guess we are all waiting for the full year result for 2006 to be released and even though the preannouncement was encouraging we need to see some actual figures for the stock to take off.

I am quite bullish on the full year result. The change of the business model from once off sales to recurring revenue is a great shift long term. Unfortunately it makes it difficult to forecasts the full year result. The steady flow of new contracts should however make the company profitable in the last quarter and as the company had a 1.1 million loss in fiscal q4 last year it is going to make a major difference in the EPS and PE for this year.

The full year should be released soon and I am quite happy to hold over earnings.

I am not sure how strong the support at 2.5 is. At this point this is more a fundamental pick than a technical even though the chart looks good here.

Park City reported earnings yesterday and they were to say it bluntly disappointing and certainly didn't live up to my expectations:

I probably don't have to point out the weaknesses in the report as they are all over the place. I am however very concerned to see that ASP and maintenance revenue were down having in mind the changes they have introduced in their business model.

Based on Mr. Randall's comments there might still be some hope for next quarter. It seems like they are working on a number of new deals but they need to show us some results fast or the stock might go much lower.

I have a stop at the support at 2.25 and if this is broken I am going to sell my shares. I also have to admit that I might sell into strength if they announce new deals.

I still believe the company has a very good chance to make it long term but after holding the stock since May my patience is running out  :-\
