CinTel Partnering with Samsung Networking to Supply $1.9 million of LAN Equipment to Republic of Korea Air Force

LOUISVILLE, Ky.--(BUSINESS WIRE)--March 2, 2006-- CinTel Corp. (OTCBB: CNCN), a leader in Internet traffic management, announced today it has signed a sales agreement with the Republic of Korea Air Force (ROKAF) for the supply of $1.9 million (USD) worth of network equipment. CinTel will, in conjunction with Samsung Networks (http://www.samsungnetworks.net), be supplying all replacement LAN (Local Area Network) equipment to ROKAF with the exception of cables.

This project involves replacing outdated ATM LAN equipment currently being used by the ROKAF with highly effective gigabit Ethernet-based environment. This will enable ROKAF to greatly increase informational resources so that the ROKAF may look ahead to almost limitless expandability, stability, and a more secure network environment that can enable highly-efficient security, operation, education and technology within the network.

Kyung-Seop Lee, the department head of sales at CinTel's Korean subsidiary states, "Although CinTel has supplied to many government agencies over the years, the last few years have been lackluster. This sale to ROKAF will be a catalyzing event which will reinvigorate CinTel's government sector IT presence. This stock just started to jump a little yesterday...trying to crach the .27...just thought i would remind everyone about it. Its been laying quiet for awhile..wonder if its ready to go again?

CinTel Signs Agreement for Acquisition of Let's Game

CinTel Corp. (OTCBB: CNCN), a leader in Internet traffic management, announced today it has signed an Agreement for a bridge loan of $150,000, which may be convertible as partial payment via a convertible note, for the acquisition of LetsGame Co., Ltd. and the spin-off of "Let's Game" portal (www.letsgame.co.kr), pursuant to the MOU signed with Dataway Co., Ltd. ("Dataway") on February 16, 2006. The exact price of the acquisition, nor what percentage this bridge loan would be convertible into, has not been finalized between the parties. According to this Agreement, CinTel has the right to convert any or all of the Acquisition Price into equity before July 2006. CinTel intends to convert if Let's Game does well, but will require repayment if Let's Game performs below expectations. While the February MOU called for acquisition after thirty (30) days of due diligence, CinTel agreed to focus on the growth prospects of Let's Game rather than past performance and deferred the decision, with Dataway's permission, on whether to go forward until July.

"Let's Game" was established as Dacom's game portal site. Dataway was founded with capital of approximately US$5 million as an independent game portal site by Dacom Inc. and Dacom MI Inc. which are Internet backbone network providers. As "Let's Game" currently has over three million (3,000,000) users, several years of know-how, operation systems and experience that has proven to provide stable service to its online users, this Agreement is expected to credibly establish CinTel's beachhead into the digital content service business with a proven product. This will allow CinTel a sure and proven footing in the industry with the ability to produce immediate returns on the investment.

Dataway Co., Ltd. spun-off Let's Game Co., Ltd. less than a month ago, and has successfully established a strategic and marketing alliance with Edubox Inc. Prior to this contract, PSTS supplied the LCD TV source indirectly through a 3rd party and will now be a direct vendor to Samsung. PSTS expects to see stable orders and growing sales through this new contract. Minimum order requirements under this contract are 1.2 million units annually and mass production has begun as of November 2006. CinTel Corp (CinTel) (OTCBB: CNCN) announced that it has signed an exclusive strategic alliance agreement with Digifriends Co., Ltd. Digifriends is one of 3 companies worldwide that can currently develop Satellite Digital Multimedia Broadcasting products with their wholly owned technology (multimedia codec: H.262/+AAC, CAS, 2.6GHz RF) and licensing. Satellite Digital Multimedia Broadcasting (S-DMB) is a digital radio transmission system for sending multimedia (radio, TV, and datacasting) to mobile devices such as mobile phones.

Woori and possibly Bokwang investments......

I don't think many investors realize how undervalued CNCN is right now as a result of these nicely accretive financings from some significant names in Korea's financial industry.

Unless I am completely misreading/misinterpreting the filing, it appears to me that the $63 million financing from Woori is just one part of this round of financing (which is scheduled to be officially signed at Woori's offices on April 12). Again, I could be wrong on this but it looks like affiliates of the Bokwang conglomerate will be investing more than $10 million in CNCN before or on the closing date, bringing the total amount of money raised in this round to more than $73 million......

Affiliates of Bokwang Group, such as Phoenix Development & Investment Co., Ltd., Phoenix Digital Tech Co., Ltd., etc. shall have subscribed to the convertible bonds issued by the Company in the amount of at least KRW 10 billion under the terms and conditions that are not more favorable for the foregoing parties than those for the Subscriber, on or prior to the Closing Date.

Assuming my above take on this latest financing is correct, here are some quick calculations. On a fully-diluted basis I believe prior to this financing there were about 130 million shares outstanding (it is probably less than that, but I'll just use this number). Following this round of financing the fully-diluted share count is probably in the neighborhood of 235 million shares outstanding.

This financing alone will result in CNCN having more than $73 million in cash (more than 31 cents per share) sitting on its balance sheet prior to any acquisition it makes. Today's closing price gives CNCN a fully-diluted market cap of less than $78 million. The market is giving CNCN a valuation of basically $5 million. I am invested in shells that have higher valuations than that.

At some point light bulbs are going to go off in the minds of some investors.
