Markland Technologies Provides Further Update on Dividend of Technest Holdings Common Stock
Friday March 16, 5:46 pm ET

Technest Dividend Registration Statement Submitted to SEC

WARWICK, RI--(MARKET WIRE)--Mar 16, 2007 -- Markland Technologies, Inc. (Other OTC:MRKL.PK - News), a company transforming advanced laboratory technology into real-world products, has issued the following update on its planned dividend of shares of Technest Holdings Inc. common stock:

Technest Holdings Inc. has now submitted the dividend registration statement to the SEC for review.

On August 16, 2005, the Markland board of directors approved the distribution of $10 million of Markland's shares of Technest common stock, up to a maximum of 2.5 million shares, to holders of Markland common stock. To effect the distribution, the Markland board declared a special dividend on Markland common stock for the holders of record as of May 1, 2006. On March 8, 2007, in order to ensure that the previously declared dividend is paid with respect to all 500 million outstanding shares of Markland common stock, the Markland board amended the record date for the distribution from May 1, 2006 to the effective date of the registration statement. As a result, using the previously established distribution ratio, the actual number of shares that may be issued in the dividend was increased from 2,500,000 shares to 2,577,320 shares.

The distribution ratio for the special dividend is .00515464 of a share of Technest common stock for each share of Markland common stock. Accordingly, for every 194 shares of Markland common stock outstanding at the close of business on the record date, one share of Technest common stock will be issued. The aggregate number of shares of Technest common stock that may be issued in the distribution (2,577,320) was calculated by multiplying the number of shares of Markland common stock outstanding of 500 million shares by the distribution ratio. There will be no fractional shares of Technest common stock issued and all share amounts to be distributed will be rounded down to the nearest whole share. Holders of fewer than 194 shares of Markland common stock will receive no shares of Technest common stock. The dividend will be paid within seven business days of the effective date of the registration statement.

Once the Securities and Exchange Commission declares the registration statement effective and a payout date is determined, the NASD will establish the ex-dividend date. The ex-dividend date is the date on or after which a security is traded without the right to receive a specific dividend or distribution. According to the NASD, the ex-dividend date in this case will most likely be the day after the payout date. Because the NASD has not yet declared an ex-dividend date, any shares of Markland common stock outstanding on the record date that are traded after the record date but before the ex-dividend date will be traded with the right to receive the Technest dividend shares. Shares of Markland common stock traded on or after the ex-dividend date shall be traded without the right to receive any Technest dividend shares.

The number of Technest shares to be distributed in the Markland special dividend will represent approximately 15.3 percent of Technest outstanding common stock immediately prior to the distribution. Immediately after the distribution, Technest will have 16,878,979 shares of common stock outstanding. The special dividend of shares of Technest common stock by Markland will not affect the number of outstanding shares of Technest common stock or any rights of Technest stockholders. Upon completion of the special dividend, it is expected that Markland will own approximately 10,876,703 shares of Technest common stock, representing approximately 64.4 percent of the outstanding shares of Technest common stock (prior to giving effect to the required issuance to the former holders of Series D Preferred Stock, as discussed below).

In April 2006, Markland entered into an agreement with the then holders of its Series D Preferred Stock pursuant to which Markland agreed to issue the holders of the Series D Preferred Stock the number of shares of Technest common stock equal to the number thereof that would have been issued to such holders had all of the holders' shares of Series D Preferred Stock been converted into Markland common stock immediately preceding the then record date of May 1, 2006. Pursuant to this agreement, Markland is required to issue its former holders of Series D Preferred Stock 288,633 shares of Technest common stock. Upon completion of the dividend and this issuance to the former Series D holders, Markland will own approximately 10,588,070 shares of Technest common stock, representing approximately 62.7 percent of the outstanding shares of Technest common stock.

Update on financial statements

Markland is also working diligently to update its financial statements. After such time that the updated financial statements are filed with the SEC, the Company will be in a position set a date for an Annual Meeting of Stockholders and prepare a corresponding proxy statement.

This press release shall not constitute an offer to sell or a solicitation of an offer to buy, nor shall there be any sale of these securities in any state or jurisdiction in which such an offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state or jurisdiction. The distribution will be made only by means of the written prospectus forming part of the effective registration statement

Technest Holdings Granted New Phase I SBIR Award to Develop 3-D Remote Sensor to Improve Navigation of Helicopter Landings During Brown-Outs
Monday March 19, 8:00 am ET

BOSTON, March 19, 2007 (PRIME NEWSWIRE) -- Technest Holdings, Inc. (OTC BB:TCNH.OB - News), a defense and homeland security company, announced today it received an award from the Department of Defense to fund a Phase I Small Business Innovation Research (``SBIR'') grant for research and development of 3D-Nav, the Company's three-dimensional terrain modeling sensor-display system that may improve navigation of helicopter landings during brown-out conditions.

The 3D-Nav system will conduct three-dimensional terrain modeling to facilitate safe landings under brown-out conditions. During the landing process, the 3D-Nav system will automatically display and update the terrain model in real time while generating the navigation control signals needed to avoid obstacles and rollovers.

Brown-out conditions occur when a helicopter's rotors stir up dust from the ground, reducing visibility and causing vertigo in some pilots. Brownouts have affected desert air missions during recent military campaigns in both Afghanistan and Iraq.

``We look forward to working with the Department of Defense to further research innovative technologies that improve helicopter navigation during sub-standard conditions. Our novel 3D-Nav design leverages our extensive experience in both 2-D and 3-D imaging hardware and software development,'' stated Dr. Joseph P. Mackin, CEO of Technest Holdings. ``This technology has many practical military applications for use in ground and aerial vehicle navigation and collision avoidance. These applications include autonomous aircraft navigation and landing control, ground vehicle navigation in temporary brown-out conditions, military surveillance, and commercial 3-D modeling.''

UNITED NATIONS - The        U.N. Security Council unanimously voted Saturday to impose new sanctions against        Iran for its refusal to stop enriching uranium — a move intended to show Tehran that defiance will leave it increasingly isolated.

The moderately tougher sanctions include banning Iranian arms exports, and freezing the assets of 28 people and organizations involved in Iran's nuclear and missile programs.

About a third of those are linked to the Revolutionary Guard, an elite military corps.

The United States is "very pleased by the strength of this resolution" after two years of diplomacy, said R. Nicholas Burns, undersecretary for political affairs at the State Department.

In December, the 15-member Security Council ordered all countries to stop supplying Iran with materials and technology that could contribute to its nuclear and missile programs. It also ordered a freeze on assets of 10 key Iranian companies and 12 individuals related to those programs.

"It's a significant international rebuke to Iran and it's a significant tightening of international pressure on Iran," Burns said of the new sanctions. "We do believe it's going to leave Iran even more isolated than it has been."

Iranian Foreign Minister Manouchehr Mottaki rejected the sanctions and said Iran had no intention of suspending its enrichment program.

"The world must know — and it does — that even the harshest political and economic sanctions or other threats are far too weak to coerce the Iranian nation to retreat from their legal and legitimate demands," Mottaki told the Security Council after the vote. "Suspension is neither an option nor a solution."

Mottaki made the trip instead of Iranian President Mahmoud Ahmadinejad, who claimed he canceled his appearance because the U.S. failed to deliver his visa in time. The U.S. said it had issued the visa promptly.

Raising tensions, Iran detained 15 British sailors and marines Friday in what it said were Iranian territorial waters near        Iraq. The British sailors and marines had been on a mission to search for smugglers in Iraqi waters.

The six world powers that drafted the new resolution spent Friday trying to overcome objections from several council members, reflecting concerns that anything short of consensus would weaken efforts to rein in Iran's nuclear defiance.

There were several minor concessions but no changes to the key sanctions agreed upon last week by the United States, China, Russia, Britain, France and Germany.

The new sanctions — already a compromise between the stronger measures favored by the United States and the Europeans and the softer approach advocated by Russian and China — are considered modest. The ban on exports is among the harshest measures, but many of Iran's arms sales may not be affected because they are illicitly sent to militant groups like Lebanon's Hezbollah and Shiite militias in Iraq.

Still, world powers hoped that approving the resolution quickly and unanimously would signal that Iran will face stricter sanctions each time it ignores a Security Council deadline to suspend uranium enrichment, a process that can be used to produce nuclear energy or nuclear weapons.

"This resolution sends an unambiguous signal to the government and people of Iran ... that the path of nuclear proliferation by Iran is not one that the international community can accept," said British Ambassador Emyr Jones Parry.

Iran responded to the first set of sanctions in December by expanding enrichment.

Tehran has offered to provide guarantees that its nuclear program won't be diverted toward weapons, as the U.S. and some of its allies fear.

Iranian leaders kept up their defiant rhetoric in the days leading up to the vote, with Ahmadinejad calling the Security Council illegitimate and Supreme Leader Ayatollah Ali Khamenei suggesting Iran would pursue nuclear activities outside international regulations if faced with more sanctions.

The new resolution calls for voluntary restrictions on travel by the individuals subject to sanctions, on arms sales to Iran, and on new financial assistance or loans to the Iranian government.

It asks the        International Atomic Energy Agency to report back in 60 days on whether Iran has suspended enrichment and warns Iran could face further measures if it does not. But it also says all sanctions will be suspended if Iran halts enrichment and makes clear that Tehran can still accept a package of economic incentives and political rewards offered last year if it complies with the council's demands.

After the latest resolution met with surprising resistance from several elected Security Council members, a reference was inserted to a past resolution from the IAEA calling for the Middle East to be free of weapons of mass destruction. Indonesia and Qatar had wanted the council to make that appeal outright, but that would have had implications for        Israel, a U.S. ally widely believed to possess nuclear weapons, though it has never officially acknowledged it.

The second award for a Wide Area Surveillance and Improvised Explosive Device Detection System has an eighteen-month performance period and a negotiated value of approximately $31.8 million of which $50,000 was funded upon award. This delivery order provides funds for EOIR labor and materials, as well as support from Northrop Grumman and other subcontractors on EOIR's NVESD omnibus contract.
