BUSINESS SUMMARY  
Massey Energy Company, through its subsidiaries, produces, processes, and sells bituminous coal. The company's customers include electric utilities, steel manufacturers, industrial customers, and energy traders and brokers. As of December 31, 2007, it owned and operated approximately 188 wells, 200 miles of gathering line, and various small compression facilities in Appalachian Basin. The company also operated 47 mines, including 35 underground and 12 surface in West Virginia, Kentucky, and Virginia. Massey Energy Company distributes its products through freight and terminal agreements with various providers, including railroads, barge lines, steamship lines, bulk motor carriers, and terminal facilities. The company was founded in 1912 and is headquartered in Richmond, Virginia.

Standard & Poor's Announces Changes to U.S. Indices
Thursday June 12, 6:28 pm ET


NEW YORK, June 12 /PRNewswire/ -- Standard & Poor's will make the following changes to the S&P 500, S&P MidCap 400 and S&P SmallCap 600 indices after the close of trading Friday, June 20:

    -- S&P SmallCap 600 constituent Cabot Oil & Gas Corp. (NYSE: COG - News) will
       replace Brunswick Corp. (NYSE: BC - News) in the S&P 500, and Brunswick Corp.
       will replace Cabot Oil & Gas in the S&P SmallCap 600.
    -- S&P SmallCap 600 constituent Massey Energy Co. (NYSE: MEE - News) will replace
       OfficeMax Inc. (NYSE: OMX - News) in the S&P 500, and OfficeMax will replace
       Massey Energy in the S&P SmallCap 600.
    -- S&P SmallCap 600 constituent FLIR Systems Inc. (Nasdaq: FLIR - News) will
       replace Ruby Tuesday Inc. (NYSE: RT - News) in the S&P MidCap 400, and Ruby
       Tuesday will replace FLIR Systems in the S&P SmallCap 600.
    -- S&P SmallCap 600 constituent Trimble Navigation Ltd. (Nasdaq: TRMB - News)
       will replace CSG Systems International Inc. (Nasdaq: CSGS - News) in the S&P
       MidCap 400, and CSG Systems will replace Trimble Navigation in the S&P
       SmallCap 600.


These changes are being implemented toward the end of maintaining the cap-range appropriateness of the indices' constituents, as well as the indices' representativeness of the market's sector balance in those cap ranges. The market values of all companies involved are more appropriate for the indices they are moving to than the indices they are moving from. The modest impact of M&A activity on the US indices thus far this year affords us the opportunity to make these adjustments with relatively minimal turnover.

Cabot Oil & Gas produces, purchases and markets natural gas, and, to a lesser extent, produces and sells crude oil. Headquartered in Houston, TX, the company will be added to the S&P 500 GICS (Global Industry Classification Standard) Oil & Gas Exploration & Production Sub-Industry index.

Massey Energy produces coal. Headquartered in Richmond, VA, the company will be added to the S&P 500 GICS Coal & Consumable Fuels Sub-Industry index.

Brunswick manufactures marine engines and boats, and also has other recreational businesses. Headquartered in Lake Forest, IL, the company will be added to the S&P SmallCap 600 GICS Leisure Products Sub-Industry index.

Massey Energy Vice President John M. Poma exercises options for 3,464 shares of stock


NEW YORK (AP) -- The vice president of human resources at coal producer Massey Energy Co. exercised options for 3,464 shares of common stock under, according to a Securities and Exchange Commission filing Monday.
In a Form 4 filed with the SEC, John M. Poma reported he exercised the options Friday and Monday for $39 apiece. He also sold 3,464 shares on the same days for $78.75 to $83.75 apiece.

In addition, he sold 1,002 shares of common stock for $84.75 apiece Monday under a prearranged 10b5-1 trading plan, which allows company insiders to set up a program in advance for such transactions and proceed even if they come into possession of material nonpublic information.

Insiders file Form 4s with the SEC to report transactions in their companies' shares. Open market purchases and sales must be reported within two business days of the transaction.

Massey Energy is based in Richmond, Va.

Massey Energy Company (MEE), which will soon replace OfficeMax in the S&P 500,
made the Zacks #1 Rank Top Performers List for a second straight week as shares rose 11.5%. In the previous week, shares were up 13.6%. Earnings estimates for this year advanced 34% over the past two months. Furthermore, analysts expect next year's expectations to be about 41% better than this year's.

Coal prices have been moving sharply higher, providing a boost to companies in the industry such as MEE. In its first quarter, earnings per share of 52 cents trounced the consensus by 62.5%, while produced coal revenue was up 4.5%. Massey Energy was very active during the quarter in its expansion and cost reduction projects. It expects productivity to improve in the second quarter and beyond.

Massey shares soar on takeover rumor
Shares of coal miner Massey jump more than 11 percent on Alpha Resources takeover rumor

NEW YORK (AP) -- Shares of coal miner Massey Energy Co. jumped more than 11 percent Friday on rumors of a takeover offer from rival Alpha Natural Resources.

The Wall Street Journal reported that Alpha Natural Resources Inc. was considering a buyout of the Richmond, Va., company. The Journal said Massey hired investment bank Perella Weinberg as an adviser on Alpha's possible bid and will review its options at a board meeting later this month.

Massey shares rose $4.73, or 11.2 percent, to close at $46.94, after trading as high as $48.12 earlier in the session. Alpha shares fell $1.26, or 2.8 percent, to close at $44.45.

Massey is a logical target for Alpha Resources. Alpha was created to acquire other coal producers and has proven an aggressive buyer. It snapped up Foundation Coal Holdings for $1.4 billion in July 2009.

Other U.S.-based coal companies big enough to consider buying Massey are unlikely suitors. Peabody Energy and Arch Coal, both based in St. Louis, have largely abandoned Appalachia, where Massey's mines are clustered in West Virginia, Kentucky and Virginia. Consol Energy, based in Canonsburg, Pa., has the financial resources but is committed to expanding in the natural gas business.

Massey CEO Don Blankenship has said that his company is undervalued because the strength of its coal reserves isn't given enough weight. Massey holds about 2.9 billion tons of reserves. Around 1.3 billion tons is metallurgical coal, which is in strong demand by international steelmakers.

Alpha is the largest U.S. metallurgical coal producer and would control a big piece of the emerging international market if it were to acquire Massey. China, India and other Asian nations have driven demand for metallurgical coal. While Australia dominates supplying the Asian market, U.S. producers have made inroads.

Massey has faced intense pressure since the April 5 explosion that killed 29 miners at its Upper Big Branch mine in West Virginia. The blast was the deadliest at a U.S. mine since 1970 and is the subject of criminal and civil investigations. Massey also faces a U.S. Labor Department lawsuit seeking to close one of its mines in Kentucky as a serial violator of federal safety laws.

Spokesmen for Massey and Alpha Resources declined to comment on the takeover report.

ABINGDON, Va., March 2, 2011 /PRNewswire via COMTEX/ -- Alpha Natural Resources, Inc. (ANR) today announced its plans to establish two international sales and development offices: one in Sydney, Australia and one in New Delhi, India.

The global market conditions for both metallurgical and thermal coal appear likely to continue to improve in 2011, driven by increasing demand primarily in Asia. Given this anticipated increased global demand and constrained seaborne supply, U.S. coal producers should benefit as U.S. production capacity exceeds consumption of metallurgical coal by the domestic steel industry and thermal coal by domestic electric utilities, allowing for additional export opportunities.

"With the seaborne markets for both metallurgical and thermal coal in a growth mode, these two offices will help Alpha meet anticipated increased global demand in the long term," said Kevin S. Crutchfield, CEO.

Both offices will also serve to further develop and enhance trading opportunities, market intelligence and strategic relationships in the Asian markets.

On Jan. 29, 2011, Alpha Natural Resources and Massey Energy Company (MEE) announced an agreement for an $8.5 billion combination. The new entity should be well-positioned to capitalize on strong global demand trends for coal. Together, the two companies will be America's largest supplier of metallurgical coal for the world's steel industry and a highly diversified supplier of thermal coal to electric utilities in the U.S. and overseas.

Brian D. Sullivan, who most recently was senior vice president and general counsel for the United Company in Bristol, Va., will lead the Australian office. Sullivan was a key member of the leadership team at United and oversaw the acquisition and divestiture of operating coal assets for the company. Suresh Iyer, most recently vice president of enterprise risk management at Alpha, will lead the Indian office. In previous positions, Iyer has had responsibility for buying, selling and trading coal for domestic and international markets.

Both offices are expected to be fully operational by mid-year 2011. Brian Sullivan will report to Phil Cavatoni, executive vice president and chief strategy officer. Suresh Iyer will report to Scott Pack, executive vice president--sales and president of Alpha Coal Sales Co., LLC.

Take Advantage of Coal's Pullback:

Investors should be taking advantage of coal's recent pullback by buying some of the producers, said Jeremy Sussman, coal analyst at Brean Murray, Carrett & Co.

We're very bullish on the global supply-demand outlook," Sussman told CNBC.

We've seen some M&A activity recently [within the sector] and we'd be taking advantage of the pullback."

For the next two or three years, Sussman said North American metallurgical coal (met coal) is going to remain at a "very high scarcity value" in terms of the global commodity chain, as Australia continues to recover from its recent floods.

"Queensland [Australia], which accounts for 60 percent of the world's net coal exports, has major flooding where the country is still hurting and so we've seen a premium put on North American and U.S. met coal production."
