UPDATE 1-K-V Pharma says Hologic resubmits filing for Gestiva

July 13 (Reuters) - K-V Pharmaceuticals Inc (KVa.N) said Hologic Inc (HOLX.O) has resubmitted its filing for marketing approval for its drug to prevent preterm birth, sending K-V's shares up as much as 14 percent.

In January 2009, Hologic, which had agreed to give U.S. and global rights of its drug Gestiva to K-V, received a complete response action letter from the U.S. Food and Drug Administration seeking additional data on the drug.

Gestiva is aimed at the prevention of preterm birth, especially in expectant women with a history of preterm delivery, the company said.

Most pregnancies last about 40 weeks, and babies born earlier than 37 weeks are considered premature.

Shares of KV Pharmaceuticals were up 9 percent at 70 cents in afternoon trade on Nasdaq. They touched a high of 73 cents earlier in the session.

K-V Pharmaceutical Company Announces Completion of U.S. Food and Drug Administration Inspection and Approval to Return its First Product to Market

LOUIS, Mo., Sept. 10 /PRNewswire-FirstCall/ -- K-V Pharmaceutical Company (NYSE:  KVa/KVb) announced today that it has received notice from the U.S. Food and Drug Administration ("FDA") of the successful completion of an inspection of the Company's facilities and approval to return its first product to market.  Under the Company's Consent Decree, successful FDA inspections of the Company's quality systems, processes and facilities are expected to be required before K-V is permitted to resume manufacturing and shipment of particular products.  During the week of August 16, 2010, the FDA undertook an inspection of the Company's quality systems, manufacturing processes and facilities focusing on the first product dosage form for reintroduction by the Company into the marketplace.  The inspection was successfully completed.

The Company received notification from the FDA on September 8, 2010 of approval to ship into the marketplace the first product approved under the consent decree, i.e. Potassium Chloride.   The Company expects that initial shipments of its Micro-K®10mEq and Micro-K® 8mEq will begin the week of September 13, 2010.   The FDA is expected to conduct additional inspections with respect to other Company products before deciding whether other products may be manufactured and marketed.

Makena Approval Jump-Starts KV Pharmaceutical

A curious FDA approval sent a small pharmaceutical stock up 131% Friday. The company, KV Pharmaceutical, received approval for a drug that reduces the risk of premature birth in pregnant women, as Forbes reporter Matthew Herper noticed today.

KV Pharmaceutical is based in Bridgeton, Missouri, and has more debt than cash on its balance sheet. Shares were trading at $3.64 after the close Friday. The drug, called Makena, was approved ahead of an international trial that will be used to study whether the drug has a "clinical  benefit" in patients, the urgency being attributed to the need for a reduction in premature deliveries.

An FDA spokesperson said in a statement that, "Preterm birth is a significant public health issue in the United States. This is the first drug approved by the FDA that is indicated to specifically reduce this risk."

K-V Pharma expects to raise $32M from stock sale
K-V Pharma says it will sell $32M in Class A stock and set up $130M financing facility

ST. LOUIS (AP) -- K-V Pharmaceutical Co. said Monday it expects to raise $32 million through a private placement of Class A stock, and is preparing to establish a financing facility worth $130 million.

The company said a group of institutional investors will buy 10 million shares for $3.25 per share. K-V will use $20 million to repay obligations under its credit agreement with U.S. Healthcare. The rest will be used for other corporate purposes, including the launch of its preventative pre-term birth treatment Makena. K-V expects the stock sale to close Thursday.

Makena is designed to reduce the risk of premature birth in women who have a history of preterm birth. The Food and Drug Administration approved the drug earlier this month.

K-V also said it expects to complete agreements on a $130 million financing facility Friday. It is setting up the facility through agreements with affiliates of Centerbridge Partners LP. The company secured a $60 million bridge loan from Centerbridge affiliates in November.

K-V said it will issue warrants to buy an additional 7.5 million Class A shares at $1.62 per share.

In afternoon trading, K-V's Class A shares rose 16 cents, or 3.7 percent, to $4.54.

Look at it this way...they get $32.5 million in cash instantly from an investor whose best interest is to hold onto the stock long term and sell off shares at a later date...after KV stabilizes.
Considering the price was $1.33 per share a week ago,
this is a vote of confidence from institutions that things are looking up.

The biotech will be raising $32 million in a private placement and will be setting up a $130 million financing facility, too. Stock offerring after FDA approval...
Retest the moving averages with dilution, then consolidate uptrend!

KV Pharmaceutical was the market's biggest winner, more than doubling during the trading week of 14 Thur 18 Feb. It's been a huge month for the biotech, which began February neglected by Mr. Market at $1.61. It's been a six-bagger in February alone! KV Pharmaceutical has been on a tear since the FDA approved Makena, the only treatment on the market to reduce the risk of preterm birth in women with a history of singleton spontaneous preterm birth.

Geeknet could have screened Revenge of the Nerds after a blowout quarter. The company that attracts almost 55 million unique monthly visitors to its portfolio of tech-heavy websites, including SourceForge, Slashdot, and ThinkGeek, saw quarterly revenue spike 53% to $50 million. Net income from continuing operations more than tripled to $0.77 a share.
