WorldWater & Solar Technologies Corp. Signs Agreement With Prime Solar Senergy for Marketing & Logistic Support in Spain

PENNINGTON, N.J.--(BUSINESS WIRE)--WorldWater & Solar Technologies Corp. (OTC BB: WWAT.OB - News), developer and marketer of proprietary high-power solar systems announced today that it has signed an agreement with Prime Solar Senergy, S.L. of Barcelona and Madrid to be WorldWater's exclusive representative in Spain.

Prime Solar Senergy (Prime) will act as WorldWater's marketing and logistics partner to acquire and fast-track large scale photovoltaic installations throughout Spain, such as the multi-megawatt, 5-year project announced by WorldWater with a Letter of Intent in July with M&G Promociones de Vivienda Urbana, S.A. An executive mission from WorldWater's U.S. headquarters will depart next week for Spain to meet with Prime and M&G in Madrid to negotiate final contracts with M&G to build three 10-MegaWatt (MW) farms over the next three years (10MW each year) and two additionally planned 50MW farms in the fourth and fifth years in Lorca (Murcia Province) Spain. If final contracts are successfully negotiated construction is expected to start in 2008 for the M&G project.

Construction of 50-MegaWatt Plant to Begin Immediately for Spanish Projects


EWING, N.J.--(BUSINESS WIRE)--WorldWater & Solar Technologies Corp. (WWAT), developer and marketer of proprietary high-power solar systems, and ENTECH, Inc. of Keller, Texas, a high- tech supplier of solar technology to NASA for space operations, announced today the execution of an Agreement and Plan of Merger pursuant to which ENTECH will merge with and into a wholly-owned subsidiary of WorldWater. Under the terms of the Agreement and Plan of Merger, WorldWater will pay the following consideration to ENTECH stockholders:
$5 million in cash;
Shares of common stock of WorldWater based on a formula which, assuming a $2.00 per share price of our common stock, would result in issuance to ENTECH stockholders of common stock valued at approximately $39,300,000; and
Earn-out consideration calculated as 5% of WorldWater's gross revenues determined in accordance with generally accepted accounting principles which will be paid until the accumulated total of such earn-out payments to the ENTECH stockholders equals $5,000,000.
In addition to the consideration to be paid to ENTECH's stockholders, WorldWater will pay $1.3 million of ENTECH's liabilities at closing and provide $5 million of working capital to commence the manufacture of the ENTECH 20x concentrator systems for a 50 MegaWatt plant in Spain. As a result of this transaction, it is anticipated that ENTECH's current stockholders will own approximately 6.6% of the fully-diluted post-transaction common stock of WorldWater upon completion of the merger, which is conditioned upon obtaining the requisite stockholder approval to increase WWAT authorized common stock.

As a WorldWater subsidiary, ENTECH will maintain its identity, location, and business operations in both terrestrial and space solar energy. The Company anticipates that ENTECH will continue to perform its contract work for NASA, the U.S. Department of Defense, and other customers, as well as its internal R&D programs.

Starting immediately, the company will begin construction of a 50 MegaWatt plant in Spain, which is expected to be in full production of the ENTECH 20x concentrator solar systems beginning in the second quarter of 2008. WorldWater has signed a Letter of Intent with the Spanish firm M & G Promociones for installation of ENTECH systems for 10 MW in 2008, 10 MW in 2009, 10 MW in 2010 and 50 MW in each of 2011 and 2012. WorldWater also has signed an agreement with Prime Solar Senergy S.L. of Madrid and Barcelona to represent the company in obtaining further business in the burgeoning Spanish solar market.

WorldWater & Solar Technologies Announces Third Quarter Results

EWING, N.J.--(BUSINESS WIRE)--WorldWater & Solar Technologies Corp. (OTC BB:WWAT.OB - News), developer and marketer of proprietary high-horsepower solar systems, today announced results for the third quarter and nine months ended September 30, 2007 and issued guidance for the years 2007 and 2008.

Reflecting startup delays in implementation which pushed third quarter business into the fourth quarter of 2007 and first quarter of 2008, revenue for the third quarter was $4.4 million, compared with $6.5 million reported in the third quarter of 2006. Gross profit for the quarter was $0.6 million, versus $1.5 million in the prior-year period. Large projects which were scheduled for groundbreaking in the second and third quarters are now starting installation in the fourth quarter. The Company's net loss for the third quarter of 2007 was $3.8 million, or $(0.02) per share, compared to a loss of $0.9 million, or $(0.01) per share, in the third quarter of 2006. The 2007 third quarter reflects investments in R&D, marketing, and operations to support WorldWater's strategic growth initiatives, which include moving to fewer, multi-megawatt projects from higher volume smaller projects.

For the nine months ended September 30, 2007, WorldWater reported revenue of $7.6 million, compared with $10.3 million for the first nine months of 2006. Gross profit year to date was $1.1 million, versus $1.9 million in the prior-year period. Net loss for the first three quarters of 2007 was $8.7 million, or $(0.05) per share, compared to a loss of $8.6 million, or $(0.07) per share, last year.

"We saw results somewhat lag expectations this quarter due to unavoidable delays regarding our $17 million project for Fresno Yosemite International Airport, our $13.3 million project at Denver International Airport, and our $7.2 million project at Valley Center Water District in California, such that our updated guidance for this year is revenue of $20 million to $22 million. The delays, mainly for permitting or contractual changes in the scope of work, are not unusual in our industry and have meant that certain revenue reporting has shifted from the third quarter into the fourth quarter of 2007 and the first quarter of 2008," said Quentin T. "Our guidance for 2008 is $80 million to $90 million in revenue broken out as $50 million in WorldWater core business and $30-$40 million in new ENTECH concentrator business. Council Chooses WorldWater to Build Largest Municipal Solar Installation in New Jersey


EWING, N.J.--(BUSINESS WIRE)--WorldWater & Solar Technologies Corp. (OTC BB:WWAT.OB - News), developer and marketer of proprietary high-power solar systems, today announced that the City Council of Ocean City, NJ has awarded the Company a contract to build a $4 million solar system for the City which is expected to produce nearly 550,000 kilowatt hours of energy in its first year. The Ocean City Municipal Solar Energy Power Project will include roof mounts on the Cultural Arts and Community Center, the new Public Works Complex building, the Vehicle Maintenance Center and the Sports and Civic Center.


The award for the long-term Power Purchase Agreement with WorldWater is expected to allow Ocean City to offset approximately 17% of the City's total yearly electricity requirements for buildings that it owns and/or operates. The project is expected to be completed later this year.

Under WorldWater's awarded contract, which lasts 15 years, the company will receive $1.6 million in rebates from the New Jersey Board of Public Utilities, along with solar renewable energy credits (SRECs) and federal tax credits on top of the ongoing electric billings to be paid by Ocean City. Four proposals were received by the City, which selected WorldWater. Mayor Salvatore Perillo stated: "At a time when we are seeing double-digit increases in annual electric costs, this is welcomed savings. The savings will start in July and will help us to reduce our energy budget."

WorldWater & Solar Technologies Provides Update on ENTECH
Tuesday June 24, 1:28 pm ET


EWING, N.J.--(BUSINESS WIRE)--WorldWater & Solar Technologies Corp. (OTC BB:WWAT.OB - News), developer and marketer of proprietary high-power solar systems, today announced that its new ENTECH manufacturing facility in Fort Worth, Texas, remains on track to open in July. The 70,000 square foot center has a planned capacity for 200 Megawatts of production. ENTECH has already taken delivery of certain testing equipment and machinery for the initial 50 MW line, which is expected to begin rolling out concentrator systems for validation during the third quarter. The company anticipates having prototypes available in the September timeframe, with IEC certification in the first half of 2009. Prior to obtaining IEC 62108 qualification, the company will be testing to UL SU 8703 and IEEE 1513 standards.


"We continue to believe our new ENTECH factory will accept orders and deliver products by the end of the year for customers not requiring IEC certification and to deliver certified products during the first half of 2009," said Frank Smith, CEO. "Going forward, ENTECH will play an increasingly visible role with regard to WorldWater's growth and competitive advantage. We will begin introducing ENTECH into those projects that are well suited for its technology as soon as possible and also intend to sell ENTECH hardware as a standalone product to bolster our margins in 2009 and beyond."
