BUSINESS SUMMARY   
Lufkin Industries, Inc. and its subsidiaries engage in the design, manufacture, sale, and service of oil field pumping units, power transmission products, and highway trailers worldwide. Its oil field products include artificial reciprocating rod lift equipment and related products, which are used to extract crude oil and other fluids from wells. The power transmission products consist of high-speed and low-speed speed increasing and reducing gearboxes for industrial applications. The company's highway trailers comprise van, float, and dump trailers for the freight-hauling market. Lufkin Industries primarily sells its products to oil and gas companies and various industries, as well as to small and medium size fleet freight-hauling companies. It operates in the United States, Europe, Canada, and Latin America. The company was founded in 1902 and is based in Lufkin, Texas.

Standard & Poor's Announces Changes to U.S. Indices
Tuesday December 6, 6:02 pm ET


NEW YORK, Dec. 6 - Standard & Poor's will make the following changes to the S&P 500, S&P MidCap 400, SmallCap 600 and S&P REIT Composite indices:

    -- E.W. Scripps Co. (NYSE: SSP - News) will replace Georgia-Pacific Corp.
       (NYSE: GP - News) in the S&P 500 after the close of trading on Thursday,
       December 15.  Georgia-Pacific is being acquired by privately-held Koch
       Industries Inc. in a tender offer expected to close on or about that
       date.

    -- Navigant Consulting Inc. (NYSE: NCI - News) will replace York International
       Corp. (NYSE: YRK - News) in the S&P MidCap 400 after the close of trading on
       Friday, December 9.  York is being acquired by S&P 500 constituent
       Johnson Controls Inc. (NYSE: JCI - News) in a deal expected to close on or
       about that date, pending final approvals.

    -- S&P REIT Composite constituent Town and Country Trust (NYSE: TCT - News) will
       replace Goody's Family Clothing Inc. (Nasdaq: GDYS - News), and Novatel
       Wireless Inc. (Nasdaq: NVTL - News) will replace Zix Corp. (Nasdaq: ZIXI - News), in
       the S&P SmallCap 600 after the close of trading on Monday, December 12.
       Goody's is being acquired by privately-held Prentiss Capital Management
       in a deal expected to close on or about that date.  After today's close
       of trading Zix's market capitalization was approximately $51 million,
       ranking 600th in the index.

    -- Lufkin Industries Inc. (Nasdaq: LUFK - News) will replace Spinnaker
       Exploration Co. (NYSE: SKE - News) in the S&P SmallCap 600 after the close of
       trading on Tuesday, December 13.  Spinnaker is being acquired by S&P
       Global 1200 constituent Norsk Hydro ASA in a deal expected to close on
       or about that date.

    -- Fidelity Bankshares Inc. (Nasdaq: FFFL - News) will replace Capital Automotive
       REIT in the S&P SmallCap 600, and Cedar Shopping Centers Inc.
       (NYSE: CDR - News) will replace Capital Automotive in the S&P REIT Composite,
       after the close of trading on Thursday, December 15.  Capital
       Automotive is being acquired by a group of investors advised by DRA
       Advisors LLC in a deal expected to close on or about that date.

S&P to Add E.W. Scripps to 500 Index

Standard & Poor's to Add E.W. Scripps to Benchmark 500 Index on Dec. 15 to Replace Georgia-Pacific


NEW YORK (AP) -- Standard & Poor's said Tuesday that it will add media conglomerate E.W. Scripps Co. to its benchmark 500 index on Dec. 15, replacing railroad operator Georgia-Pacific Corp.
Georgia-Pacific Corp. is slated to be acquired by privately held Koch Industries Inc. around that date, S&P said. Cincinnati-based Scripps owns daily papers including the Rocky Mountain News and cable TV channels including Home & Garden Television and the Food Network.



The credit rating and investment research firm also will add Chicago's Navigant Consulting Inc. to its MidCap 400 index on Dec. 9, replacing York International Corp. York, a building products company, is set to be acquired by Johnson Controls Inc., a component of the S&P 500.

The company's SmallCap 600 index will see four additions in mid-December: apartment property developer Town and Country Trust of Baltimore, Md.; Texas power equipment manufacturer Lufkin Industries Inc.; financial services firm Fidelity Bankshares of West Palm Beach, Fla.; and telecommunications company Novatel Wireless Inc. of San Diego, Calif. These will replace retailer Goody's Family Clothing Inc., oil and gas firm Spinnaker Exploration Co., property investor Capital Automotive REIT and Zix Corp., respectively.

Goody's, Spinnaker and Capital Automotive are all being acquired, while Zix's market capitalization has fallen to about $51 million, making it the smallest company in the index, S&P said. Zix is a provider of Internet software and services.

Cedar Shopping Centers Inc. will replace Capital Automotive in S&P's REIT Composite Index.
