AquaCell Declares Record Date for Spin-off of Subsidiary
Business Editors

RANCHO CUCAMONGA, Calif.--(BUSINESS WIRE)--Feb. 15, 2006-- AquaCell Technologies (OTC:AQUA) announced today that, the Company has declared a record date of March 9, 2006, with a payment date of April 3, 2006 in connection with the spin-off of its Aquacell Water, Inc. subsidiary.

AquaCell Technologies' stockholders will receive one share of common stock in Aquacell Water for every share of common stock held in AquaCell Technologies. Following the distribution of the shares, the stockholders will own 100% of the stock of Aquacell Water in addition to their stock held in AquaCell Technologies, Inc.

AquaCell stockholders will not be required to pay for the shares of Aquacell Water common stock they receive in the distribution, nor will they be required to surrender or exchange AquaCell Technologies common shares or take any other action to receive Aquacell Water common stock.

AquaCell operates two distinct businesses- its advertising business through its Aquacell Media subsidiary and its water treatment business through its Aquacell Water subsidiary. We believe that the separation will provide both companies with the opportunity to focus exclusively on their respective businesses and their unique opportunities for long-term growth and profitability.

AquaCell Technologies, Inc. is based in Rancho Cucamonga, CA. Its AquaCell Media, Inc. subsidiary installs its patented self-filling Aquacell 1000 Bottled Water Cooler Systems free of charge into various locations, including retail establishments. Projections of Double-Digit Growth to Encourage Investments in the Industrial Water Recycling and Reuse Equipment Market in Europe and the Middle East



LONDON, February 20 /PRNewswire/ -- Water shortage is becoming a pressing global issue, especially in Southern Europe and the Middle East. Consequently, the industrial water recycling and reuse equipment market is likely to expand tremendously in the next five to ten years. With ever-tightening legislation, participants are becoming increasingly keen to consider more onsite water solutions to avoid rising water supply and effluent discharge costs.

The drought experienced during recent times in Spain, Portugal, Italy, France, Greece and the United Kingdom as well as continued short supply of fresh water in the Middle East is further propelling water recycling and reuse, thereby increasing the demand for the necessary solutions and equipment.

Both industry participants and end users recognise the use of effective water recycling solutions and reuse equipment as a long-term measure to ensure improved quality of life. However, at this stage, many vendors find such solutions inaccessible due to lack of development and are more concerned about the long wait to earn return on investment.

Therefore, these vendors can make available recycling solutions in a user-friendly package. For instance, a solution that addresses the sector-specific needs, such as material reclaim functionality for the pulp and paper or microelectronics sectors, is likely to have greater uptake.

"Manufacturers should design solutions to meet future regulatory and business development requirements," says Ms. Giddings. "Introducing pay-as-you-go pricing models will help tackle the cost issue, as high capital costs and long payback times would hinder the buying patterns. Also, building customer base through reference will be valuable as a future sales tool."

On the other hand, it is not easy for new participants to penetrate the industrial water recycling and reuse equipment market. The relatively low cost of fresh water as well as the lack of end users' capital spending power and the lengthy time taken to earn profits are deterring new entrants.

"Even for existing participants in the market, sales cycles are long as well as costly and it can take up to two years to research and design a solution. Moreover, at the end, there is no guarantee that end users will adopt the solution," states Ms. Giddings. "Because of this, many participants are handling industrial water recycling and reuse projects on an ad-hoc basis, thus perpetuating slow market development."

While industries are upgrading wastewater treatment facilities, the Industrial Pollution Prevention Control (IPPC) directives are focusing on promoting water recycling and reuse technologies for sustained growth. For relatively small percent- 10-20 per cent extra costs, end users can invest in water recycling and reuse capabilities to improve their quality of life.

Furthermore, the long-term growth map is marked with water reduction measures brought in across Europe such as hosepipe banes. In addition, U.K, constrained by water restrictions until now due to dry conditions, is offering tax credits for industries that invest in water saving technology, thus promising a double-digit growth for this market.

Hey Doyer...thank you ;D  Naaa..i accidentally sold to early, had left a sell order in friday at .24....but, get caught up in so many other things..didnt even notice it had ate my shares and hit .29 on friday. Oh well...got a small profit...i got watch that..i do that alot...sell to early..not paying attention...lol.

Well....i will keep it on my watchlist just in case i decide to re-enter.

yeah cnes is something i'm not sure what's up i know some of the momo was shakerz group but they usually cause a sell off end of day, today it did not and they also took my shares at .0015 very fast off the ask AON order. so take that for what it's worth
