VOCL WITH A 2M SHARE FLOAT WILL ANNOUNCE STRONG 4Q and FY 2006 ON TUESDAY, MARCH 27, 2007 AH....PER GUIDANCE

Vocaltec (Nasdaq: VOCL) jumped 20% to over $5 when it announced its 3Q earnings results on November 24, 2006 because of a strong 4Q and FY 2006 guidance. major investors in VOCL are Cisco Systems and Deutsche Telekom.


VOCL HIGHLIGHTS;

- Market Cap: $16M

- Float: 2M shares

- Huge growth in the Soviet Union and China

- Leader in VoIP technology

- $1.3/shares cash and ZERO long term debt.


In the 3Q earnings release VOCL stated:

The Company's full-year guidance for 2006 is as follows:

Fourth quarter revenues are expected to be significantly higher than those of the third quarter, with revenues for the full year expected to be above $9 million. This represents growth of approximately 100% over 2005, on a GAAP basis, and is in line with our previous guidance;

The Company expects gross margins for the year, excluding the effect of amortization of intangible assets, to reach approximately 60%, ahead of the Company's previous projection of 50-56%; and

The total operating expenses, excluding the effect of share based compensation and amortization of acquired intangibles, is expected to be in line with previous guidance of $2.6 million on average per quarter

OK...now a little bit of math here....

With the anticipated FY 2006 revenues of over $9M for FY 2006 (per guidance),

4Q 2006 revenues will likely be about $4M. Compared this with revenues of $1.5M in 4Q 2005...........Huge advantage 4Q 2006

Now compare the FY 2006 revenue or $9M++ with FY 2005 revenue of $4.6M.......Huge advantage YF 2006

And in addition to higher revenues, gross margins will increase from the 50%+ to the $60% +



FACT: VOCL traded at $10.4 after 4Q 2005 and now it's trading at $3.4.....The company is about to report a blockbuster quarter with a likely strong guidance forward. Which direction do you think the stock will go??....I say UP....WAY UP!!!

Shares of VocalTech Communications (VOCL - commentary - Cramer's Take) jumped 19% after the company raised its gross margin guidance for the year.

For the third quarter, VocalTech recorded a loss of $1.4 million on revenue of $1.8 million. Excluding stock-based compensation costs, the company reported a loss of $1.1 million. A year earlier period, the company posted a loss of $500,000 on revenue of $2.2 million.

Looking ahead, VocalTech sees full-year revenue of more than $9 million, in line with its previous guidance. Gross margins, meanwhile, are now seen at about 60%, above the company's earlier view of 50% to 56%.

Shares were trading up 79 cents to $4.99.

VOCL jumped 250% in October 2006 when the company announced a VoIP partnership with IBM. I believe this type of partnerships will results in significant gains on VOCL's top and bottom line in years ahead

A month after the IBM-VOCL announcement was made,  IBM and  3Com announced that they partenered to deliver first "all-in-one" solution for both IP telephony and business applications. This huge for VOCL because the company is benefiting from a huge marketing campaign being deployed by these two industry giants.

VOCL, with 2.3M shares on the float, recently announced that it expects a 70 - 90% revenue growth in 2007. VOCL is owned in part by CSCO and has recently signed a major VoIP partnership with IBM.

On March 28, 2007, VOCL announced a large multi-million dollar order from Deutshe Telekom. Not bad for a little company with a $15M market cap, 2M share float, and a solid balance sheet.

On April 11, 2007 VOCL announced that Alink Telecom will deploy VocalTec's Essentra products to build its VoIP Network in West Africa.

The upcoming 1Q 2007 ended March 31, 2007 will be a major improvement over 4Q 2006 and 1Q 2006. In 1Q 2006 VOCL reported revenues of $1.7M and a loss of $2M. 1Q 2007 will include $1.3M that were received at the start of 1Q, in addition to recurring revenues, and revenues from the large Deutshe Telekom order. I expect revenues of about $4M or 150% revenue growth compared to 1Q 2006. The guidance for 2007 calls for revenues ranging from $12M to $14M.

VocalTec Signs Agreement to Sell 11 of Its 22 Patents for $12.5 Million

HERZLIA, Israel--(BUSINESS WIRE)--VocalTec Communications Ltd. (Nasdaq Capital Market:VOCL), a global provider of carrier-class multimedia and voice-over-IP solutions for communication service providers, announced today that it has signed a Patent Purchase Agreement (PPA) to sell selected patents to Karo Millennium J.P., L.L.C.

Pursuant to the PPA, VocalTec will sell 11 patents and certain patent-related rights, out of the Company's current portfolio of 22 patents, for the aggregate selling price of $12.5 million. The patents to be sold consist of nine US patents, one Israel patent and one Australian patent. Consummation of the transaction is subject to certain conditions, including approval of the Office of the Chief Scientist of the Israeli Ministry of Industry (OCS), Trade and Labor. The transaction-related expenses will include mainly brokerage fees and a payment to the OCS in an amount to be determined. Upon consummation of the transaction, VocalTec will be granted a geographically unlimited, non-exclusive license to use the sold patents and other patent-related rights in connection with the development and marketing of its products.

Yosi Albagli, VocalTec's Chief Executive Officer, commented, "We are happy to have entered into an agreement with Karo Millennium J.P., L.L.C. that demonstrates the value attributed to VocalTec's technology and solutions. The funds that we will receive from the monetization of the patents and patent-related rights to be sold will allow us to continue expanding our sales and marketing efforts, as we move forward with our growth plans. We believe that there is great potential for our VOIP solutions, and we look forward to exploring the opportunities that lie ahead." IPinvestments Group is acting as VocalTec's broker in this transaction.

In addition to the 11 patents sold, VocalTec retains a patent portfolio comprising 11 additional patents as well as several trademarks, including "Internet Phone" trademark and internet domain name.

Vocaltec Sells Patents to Karo Millennium

In a way, I must thank VocalTec because it was companies like them that helped me realize how IP would revolutionize communications and further help me decide to launch a magazine dedicated to the market in 1997. VocalTec was one of the first to have a column in Internet Telephony Magazine and I will never forget my many interactions with the company over the years.

So it is with mixed emotions I witness the fact that the company is selling some of its VoIP patents to Karo Millennium J.P., L.L.C. It should go without saying that these patents will likely be used to get others in the industry to pay a "tax" for using VoIP and this is likely bad news for many in the market.

On the flipside, you cannot fault VocalTec for selling 11 patents -- or half its portfolio for $12.5 million. Why? Because the company will use the money to grow -- and growth is always good.

I am sure we will be hearing from Vocaltec and Karo Millennium again soon. For some they may hear from the latter, sooner than they would like
