PR Newswire - November 18, 2005 07:59

NORTH PALM BEACH, Fla., Nov 18, 2005 /PRNewswire-FirstCall via COMTEX/ -- Bravo! Foods International Corp. (OTC Bulletin Board: BRVO), a brand development and marketing company that manufactures, promotes and distributes vitamin- fortified, flavored milks, announced today that it is attending the 2005 National Association of Convenience Stores (NACS) SHOW, a premier trade convention tailored to the convenience store sector.

The NACS SHOW, one of the largest of its kind and attended annually by nearly 25,000 c-store professionals, is ranked first in terms of "buying plans" -- a measure of the likelihood of attendees purchasing after attending a show -- according to a report conducted by Exhibit Surveys, Inc., and published in the April 2005 Exhibitor magazine. This year's show is being held at the Las Vegas Convention Center, November 15-18, 2005. Conference details can be found at: http://www.nacsshow.com .

Bravo! Foods CEO Roy Warren said, "Our great-tasting, single-serve milk drinks -- many of which are co-branded with some of the nation's most popular candy bars -- are well-suited to the convenience store market, where consumers buy for immediate consumption and most often buy based on brand recognition."

Warren continued, "We are excited to participate in this year's NACS show and look forward to the successful introduction of Slammers to this important sector."

Bravo! Foods representatives will be on hand at the Company's attractive booth to introduce and sample Bravo!'s popular Slammers(R) lines to convenience store owners, buyers and other professionals attending the convention.

Bravo!'s Slammers(R)-sponsored NHRA Cagnazzi Racing Team and driver Erica Enders also will attend the event, providing autographs, coupons and sampling. Visit: http://www.slammersracing.com for information and photographs of Enders and the Slammers(R) Ultimate Milk car.

NACS Director of Event Marketing and Communications Stephanie Robert said, "The most important thing a retail chain can do is incorporate new products and services to remain ahead of the competition. One of the things that we strive to do at the NACS Show is offer out-of-the-box thinking."

About the NACS SHOW

Founded August 14, 1961, NACS is an international trade association representing more than 2,200 retail and 1,800 supplier company members. NACS member companies do business in nearly 40 countries around the world, with the majority of members based in the United States. Went into 711 today to look 4 Slammers.  Saw one-Starburst drink.  It was surrounded by similar Hershey "slammers" made by Dean.  The starburst drink seemed to market itself as a healthy yogurstish drink.

If given the choice I'd buy the Hersey.  My point is that this market is crowded (Tropicana has one too, not to mention Quick)

I don't know anything about this business.  But I'm not sure if kids like this stuff anymore.

nberski

Up the highway - The big HY-V food store has at least five brands of flavored individual serving milk drinks and more in larger container sizes.

No slammers to be found.

I understand that Slammers are not like the competition -- -  Slammers have a long shelf life and are going in machines and places other than the store coolers.  Places where kids can find them.

Disclaimer = I have never seen a Slammer.  I mostly don't drink milk. Yogurt = spoiled milk?

The competition and generics of slammers are very true. However, what gives edge to slammers is the MDA with Coke. That will be enough to fuel the stock price. In my opinion, strong fundamentals and market skepticism are two combinations which ensure you that you buy before the crowd and sell them higher when they wake up. If crowd is bullish on a stock then I think its best to sell.

However, there's a catch. if slammers rates lower on taste buds then no amount of MDA could help it. Personally, my taste buds like them and would buy slammers for my kid rather than the unhealthy soda.

"Absent the $3,000,000 non-recurring finder's fee charge, the Company's increased net loss per share was offset by an increase in the weighted average of common shares outstanding from 44,374,877 shares for the three months ending September 2004 to 113,680,645 shares for the current three month period, resulting in a current three month period loss per share of $0.016."

113 Million shares outstanding?

You're not sure if kids like chocolate milk anymore? Wow, that's a new one. ???

Why slammers stands out is:

Great packaging w/ comic characters
Candy flavors: Starburst, milky way
lowfat milk
splenda

Hershey's & Quick taste great.  They will make the kids Fat and rot their teeth.
Send the Hershey's to the Terrorists' Kids.

My kids will drink Slammers!

The price will gap down Friday AM as it did post earnings, imo.

The amount of shares is less than if CCE had taken 51%.  That said, it is worse for us shareholders for CCE not to have the shares.  Even though the number of shares are higher, We want CCE to have them because they will not sell them.

You see, CCE was not going to sell to the open market as these people will.
CCE would have held then Entire stake to make sure they had the 51%.

We now never know when shares will be dumped to market.

Most people who do this type of financing are not in the business of investing.
They already are in the money on the shares.  So selling gets an immediate return.
BRVO gets the financing, they get the money and all are happy. Right? Wrong.
The share price will suffer.  Any rally will be hit with a ceiling. Remind you of EYII and some others.
Advances are crushed creating more bagholders to sell again on any pop.

This cycle will end when the shares are all gone.  (but how can we be sure?)
And hopefully, the margin is great enough that BRVO will not need future financing.

Some have the opinion that private placements are not good.
It depends on who it is with.

Picture this scenario.
They can now leverage to make money by short selling shares.
A long position protects them.

When the price goes too high, they sell and vice versa.

Here is an explanation I recently came across.

This is all hypothetical.  I want BRVO to move up but am evaluating all scenarios.

* It still is a mystery why CCE did not take 51%
Perhaps, CCE knows the company is valuable but share price will be diluted
.

====================================================

The copied post below about another company may have nothing to do with BRVO, but it sure got me thinking about how the big boys make money.  ???

A new range? I don't really think so. It is a positioning thing imo.

The bucket boys were short $2.23 when the was announced. They shorted into what was an advance to $2.23. They pounded it good and took it to $1.20. They kept the short and bought long $1.20.

The spread or difference between the two made $1.71 the mid point price. That is where they have set new shorts. If you look at the volume history at that price, you will see what I mean.

They have accumulated enough long to free wheel. In effect, the short is not dependent on the core position. That would be the Soros shares at $.73.

If you use that number in the computation, $2.23 best short, .73 best long, you arrive at $1.50. They buy below $1.50 and sell $1.50. The $1.40 you mentioned is where they want it. They can make a nickel or dime on all the trade. They can use the $.73 number for basis because they have insured themselves with long accumulation.

I place the new protected zone at $1.63 top for short. You might remember in the past I had said; buy $1.50,51,52,53,54, and stop. The stock was $1.70 or so at the time. It came down quick to that zone.

$1.40 represents the discount and profit. $1.50 is the more relevant price. They do not buy $1.50, they sell.

The price is contracting. The short position has been on and off of the reg sho list. However they have maintained that short. I believe they will hold it till the end.

Why not. Those shares never existed in the first place. If you can make 1.5 to 2.0 million on something that does not exist, well....

No cover. More short if they can manage it. If they can run the price down, they get richer. The divi pays in shares.

I expect a pump and a monster short attack. It hit $1.35 recently. They need to sell some before the dump. When they finish, I expect a plunge. They will accumulate the new low and improve the basis lower.

I doubt you will see anything converted. They have control through the preferred. They are better served by an instrument that represents the common. The common loses value. The preferred is protected by covenants. The lower the common goes, the better for them.

The company is valueable. The common is not. They want the company. I think it goes toxic and they win big.

All my opinion.

Don,

As always, great posts. Applaud !!!

Some call me ' Devils Advocate '.  After getting burned by pennies this year, I want to present and research all angles.

Financing is what seems to kill the shareholder value in pennies.  When the companies become desperate, they give away the farm and sell out to toxic financing.  See EYII for an example.  Although a company may make it, the shareholders lose as they are used as collateral.

That said, BRVO may be different.  They have a product we can drive down the street to purchase.  And they are involved with Coke.  We all knew that financing was needed.  It is just unclear at this time who the investors are.  And we will have to speculate on them selling shares.

BRVO is an incredible growth story.  The rewards should be achieved even on the low end of estimates.

I still wonder why CCE backed out of 51%.  And it bothers me about the 3.25 million versus 4 million.

So 70-100 million for 2006 is what they say.  I will now estimate the low end.
The question is: what multiple do we assign to come with a price projection?  Any thoughts ?

Based on the TA and fundamentals, I bought at 64 today to hold.  We will see.

At this time, BRVO is the only penny that I am willing to buy.

I was going to let brvo go but after my experience with cnxt , (let go one day before it goes through the roof ) tells me to give a little room , and thanks to setravis  ;D i have a little more patience

BUT, I also listened to the conference call , and the company plans on moving the stock to what they called a real board, not the .ob board, and im pretty sure you have to be at 1.00 per share for that to happen? Thats one reason , and #2 I have included a chart that shows brvo is in the process of forming a cup wit un handle, almost every one of these i see makes me salivate.  >:D >:D imo just a little while longer.   tonyg

Buyhigh?

BRVO still maintaining well at this time....holding for $1.00 ;)

David is correct in the correlation of pennies with the general market.  The market has been on a run and pennies become temporarily out of favor.

This presents an opportunity for the patient.

I added to BRVO this week making it the largest holding in the portfolio.

Buying ahead of forecast is the plan.  Any forecast is going to be a double digit increase quarter on quarter.

Willing to hold for the long term.  BRVO moves quickly towards 72 and 80 when a call is coming.  Maybe it will move up before the January guidance call.

We will see.  At the minimum it has unlimited potential with CCE and a Real Product.

I have a call scheduled with the CFO Jeff Kaplan Tuesday.
Post any questions that you would like me to ask for you and I will post replies here.
======================================================

A reply to me from Roy the CEO about BRVO profitability is below:

QUESTIONS FOR ROY

Per our conversation:

-  During the earnings call, Management cited a call update in January to discuss the future.  When is the call date ?  What will be addressed on the call ?  Will a PR come out announcing a call ?

-  Amount of current Insider shares owned ?
Have any sold or purchased in last 6 months ?
Why do the insiders not purchase if undervalued at this time ?

-  How long do they project the current financing to last before another round ?

-  What is your best guess on when Bravo will be profitable ?

Thank you in advance.

-Jeff-

ANSWERS FROM ROY

HI, I will answer what I can.  First of all, we will do an update in January due to the issues regarding CCE business growth and the capacity issue. We will announce this when we know the facts and announce the date then.

Insider shares can be found on our financials.  I think we are around 10% beneficial interest including the board.  Insider sales and purchases are listed under insider transactions under BRVO on Yahoo Finance.  Insiders are not traders.  We work for the company and part of our compensation is stock options.  Our goal is to build shareholder value, not really to trade the shares. We have a 6 month swing rule which means if we buy, we can not sell for 6 months.  Management will buy when they feel appropriate but you must realize that Bravo is already a very disproportionately high piece of our net worth.

We would only raise additional money in 2006 for some extraordinary deal ( acquisition or such which we have no current plans to do).  We have plenty of cash now to carry out our plan as we see it now.  I believe we will reach cash flow break even during Q2 but time will tell.  We don't have a good handle on the costs of the ramp up in sales with CCE and the costs of the new marketing and capacity due to some unknowns but I am comfortable that we get there in Q2 as indicated in our last call.

Hope this helps. rgW
