Corporate History
Mikros Systems Corporation ("Mikros" or the "Company") specializes in the research and development of electronic systems technology for military applications. Classified by the U.S. Department of Defense (DoD) as a small business, its capabilities include technology management, systems engineering & integration, radar systems engineering, combat/C4I systems engineering, and communications engineering.
Founded in 1978 in Albany, New York, as a digital signal processor (DSP) application developer, the Company has now branched out into two locations. Our headquarters are located at 707 Alexander Road in Princeton, NJ, and our Engineering and Operational Center has recently relocated to 220 Commerce Drive, Fort Washington, PA. Initially, Mikros's technology was targeted for military applications; however, the related knowledge base and proprietary technology developed was recognized as being applicable to the rapidly expanding wireless business in the commercial sector. Therefore in 1995, Mikros began the pursuit of commercial ventures through which its technology would be used to enhance data transmission in the AM and FM radio spectrum.
In May 2002, Mikros re-entered the military electronics business with the award of a Phase I Small Business Innovation Research (SBIR) contract from the Naval Surface Warfare Center in Dahlgren, Virginia. Since that time, Mikros has steadily been expanding its business and backlog as a U.S. DoD small-business contractor.
In 2005, Mikros Systems Corporation was recognized by Deloitte as one of the 500 fastest-growing technology companies in the United States and Canada. Otherwise known as "The Fast 500", the list is based on percentage fiscal year revenue growth over the last five years. Mikros Systems Corporation Reports Substantial Increases in Revenue and Profit
Mikros Systems Corporation (OTCBB: MKRS), Princeton, New Jersey, May 21, 2007 -- Mikros Systems Corporation is pleased to report its financial results for quarter ended March 31, 2007. The Company's revenues for the quarter ended March 31, 2007 increased $256,360 or 47% to $794,950 as compared to $538,590 for the quarter ended March 31, 2006.
iincome before income tax expense was $60,245 for the quarter ended March 31, 2007 as compared to $35,368 for the quarter ended March 31, 2006.
The increased revenues resulted from a contribution of follow-on business to develop and produce the ADEPT(R) product for ship-board use and the important development of the wireless product for the Space and Warfare Command (SPAWAR).
Since the end of the first quarter, the Company was awarded a $2.4M contract for further ADEPT development and production of initial units for the AEGIS cruisers and destroyers. The Company continues to aggressively pursue expansion of the ADEPT product to other ships. Additionally, the Radar Wireless Spectral Efficiency (RWSE) program has produced a $750,000 spin-off effort with Naval Air Systems Command (NAVAIR) entitled "Kill Chain Vulnerability Analysis Tool" (KCVA).

On June 5, 2007, the United States Department of State Directorate of Defense Trade Controls accepted Mikros Systems Corporation's application to participate as an authorized exporter. As a result, and in accordance with all United States export laws and regulations, Mikros will begin to market its products for the use of foreign customers. All necessary licenses and approvals will be obtained prior to the export of any technical data, services, or hardware.

Mikros Systems Corporation Conducts Testing of the ADEPT(R) Equipment

PRINCETON, N.J., July 6 /PRNewswire-FirstCall/ -- Mikros Systems Corporation (OTC Bulletin Board: MKRS) announced today that it has recently conducted another set of tests of the ADEPT(R) equipment at the U.S. Navy's cruiser modernization (CGM) test facility at Lockheed Martin in Moorestown, NJ. Additional data was taken that further establishes ADEPT's utility and value in supporting the AN/SPY-1A radar. In the past month, the U.S. Navy has also placed ADEPT units aboard two additional Aegis cruisers to aid in the scheduled alignment of their SPY-1 radar systems. One ship is undergoing its scheduled maintenance at the San Diego Naval Base and the other at Naval Station Mayport outside of Jacksonville, FL. Mikros is providing onsite training and support at both locations.

Additionally, the ADEPT installed on the USS SAN JACINTO last fall is still in use on that ship. These multiple installations are providing valuable data for future product improvements.
The Company is under contract to produce 10 more ADEPT equipments which will be the first "lightweight" versions.

One year ago Friday this stock closed at $.25. We are up 140% from there. The stock ended 2006 at a price of $.42. We are up almost 50% from that price even with the markets, in general, tanking the better part of August. The company has its most mature product, ADEPT, now on three Aegis cruisers with one having had the equipment for 10 months. These are the "sea trials" alluded to in the SBIR contract, and once completed the next step is "fleet insertion". We stand at the cusp of that award. The DoD fiscal year begins October 1, where new monies will become available.

We are two weeks from Labor Day that signals the end of the "dog days of summer", and the summer swoon. The second leg of Mikros' future income stream, RWSE, was awarded a Phase II award in May 2006, and received a follow on award in May of 2007, where generally a Phase III award follows after 18 months. That Phase III should be for over $2MM.

The company surprised us with a third option for future revenues, when they received a spin off Phase II award for a secondary wireless contract for "kill Chain Vulnerability" that was awarded in May 2007. They received a small subcontract award from Mobilisa that puts our foot in the door with the Air Force in June of 07. They just announced a new SBIR Phase I award with Ocean Power Technologies, which could develop into a fourth long term revenue stream.

The company has announced more than $3.3MM in contract awards in the first half of 2007, after increasing revenues 50% in 2006 to $2.2MM. mikros management just announced numbers for the first half of 2007, where they have showed a profit of over $150,000 this year, and puts them on target to earn a penny a share. What is amazing is this profit is being shown with development dollars. One helluva feat when most companies are generating huge debt during their R&D phase. Mikros is poised to end the year on an incredible run. A Phase III award for their initial wireless contract, which would boost contract awards for 2007 to over $6MM. An initial "fleet insertion" order for ADEPT, which even a small order would probably be worth $5MM. Company management has been submitting for new SBIR awards. Their products are on track in their development, which by the contract terms speaks to commercialization. So private sector "wildcard" awards could be on the horizon.

Revenue More Than Doubles from the Second Quarter of 2006 and Net Income Soars

PRINCETON, N.J., Aug. 20 /PRNewswire-FirstCall/ -- Mikros Systems Corporation (OTC Bulletin Board: MKRS - News) announced today significant increases in both revenues and net income for the quarter ended June 30, 2007. Revenues for the quarter ended June 30, 2007 more than doubled to $844,935 from $411,403 for the quarter ended June 30, 2006. The Company reported net income of $119,997 for the second quarter of 2007, as compared to a net loss of $1,457 for the second quarter of 2006.
Results for the first six months of 2007 showed similar significant growth. Revenues for the six months ended June 30, 2007 increased more than 70% to $1,639,885 from $949,993 for the six months ended June 30, 2006. Net income for the first six months of 2007 increased more than seven fold to $150,611 from $18,710 for the first six months of 2006.

At June 30, 2007, the Company reported working capital of $420,430 as compared to $263,353 at June 30, 2006, and backlog in excess of $3.6 million.

The revenues were mainly from the Company's two major contracts: (1) the development and manufacture of the ADEPTĀ® test and maintenance tool for the SPY-1 radar; and (2) the development of the AIRchitect-EMC wireless network afloat planning tool under the Radar Wireless Spectral Efficiency (RWSE) Small Business Innovation Research (SBIR) Phase II program.


The ADEPT (Adaptive Diagnostic Electronic Portable Testset) product line grew out of an SBIR Phase I award in 2002 and now encompasses two variants, the ADEPT(V)1 with its flexible expansion capabilities and the more portable ADEPT(V)2 which is half the size and weight. Both units can be viewed on the Mikros website at http://www.mikros.us/ADEPT.htm.
ADEPT has been extensively and successfully tested at both land-based facilities and aboard U.S. Navy ships, including the USS BUNKER HILL (CG-52), the USS SAN JACINTO (CG-56) and the USS PHILIPPINE SEA (CG-58). Mikros is currently funded to extend the applicability of ADEPT to all the AN/SPY-1 variants in the Aegis fleet of 84 warships. Its Navy customer is also encouraging Mikros, and Mikros has begun, to study the applicability of ADEPT to other complex electronic systems aboard these ships, such as certain electronic warfare equipment which is part of every warship's complement. The Company continues to aggressively market ADEPT, which has been proven to improve the maintainability and readiness of our Aegis warships. The Company is working with its Navy customer to plan for future procurements through Navy program funding and hopes to continue to receive congressional support for this program.
Mikros will be showing ADEPT this September in Baltimore, MD at the AUTOTESTCON Systems Readiness Technology Conference, the premier tradeshow for automatic test systems for U.S. military systems. At this show, Mikros will be introducing its new product, a virtual instrumentation chassis based on the ADEPT(V)2 custom design, for the commercial and military automated test system markets.

The RWSE program began as an SBIR Phase I award in 2004 and has progressed to a Phase II program which has resulted in the software product AIRchitect-EMC. Based on wireless (RF) surveys aboard the USS GEORGE WASHINGTON (CVN-73), the USS BATAAN (LHD-5), and the USS KEARSARGE (LHD-3), AIRchitect-EMC is an interference aware planning tool for commercial wireless networks (Wi-Fi and WiMAX) aboard U.S. Navy warships. This contract was expanded in May 2007 to perform U.S. Navy weaponry kill chain vulnerability analyses based on the RF interference expertise gained during the AIRchitect-EMC development.

Under new programs, Mikros was recently awarded a $30,000 subcontract from Mobilisa, Inc. as a result of an SBIR Phase I proposal teaming effort for the U.S. Air Force SBIR topic entitled Radio Frequency/Microwave Hazard Assessment Tool. Also, last week Mikros was notified of its being selected for an SBIR Phase I award for a communications buoy. For this SBIR Phase I proposal, Mikros teamed with Ocean Power Technologies, a leader in ocean power devices. Contract award for this program is expected in the October/November time frame and contract value is expected to be approximately $100,000.

As a long time shareholder I understand your frustration. You could probably find 100 stocks that do not have what Mikros has that trade at much higher multiples. Some are in sexier industries, that might warrant the price, but most of those generally are hype machines that will not sustain. MKRS appears to have the goods. The reality is they are still an R&D company.

While they have over $400k in cash, and have earned $150,000 so far this year with a $3.6MM backlog they still have not received their first production order. They did run to over a buck, that brought in (I assume) a new group of shareholders, which should bode well for the company going forward.

This company is in a position, where it could announce $7MM or more in new contracts before the end of the year. Is this conjecture? ABSOLUTELY! Reading yesterday's PR provides the most positive info ever from management that suggests to me we are not that far off. "ADEPT has been extensively and successfully tested at both land-based facilities and aboard U.S. Navy ships, including the USS BUNKER HILL (CG-52), the USS SAN JACINTO (CG-56) and the USS PHILIPPINE SEA (CG-58)." That is EXTENSIVELY and SUCCESSFULLY tested in its sea trials. The paragraph ens with this statement "The Company is working with its Navy customer to plan for future procurements through Navy program funding and hopes to continue to receive congressional support for this program." That suggests to this shareholder that its first "fleet insertion" production order is not that far off.

The same PR speaks to the "AIRchitect-EMC" wireless contract that has already been expanded with a second separate Phase II award. The first award is set to secure Phase III funding later this year IMO, and will add at least $2MM more to the current backlog. That would be $10MM in backlog by the end of 2007 with the Mobilisa, Ocean Power, and second RWSE projects also humming along.

On top of that you have some mature R&D, which by design could lead to some commercialized deals (wildcards in my book) that are not even contemplated in the numbers talked about above.

This is a "Field of Dreams" scenario, where IF YOU BUILD IT THEY WILL COME. Saying TM should be pushed out to pasture is just wrong in my opinion. He is the architect of this turnaround, and while he is conservative he has captained this ship to the brink of what should be stellar results. There is no way I would vote for a change now. OUR time is coming.
