Seems like a great plan.  I am with you fousc.

I sold most today when it failed to close above 100ma and will wait for a breakout indicator.

Until Circuit City news happens, the dilution factor really bothers me and lower levels are going to be seen.  I believe in the company IF they get the national Circuit City deal.  And we probably will not know until March.

The fear lies if the 10K hits before the CC deal.  This may bother people with the share count.

And only CC nationally can overcome such a number.

Diluted another 20 million shares?  GZFX management obviously don't care about their shareholders with such a huge o/s but 20 mill hardly scratches the surface of the 1.21 billion (yahoo #) o/s.  And this was down almost 50% because of this?  Well, I'm in at .006, God help me. ;)

Calvin87

Yeah, I agree, the selloffs were somewhat ridiculous.  Tough day to deal with, but it happens.  I'm on the verge of buying up quite a bit on the impending news of the new website.
The CC deal is pretty much all GZFX has left  ;D
There's really some great potential going on here, but you get the feeling that it's starting to be a gamble at this point.  I'm still holding strong, and I'm in until I hear more about Circuit City.  And I'll take a beating until then :P

There are more than a Billion shares added since the last filing, not 20 million.
Read the filing closely.

Very lucky to have sold yesterday per the post below anticipating the 10k and I hope some others did too.  If not, maybe they can pull off the Circuit City deal, military deal and website soon.

Still not sure why they did not wait to file it ? The past 2 years filed near April.

Stock suicide to issue this without any news at this time.   ???

Just one opinion, do the research

good call fill_the_gap & Fous; both applaud because I have sold all in the morning  ;D

Thanks for pointing this out, Jeff.  I have to admit that I just did a quick scan to make a fast determination if I should jump in on the rebound yesterday and missed the good stuff.  I'm up 18% so far and will sell either as GZFX approaches the point of the fall below .01 or on weakness.

Follows is what I found as the pertinent information on current and further dilution for anyone interested:

---------------------------------------------------------------------------------------------------

Risks Relating to the Financing Arrangements.

(a) There are a Large Number of Shares Underlying our Convertible Debentures and Warrants; Sale of These Shares may Depress the Market Price of our Common Stock.

As of December 31, 2005, we had 3,291,733,490 shares of common stock issued and outstanding and convertible debentures outstanding that may be converted into an estimated 5,015,487,805 shares of common stock at current market prices, and outstanding warrants to purchase 8,203,000 (out of an original 15,000,0000) shares of common stock. In addition, the number of shares of common stock issuable upon conversion of the outstanding convertible debentures may increase if the market price of our stock declines. All of the shares, including all of the shares issuable upon conversion of the debentures and upon exercise of our warrants, may be sold without restriction. The sale of these shares may adversely affect the market price of our common stock.

The continuously adjustable conversion price feature of our convertible debentures could require us to issue a substantially greater number of shares, which will cause dilution to our existing stockholders.

The Company's obligation to issue shares upon conversion of the convertible debentures to Golden Gate Investors, Inc. is essentially limitless. The following is an example of the amount of shares of our common stock that are issuable, upon conversion of the balance of the convertible debenture of $82,027 as of December 31, 2005 (excluding accrued interest), based on market prices 25%, 50% and 75% below the market price as of January 28, 2006 of $0.01:

                               Number        % of
% Below       Price Per      With Discount  of Shares       Outstanding
Market          Share          at 18%       Issuable          Stock

25%           $0.0075         $0.0060     1,496,000,000      31.24%

50%           $0.0050         $0.0040     2,248,000,000      40.58%

75%           $0.0025         $0.0020     4,503,000,000      57.77%

As illustrated, the number of shares of common stock issuable upon conversion of the convertible debentures will increase if the market price of the stock declines, which will cause dilution to the existing stockholders.

I will be watching for rebound activity in the coming weeks for an entry as we approach March 15.  How low can RSI (14) go?  Below 30?

There may be a run up in anticipation.

Looks the the Director unloaded all of his shares.

Yeah, it looks like he only $26,000 in shares, so not that much.  Was reported Jan 27th also.

The ride from here on out until March should be pretty interesting.

godspeed06

is it possible thats how he gets paid?? if not, it happened a long time ago, not really relevant anymore.

fill_the_gap

Mark is not relevant to the operation of the company anymore.  And the company issued more shares for insiders.

I fully expect GZFX to be well over a penny into March on a string of positive news beginning as early as next week.

Currently watching the chart to begin an entry.

The worst is behind but trading will remain choppy until some substantial news hits.

Great run-up at the end of today to bounce back up 10%.  Looks like the dumping may have only lasted on the 1st, yesterday and today have been a nice little rebound.

Today's chart.

With some positive news I think there's a lot of potential for a trend reversal here, I hope.  ;D
