WorldWater & Power Announces First Quarter Results; 67% Sequential Revenue Growth and Return to Gross Profit

PENNINGTON, N.J., May 15, 2006 (BUSINESS WIRE) -- WorldWater & Power Corp. (OTCBB:WWAT.OB), developer and marketer of proprietary high-power solar systems, today reported financial results for the first quarter ended March 31, 2006.

Operational Highlights

-- Completed the installation of a 270 kilowatt system at a Cocopah tree farm in California-- generating solar energy to power two 250 horsepower motors for irrigation and electricity-- and inaugurated the first DuPont solar energy array at the company's Chestnut Run facility in Wilmington, (DE). WorldWater also completed the second phase of a 500 kW project for the Atlantic County (NJ) Utilities Authority and a solar system to power all well pumps and the water treatment plant for the Idyllwild (CA) water district.

-- Began work on several new projects, including Valley Car Wash in Los Angeles, Stockton College (NJ) and several California and New Jersey residential projects.

-- Signed the first contracts--with Liberty Science Center and two New Jersey private schools--for WorldWater's Alternative Clean Energy Services (ACES) plan, where the customer can purchase power through an external financing entity--at a reduced rate--for a minimum of ten years, with almost no upfront costs. Also signed contracts with the Voorhees (NJ) School District and NJ residential projects for construction later this year.

-- Demonstrated the MobileMaxPure(TM) at the National Hurricane Conference, highlighting the country's only solar-powered mobile water pumping, purification and satellite communications unit.

First Quarter Financial Results

Revenue for the first quarter was $ 1.95 million, representing growth of 67% sequentially from the fourth quarter's $1.2 million and compared with $16,443 reported in the first quarter of 2005. Gross profit for the quarter was $ 130,000, versus a loss in the prior-year period. The company posted an operating loss of $(2.1) million compared with an operating loss of $(1.1) million in the first quarter of 2005, representing increased SG&A costs and stock compensation expense. Including the impact of warrant fees, WorldWater's net loss for the first quarter was $(3.6) million, or $(0.03) per share, compared to $(1.3) million, or $(0.12) per share, in the prior-year period.

PENNINGTON, N.J.--(BUSINESS WIRE)--WorldWater & Power Corp. (OTC BB:WWAT.OB - News), developer and marketer of proprietary high-horsepower solar systems, today announced preliminary results for the third quarter ended September 30, 2006 and provided guidance for the remainder of 2006 and for 2007. Revenue for the third quarter, a record, will be in the range of $5.8 - $6.1 million, and gross margins will also be at record highs. In addition, the company announced that it is making substantial progress toward completion in the fourth quarter of its largest installment to date, the $7.8 million Farm ACW avocado ranch in California. WorldWater & Power expects that revenue in the fourth quarter will be between $8.5 and $9.2 million, with additional improvement in gross profits.

WorldWater & Power says Emcore to buy stake for $18 mln

Nov 30 (Reuters) - WorldWater & Power Corp. (WWAT.OB: Quote, Profile, Research) on Thursday said semiconductor products maker Emcore Corp. (EMKR.O: Quote, Profile, Research) agreed to buy a 26.5 percent stake on a diluted basis in WorldWater, for $18 million in cash.

In return, Emcore will receive convertible preferred stock and warrants of WorldWater, equivalent to about 31 percent equity ownership, Emcore said.

The companies agreed that Emcore would be the exclusive supplier of multi-junction solar cells, assemblies and concentrator subsystems to WorldWater with a contract of up to $100 million over the next three years. (Reporting by Sayantani Ghosh in Bangalore)

Expects to Meet $17 Million 2006 Guideline

PENNINGTON, N.J.--(BUSINESS WIRE)--WorldWater & Power Corp. (OTC BB: WWAT.OB - News), developer and marketer of proprietary high-power solar systems, today released a general summary of corporate milestones achieved in 2006 that it believes will propel the company to major growth over the next several years. Quentin T. Kelly, Chairman of WorldWater & Power Corp., stated, "The year 2006 proved to be a breakthrough year for WorldWater in many aspects: sharply increased revenues, gross profits, strategic partnerships, acquisition progress, technological advances, multiple project signings and job completions on time and on budget. Our people and the unique patented technology we have developed have opened doors to bidding and winning larger contracts in expanding markets, with new applications and partnerships significantly broadening our business base."

During the year, the Company completed and or initiated 19 commercial or industrial projects in California, New Jersey, Delaware and Texas, in addition to more than a dozen residential systems. WorldWater expects to meet its earlier guidance of $17 million for 2006, according to Mr. Kelly.

Revenue for the 3rd Quarter of 2006 was the best in the Company's history, $6.5 million with gross margins of 22%, compared to revenue of $1.5 million for the 3rd Quarter of 2005. WorldWater & Power expects that revenue in the 4th Quarter 2006 will surpass 3rd Quarter 2006 results. The 4th Quarter also saw completion of the company's largest solar project to date, the $7.8 million Farm ACW avocado ranch in California, believed to be the world's largest application of solar for agriculture, and the initiation of two projects under the company's new Power Purchase Agreement (PPA) sales program (St. Joseph of the Palisades High School and Gerrard Berman Day School, Solomon Schechter, both in New Jersey, with Nautilus Solar Energy, LLC as the system owner).

In November 2006, the Company signed a strategic alliance with EMCORE Corporation (NASDAQ: EMKR - News) wherein EMCORE purchased 26.5% of WorldWater stock on a fully diluted basis for $18 million in cash ($13.5 million on signing and $4.5 million on completion of the strategic agreement before Jan 31, 2007). Under the strategic agreement, EMCORE will supply its high-efficiency multi-junction solar cells and concentrator systems to WorldWater for marketing to the terrestrial market. Contract value of the WorldWater purchase of cells and concentrator systems from EMCORE is up to $100 million over the next 3 years.

In July, WW&P entered into a Letter of Intent (LOI) with ENTECH, Inc. of Keller, TX, to acquire the company. The LOI was extended by both parties in late December and the acquisition is expected to be completed shortly. ENTECH is a developer and manufacturer of advanced concentrating solar photovoltaic and thermal technologies for terrestrial and space power applications and has developed record-breaking solar conversion concentrator systems. ENTECH develops and supplies proprietary solar technology for space missions for NASA, DOD and commercial customers, and has installed ground-based systems. The combined technologies of ENTECH, EMCORE and WorldWater are expected to generate and deliver solar electric and thermal energy for terrestrial purposes at prices competitive to retail electric and natural gas prices without relying on rebates.

In addition to the economics of combining technologies, Mr. Kelly declared, "With EMCORE's multijunction cells in the focal spot of ENTECH's optics creating 500x to 1000x concentrated sunlight, and WorldWater's electronic control devices translating that concentrated electrical energy into megawatts of working power in the field, we expect to add a whole new dimension to the public's understanding of solar energy. Volume continues to be solid over the last 2 months, the chart looks good, and with expectations to "announce additional large projects in the near future...http://biz.yahoo.com/bw/070402/20070402006474.html?.v=1" (one of which was announced on 04/05/07) the PPS should continue to rise on good news.

It had a confirmed BUY signal on americanbulls.com Monday, and now they've posted a HOLD signal.  We made a new 52-week high again today at .79 (which is also a 5-year high).

1. There will be a "Special Meeting" in July to do what could not be done today because the company did not have a quorum. They were 10 million shares "short" because of a technical glitch (my undereducated opinion) apparently caused by holding back the 10K when the proxy was mailed. The 10K was held back to remove the "going concern" language. The language was removed. So, we have what we here in New Jersey call a "do over" at the request of their servicing agent, ADP.. Returns of stock voted showed approximately 90 percent in favor vs. 10 % negative.

2. QK said we face 2 crisis: energy and water. At this point in time, the primary focus has been on the energy crisis while the water crisis has not been fully recognized. QK reiterated what he said in the Jeffries presentation that in 2, 3 or 4 years, "water will be what energy is today". Of course, WWAT is uniquely positioned to offer solutions in both areas.

3. QK said they are adding engineers, project managers and contractors every week to keep up with business as it is ramped up.

4. One of WWAT's strategic partners is NAI Global. NAI brings 3000 - 4000 sales people in 400 cities around the world with 100's of millions of square feet in roof tops and parking lots... all potential consumers of WWAT's services and products.

5. There will be a meeting in July of all "airport managers" to see WWAT's solar arrays.

6. In the past there were fears that solar arrays would "blind" pilots with bright reflections. This is an unfounded fear because array panels absorb light instead of reflecting light.

7. WWAT held meetings with two major buildings' managers in the New York area. QK said "what we can supply, no one else can supply to them".

8. Ten percent of all energy in California is used to pump water. WWAT is one of two preferred suppliers. Powerlight is the other and WWAT's main competitor. QK said Powerlight cannot do what we do....

9. In California alone, there is the potential of 5000 megawatts. In the next 24 months, WWAT's aim/goals are to go after 25 systems worth $150 million. Thereafter, their aim/goal is to after 75 more systems worth another $450 million...and, this is just in California.

10. QK discussed "PPA's". QK said WWAT developed PPA's for project financing for WWAT's clients. This is another advantage that WWAT has over other companies. QK said we have large pools of money available. There are 4 PPA's in particular at this time. This allows WWAT to bid on multi megawatt jobs NOW... QK said they have a 15 megawatt bid out there right now... and they have another 2, 3 or 4 FIFTY megawatt bids out there... QK said they have bid on a $100 - $250 million dollar job with "Site Global"(Phonetic spelling) ... "our big brother". As cash flow improves, there wil be a point when WWAT can bid those large jobs without "Site Global".

11. I have no personal doubt that Entech is a "done deal" but for the final exchage of money and stock after the company is authorised by shareholders to raise the number of shares to 400 million. The delay does not bother me. Sure, I'd like to see it finalized, but I appreciate the fact that sometimes we have to wait for good things in life... When questioned about Entech, I believe that QK said something that they are in the final stages...or words to that effect. Reading between the lines, it seems to me that additional shares will put the ink on the contract. QK described the relationship of WWAT, Emcore and Entech as being a three legged stool. QK said "We work very close with Entech.... that Entech's optical lenses applied with Emcore and our technology... we will be able to opperate...for large communities..." or words to that effect. (I wish this meeting was recorded) QK also said they bid now with contemplation of Entech....

12. QK discussed WWAT being in a period where they are moving away from small jobs, and segwaying into larger jobs.

13. We will see Fresno Airport money in Q3 & Q4 this year. I do not know what percentage QK was talking about.

14. Today's gross margins are 15% to 20%. WWAT's goal is to raise gross margins to 25% to 30%. Their margins will do better when they use Emcore and Entech concentrators.

15. QK said WWAT now has a "Blue Chip Accounting Department".

WWAT has outgrown its 12,000 square foot office space with an annex building, and will move into a building in Ewing New Jersey with 30,000 square feet out of 150,000 square feet...potential to continue to expand on site at the new building...???? Emcore's R&D to share space with WWAT as part of the 30,000 square feet.

17. QK said they have a great relationship with an investment bank that will raise money for WWAT.

18. QK said they plan to move to the Nasdaq, probably to the "small caps". The plan to move to the Nasdaq is because of increased dialogue with institutional investors.

19 On display outside in front of the clubhouse was a "MobileMax" portable solar powered water pump... Look at WWAT's website to see its picture and specs. I believe this is the same or similar unit that was donated/loaned to Katrina relief workers in September 2005. I asked one of the WWAT employees at the unit why the US Government has not purchased a number of these units for responding to future emergencies. He said it has taken a year and a half to get approvals from the government to be a vendor to sell to the government... He said they should be approved in another two weeks... It sure would be nice to see thousands of these units around the country to cope with power and water issues after hurricanes, tornados and other natural disasters..... Also, how about thousands of these units for our troops around the world...

20. Finally, an observation... The people of WWAT seem to be true professionals. I was pleased to meet some of them today. I am impressed with them, their resumes and the feeling of confidence they conveyed to me.
