Repost from Swing Trading MB:

I believe GameZnFlix is just starting to gain.  With the nationwide rollout with Circuit City delayed from January 2006 to March 2006 (look at the chart), many of us holding/trading GZFX since November of 2005 lost interest/faith in GameZnFlix.  After the nationwide rollout news last Friday, Monday and Tuesday's trading activity indicated this and those that wanted to take profit or had "fear" of GZFX falling sold on Monday or Tuesday.  The early morning fall today may have indicated last of the "nervous" sellers selling as GZFX gained with strength all day long.  They may have bought GZFX back at higher price.   ;)

I anticipate GZFX continuing to gain and testing the $0.02 mark.  Once GZFX breaks through $0.02, then I believe GZFX will take off from there with increasing buying interest.

godspeed06, the following article may help with your question:

GZFX BUY confirmed!  Thanks penny_gold3 for the link from Raging Bull MB: Msg. 232051 of 232071

Daily Commentary

Our system posted a BUY CONFIRMED today. The previous SELL recommendation was issued on 03.15.2006 (15) days ago, when the stock price was 0.0103. Since then GZFX has gained 48.54% .

BUY-IF is confirmed by a white candlestick with a higher open. The buying price is today's open ( 0.0137 ) according to the Rules of Confirmation.

The recent bullish formation leading to the BUY-IF signal is confirmed today. The market seems ready for a new bullish move. It opened today with a gap-up and the day's activity resulted in a close higher than the open. This is one of our valid confirmation criteria.

The significant failure of the previous SELL signal is unfortunately confirmed too. Our shot went away this time. It is a fact that such signal failures are more unlikely for higher rated stocks, but it is not possible to deal with all the vagaries of the stock market. The signal system, however, continues to do an excellent job in the overall, despite such failures. This can be seen easily with a quick glance to the signal history table.

We hope that you bought this stock and still have the chance to profit from the later phase of the bullish attack. Today you were supposed to watch the upward gap in the opening, wait a bit, feel the bullish tendency of the market making sure that prices stay over the opening price and then go long. Your benchmark was the opening price of the upward gap.

If you bought, continue to hold this stock until the confirmation of the next SELL-IF signal. You are on relatively safe grounds as long as the future prices continue to trade above the benchmark price and if an emergency warning is not issued. What to do if you did not buy? Maybe, you did not have time to follow the session or you simply delegated the delicate job of confirmation to us. Well it is a bit late, but not too late. You may still find suitable prices for buying in the following sessions and still profit in case of a sustained bullish move.

The market is currently cold for short-sellers. Avoid any short sales and cover the short positions immediately if there are any. We erred significantly on the short side last time, but we are sure that you may easily cover your losses (if any) by basing your future trades on our signal system.

GameZnFlix registered additional 5.8 billion shares according to SB-2 today:
http://yahoo.brand.edgar-online.com/fetchFilingFrameset.aspx?FilingID=4311413&Type=HTML

This will certainly provoke some more volatility short-term, but the best time to release more shares is when the stock is actively gaining to absorb the dilution.

Many have questioned this, but this is how penny stocks and micro-caps and even small caps make money - selling stocks.

With nationwide rollout with Circuit City and promising pipelines, I am certain GameZnFlix management is aware of the importance of sustaining share price of GZFX for future growth/income.

Since many requested the source link, I found the link to the previously posted article and posted the chart used on the article.

fill_the_gap, nice article on GameZnFlix which is worth a repost.  For those new to GameZnFlix, I would like to mention that Circuit City also partnered with a tiny new company several years ago called Netflix.   ;)

A New Partnership: Circuit City and GameZnflix
Mar 29 2006 8:07:33 pm
Stock Market Analysis by Lonny Rosenfeld

When I wrote my first article on GameZnflix (OTC BB:GZFX) last November I stated that I very rarely write about penny stocks, but I thought this one had a lot of potential. So far I have proved myself to be correct. On Friday, March 24th Circuit City (CC) announced that is will go ahead with a nationwide release of the GameZnflix movie and rental service. In the fourth calendar quarter of 2005, the two companies tested offering the GameZnFlix services at a limited number of Circuit City Superstores and online at circuitcity.com. After concluding the tests, the services will now be expanded to include Circuit City Superstores across the United States and will continue to be available nationwide on Circuit City's website. (MARKET WIRE via COMTEX)

"We want to offer a variety of products and services to our customers and the GameZnFlix's program allows our customers to experience the convenience of renting both movies and games through the mail," said Bill Cimino, director of corporate communications for Circuit City.

The agreement calls for a rollout of GameZnFlix's service by offering prepaid service cards at each of Circuit City's Superstores. The agreement calls for adding between 45 and 110 locations each month until full deployment is reached prior to the 2006 holiday season. Financial terms of the agreement are not being disclosed.

"This relationship is a win-win for both companies," said John Fleming, chairman and chief executive officer of GameZnFlix, Inc. "Circuit City continues to prove to be one of the top destinations for movie-lovers and video gamers alike and by co-marketing with GameZnFlix, Circuit City can continue to fulfill its customers' needs by adding our rental services to its product line."

For those readers who are unaware of this company, GameZnFlix is a company that offers video games/DVDs for rental or purchase on the Internet with access to over 40,000 titles. With four different membership levels beginning at $8.99 a month to annual membership with an average price of $20.75 per month, subscribers can rent a combination of both video games and/or DVD movies with no late fees or due dates or members can purchase video games and/or DVD movie titles at a membership discount.

As anyone would expect, shares of GZFX received a huge pop at the open Monday morning. Shares surged more than 125% early in the day to trade at $.0209 on extremely heavy volume. As Monday progressed shares trimmed these gains in half. GZFX last traded Wednesday at $.0134, up 12.61% for the day. Trading for the first half of this week has been relatively predictable. Almost everyone had expected a big gain early Monday, followed by some profit taking later in the day and Tuesday. Wednesday was another day where many investors either bought back in after selling early Monday or others jumped off the sidelines to get in at a more reasonable price.

Given now that it is known that the Circuit City deal is in full effect, what does this mean for the future of GameZnflix? Clearly as I have stated months ago, the potential is truly there for this partnership to be a success. Circuit City has done its part; they have opened the door for a relatively unknown company. Now it is the job of GameZnflix to step up to the plate. This is the big leagues now, do not strike out.

I know many you reading this article are reading this because you are either share holders of this company, have been share holders, or you are thinking about becoming a shareholder. Remember this is a penny stock, so of course there is a high level of risk involved, but is that high level of risk a risk worth taking?

Looking at the 6-month chart above[below], there are very well defined support and resistance levels. These will be the areas that will dictate trade for the short term. There is currently resistance located at $.021; this was reinforced on Monday's trading when shares topped off at $.0209. There is also support located at $.012, this was the low of the day on Wednesday before shares bounced off this level and ended the day higher.

What can be expected of shares of GZFX over the course of the next few months? I would expect to see a lot of volatility as investors try to weigh the future of this company from any news releases concerning the Circuit City partnership. There is a strong likelihood that shares of GZFX will move significantly higher from their present level. Circuit City is no laughing matter, this company would not have reached out and extended its hands to GameZnflix if it did not think it would benefit as well from this deal.

This is truly a company to watch and it will be very interesting to see how this partnership evolves in the future.

I think it's no coincidence that the A/S was authorized to be increased to 25 billion shares at about the same time as the CC deal was finalized a few days back...

Mgmt. is surely aware of the amount of following their company stock had over the last few months since news about the deal fist came out in October...when things finally reached a "go-ahead" by CC this past week, I'm sure mgmt. predicted heavy buying interest, and saw that as the right time to introduce/authorize additional shares without any shareholder approval needed. This would enable them to increase O/S at will and release them into the market for additional capital.

Not syaing this is bad or anything....the capital could be used to pay down higher interest debt and other outstanding debts from financiers in the past...just pointing out that I think it was no coincidence that mgmt. authorized the A/S increase, at about the same time as the CC news was released.

good luck to those trading this....I still think it's best to trade the stock more than buy and hold...of course, most penny stocks are like that.  ;)

READ so you can understand the filing...

Anybody notice this section in the SB-2:

The amount to be registered also
includes shares of common stock issuable upon exercise of the
warrants, as such number may be adjusted as a result of stock splits,
stock dividends and similar transactions in accordance with Rule 416.
Should the conversion ratio of our convertible debentures result in
our having insufficient shares, we will not rely upon Rule 416, but
will file a new registration statement to cover the resale of such
additional shares should that become necessary. In addition, should
a decrease in the exercise price as a result of an issuance or sale
of shares below the then current market price, result in our having
insufficient shares, we will not rely upon Rule 416, but will file a
new registration statement to cover the resale of such additional
shares should that become necessary.

This should put a nail in the coffin of these R/S utterings as of late!

Also the rate of potential dillution is very limited as GGI has agreed to not exceed 9.9% of the OS and there are substantial warrants associated with the conversion:

For example, if Golden Gate elects to convert $2,500 of the
convertible debenture, this would result in the issuance of
47,659,408 shares of common stock based on a current conversion price
of $0057. However, Golden Gate will not be entitled to convert the
convertible debenture unless it also exercises the a pro rata portion
of the warrant. In this situation, Golden Gate will be required to
exercise approximately 248,137 warrants at an exercise price of $1.09
resulting in $270,469 in funding for our company.

The selling stockholder has contractually agreed to restrict its
ability to convert or exercise its warrants and receive shares of our
common stock such that the number of shares of common stock held by
them and their affiliates after such conversion or exercise does not
exceed 9.9% of the then issued and outstanding shares of common stock.

Cheers

Malum2006,

Don't laugh at the 3800 subscriber number.  You have to keep in mind that GameZnFlix is just starting out.  Going nationwide with Circuit City and with the new website, the subscription numbers will increase in time.  If I recall the subscription numbers from last years, 3800 may be almost 100%+ increase from Nov 05.

By my calculations, 3800x$10 (low average subscription plans) = $38,000/month to 3800x$15 (high average subscription plans) = $57,000/month (I used the $10/$15 to average the several plans they offer ranging from $8.99 to $16.99 to factor in that not everyone will use the low $8.99 or the high $16.99 plans).

Let's calculate the subscription increases from Circuit City deal going nationwide and the new website draws:

10,000 x $10 (low average) = $100,000/month 10,000 x $15 (high average) = $150,000
50,000 x $10 (low average) = $500,000/month 50,000 x $15 (high average) = $750,000
100,000x$10 (low average)=$1,000,000/month 100,000x$15 (high average) = $1,500,000

and let's say for long-term potential:
1 million x $10 (low average) = $10 million/month 1 million x $15(high average) = $15 million

I believe 10K - 50K subscribers is very doable with GZFX going national with Circuit City and with the new website (Keep in mind that GameZnFlix has not done any national ad campaign so far).  If you take the average between $10/$15, you get the following:

10K-50K subscribers = $125,000/month to $625,000/month

If GameZnFlix subscription doubles every quarter as Circuit City goes nationwide starting with 5,000 subscribers, you will have:

Start   5,000
1Q    10,000
2Q    20,000
3Q    40,000
4Q    80,000

Even if GameZnFlix has 50,000 subscribers (using above averages), $625,000/month equals $7.5 million/year.
With 100,000 subscribers, $1.25 million/month equals $15 million/year.

This revenue does not factor in GameZnFlix's other pipelines and markets.

Just one opinion, do the research

fous

Just checked out the new GZFX website. Fairly decent i suppose. Looks like they got some bugs to fix as it isn't working properly with firefox and lots of extended white space being taken up for no reason in both FF and IE.. Hopefully they clean it up before morning. I'll be interested to see how the croud reacts to the new shares issued in conjunction with the new website. If the recent SEC filing wasn't released this new web launch would have prob helped push through the .15 barrier. I wont be surprised to see a dip tomorrow.

Everytime we get somethin goin in pps GZFX has to go and pull some bull crap, or should i say bear crap  ;)

*Cal slams his face into the desk*

Heh, I was so worked up over the new website, then I read the SB-2.  I can't say I'm surprised, I mean, we all could have seen it coming anyways.

To be honest, I'm not really sure how things are going to go tomorrow, it'll be a very interesting day.  I'm personally not reacting to the SB-2, I'm still holding.

But you're damn right, Fous, I was just thinking that we finally had something good going.  The good news is that it appears that most of the uneasy shareholders have already sold off, so things may not be as reactive as they could be.

We'll see.  Best of luck to all.

Does anyone here have the Premium Subsription? If so, do you recommend it? Thanks in advance.
